HomeMy WebLinkAboutContract 27207� r , . � ! �;����i S��s���l��� - .�t�N��AGi � . ..,� -.�- � STATE OF TEXAS § C�UNTY OF TARRANT § WHEREAS, the Fort Worth Hispanic Chamber of Commerce pro�ides professional services #o small minority and womer� owned bus�r�esses; and WHEREAS, fhe City af Fort Warth desires fo contract with Fort Worth Hispanic Chamber of Commerce on a cvnsul#ing basis to prouide such professional services #o small minority and women owned businesses and to Fort Worth residents who are owners of these small businesses; and WHEREAS, the Fort Worth Hispanic Chamber of Commerce has offered to pro�ide such professional services on a consulting basis wi�h the City to citizens of the City of Fort Workh; NOW, THEREFORE, THIS CONTRACT FURTHER WITNESSETH: TY�at for and in consideration of the mutual co�enants, pramises and agreements contained herein, the City of Fort Worth ("City"), a home-rule municipaf corporation acting by and throu�h Charles R. Boswell, its duly authorized Assistant City Manager, and tF�e Fo�k Warth Hispanic Chamber of Commerce, ("Contractor") a for profit Texas corporation acting by ar�d through Rosa Na�ejar its duly authorized GEO, do hereby co�enant and agree as follows: 1. Contractor covenants and agrees to pro�ide business services in Fort Worth on a consulting basis to t1�e citizens of Fort Workh. Such services are to be provided for a periad beginning October 1, 20a1, artd ertding September 30, 2002; same m�re fufly described in Exhib�ts "A", "B" and "C" a�tached hereto and incorpora#ed herein for all purposes incident to this contract. 2. in consideration af the services to be performed hereunder by Contractor, City promises and agrees ta pay Contractor $82,i10 in two installments; #he first installment of $41,355, to be disbUrsed not more than 15 days after execution of the contracf; fihe second installment of $41,355, no later than April 1, 2QQ2. Contractor will submit monthly reparts [Attachment I, II, Ifl, and Attachment IV] for services and activities under�al�en by Contractor in per�ormance of this contract. In the e�enf o# such termination, Ci#y shall reimburse Contractor in the serrrices performed up to the date of termination. 4. Contractor covenants anc� agrees to fully cooperate wifh City in monitoring #he effectiveness of the ser�ices to be perFormed under this agreement, and City shall have acc�ss at all reasona�le �ours to offices and recorcis of Contractor for the �urpose of such monitoring. 5. Cantractor shall opera�e hereunder as an independent contractar and not as an ofFicer, agent, ser�ants, or employee of the City of Fort Worth. Cantractor shall ha�e exclusive control of and the exclusi�e right �o contro{ the details af the services perFormed hereunder, and all persans performing same, and shall be solely responsible for the acfs and omissions of its officers, agenfs, servants, employees, subcontractors and program par�icipants. Th� doctrine of respondeat superior shall not apply as between the City and contractor, its officers, agents, servants, employees, subcontractors, or program participants, and nathing herein shall be construed as creating a partnership or joint enterprise between City and Contractor. It is expressly understood and agreed that no officer, agent, em�loyee, ar subcontractor of Contractor is in fhe paid service of t�e City of Fort Worth. s. Gity sha11 in no way or under any circumstance be responsible for any property belonging to Contractor, its officers, agents, employees, or subeor�tracfors or program participants, which may be last, stolen, destroyed or in any way damagetf; and Contractor hereby indemnifies and halds harmless the City, its officers, agents, and employees, fram and agains# any and all such claims or suits. 7, Contractor covenants and agrees ia indemnify, hold harmless and defend, at its own expense, the City�, its officers, agents, servants, and employees, from and against any and all claims or suits fior property loss or damage andlor personal inj�ry, inciuding death, to any and all persons of whatsoever �ind or charac�er, whether reai or asserted, arising out of or in connection with the execution, performance, attempfed perFormance or nonperFormance of this confiract and agreement, andlor the services performed hereunder, whefiher or nat cause, in whol� or in part, by alleged n�gligence of officers, agents, servants, or employ�es af the City of Fart Worth; and Contractor hereby assumes all I[ability and responsibility of City, its officers, agents, servants and emplo�ees, �or any and alf claims or suits of property loss or damage andlor persanal injury, including death, ta any and all persons, af whatsoever kind of character, whether reaf or asserted, arising out of or in conneetion with fhe execution, perFormance, attempted andlor the services performed hereUr�der, whefiher or not cause, in whole or in part, by alleged negligence ofi officers, agenfs, serr,�ants, or employees of City. In the e�ent it is determined �hat Contractor has misused, misapplied or misappropriated all or any part of the func�s provided hereunder, Contractor agre�s to indemnify, hold harmless and defend the City of Fort Worth, its ofFicers, agents, senrants, and employees, from and against any and al! claims or suits resulting from such misuse, misapplica�ion or misappropriation. 8. If Contractor, as a charitable ar nortprofit organization, has or claims an immunity or exemption {s#atutory or otherwise) from and against liability for damage or injury, incfuding death, to persons or property►, Contracior hereby expressly waives its rights to plead defensively such immunity or exemption as againsf the City. 9. Contractor shall nof assign or subcontract all or any part of its rights, privileges or duties under this contracf without the prior wri�t�n consent of City, and any attempted assignment of s�abcontract af same without such prior written approval shall be void and constitute a breach of this agreement. 10. Contractor, Ets officers, agents, employees and subcontractars, shall abide by and comply with all laws, federal, state and local, including all ordinances, rules and regulations of the City of Fort Worth. It is agreed and understood fhat, ifi Gity calls to the a�tention of Conirac�or any such violation on the part of Con#racfor or any of its ofFicers, agents, empioyees or subcontractors, then Contractor shall immediately desisfi from and carrec� such violation. i '[ 1. Contractor, in the execution, performance or attempted perFormance of this contract and agreement, will not discriminate against any person or persons because of sex, race, religion, color or national origin, nor will Contractor permit i�s officers, agents, empioyees, or subcontractors to engage in such discriminafion. This agreement is made and entered infio with reference specificaily to Chapter 17, Articfe IIl, Division 3, of th� City Cade of th� City af Fort Worth ("Discrimir�ation in Em�layment Practices"), and Contractor hereby co�enants and agrees that Cantractor, its agents, empfoyees and subcontractors ha�e fully complied witi� all provisions af same and that no employees, or employee-applicant has been discrimina�ed against by the terms of such ordinance by either Contractor, its agents, employees or subcontrac�ors. � z. Contractor shall furnish a certificate ofi insurance as proof thai it has secured ar�d paid for a poiicy of public liability insurance cov�ring all public risks incident �o or in connection with the execution, performance, attempted performance or nonperformance af this contract and agreement. Such amounts shall be as foflows: Property damage, per occurrence $100,000 Bodily injury or death, pe�- person $250,Q00 Bodily injury of death, per occurrence $500,OOD with t�e understanding and agreement Contractor that such insurance amaun#s sha[I be re�ised upward af City's option and the Contractor shall revise suc� amounfis within thirty (3�) days fallowing notice to Contracfors of such requirements. Contractor further agrees that it shall comply with the Worker's Compensation Ac� of Texas and shall pro�ide sufficient compensation insurance to protect Contractor and the City of Fort Worth from and against any and all Warker's Compensation claims arising from fihe worl� and services provided under this contract. 13. In #he event no funds or insufficient funds are appropriated by the Ciiy in any fiscal period any paymertts hereunder, City will nofify Cortsultant af such occurrence and this Contract shall terminate an the last day of the fiiscal period for whic� appropriations were recei�ed without penalty or expense to City of any kind whatsoever, except as to the portions afi the payments herein agr�eed upon for which funds shall ha�e bee� appropriated. 14. This written instrument constitufies the erttire agt'e�ment by the pa�ti�s hereto concerning t�e work and serWices ta be perFormed hereunder, and any prior or contemporaneous, oral ar written agreement, which purports to uary from the terms hereof sha11 be void. 15. Should any action, whe#her real or asserted, at law or in equity, arise out of the execution, perFormance, att�mpted performanc� of this contract and agreement, venue for said action shall lie in Tarrant County, Texas.
