This Seitl�ment Agreement (this "Agreement") is entered inta as of ,��e�er , 2001 by and b�tween Cacharel Te�cas Hawaii, Ltd., a Texas limited part�ership ("Cacharel"), and the City of Fart Worth, a Texas home rule municipality ("Fort Worth"}. Reci�als _ WHEREAS, Cacharel is the owner of ihe Country �aks mobile horne park located on Nine Mile Bridge Road in western Tarrant County within the e�tra-territorial jurisdiction of tha City of Fort Worth; and WHEREAS, Cachar�l has applied to the Texas Natural Resource Conserva�ian Commissian ("TNRCC") for Permit No. 14Q4b-OQ1 to authorize the disposa.I of tr�ated domestic wastewater from the Caunhy Oaks mobile home park at a daiiy average flow up to 7,900 gallons per day via subsurface drainfields ("the Permit"); and WHEREAS, Fort Worth requested ihat the TNRCC conduct a contested case hearing in connectian with tl�e Permit application which hear�ng request was granted by the TNRCC and assigned as TNRCC Docka� No. 2Q�1-0111-MWD and SOAH Dockat No. 582-01-3215; and WHEREAS, Cacharel and Fort Worth now desire to enter into this Agree�nent setting forth fi11e terms and condiiions pursuant to which Cacharel agrees ta connect the Countary Qaks mobile home park to the Fort Worth municipal sewer system when such service becames available, and Fori Worth agrees to withdraw its protest, public camments and request �or hearing in the re�erenced dackets. NOW, THEREFORE, in cansideratian of the prexnises axad the covenants hearei� contained, and for other good and valuable consideration the receipt and sufficiency of which are hereby acknowledged by the Parties, Cacharel and Fort Worth agree as follows: y. Tie-on to Fort Worth Sewer 5ystem 1.1 Cacharel hereby agrees that if and when Fort Worth is capable of providing retail sewer service to the Cauntry Oaks mobile home park through a single cox�nection ta one nf Fort Worth's sewer interceptors or callection lines, upon Fort Woxth's request, Cacharel, at its sole cost and expensa, shall take its subsurface wastewatex d'zsposal system a�f-line and terminate the provision of sewer service in order for Fort Worth to provide retail sewer service dixectly ta the Country Oaks mobile home park residents. Cacharel's obligation hereunder is subject io the availabxlity of adequate capacity in the Fort Worth sewer system facilities, tl�e xeceipt of all go�ernmental approvals, and tha consen� of the City of Fort Worth. 1.2 Priar to tie-on of the Country Oaks sewer system to th� Fort Worth sew�r system, Cacharel will convey, without Cansiderafion, its collection system to Fort Worth. Cacharel shall pay to Fort Warih a tap fee of $750 far eaah cannectian serviced by Cacharel priar to connectian Page 1 476488-1 � °�'����� ��'�� 'd ��' ��� f _ � ����� ��� _ to the Fort Worth sewer system. Tn addition, Cacharel shall pay the then-existing impact fee, capital recovery fee ar other fees for Fort Warth sewer service far each eonnection serviced by Cacharel prior to conneetion to the Fort Worth sewer system. Any Fort Worth sewer service provid�d to customers not already receiving sewer se�rvice fram Cacharei at the time of discantinuance of sewer service by Cacharel will be assessed such connectian %es, capital recovery fees or ather fees as authozized by the sezvice extensio� policies of the City of �'art Worth or atherwise by law. Further, Cacharel shall pay Fort Worth for any cost incurred to connect e�sting services to the Fart Warkh sewer system. 1.3 The aresideants a£ the Coun�ry Oaks mobile home park who wish to obtain sewer systexn frorrx tk�e City of Fort Worth shaJl apply for such servioe and meet all other applicable condiiions for sewer service as set forth in Fort Worth's sewer ser�ice ordinances and policy gu�dance for retail se�vice. 1.4 All sewer collection lines installed by Cacharel after the da�e of tlus Agreement ("new sewer lines") shall meet a11 constnzction standards established by Fort Worth for sewer callection lines lvc�.ted within the corporate limits af Fort Worth. At least 30 days prior to the installation of new sewer lines, Cacharel shall submit plans and specification� for such lines to the Director of the Fort Wortk� YJti7ater Department far review and written appravai. 1.5 Cacharel agrees not to protest or coniest any CCN application filed by Fort Worth to provide sewer service to the Country �aks mobile home park. At such time as Fort Wart�i extends sewer service #o Country Oal�s nr�obile home park, Cacl�a�e1 further agrees ta voluntarily traz�sfer to Fort Worth any sewer CCN that it may have regarding Country Oaks mobile hame park and to cooperate with Fort Warth in seeking TNRC� or other go�ernmental agency appravals necessary for the iransfer of sewer service from Cacharel to Fort Worth; provided, however, t�iat Cacharel shall not be rec�uired to incur any costs in connection thezewitk�. 1.6 The parties acicziowledge and agree that Cacharel's obligations hereunder are personal to Cacharel and Cac�axel has na authority to control the actions of any tlurd persons, including the residents of Country Oaks mobile hom� park. II. Withdrawal o� Hearing Requests 2.1 Upon execution of this Agreement, Fort Worth agrees to withdraw its protest, comrnents, and hearing r�quest concerning the Pern�it application and TNRCC Do�ket No. 2001-0111-MWD and SOAH Docket No. SS2-01-3215 by fli�g a letter oiwithdrawal with the Chief Clerk of �he TNRCC. Fort Worth will file �he documents necessary to effectuate such withdrawals within three business days of the execution of this Agreement. Page 2 475488-1 III. Nliscellaneaus 3.1 No Oral A�reernents; Modifieation. There axe no oral agreements between the parties hereto with respect to the subject mattex herea% This Agreement shall be subject to change ar modification anly with the mutual �itten consent of all parties hereto. 3.2 Assignabiliiy. This Agreement may be assigned by any party to any oil�er entity up�n prior written notice to the other parties. This Agreement is binding upon the parties arid �heir legal representati�es, successors and assigns. 33 Filing of Agreement. By their acknowledged signatures below, the parties hereto agr�e that this Agreement may be filed for record in the Deed Records of Tarrant County, Texas. It is the intent of the Parties that the obligations and restrictions created k�e�ein s�all run with the land and shall be binding upon a11 current and �uture propert� owners of lots within the Country Daks �obile home park a legal description vf which is aitached herefio as Exhibit "A". 3.4 Countexpaxts. This Agreement may be executed in as many coux�texparts as may be convenient or requ�red. Ali cauntexparts shall callectively constitute a single i�str�un.ent, and it shall not be necessary in making proof oi this Agreement to pxoduce or account for moxe t�an a single counterpart. The Farties may rely upon facsimile signatures the same as if they were originals. 3.5 GOVERNING LAW. THE TERMS ANi) PROVISIONS HEREOF SHALL BE GOVERN�D BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS AND 'I'HE �II�ITED S'FATES OT AMERICA FROM T1ME 'FO TIME W EFFECT. Any Fort Worth sewer serwice provided to custom�rs not already receiving sewer service frnrn Cacharel at the time of discontinuance af s�wer service by Cacharel will be assessed such conr�ection fees, capital recovery fees or other fees as authorized by the service extension policies of the City of Fort Worth or otherwise by law. Further, Cach�rel shall pay Fort Worth for any cost incurred to contfect existing services to the Fort Warth sewer sy'stem. 1.3 The z�esidents of the Country Oaks mabile home pa�rk who wish to obtain sewer sqstem from the City af Fort Warth shall apply for such ser�ice and rneet a11 other applicable condi�ons for s�wer se�rsrice as set forth in Fort �orth's sewer service ardinances and policy guidance for retail service. 1.4 All sewer collection Iines insialled by Cacharel after the dat� of this Agreement ("new s�wer lines") shall mEet all constntction standards established by Fort Worth for sew�'r collec�ion li�es located within the carporate lirnits of Fart Worth. At least 3� days prior ta the in.stallatian af new sewer lines, Cacharel shall submit plans and specificatians for such lit�es to the Dixector of the Fort Warth Water Department for review and v�ritten approval. t.5 Cacharel agrees not to protest or cantest any CCN appl'rcation filed b� Fort Worth to provide sewer service to tbe Couzxtry 4aks mabxle home park. At such time as Fort Worth extends sewer service to Counhy Oaks mobile home park, Cacharel further agrees to voluntarily transfer io Fort Worth any sewer CCN that it may have regarding Cauntry Oaks mabile hom� park and to cooperate with Fort Worth in seeking TNRCC or other g�vernmental agency approvals necessary for the transfer oi sewer service from Cacharel to Fort W��th; pravided, however, that Cachar�l shall not be required to incur any costs iuc� cannection fiherewith. 1.G The parties acknowledge and agree tha# Cacharel's obligatians hereunder are personal to Caeharel and Cacharel has no authority to control the actions of any third persons, including the residents af Country Oaks mobile home park. II. Withdrawal of Hearing Requests 21 Upon execution of this Agreement, Fort Worth agrees to withdraw its protest, camments, and heax'ing request concerning the Permi� application and TNRCC Docket No. 2Q01�0111-MWD and SOAH Dacket Nv. 5$2-01-3215 by filing a letter of withdravval �with the Chief Clerk of the TNRCC. Fort Worth will file the documen#s necessary to effectuat� such withdrawals within th.3ree business days flf the execution of this Agreement. Page 2 476488-I III. Miscellaneous 3.1 No Oral Agreements; Modifzeation. There are no oral agreements between the parties hereto with respect fo the subjecfi matter hereof. This Agreernent shall be srzbject to ehange or modification only with the mutual writien consent of alI parties hereto. 3.2 Assi�nability. This Agreement may be assigned by any party to an� otrier entity upon prior written natice to �ie o#her parties. This Agreement is binding upon the parties and their legal repxesentataves, successors and assigns. 3.3 Filing of A�reement. By their acknowledged sigt�atures belaw, the parties hereto agree that t�iis Agreement may be filed for record in the Deed Records of Tarrant County, Texas. It is the intent of the Parties that the obligations and restrictions created herein sball zu� with the land and shall be binding upon all current and future property owners of lats wit}ain tl�.e Country Oaks mQbile hame park a legal description of which is attached hereto as E�ibit "A". 3.4 Counterparts. This Agreement may be executed in as many countexparts as zxzay be convenient or required. All counterparts shall collectively consfihrte a single instrument, azxd it shall not be necessa�y in malcing proof of this Agreement to produce or account for more than a single counterpart. THE TERMS AND PROVISIONS HEREOF SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH TAE LAR'S OF' THE STATE OF T`�XAS AND TFIE UNITED STATES QF AMERICA FROM TIME TO TIM� IN EFFECT.
