COUNTY DF TARRANT §
WHEREAS, the Fori Wortl� Metropolitan Black Chamber of Commerce provides
professiona� services to small minority and women owned businesses; and
WHEREAS, the City af Fort Worth desir�s �a contracfi with Fort Worth
Metropolitan Black Chamber of Commerce on a consulting basis to provide such
professional services to small minorify and women owned businesses and to Fort Vllorth
residents who are owners of these small businesses; and
WHEREAS, the Fort Worih Metropolitan Black Chamber af Commerce has
offered to pro�ide such professior�al services on a consulting basis with #he City to
cifizens of the City of Fort Worth;
NOW, THEREFORE, THIS CONTRACT FURTHER VIIITNESSETH:
That for and in considerafiion of the mut�a[ couenants, promises and agreements
confained herein, the City of Fort Worth ("City"), a home-rule municipal corporation
aciing by and through Charles R. Boswell, its duly authorized Assistant City Manager,
and the Fort Wort� Metropolitan Black Chamber of Commerce, ("Contrac#or") a for profit
Texas corporation acting by and through De�oyd Jennings its duly authorized GEO, do
her�by covenant and agree as follows:

Contractor covenants and agrees to pro�ide business services in Fort Workh on a
consulting basis to the citizens o� Fort Worth. Sucl� serrrices are to be provided for a
period beginning October 1, 2001, and ending Sepfember 30, 2Q�2; same more fully
described in Exhibits "A", "B" and "C" attached het'eto and i�corporated herein for all
purposes incidenf to this contract.

in consideration of fhe services to �e performed hereunder by Contractor, City
promises and agrees to pay Contractor $77,760 in fiwo installments; the first insiallment
of $38,880, to be disbursed not more than 15 days after execution of th� contract, the
second installment of $38,880, no later than April �, 2a02. Contractor will s�bmit
monthly reports [Attachment I, If, 311, and Attachment 1V] for services and activities
undertaEcen �oy Contracto� in perFormance of this contract. Each report will be signed by

a�uly authorized agent of contractor and sufomitted by the 15t" of the month following
the month which is reported.
3.
Either party may cancel this contract upon th�rty (30} days' notice in writing to the
other party of such intent ta terminafe. In the event of such termination, City shall
reim�urse Contractor in the services perFarmed up to the date of termination.
4.
Contractor covenants and agrees to fully cvoperate with City in monitoring the
effectiveness of #he services to be pertormed under this agreement, and City shall have
access at all reasonab[e haurs to offices and records of Cor�tractor for the purpose of
such monitoring.

Contractor shall operate hereunder as an independent contractor and not as an
officer, agent, servants, or empfoyee of the Crfiy of Fort Worth. Contractor shall have
exclusive control af and the exclusive right to control the details afi the services
performed hereunder, and all persons perfarming same, and shall be solely responsible
far the acts and omissions of its officers, agents, s�rvants, employees, subcantrac�ors
and program participants. The dactrine of respondea# superiar shall not apply as
between the City and contractor, its officers, agents, servants, employees,
subconfiractors, or program participants, and not�ing herein shall be construed as
creating a partnership or joint enterprise between City and Contractor_ If is expressly
und�rstood and agre�d thafi no officer, agent, employ�ee, or subcontractor of Cantractor
is in the paid s�rvice of the City of �'art Wa�th.
6.
Cify shall in no way or under any circumstance be respons�ble for any property
belonging �o Contractor, its officers, agents, employees, or subcontractors or program
participants, which may foe lost, stofen, desfrayed or in any way damaged; and
Confractor hereby indemr�ifies ar�d holds harmless fhe City, ifs officers, agents, and
employees, from and against any and all such claims or suits.
7.
Co�tractor covenants and agrees to indemnify, hoE� harmless and defend, at its
own expense, the Cify, its officers, agents, servants, and employees, from and against
any and all claims or suits for property loss or damage an�Ior personal injury, ir�cluding
death, to any and all persons of whatsoever kind or character, whether r�al or asserted,
ar�sing aut of or in connection with fhe execution, performance, attempied performance
or nonperformance ofi �his contract and agreement, andior fhe services perFormed
hereunder, wh�fher ar nat cause, in whole or in part, by all�ged negligence of o�Ficers,
agents, servan#s, or employees of the City of Fort Worth; and Contractor hereby
assumes all liabili�y and responsibility of City, its o�Ficers, agents, servanfis and
employees, for any and all claims or sui#s of property loss ar damage andlor personal
injury, including death, to any and �ll persons, of whatsoever kind of character, whether
real ar ass�rted, arising out of or in connecfion with fhe execution, perfarmance,
attempted and/or the services performed hereunder, whether or not cause, in whole or
in part, by alleged negligence of officers, agen�s, servants, or employees of C9ty.
ln the e�ent it is determined that Contractor has misused, misapplied or
misapprop�iated all or any part of the funds provfded hereunder, Contractor agrees to
indemnify, holc� harmless and defend the City of Fort Wor�h, its officers, agents,
servants, and employees, from and agains� any and all claims or suits resulting from
such misuse, misapplication or misappropriation.
8.
If Contractar, as a charitable or nonprofit organization, has or claims an immunity
or exemption (statutory or atherwise) fram and against liability for damage ar injury,
including death, fv persons or property, Contracfor hereby expressiy wai�es its rights to
plead d�fensively such immunity or exemption as against the City.
9.
Contractar shall not assign or subcontract all or any part of its rights, pri�ileges or
duties under this contract without the prior written conse�t of Ci#y, and ar�y attempted
assignment of subcontract of same without such priar wri�ten approval shall be �oid and
constitute a breach of this agreement.
10.
Contractor, its affic�rs, agents, employees and subcontractors, shall abide by�
and comply with alf laws, fiederal, state and local, including all ordinances, rules and
regulafions of th� Cify of Fort Worth. It is agreed and understaad that, if City calls to the
attention of Contractor any such violation on fihe part of Contractor or any of its officers,
agents, employees or subcontractors, #hen Contractor shall immediately desist from and
correct such violation.
11.
Contractor, in the execution, perFormance or attempfied perFormance of this
cantract and agreemento wi11 not discriminate against any person or persons because of
sex, race, religion, color or national origin, nor will Confractor permit its officers, agenfis,
emplayees, or subcontractors to engage in such discrimination.
This agreement is made and entered into with reference specifically to Chapter
17, Article III, Divisian 3, of the City Cade of the City of For� Worth ("Discriminatian in
Employmeni Practices"}, and Contractor hereby co�enants and agrees that Contractor,
iis agents, employees and subcontractors ha�e fully complied with all provisions of
same and that no ernplayees, or emplayee-applicant has been discriminated against by
the terms of s�tch ordinance by either Contractor, its agents, employees or
subcontractors.
12.
Corttractor shall furnish a certifiicate of insurance as proof that i# has secured and
paid for a policy af �ublic liabilit�r insurance cavering all public ris�s incident to or in
connection with the execution, perFormance, attempted performance or nonperformance
of this contract and agreement.

with the understanding and agreement Contractor that such insurance amounfs shaq be
r��ised upward at City's o�tian and the Contractor sha[I re�ise such amounts within
thirty (3�} days following natice to Contractars of such requirements.
Contractor further agrees that it shall camply with the Worker`s Compensation
Act of Texas and shall provide sufficient compensation insurance to protec# Contractor
and the City of Fort Worth from and agair�st any and all Wor�er's Compensation claims
arising from the work and services provided under this contract.
13.
ln fhe event no funds or insufficien# funds are appropriated by the City in any
fiscal period any payments hereunder, City will notify Consultant of such occurrer�ce
and this Contract shall terminate on the last day of the fiscal period for which
appropriations were received without pe�alty or expense fo City of any �ind whatsoever,
except as to the portions af the payments herein agreed upon for which funds shall
have been appropriated.
14.
This written instrument constitutes the entire agreement by the parties hereto
concerning the wor�c and services to be performed hereunder, and any prior or
contemporaneous, oral or written agreemenf, which purports �o vary from the terms
hereof shall be r�oid.

Shouid any acfion, whether real or asserted, at law or in equity, arise ou# of the
execution, performance, attempted performance of this contract and agreement, venue
for said action shall lie in Tarrant County, Texas.
