VVHEREAS, the citizens of Fort Warth and the City Council of Fort Warth have
determined that a youth gang prevention and educaiion program and community Ieaderslup
devalopment is needed by all citizens of Fort Worth; and
WHEREAS, the City of Fort Worth has received fiuids through the Fort Worth Crime
Control a�d Preveniion District and the g�neral r�venue fund; and
WHEREAS, the Crime Prevention Resource Center proposes to provide these
programs in accordance wifh this agreement utilizing that above fi,ulds;
NOW, THEREFORE, KNOW ALL BY THESE PRESENTS:
That for and in consideration of the mutual covenants, promises and agreements
contained herein, the City of Fort Worth, hereinafter referred to as "Ciiy," aciing by and thraugh
Libby Watson, its d�aly authorized Assista�t City Manager, and the Crime Preve�fion R�source
Cen�e�r, hereinafter referred to as "Contractar," acting by and fhrough Elizabeth Faeth, its duly
autharized Executive Director, do hereby covenant and agree as follows:
1.
Contract covena,nts and agreas to fully perform, or cause ta be performed, with good faith and
due diligence, all work and services described in Exhibits "A" and "B" attached, and
incorporated herein for all purposes incident to the contract. Cantractar agrees ta e�end the
funds herein pra�ided in accordance with its budget as pravided to City. Contractor will
maintain equipment purchased under this project ar�d use �uch equiprnent in support of this
program.
2.
It is �xnderstaod a.nd agreed fihat in no event shall the tatal distributians of funds made ta
the Contractoz' during th� term of this agreement exceed the tatal sum of $64,195 for the Gang
Prevention Goordinatox project using g�n�ral revenue funds, $1i�,000 for the Gang Prevention
and Education project �sing Fort Warth Cri�ne Control and Prevention Disirict fiinds, for a tofial
a� $�35,19�. Payments to Contrac#or sha11 be in four equal quarkerly instailrn.ents of $58,799
each, to be made an the first business day of October, 7anuary, April and August of the con�ract
year.

The term af this agreement is far a p�riad b�ginning on October 1, 2�01, and ending on
Sep�ember 30, 2042. ,

It is expressly understood and agreed by and between the parties hereio that this
agreemen� is wholly conditioned upon tlie actual receipt by City funds from the ����- �,y,��

Grune Control and Prevention District; that alI monies distributed to Coniractor hexeunder shall
be exclusively frorn monies received utider District fundirzg, appropriated by City; and that if
such funds from the Fort Worth Crime Control and Prevention District are nat timely
forthcoming, in whole ar part, City may, at its sole discretion, terminate this contract and
agreement and City shall not be liable far pay�nent for any work or ser�ices perfortned by
Contractor under ox in connection with this contract.
5.
It is undexstoad and agreed that tl�is contract may be terminated by City, in whale or from
time to iime in part, whenever such terminafion is determined by City to be in fhe best inferest of
Ciiy. Ternvnation will be effected by delivering to Contractor a notice of termination, specifying
to what extent perForrmance o�' ihe work under the contract is being terminated and the effective
daie af termination. After receipt o�notice af termination, Cantractor sha11:
(a) Stop work under �he contract an tiie date and the extent specified in the notiee af
terminatian;
(h) Place no further arders ar subcontractors except as may be necessary for
campletion of the work not tertninated; and
(c) Terminate a11 orders and contracts to the extent that they relate ta the perforrnance
of the work tezminated by the notice of te�mination.
Within thirty {30] days �ollawing the date a� such termination, Contractor sha11 r�turn to
City any unused portion of general revenue funds, Fort Worth Crime Control and Prevention
District monies distributed hereunder.

Contractor agrees to l�eep sufficient recards to dacument its adherence fa applicable
federal regulatians, along with documenta�ion and records of a11 receipts and expenditures, af
Fort Worih Crime Cont�al and Prev�ntion District and any general revenue. All records sha11 be
reiained for three years following �he te�mination of this agre�ment. City, th� State a� Texas,
and the Department oF Justice or �heir representatives shall have the right to investigate, examine
and audit at any time any a�d alI such records r�lating to the operations of Contractor under this
agr�ement. Upon demand by the City, the Co�tractor, its oFficers, members, agents, employees,
and subcontraciors shall rnake such records readily available for itnvestigatiar�, examination and
audit.
7.
Contractor shall deliver to City a quarterl� report of its activities and statement of its
receipis and expentlitures of funds from t�e Fort Worth Crime Contral and Prevention District
and any general revenue. Each such statement shall be signed by a duly au�thorized officer of the
Contractpr. Each quarterly report and statement shall be submitted to City no latex then the 2Q`�'
day af the fallowing end of the quarter.

Contractor cavenants and agrees to fully cooperate with City in monitoring the
effectiv�ness of the services and work to be perfarmed by the Contractor under this agreement,
and City shail have access at all reasonable hours to offices and records of tkte Contractars, its
officers, members, agents, employeas, and subcontractors for the purpase and such monitoring.

Contractor shall operate hereunder as aa� independent contractar and not as an officer,
agent, servant of employee of City. Contractor shal� have exclusive cantrol of, and tk�e employee
of City. Cont�'actar shall have exclusive contral o�', and the exclusive right to control, the details
of the work and services performed hereunder, and all persans performing same, and shall be
solely responsible for the acts and amissions of its officers, members, agents, servants,
employees, subcontractors, program �3�IC1�]c'ilit5, licensees or invitees. Tk�e dactrirne of
respondent superiax shall nat apply as between City and Cantractor, its officers, members,
agents, servants, employees, subcontractors, program participan�s, licensees or inwitees, and
nothing herein shall �ae construed as creating a partnership or joint enterpris� between City and
Contractar. It is expressly undersiood and agreed f.hai no officer, member, agent, employee,
subcontractor, licens�es ar invitee of the Cont�actor, nar any pragram part�icipant hereunder is
the paid services o�the City and the City does not have the legal right to control �he details of the
taslcs perfarmed hereunder by Contractor, its officers, members, agents, emplayees,
subcontractors, program participants, licensees or invitees.
10.
City shall no way noz under any circumstances be respansible for any properiy belonging
ta Contractor, its officers, agents, ernployees, subcontractors, program participa�tts, lic�nsees or
in�itees, �+hich may he lost, �tolen, dest�roy ar in any way damaged.

Contractar hereby assumes a.11 liability and responsibility of the City of Fort Worth, iis
officers, agents, servants and employees for any and a11 claims or suits for property loss .or
damage and/or personal injury, including death, to nay and all p��sons, of whatsoe�er kind of
chazacter, whether real or asserted, arising out af or in connection with the execution,
perforrnance, attempt�c� performance or no-performance of this confract and agreerr�ent and/or
the operations, activities and servic�s of the programs described herein. Contractor likewise
covenants and agrees to assume responsibility far any and all injury, damage or destructian of
paroperty of th� City of Fort Worth, arising out of or in connection with aIl acts ar omissia�s o£
Contractor, its of�'icers, agents, employees, subcontractors, invitees, licensees or program
participants.
In the ev�nt it is determined that Contracto:r has misusec�, misapplied ar misapprapriated
all or any part of the general revenue or Fort Worth Crime Control and Prevention Disirict
herein, Contractor agarees to indemnify, hold harmless and defend the City of Fort Warth, its
officers, agents, servants, and ernployees, from and against a11 claims ar suits resulting from such
misuse, misapplication or misappropriation of such funds.
12.
Contractor shall not assign all or any part af its rights, privileges ar duties under this
contract without the priar written approval of City, and any attempted assignment of same
without such prior written approval shall be void, and constztufie a breach of this agreement. It is
agre�d that the City has the right to inspect and approve in writing any prpposed lea�e
agreements �r subcontracts between Contractor and any subcontractar or sub-lessee engaged irz
a,ny activity in conjunction wi�h these projects prior to any charges beix�g incurred.

No memb�r, officer ar employees of City, or its designees or agents, no members of the
governing body af the locality in which th� program is situated; and no oiher public official of
such locality ar localities who exercises any functions or responsibiliii�s with respect to the
program funded hereunder during his tenure or for one year thereafker, shall have any interest,
direct or indirect, in any contract ar subcontract, nr the proceeds thereof, for work to be
performed hereunder. Coniractor shall zncorporate, or caus� io be incorporate, like language
prohibiting such interest, in all contracts and subcontracts hereunder.
Na afficer, ernploye�s, member or program participant of Coniractor or its subcontractors
shall have a finaa�cial interest, direct or indirect, in this contract or the mvnies transferred
hereunder, or be financially interested, darecfly or indirectly, in the sale to Cantractar of any
land, ma�erials, supplies, or services purchased with any funds firansferred hereunder, except on
behalf of the Contractor, as an officer, �mploy�e, member or program participant. Any willful
vzalatians of this paragraph with #he know�edge, expressed or irnplied, of Cantractar ar its
subcontractars, sha11 render this contract vaidable by ihe City af Fort Worth.
14.
Contractor cavenants that neither ii nor and af its officers, members, agents, employees,
program participants, or subcontractors, while engagec� in perforrning this contract shall in
conneciion with the emplayment, advancement, or discharge or employees, or in connection wiih
the terms, conditions or privileges of the� employment, discriminat� against persons because of
iheir age, except on the basis of a bona fide occupatianal qua.iification, re#irement plan, or
statutory requirement.

Contractor, in the execution, performance or attempted performance of this contract and
agreement, �vi11 not discriminate against an� per5on ar persans because of sex, race, r�ligion,
color or national origin, not will Coniractor pernut its agents, employe�s, subcantracfors or
program participants to engage in sucl� discrimination.
This a�reement is tnade and entered into with reference specifically io Chapter 17,
Article III ("Discrimination"}, Division 3("Employment Fractices"), of the City Code of �khe
City of Fort Worth, and Cantractor hereby covenant� and agrees tl�at Contractar, its agents,
employees and subcontractflrs, have fully complied with a�I provision.s of same and that no
�mployee, emplflyee-applicant or program participant has been discriminated against by the
terms o�'such or�inance he either the Contractor, its agants, ernployees or subcontractors.
16.
Canfractor, its officers, agents, employees and subcontractors, shall abide by and comply
with alI 1aws, federal, state and local, including all ordinances, rules and regulations of the City.
It is agreed a��d understood that is City caXls ta the attent�on of the Cont�actor any such violation
on the part of the Contractar or any of its officers, agents, employees, suhcontractors or pragram
participants, then Contractor sball immediately desist from and carrect such vialation.
Contractor promises thafi it �ri11 use these funds strictly for those purposes and goals
intended under the terms and conditions of the attached Exhibits. It is agreed and understood
that if Crty calls the attention of Contractor to any such violations on the part of the Contractor or
any of its officers, members, agents, r:mployees, program participan�s or subcontractars, then
Con�ractor shall immediately desist fram and correct such violaiion.
17.
A11 properEy approved by t�ie city of Fort Wax�h and purchased with general ravenue, Fort
Worth C�me Control and Prevention Disirict funds granted hereunder shall be usad solely for
the accomplishment af ihe purposes and work set forth in Exhibits attached hereto.

Coniractor covenants and agrees that in tk�e event it fails to cornply vvith ar breaches any
of the terms and prvvisions of this agreement, City shall have the right to declare this agreement
imrnediately terminated, and City shall have no fiirther responsibility or liability hereund�r. Any
such termination shall ba subject to the provisions aiEacliibits attached hereta.

The provision� of this agreement are sevexable and if far any reason a clause, sentence,
paragraph or other part of tkis agreement shall he determined to be invalid by a court or federal
or sfafe agency, board ar comxnission having jurisdiction over the subject matter thereof, such
invalidity shall not affect other pro�isions which can be given effect without the invalid
provision.

The failure of City to insist upon t.he performance of any term or provision of this
agreement or to ex�rcis� a�y right io herein conferred shall noi be construed as a vvaiver or
relinquish to any extent of City's right to asser� or rely u�on any such t�r�n or right on nay �uture
occasion.

Should any action, vvhether real or asserted, at law or equity, arise out of this execution,
performance, attempted performance or non performance of this cantract and agreement, venue
for said action shall lie in Tarrant County, Texas,

This written instrument cansiitutes the entire agreement by the p�rties hereto cancerning
the vvork and s�rvic�s to be performed hereunder, and any prior or contemporaneous, oral or
written agreement which purports to vary from the terms hereof shall be void.

DISCUSSIC?N: �
During the FY2D01-2�02 budget process, the City Council aufhorized the expenditure of $f0,195 #o .
suppart a gang �revention coordinator at the C�ime P�evention Resource Center. The purpos� of the
posi�ion was to monitor the progress of Gang Task Force strategies, educate the community about �
gangs, and covrdinate with area agencies.
Funds in the amount of $175,00� are allacated �rom the Fort Worth Crime Control and Prev�ntion _ I
District as part of the Ze�-o Tolerance Teams (now Crime Respons� Teams) program to supplement tY�is �
item by allowing the establishment of a resource {ibrary and other suppo�ting activifies. Since i�ce�tion
of the�contracf, the scope of servic�s has expanded to encorn�ass crime Qrevention in general, while
continuing Yo coordinate with ihe Palice De�artment and the Comin' Up pragram on gang activities. An ; �
additianal activ9ty, which was added during FY1999-2Q00, is tF�e operation and monitoring of the Safe
City gun violence reducfiion program.
