desires ta make certain improvemer�ts fa Lasater Addition. Phase I, Section 1, an
addition to the City o# Fort Worth, T�xas and,
WHEREAS, the said Developer has requested the City of Fart Worth, a
mur�icipal carporation of Tarrant and Der�ton Counties, Texas, h�reinafter calied
°City", to do certain work in connec#ion w�th said impro�ements;
NDW, THEREFORE, KNOW ALL. BY THESE PRESENTS:
That said De�eloper, acting herein by and through Donald J. Dvfcstra, its
duiy authnrized Ci�y President and the City, act�ng herein by and through Mike
Groomer, its duly authorized Assistant City Manager, for and in consid�ration of
the covenants and conditio�s canta�ned herein, da F�ereby agree as folkows:

SECTION ONE
COMMUNITY FACILITiES AGREEMENT
to install
WATER AND SEWER SERVICES
for

A. The City agrees to permit the Develaper to let a contract for, in accordance
with its accep�ed practices, ordinances, regu{ations, and fhe provisions of
#he City Charter, and subject to the r�quirements of the City's Charter, and
subject to the requ�rements af tne Cify's Policies and Regufations far
1ns�allation of Community Facilities, a11 as current at the time of installation:

and SA�II�A�Y SE1�l�Ft �'ACI�l�1�S to serve the lots as shown on �he
attached Exhibit �-'9 alf in accordance with plans and speci�ica��ons to
be prepared �y private engir�eers employed by the Developer and
approved by the Water Department.
B, The City agrees to allow fihe �e�elaper to ins�all, at his expense, at the
time all other water mains in this addition are installed, a service line for
each lot as shown on the attached Exhibit A. The estimated cosf of
these service lines is $ 38,'i 10. The C�ty agrees to record the locatian of
eac� said service line in respect io the comer af the lot ser��d, and to
retain said records in its passession.
C. The construction cost of the water facilities herein concerned, exclusive of
service {ines and engineering is estima#ed to be One Hundred and �i�e
�housand, �'hree Hundred Ten Dollars ($105,310) .
D. The Cjty agrees to allow the Developer to install, at 1�is expense, at the
time all other sanitary sewer mains in this addition are installed, a service
fine for each lot as shown on the attached Exhi�it A�9 . The estimaied
cost ofi these service lines is $ 49,680. The City agrees to �ecord #he
location of eacF� said serriice I�ne in respect to the corner of the lot senred,
and to refain said r�cords in its possessian.

E, The const�uction cost of the sanitary s�wer facilities to be installed
hereunder, exclusive of service jines and engineering, is estimated to be

F. Prior to allowance of the construction con#ract by Develoger, the Developer
agrees to provide acceptabfe financial guarantee to the city for 10D percent
of t�e construction of the canstruction costs alang with payment ofi any
Ordinance costs an� fees that are applica�le. Pria� #o the award of the
construction contract by the C�ty or the commenci�g of any work by the
City or its contracto�s, the Developer agrees to pay fio the City:
(1) (a) Or�e Hur�dred perc�nt (100%} of the De�eloper's cost of all water
and sanitary sewer facilities within the developmeni, exclusi�e of
engineering and service cosfis, size� to provicle water and sanitary sewer
service within th� development.
(b)One hundred pereent (100%) of the DeveEoper's cosf of all
app�oach water and sanitary sewer facilities outside the limits of the
development sized to provide water and sanitary sewer service to the
development.
(c) One h�ndred percer�t (100%) of tt�e De�eloper's cost of any
approach water main facility or water facility within the de�elopment that is
8-inches in size for non-indusfrial de�elopment ar�d 'f2-inehes in size for
ind�strial d�velopment.
(d)One hundred percent (100%) of #he Deve[oper`s cost of any
approach sanitary sewer main facility or sanitary sewer facility within the
development that is 8-�nches in size.
(2) An addiiional ten pereen� {10%} of the total of the De�elop�rs cost
of these water and sanitary sewer facilities, exclusive of cost of s�tvice
lines, is required for design engineering if such er�gineering is performed
by ihe City at the Developer's request.
(3) �ne hundred percent (100%) of the De�elo�e�'s cost of all service
lines, estimated under 1-B and 1-D aba�e, in accordance with tY�e
provisions of the current Fort Worth City Code.
{4) A construct�an lnspectian Fee equal to twa �2%) of the Develaper's
acfual eost sMare of the construction cost (inc�uding a!I services) af the
water andlor sanitary sewer facilities.
G. The distribt�tian of estimated construction cost between the City and the
Developer, as pe� paragraph 1-F aboue, for all water and sanitary sewer
faci�ities to be constructed hereunder js estimated as �oflows;

H. The above charges do not include any front foot charges for connection to
existing or proposed water andlar sanitary sewer mains constructed or to
be constructed under �he �rovisions of the "APPROACH MAIN OPTION°
as described in 5ection ll� af the Poiicy for the °INSTAL.LATION OF
COMMUNITY FAC1LlTIES" adopted ir� Septemb�r, 1992. These
additiona! charges are as follows:

When water faci�ities are installed by contract, installatron of water
services will be included as �art of the contrac�. �nstallation of ineter
boxes on those services may be �on� by the City, after compl�tior� of
constructian of all relative cur� and gutt�r work on �he wate� facilities
project site, at a cos� of $701$'�35 per contract-installed charge to be dUe
and payable prior ta issuance of a Work Order on the water facilities
installation contract. The aboue charges da not apply if the Developer
elects to i�clude meter box installation as part af the cantract. However,
meter boxes must conform City standarcls.
,!. Within a reasonable time after compketion af tE�e abo�e refere�ced
facilities to b� constructed by con�ract awarded by the Developer,
provid�d all conditions for Cjty participa�io� have bee� mei, th� City
agrees to pay the De�eloper the "Esfimated City Cos#° set out in 1-G
above; provided, howe�er, that said payment shall be calcufated using the
actual construction costs and actual ser�ice costs under the pro�isions of
the curreni Fart Workh City Code, {said payment to be calculated as in 1-
G abave), based an acfual quantities as reflected in the final estimate paid
to the Contractor by the Dev�loper and on the actual records of cost kept
by the City as a part of its customary procedures. ln the e�er�t the
difference ir� the deposit and the actuai costs exceeds $25, Developer
agrees to pay� to the City and under�aymen� which said adjustment might
indicate as �eing due, ar�d the Ciiy agrees to pay to Devefoper any
a�erpayment.

K. Work hereunder shall be com�lefied within two {2) years from date hereof,
and it is understood that any obligation an the part of the City to make any
refunds with respect to water and/or sanitary sewer facilities sha11 cease
upon the expiration of two (2) years from da�e hereof, except for ref�nds
due from "front foot charges" on water and sanifary sewer mains, which
refunds may cor��inue to be made for a�aeriod of �en ('i0) yeafs
commencing on the date that approach mains are accepted by the
Director. If less ti�an iQ% of fihe eligible collections due fo the developer
has been collected, the De�eloper may request in writing an extertsion of
up to an additional 10 years for coflecfian of front charges. In tf�e event
water andlor sanitary sewer facilities work is r�ot completed within the (2)
year period, City may, at its election, complete such work at Developer's
expense.
L. lfi is further agreed and �nderstood ��tat any a�ditional paymen� required
of Developer is to cover only such additional work a�d/or materials as
may be made necessary by conditions encountered during construction,
and shall nofi include any change in scope afi the project.

A. The De�eloper agrees fo insfall or to cause to have insta{led, the street, siorm
drainage, street 1igh�ing, street signs and other community facilities improvements
shown as "current impro�ements" on the a�tached Exhibits �, �-1, C.
B. The De�eloper agrees to corrtply with all city accepted practices, ordinances,
regulations, as weli as pro�isions of the City Chart�r, th� City Subdivision
Ordinance, City Design Standards and the current Policy for Ins#allation of
Cammunity Facil�ties in the design, contracting and ins�alla#ion of required "c�rrent
im�ro�ements".
C. The De�eloper agrees to camply with the General Requirements contained herein
(Attachment A).
Q. As shown on the attached "Summary of Cost", the Developer agrees to f�nd its
share of "current impro�ements" and to pay the City fo� its share of the cost of street,
storm drainage, and street lights as shawn an the attached Exhibits �, �-�_ and C.
Street name signs are to be installed ar�d paid for by the City.
E. The estimated totat cost of current impro�ements and eelated support services
specified in �his agreement, includir�g design, consfruction and inspection is
estimated to be $�86,604.00
The Developers shall caniribute Dollars $���,�09A0 of the total amount.
The Ci�y shall contribute Dollars $31,395AU.
F. De�eloper agrees to provide, af its expense, all nec�ssary rights of way and
easements required to construct current and future improvements provided for in this
agreement.

the preliminary plaris, specifications and cost estimates supplied for the purpose of
this contracfi.

construction of all improvements ta conform with his own schedufe, except far those
imprav�ments which the Transportation and Pubiic Works Director deems necessary
for the proper and orde�fy development af #he area. In ihe event Developer fails to
carry out any such instrucf�ons with�n the 90-day period, the Developer gives the City
fhe right to design and award a contract, and i�spect the imp�ovements i� �uestion,
and agrees to pay to the City prior to the award of the contract, the amount afi the

2. STREET LZGHTS WORI{ DESCRIPTION:
1. The Deve].oper shall provide for th� irts�a].].ation of street�.ights at
the approximate locations shown in Exhibit "C", immediatel.y after
final acceptance of the street cons�ruc�a.on, in accordance with
engineering plans and specificatians approved by the Transpoxtation
and Public Works pepartment.
2, S�xeetlights on residential and /or collector st�'ee�.s can be
installed using overhead or underground conductors with tYte approval
of the Director of Transportation and Public Vdorfts.
3. Streetlights on arterial streets shall be installed with undergraund
conduit and conductors.
4. The Developer shall provide for the installation of a 2-inch
schedule 4� PVC condui�, at a d�pth no�. less than 30 inches and a�
least 18-inch behind the curb, '�cl.ear from all other u�ilities".
5. The Develaper sh.all provide for th� install.ation of a 2-inch
schedu7.e 40 PVC conduit between st�eetlights propos�d �ar
installation and t�he power source to b�come operational.
6. A 3-inch schedule 80 PVC canduit is required when crossing streEts
at a depth not less than 30 inches, unless indicated o�•herwise on
the plans concrete pul.l boxes shall be provided at the crossing
points.
7. The develop�r sha11 pay a four percen� (40) fee of the construction
cos� �o� construction enqineering and inspectian of �he street �ight
ins�allation.
8. Street light conduit and. £ootir�gs shall be instal.led by ihe
developer's contractor as part af and at the time of street
construction. The city wil�. obtain electric 5�rvice and complete the
street li.ght aons�ruction in accordance with approved plans.
9. The developer or th�:ir contractor shall contact City's str�et light
division 48 houxs pxior to s�ar�a.ng any installa�ion of conduit
and/or s�reetlights at (817) 871--8100 to insure praper in�pection af
work.

of the street construction. The s�reet name signs will remain
the pxoperty o�, and will be maintained by, the Ci�y.

A. it is agreed and ur�cierstood by the parties heret4 that the de�relaper shall
employ a ci�i! engineer, licensad to practice in the 5tate of Texas, for the
design and preparatian of plans and specificatians for the canstructian of a11
current improvem�nts co�ered by this cantract, subject to Paragraph B.
B. Far any project estimateci to eost less than $10,000 nr for any praject
designed to serve a singl� 1ot or tract, the deve{oper may at his aption request
the C+ty to provide the c�esign engineering, and if such request is granted, th�
developer shall pay ta the Cifiy an amour�t equal to 10 percent of the final
construction cost of such pro�ect for such engineering services,
C. ln the event the develaper em�loys his own �ngineer to prepare plans and
specificatians far any or a!I current impravements, the plans and specific�tior�s
so prepared sha{I be subject to appraval by the department having jurisdiction.

be vested at all times in the City of Fort Wc�rth, and developer hereby
re(inquishes any right, title, or interest irt and to said facili�ies or any part
hereof.
�. lt is furthar agreed that the decision of the City to nat collect funds for "future
impravements" �ec}u+red in previous CFA agreements daes not canstitute an
obligation on th� part of the City to construct such "future impravements" at
its expens�.

completed within tf�e time periods stated above will require re�ewal of th�
contract with all updated agreements being in complia�ce with the �olicies in
effecfi at the time af such ranewa{. Developers triust recognize that City funds
may not be avai(able to pay' alf or a portion of the narma� City share for
renewaf contracts. It must be understood by a1! perties ta the Community
Facilities Contract that any af the faciiities or requirements included in the
contract that are to be perfarmed by the de�eloper, but not performec� by the
' developer within the time periods stated abo�e, may ba campleted by the City
at the de�elaper's expense. The City of Fort Wflrth s�a1i nat be abligated to
make any refunds due to the developer an any facilities constructed under this

L5} ln order for a sur�ty company to be acceptable, the name of
the surety shall be inciuded on the current U.S. Treasury list
of acceptable su�eties, ar�d the amount of b4nd written by
any one acceptabl� company shall not exceed the amount
shown on the Treasury list for that campany.
b. Cash Deposits: A cas� deposit shaf{ be accep�able with
verification tF�at an attempt to secure a bond has been denied,

Worth. The City o� Fort Wflrth will not pay interest an any such

develaper may make timely withdrawals #rom the cash
#unds in orde� ta pay the contractor andlor subcon�ractor
based on amaunt of constructian work compieted as
ap�roved and v�rified by the City �ngineer or authorized
�epresentati�e, For prajects whose act�a! tata� contract
cost is �400,000 or greate�, such release o# security shall
equal the percentage of work completed far that pariad
multi�lied i�y ninety-five percer�t {95°/a?. This percentage
shalf be applied to the actuaf current total contract cast ta
determine the amoun�t that may be reduced upon request of
developer. For projeets whose actual total contract cost is
less than $400,000, such release o# security shall equal the
percentage of work completed far that peric�d multipiied by
n�nety percent (90°�0). This percentage shali then be applied
to the actual current tota! cantfact cost ta determine the '
amount of security that may be reduced upon request of
develaper. Th�e remainir�g security, five percent (5°/a) �or
projects of �400,000 ar greater and ten percent (10°r�o7 for

projects iess than $400,000 together with the remaining
funds from the Developer's Change Order Fund, if any, will
be re�eased to the de�eloper after the project has �een
accepted by the City. Partial release of funds sF�all be limited
fo once per month. There shafl be no partial release of funcis
�ar projects af less than $25,000. Proof that the develop�r
has paid tF�e contractor sha11 b� required for partial releases.
5. PUrpose. Term and Renewai of Guarantees,:
a. Pe�formance and payment bonds, and cash de�osits furnished
her�under s�a1f be for the purposes vf guaranteeing satisfactory
compliance L�y the developer with a11 requirements, terms and
conditions af this agreement, incluciing, but not lirnited to, the
satisfactory cnmpletion af �he improvements prescribed herein,
and the ma�Cing af �ayments to any person, firm, corporation or
other entity with wnom the de�eloper has a direct contractual
relationshi� for the perfarmance of work hereunder.
b. Developer shall keep said perfarmance and payment bonds, andlor
cash de�osits in #ull force and effect until sueh time as ci�veloper
has � fully complied with the terms and conditions of this
� agreement, and failure to keep same ir� force and effect sF�all
canstitute a default and breac� of this agreement.

H. The City shall assume its share of the cast �f the impravernents cavered by
this agre�ment alang with the engineering f�e only if funds ara available for
such �articipation. In the event that no funds are available for City
Qarticipation, the deve{oper shall award the eontract and deposit with the Cifiy
a p�rformance and paym�nt bonds or cash for 100 percent of the �stimated
toCal constructian cost of the improvements [plus ten percent (10%) #or
engineerin.g and miscellaneous ctists if the City prepares the plans].
I. �n all faciliti�s included in t�is agreement for wh�ch the develaper awards its
own canstruction contract, the developer agreas to follow the fo!lowing

1, If the City participates in �the cost o� the facilit+es, the constructian
contract must be advertis�d, bid and awarded ir� accordance with State
statutes prascribing the requirernen�s for the letting of contracts for the
cor�structian o# �ublic wark. This includes adv�rtising in a local
newspaper at I�ast twice in one or more newspapers of general
circulation in the county or counties in which the work is to be
perform�d. The second publicatifln must be an or before the tenth
{10th} day before the first date bids may be submitted. The bids must
be apened by an officer or employee of the City at or in an office of the
City.
2. To employ a construction contractor, who is appro�ed by the Dir�ctar o#
th� Department having jurisdiction over the facility ta 6e so constructed,
said contractor to meet City's requ�rements for being insured, licensed
and bonded to do work in puhlic right o# way.
3. To require the contractar to furnish ta the City payment, performance
and maintenance bonds in the names of the City and the de�eloper for
one hundred percent (100%) of the contract price of #he facility, said
bonds to be furnished before work is cammence. De�eEo�er further
sF�ail require the contractor to provide public liability insurance in the
amounts requirad 5y the City'.s specifications cov�ring �hat particular.

gives his consent to proceed, and ta make suc�t labaratory tests af
materials heing us�d as may be required by the City.
5. To secure approvai by the Di�ector of the Department having jurisdiction

approval shall he subject ta and in accordanee with �equirements of this
agreement, ar�d is not to co�stit�ate approval of the c�uantities of which

6. To delay eonnections of buildirrgs to ser�ice lines af sewer and water
mains constructed under this contract until said sewer and water mains
and ser�ice lines have been com�let�d to the satisfaction of the Watsr
Department.
7. I�t is expressly und�rstood hy and between the devetoper and the City o#
Fort Worth, that in the e�ent the developer elects to award one single
construction contrac# for storm draina�e and pa�eme�t, said cantract
shalf �e separated in the bidding a�d City par#icipation, if any, shall be
limited to the lowest �ossible combination of bids as if each o# the
above were awarded as separate co�tracts,
J. Anything to the contrary herein notwithstanding, fiar and in consideration flf
the prom�ses and the covenants herein mat{e by the City, the de�e[oper
covenants and agrees as follows:
1. The develaper shall make separate elections with regard to water andlor
sanitary sewer facilities, storrn drainage, street improvernents anc� street
lights as to whether �ha work prescribed herein shall be perfarmed
` by the City, or by its contractor, or by the developer, through �ts
contractor. Each 5eparate e{ection shall be made in writ+ng and
delivered to City no later than six {G) months prior to the expiration of
this agreement. In the event any of such se}�arate elections has not
been made and deli�ered to City by suc� date, it shall b� canclusively
presumed that the d�veloper has elected that such work be performed
by the City in accordance with all of the terms of this agreement, and �n
particular Para�raph V-F hereaf,
2. Irrespecti�e of any such election and whether the work is to be
performed by the City, or by its contractor or by the developer through
its co�ntractar, the devefoper co�enar�ts a�d agrees #o deliver to the City

3. ln additian to the guarantee required ir� the preceding paragraph, in the

of the estimated construction casts. The amaunt of such estimatsd
payment shall be computed as set aut on the 5ummary of Cost hereofi,
based upon the lowest responsive bid for suc� work, as det�rmined by
City, or upor� a cost estimated to be perform�d by City forces prepared
by the City, as apprapriate, anci shall be subject to adjustment �Co actual
cost� uPon final com�fetion of the subject worlc. Such estima�ed
payment shall be made promptly upon demand f�y City, it being
understoaci that such payment will be made after the receipt of bids for
work, but in e��ry case priar io the award of any construction cantract,
u�l�ss atherwise sp�cifically set out herein.
4. De�eloper further covenants and agrees to, ar�d by these presents does
hereby fu11y indemnifiy, hold harmless and defend the City, its officers,
agents ancf employees from and against any and all claims, suits or
causes ofi action of any nature WY18�SO�V�Cr whether real ar
asserted, brought for or on account of any injuries or da�nages to
persons or pro�erty, in�luding d�ath, resulting f�om, or ir� any way
connected with, this agreement, or the construction of the
improvements or facilities described herein, whetner ar not caused, in
whole or in part. bv #he nealiaence of officers, aqents, or emplovees, of
the Citv. In addition, the developer cover�ants to indemnify, hold
harmless and defend the City, its officers, agents and ernployees from
and against all claims, suiCs, or causes o� action of any nature
whatsoever braug}�t for, or on account of any injuries or damagas to
p�rsons or p�operty, �ncluding death, resulting fram any failure 'to
properly safeguard the work ar an accaunt of any act, intentianal or

L, The City's Policy for the Instailation flf Community Facilities, as adopted by the
City Council on September 1892, is herefay incorparated herei� by reference,

of this contract and as a canditian to the platting af the sub��et property.
M, The following descriptions of wark apply, as appropriate, ta the ar�as included
in the Community Facilities Agreem�nt:
1. STREETS
Streets as shown in Exhi�it B wi{I be in accorciance with plans and
specifications prepared by the Qwner's engineer and a�prov�d b� the
Director of Engineer�n�.
2. ST�RM DRI�INAGE
Storm drain as shown �n Exhibit B— 1 will be i� accordance with plans anci
specificatians prepared by the 4wner's eng�n�er and ap�roved by tf�e
Directar of Engin�ering.

3. STREET LiGHT1NG
a. The Deve�oper sha{l provide far #he instaliaiion of streetlights by the City
fo�ces at the ap�roximate locatians st�own in Exl�ibit C, immediately
after final acceptance of the street �onstruction, in accordanc� w�th
engineerir�g plans and specifications appraved by the Trans�ortation and
Public Works Depar#ment.
b. Streeflights or� residentia! and 1 or colfector streets can be installed using
overhead �r underground conductors with the aP�roval of the streetlight
Engineer.
c. Streetlights on art�riaf streeks shall be instailed with underground conduit
and co�ductors,
d. The Developer sha11 provide for the installafion of a 1'/4 inch schedule 40
PVC conduit at th� depth nat less than 3D inches and at least 'l$ inch
�ehind the curb, "clear from a11 ather utilities".
e. The Developer shail provide for the installatEan of a 1'/4 inch sc�edule 40
PVC conduit between stree�lig�ts p�opased for iristaliation and the power
source to become operational,
f. A 3 i�ch schedule 80 PVC conduit is required when crossing streets at
depih not less than 30 inches, ur�less indicated otherwise on the pfans.
Goncrete pull boxes sha11 be provi�ed at the crossing poi��s.
g. Luminaire ballast snall be rated for multitap operation and each lurninaire
shall have it's own photocell.
•� �4. TRAF�IC CONTROL DEVICES
a. The D�veloper ag�ees to pay for th� street name sign installations required
by this development ta the �xtent of $8Q.a0 per inspectian. This unit cost
wi11 b� revised �nnually by the Departm�nt of Transportation and PUblic
Warks to reflect prevailing casts of materials and labar.
b. This c�evelopmenk cr�ates the following number intersections at a total cost
as shown to th� Develop�r,
c, The Develo�aer may either deposit cash #unds with the City equal to the
following amount at the time of Community Facilities Agreemenf approval
o� wait unkil the str�et name signs are to be installed. !f tf�e Developer
elects to wait, the cast of sireet name signs w�ll be at the rate

and communications related to the subject matter of this Agreement.

said Principal shall construci, ar have constructed, th� improvements herein described,
and shall pay for the cost of all labor, materials and equipment furnished in connection
with the constructio�. of said improvements, and shall save the Obligea harmless frorn
any 1oss, cost or damage by reason of its failure to complete the eonstn�ction of said
improvements or by reasan of its fail�e to pay for the cost of same, fi11en this obligation
shall be nu1l and void, otherwise to rema.in in full force and effect, and upon receipt of a
resolutaan adapted by the City CounciI of the City of Fort Worth inclicating that the
construction af said improvements has nat b� completed, ar that the costs for sarne have

not been paid, ihe Surety shall complete construction of said improvernents, and will pay
all costs for canstruction of said impro�ements, ar will pay to the City of Fort Worth such
amount up to the amount of this bond which wi11 allaw ihe Ciiy of Fort Worth to

PROVIDED FURTHER, that tkais bond shall automatically be increas.ed by the amount of
any changE order, supplemental agreement nr amendrnent which increase the pr�ce of the
aforementioned contract.
PROVIDED FLTRTHER, that if aary legal action be filed on this bnnd, the iaws of the
