The City agrees to allow the D�veloper to instail, at his exp�nse, at the time all other wafer mains jn this addifion are installed, a service line for each !ot as showr� on ihe attached Exhibit �, . The esfimated cost ofi these service Iines is $ 900. The City agrees ta record tn� lacation of each said service line in respect to the carner of the iot served, and to re�ain said records in its possession. C. Prior to a�lowance of the construction contracf by Developer, the Devefo�er agrees to provide acceptab�e financiai guarantee to the city for 100 p�rcent af the cor�struction of the construction costs along with payment of any �rdinance costs and fees tl�at are applicabie. Prior to the award of ii�e cor�struction contract by ihe City or the commencing of any worfc by the City or its con�racfiors, the De�elaper agrees ta pay ta the City: (1} (a) One Hundred percent {100%) of the Developer's cast of a�l water and sanitary sewer facilities within ihe de�elapment, exclusrve a� engineering and service costs, sized to provide water and sanitary sewer service within the development. (b)One hundred percent (10Q%) of the De�eloper's cosf of all �pproach water and sa�itary ��w�r fac�Eitips outsicle the iimits ofi #he development sized to pro�ide water and sanitary sewe� service to the development. � (c) One hundreci percent (1 DO%) of the De�eloper's cost o� any approach water main facility or water facility within the deveiopment that is 8-inches in s�ze for non-industrial de�elopment and 12-inches in size for industrial �evelopmer�t. {d)�ne hundrecf percent �100%j of the De�elaper's cost of any appfoach sanitary sewer main facility or sanitary sewer facilifiy within t�e d�velopment t�at is 8-inc�tes in size. PLEDGE, As security far the fiilI and puneival performance of the Secured Obligations, Developer herebypledges, assigns, and tra�sfers to Fort Worth, and 3�ereby grants to �'ort �r�iorth a security inferes� in, the Tnitial Secui-ity F�mds and all rights and privileges pertaFning thereto with the exceptian of the interest income to be derived therefrom, which interest incQme shall remain the property of Developer and shall be disEributed by Escrow Agent in aceordance with Devetoper's periodic instruetions. In that regard, as between Lender and Developer an1y, the Develaper will fully perform and cnmply with all af the terms, covenanfs and car►ditions of the Loan and all requirements oi Lender related thereio, including, ��vithout lirriitation, any draw rec}uirements set forth th�rein. SEGTION 3. PHYSICAL POSSESSION ��' PLEDGED CQLLATERAL., Concurrently �vith the execution of this Agreerr�ent, Develaper shall have delivered to and deposited ��ith Escrory Agent the InifiaS Security Funds re�resenting or evidencing the Pledged Collateral. The parties acknowledge and agree that Escrow Agent shall be required to segregate the Pledged Collateral from other funds held by Escrow Agent for Developer in accordance with the normal practices of Escrovv Agent as an Escrow Agent. Escraw Agent shall return ail funds on deposit representing or evidencing the Pledged Collateral remaining in its possession to Develaper or Lender {or take such other action as Lender may request or dir�ct) irnmediately after receipt of rvritten nntice from Fort Worth thai the Secured Obligations have been fitily performed. During such time as Escro�v Agent has possession of the Pledged CollaCeral, Escrow Agent shall furnish to Fort Worth (when requested by Fort WQrth) written acknowledgments sig,med by an officer of Escro�v Agent detailing the amount oithe Pledged Collateral. SECTIDN 4. COVENANTS. , (a} Affirmative Covenants. So lang as any of the Secured Obligations remain unperformed, Developer covenants and agrees that Deve3aper will: (i) from time to time execute and deliver to Fort Worth all sueh assignments, certificates, supplemental writings, and at�er items and do aii other acts or things as Fort Worth may reasonably request in order to evidence and perfect the security in�erest Qf Fort Worth in the Pled�ed Coliateral; (ii) furnish Forfi Workh with inforrriation �vhich Fart Worth may reasozaably request concerning the Pledged Collateral; (iii} notify Fort Worth of any claim, action, or praceeding affecting titie to the Pledged ColIateral or Fort Worth's security interest therein; and (iv) adjus# the Pledged Collateral to an amotint enual to the actt�al contract price, including revisions thereto. (b) Negative Covenanks. So l�ng as any ofthe Secured Obligations remain t�nperformed, Developer cnvenants and agrees that De�eloper �vill not: (i) assign or #ransfer any rights af Developer in the Pled�ed Co�laterai; ar ,� ., (ii) create any Lien in the Pledgeci CQllateral, or any part therea�, or perrnit the same to be or become subject ta any Lien except khe security interest herein created 'zn favor af Fort Worth and in favor of Lender. SECTION S. EVENTS OF DEFAULT., Developer shall be in defauit under this Ag�-eement oniy upon the happening of any oi the fallo��ing events (a "Default"): (a) d�fault in the timely payment or performance of the Secured Obligations after written notice thereaf has been given to Developer and Escrow Agent and such default is not cured within, seven (7) days after suc� notice; nr (b) any affirn�ative or negative covenant is breached by De�eloper. SECTION G. RIGHTS AND REMEDIES OF FORT W ORTH UPON AND AFTER DEFAULT., (a) Reniedy. Upon the occurrence of a Default by Developer hereunder, Fart �Vorkh shall pro�vide Lender with a reasonable npportunity ta compiete the improvements required by the CFA, ifLender chaoses to do so, and to u#iljze the Pledged Collateral to do so as conte�mplated by, and in accordance with, the pravisions o£ �ection 9 belot�v. Notwithstan�iing any contrary provision in this Agreement, Developer shail ha�e the right to periodic withdra4vals of the Pledged C�llateral (hereinafter called ihe "Withdra�m Coliateral"), upon satisfaction of the follor�vin� conditions: (a) Developer shall provide Fort Warth and Escrow Agent �vith written notice (the "Withdrawal Notice") that Developer desires to obtain the Withdrawn Collateral; and (b) all administrative requirements ar prerequisites to the funding of any dra�v under #he Loan shall have been #'uliy perfor;ned; and (c) the balance of the Pledged Callateral after wsthdrawal af khe Withdra�vn Collateral is at least ec�ual to the estimated va�ue of the Secured Obligations then retnaining to be performed (such remaining value is hereinafter called the "Estirr�ated Cost to Coz�nplete"). Neither Escrow Agent nor Lender shal! be rec�uired to iiind any amount of defi�it of the Estimated Cosk ta Complete. The Withdrawal Notice shall include a description of the Withdrawn Collateral and Deveioper's calculation of th� Estimated Cost to Complete. Any attempted transfer or assignment shall be absalutely vaid and shall entitle Developer to a release of all Pledged Collaieral. SECTION 11. NO WAIVER.
