ARTfCLE 1. RESPQNSI�ILTT�S OF "i'HE PARTIES
The S�bgrantee shall under�ce and camplete t}xe pro�ect as descra'bed ia Altachment A, Approved Project
Description, and in accordan�ce rvith all terms and conditions inc�uded hereinafter. The Department shall provide
assistance as appropriate ac►d as specified in said Attac3unent A.
AR'1'ICLE 2. COlYfPEi�7SATIdRT
A. The me�v�rt of payment far �sis agreement will be based on ac#€�a1 cvscs incurred �p to and nnf to exceed the
litni#s specificd in Attach�e�t B, Appraved i�'oject Budget. T�e amoun4 incltided in the project badg�t will be
deemed to be a� estimate only and a hig�er atnaqnt can be reimbursed, sub,�eat to t�e canditions specified in
p�ragraph B hereunder. If Attachment B, Approved Piroject Budget, specifies tttat costs are bas�ed on a s�cific
t'ate, per-tinit cost, or othe�r method of pay�ent, reimbu€semen# will be based an tl�e speeified method.
B. All payments made hereunder witl be �nade in accordance w4th Attachmeni B, Approvecl Project Budget, 'I'he
Subgrantee's expenditures may not exceed any budget category in the Appraved Project Budget by an aruount
greater than �% of the tot� rei�bursabfe amaunt af the budget wiihout a written �greement amendment,
Howe�ver, the Subgrantse must provide written natificatiton ta tl�e Department of a change of S°lo or less, prior
to payrn�t of the Req�est Far Reimbursement tt�at inciudes the change, indicating che amount and p�rcent
change and the reason(s) for it. The maxianum amount payabie shaIl not 6e increased as a result nf exceeding a
&udget categ4ry withAut a wriEten grsnt amendment
C. To be eligible fvr reimb�ent uncier this agreement, a cost must be incurred in aceardance wiih Attachment
B, Approved Ptaject Budget, within ihe time frame specffied iz� Grant Feriod on pa�e 1.
D. Pay�nent of casts inciured under thas agreement is further governed hy one af t�e follovri�g cost principles, as
appropriate, outIiaed 'm ttye Federal Office of Managemsat aad Budget (OMS) Circuiaxs:
� A-21, Cos� Principles for Educational Institafiions;
a A�87, Cost Principles for State and Local Governments; or,
s A-122, Cast �rinciples for Nonproft �rganizations.
E. The Suhgan�c;e �grees to submit monttily or c�uarterly req�ests for reimbursemet� as designated in Attachment
A, witbin 30 days after the �nd of the billin►g perEod. The Su6gantee wili nse bi.11ing statements acceptable to
tbe Deparhner►� Tlte ociginal bi3li�►g stateme�t and one cogy is to � submatted to the address shown on pags 2
of t6is agreemen�.

G. The Deparlmeirt wilt exercise all guvd faith ta rnalce pay.ments within thirty days of receipt of P�P�'�Y 1���
and documcnted requests %r payment. Payments, �owever, ape cantingent up�n the availability ofa�propriated
fu�ds.
H. Project agreemenfs supp�rted with federa� funds are Einait�d ta the length c�f Ehe agreement peri� and usually
do not rer,�ive e7cte�ded funding iseyond three years. If iaott► the Department ar►d the Subgrantes agree ti�a� t�e
project has demonstrated merit or I�as �tential loug-range b�neirts, the Subgrantee may apply for fwiding
assistance beyand t�e tlaee ye�' Iimet. To be e�igi'ble, the Subg�antee mt�st have a cost asswngtion �lan by tlae
end af thc first tweive months. Th�s plan will include a schedule fnr phasin� iu� fu�ding from i�ts own �esources
and #�►e phasing out of funding supgazt fram the i)epar�men� Ali plans must l� approved iry the Depardnent
�fore any e�ensipn �yond the th�ee ye� limit wi11 be graated. Preference will be given to thase p�+ajects for
which the Subgrantee has assumed some cos� s�h�g Ify the end of ths fust twelve months, and t4 ihose whic�

Because func�s are ae�thorizeti on a fiscal year basis only, �p���nnoai of costs meiured �►ercund�r is contingent upon #he
a�ailability of funds.
If at any time d�g the agreement periad the Deparnnent determit�es tliat t�ere is insui�'icieat fimding to cnntin�e
t#�e project, Ehe Depar�ment shall so �otify the Subgantee, giving no#ce of intent to terminate the agree�nent. Such
tern�a�nation will he conducted in such a manri�r that will m��+mi�e disruption to the Suhgrantee and th� Department,
aind �s further s�cified in Gener�l Provision G9, Tcrmiination.
The Subgrantee, if ottzer tha� a State agency, shall ba responsible fvr settlement of a�y and �ii claims ar►d iawsuits by
third parties arising from or incident to the �epat�ment's non payment o£the Suhgrantee's e�a.im under filvis
agreemeut. T1ie Sub�tntee e�cpress�y ac[�owledges that icTs responsibility inc�udes t�e payment of �ll damages,
expe�tses, penalties, fines, casts, charges, and attorney fees, if the claicns or lawsuits are based ttpon the Deparlment's
na�-paynne�t of claiEns submitted under this a�.reem�at. The Subgrantee shail d�fcnd any suits btought upan all sueh
clz�ims and Iawsaits and pa� all casts aud expenses isicidental thereto, but t�e Dapartment shall hav� the right at its
�option to partici�ate -in the defense of any suit, vvithaut relieving ti�e Subgrantee of any obIigation hereunder.
AItTICLE �. AGR�EIW[Elii'i' ALi+IEPTD1�gENTS
If at aay tune during t%e agreemet�t pe�c�iod t�e D�partment determines tb:at additian�l �ttnds are needed to continue
tl�e projcct and the maacimum a�ouat payable is in�st�f�'icient, a written amendc�eut is tv be exeeuted tc� author�e
additianal fiwds, if the De�artment and t�e St�gra�rtee dete�mnne to continue project funding.
Additionally, any changes in t�e agreement pe�zud, agrsement terms or resp�nsibi�t�es or the parties hereto sttall be
enacted by wtitten amendmsnt eaceeutscl by both parties. �
The a�ne�dment shall � agceed upon by the �ariies to tl�s agreemen# and shaU, state t�e cbange to the mutual

Subgrantee and pra�►ide crnnpct�ion £or daing this work an �e sama basis as the origina� worlc. If #he
comp�nsstion for the additional work vrtill cause tl�e max�m� amount payabte to bc exce�ded, a written amendment
wii� b� executed. Ar�y azriend�nent so executed must Y�e a�rraved within the agreement pe�iad s�ecified on th� covcr
page to this Cizattt.
ART�CLE b CAAI�GES IIyi WORK
When t$e approved proje�t descriptia� requtres a completed work pro�uct, tlze Department will review t�te wnrk as
specified � the approved prqject descript�ion�. if the Bepariment � it necessary to r�uesi ch�ges in pre�riausly
satisfactarily completed work or parts thete,�� the Su6grantee will make such revisions as reques#ed and direc#ed by
the Departio�ent. S�ch wor� wili 6� ca�s�d�red as additional work �nd subjecE to the ret�uiremenis established in
Artic�e S.
If t�e Depariment �nds it nscessm�y to require the SuhgraX�tee #o revise aompleted work ta correct er�rors appearin�
therein, the Subgrantee sh�il makc suc3� cozrections and no comp�nsation ►wi�I ts� paid for the corrections.

To ik�c extent permitted by taw, the Subgrantee, ifother than a State agency, sha�l save l�a�rinless #�e Deparlment from
all c�ims at�d liability due tv tt�e acts or omissions of the �ubgra�tee, its agents or employees. Tl�e Subgrant�e aLso
agrees to save hatm�ess the Departmant fronn �y a�d all expenses, including attomey fe�s, �!1 caurt casts and awards
for damages, inc�ured by the Departmetrt in litigatior� ar otheewise resistix� such daims or liabil�ries as a result of
any aciiv�ties oft�►e S�bgrantee, its age�ts or e�nployees.
Fe►rther, to tt�e extent permitted by law, the Subgra�itee, ii ot�er than a�tate agency, agrees to pra�ect, indemnify, and
sava harmless the Depactmeni &om and against a�I clairns, dematids and canses af actian nf evers+ lcind and character
brought by any employee of the Subgrantee against the Deparctnent due tfl �rsona[ innjuries andlot death to suc�
empioyee resulting fraa� a�►y alleged negligrant a�ct, by either cornmissian or omisszon an the part of the Svhgrantee or
the Dsgart�ent.
G�. Inspe�ioa o#' Work
The �epartme�t and, w}�en fede�al firnds are involved, t1n� U. S. Department of Transportatiav, and any authorized
r�presentative thereof, have the right a� a�i reason�ble times to insgect or othetwise evaluate the work performed or
bei�g performed hereunder �d ttre premises i�n which it is being perfarmed.
If any inspe�iinn or evaluation is made on the preu�ises ofthe �ubgrantes or a sui�ontractor, the 3ubgrantee s�ll
pYovide and require t�te sub�ontractor to prnvide $Il reasanable faci�ities and assistance for the safety and
r�anvenir,ncc of the insp�ars in the per€ar�a�ce of their duties. All inspections and evaluat�o�s sha�I be per�orm.ad
in such a manner as wil! not �nnduly de[ay the wor�c.
G3. Dispates end Remedfes
The S�grantee shall be respor�sible %r the settlement of ail conteactusi and administrafive itssues arising out of
procurement er�tered in suppa� of agreement warl�.
Disputes coneernfng Qerfarmance or paym�nt shaIl be submit�eci to the Department for settlemeni vvxth tlze Bacec►ctive
Direc#o�r actin� as referee.
Ti�s agreea�ent shall nat be c:onsidered as s�ecifying tl�e exclusive t�medy �ar a�1y dispute ar violAtio�n ar breach of
agreeiuent tern�, but aIl remedies exssting at law and in equity may be availed of by ei#her pariy and shall be
ownulatiive.
G4. l��oncot�usion
The Subgrantec warranis that it has not empioyed or retai�aed anry campany or person, ot,�es than a bona fide
empiayee workiu� for it, to solieit oe se�ure tt�is �,.�:.�:....�.�:, and thaE it has nat paid or agreed ta pay any company ar
persan, o#her #�at► a tt�na fid� emplay�e, ainy fce, connmissian, g�rr.�ntage, brakerage fee, gift, or any ather
cvasideratian canti�agenR npon or resnitiug from the award or nnals�ng aft.�is agneeinen�. if the Subgrantec breaches
or v#olates this warranty, the Depar�meSt s�all have the right to ann�;�t t�s agreement vv�tb:out �iability vr, yn its
discretion, Ecs deduct from the agreemv�it pr�ce ar canside�ion, or o�erwise recoveP the full amvunE of such fee,
commission, brroker$ge fee, gift, or contingeat �ee.

G5. Regarting
Not Ister than thirty days after the end nf each repartiug �riad, as desi�nated in Attac��nt A, tt�e Subgra�►tee shali
submut a p�rformapce report using fotms pravided or approved 6y the Departmsni. The perf'ormance report will
iuclade as a rni�imurn (1) a eomparison of actual accomplishments to the objecrives estab�isbed far the petiod, (2)
reasons why established objectives we�e not met, if appropriate, and {3} ott=er pertinent mfarmation inc3uc�ing, wheB
appropriate, analysis and explana�ion of cost o�erruns or high unit casts.
The Subgrantee shall submit the t'inal performanc� reg�rt withiu 30 days after cona�ietion of the gran�.
Th� Suhgrantce shall promptly advise the I7epartment in wr'sting of evants which �►ave a signi�icant impact upon the
agreement, inciuding:
1. i'rablems, deiays, or adverse conditions whic� will materia3ly affect the ability to attain prngram ob,�ecti�es,
prevent the meeting oftime schedules attd objectives, or preclude the aitai�un►ent of pzaject work imits by
es�liskted #irne p�t'iods, This disclosure sha1C be accompanied by a statement of the action taken or
coni�ntplated and any lleparmaent or �edera� assistance needed to resoEve the situa�ion.
2. Fa�arabie cievelopme� ar events thaE enable meeting time schedvtes and objectives soa:ner t�ran anticipated or
producing more woric tmits than originaliy Qrojected. _

The 5ubgrantee agrees ta maintain a�l bouks, da�utnents, papers, aecaunting records, and other evidence pertaining
tn cos�s incurred ar►d work petformed hereunder, ssid books, documents, PaPers, ac�ount�izig records, a�� ather
e�vi,denc� pertait�ing to costs incurred anci work perfarmed hereirnaiter called t�e records, and sl�all ma�ce such records
avaitable �t its o#�ce at a11 reasonabte times €or the time perio� au#horized in Arkicla 1, Co�ract Periad. The
Subgrantee finther ag�ees to retain said records for four years from the date vf final paysnant of contract costs
incu�rect hereunc�er.

St�tes Department of Transportadan, and rhe 4ffice of the Inspector General sha13 have access to the re�eords at

GS. Suhgor�t�cts

executed w�hout pciar aatha�tion �nd approval af the subcontract by the Bepartment.
Su�ot�ira�ts en excess o� �25,000 shall contain all rec;uired pro�isions of this agreern.e��. No suhcontract will
reiieve t�te 5ubgeantce of i#s respr�nsibiliEq under this agreernen�t.

G9. Te��nination
The Department may ternsi�te this �greerneni at any time before the c�ate of completion whenever it is determined
tl�at the Subgrantee has �ailed ta comply with the conditinnx of the agreement� The Depar�sent shall give written
natice to the Subgta�tee at leas# sevea days p�or to the effect�ve date of ter�nination and specify the effecti�e date af
terminatinn aud the reason for terni9nation.
If bath parties to this agr��ment agrea that t�e cont:�nuation of the ag�'eement would not produce beneficial
results commensurate with tlte furthcr expenditure of funds, the partiies sl�all agree upon the termination conditions,
lncluding the effecti�e date sud the porr�on tv be terminated.
Upon termination of tl�is agreeinent, wf�ether for caase or at the conr�enience ofthe parties hereta, all fSnished ar
un�'mished docuinents, data, stndics, surveys, teports, maps, drawings, modets, phatographs, etc. prepared hy the
Sut�grantee shall, at the o�tion af the Deparirnent, beco�ne the propeeiy of fhe nep�ment.
The Department shall compensate the Subgrantee �or tt�ose eligible expe:nses incurred during the agreenne�at period
which are directiy attriFxiiable to the completed �artian af the wark co�es�ed by this agreeanent, provided thxt the
work has been comp�eted in a manner satisfactary and aceeptable io the riepartmen� 'i'i►e Sui�grante� s�aIl not mcur
new obligations for the terminated portion at�er t�e effect�ve date af t�r�inaE%n.
Except wit� respecr to defaalt� of subcontractors, ibe Subgraatee shall not be i� d�&u!t by r�ason nf any failure in
per#`orruance of this agreement in accor�ance witti its terms (iacludi.ng any faiiur� by ffi.e Subgraniee to �agress in
the ��,�rfarmance of the work) if sueE� failure arises out of canses beyond the conhrol and without the default nr
neg�igence of the Subgranbee. Such causes may inciude but are �ot �imited ta acts a� God or af thc p�blic enemy,
acts of the Go�ernment in eitb.er its so�ereign or CantracCuat c�pacity, fires, flonc�s, epidet�ics, quax�ntine
restrictivns, strikes, freight embargo�s, and unusuaity aevere westher. In evcry c�se, however, the failure to perform

lt is recommended that the City Cour�cil:
1. Authorize the City Mana�er to acc�pt the contract with� the Texas Department of Transportatian
(TxDOT) ta continue to aperate the Wave STEP {Selec#ive Traffic Enforcement Program) on an
overtime basis in the amount ofi $'i4,355 {State $�3,OODICity $1,355); and
2. Authorize the con#ract to begin 4ctober 1, 2001, and expire September 30, 2aaz; and
3. Adopt the attached apprnpri�tions ardinance increasing estimated receipts and apprapriations in the
Grants Fund, by $14,355; an�
4. Adapt the attached appropriatior�s ordinance inc��asing estimated receipts and app�opriations in the
State Award�d Assets Fu�d by $1,3�5 from auailable funds; and
5. A�tf�orize the transfer of $1,3�5 from the S�ate Awarded Assets Fund to th� Grants Fund for the
City's cash match; and -
6. Authorize the City Manager to waive the i�direct cost in the amount of $2,738 since inciirect costs
are not aflowed by TxDOT.
DISCUSSION: .
The purpos� of this program is to canduct additianai occupant protectiar� and speed enfarcement
during selected holiday periods, i'raffic officers will conduct pre and �ast-surveys o€ safety belt usage
and speed compliance, will incorporate pre and post-public infarmation and educatiQn eiforts, and will
increase enforcement during the designated hol�days which include Thanksgiving, Christmas, N�w
Year`s E�e, �nd New Year's Day.
Results of speciai siatewirie demonstration STEPs conducted in Texas and five other states affirm that
coordinated wa�es af enfiorcement, surveys, and public information and education are feasible,
manageabfe, and highly effective in reducing tr�fFic-related fatalities, injuries, and costs.
The total contract eost of the Wave STEP is $1�4,355. TxDOT wiH pro�ide funds in #he amvunt of
$13,QOQ for overtirr�e ar�d veh�ele mileage, and the City will provide $1,355. The terms of the state
contract do not alfow for reimbursement of the 11.46% retirement frir�ge benefit for the overtime, and
was not includea�ir� the contract total, This cost w�l! be paid with Stat� Awarded Assets.
