STANDARD PRO'VISION�
ARTICLE 1. RE�POIeT�IBIL�T�S OF THE PARTIES
The Subgrantee s�all undertake �nd comp�ete the projact as described in Af.tao�ment A, Appraved �ra�ect
Description, and in accorciance with all terms and cnnditions included herein�after. '�e Departnie�t shalt provide
assistance as appropriate and as specified in said Attacl�ment A.
ARTICL� �. COFJIP�la15ATIQiiT
A. T'he method af payment for this agreement will �e based on actual costs incuned up to a�d not ta exceed the
limifis s�cified in Attactun�nt B, Approved Prajcct Budget. The amount included in the project burlget will be
deemed to !�e an estitnate o�ly and a higher amot�t cait be re�.t�nburs�d, subject to the condi�ia�s specifisd ia
para�rap}� S hereunder. Tf Actachment H, Appresved Pro3ect Budge#, specifies that casts are based on a specific
rate, g�r-unit cost, or other met�crd of pa�nent, reim�ursement will be basec3 on tite speci�'xed methad.
B. All payinents made �ereunder will t�e made iFt accardance with Attachtuent B, Approved Project Budget. T�te
Subgrantee's expenditures may nat exce�d a�y bndget category in ihe Approaed Project Budget by an amount
greater than 5% of the total reimbursable �ount t�f tl�e budget without a written agreement amendtnent.
However, t�e Subgra�zte� must provide writtea notification to the Department of a chan�,e of 5% or less, prior
to payment ofthe RequesY Far Reimhurs�mant t�at ineludes �e change, lcldicating ihe arxfolult and percent
change and the reason{s) for it. Tt►e ma�ci�tYurn �otuit payabl� shall �vt be inereasad as a result of exc�eding a
budget categaxy without a written grant amenci�nent.
C. To be eligible fnr reimbursement tuyder tlus agecment, a cost �ust be i�tcurted in accordan�e vvith Attachu��t
B, Approved Project B�dget, wi#�in t�e time frame speciified in Grant �'eriod on page 1.
D. Paymeni of costs inG�rred ander t�tis agreement is fut�her governed by ona of #he follawing aost principles, as
appmpriate, outl�ned in ihe F'ederal Office oiManagemet�t and ��dget {4MB} Circuiars:
A-21, Cost �'rinciples %r Bd�acation�l Institutions;
A-87, Cost Principles For State and Loca1 Governments; or,
A-i22, Cost Frinciples far Nanprofit Organ�zations.
�. The Sub�rantee agrees to s�lsmit monthly or quarterly ret�nests for r��tbursement, as c�esignated in Attae�ment
A, with[n 30 days after the �nd af t�►e bi�ling periad. Tiie Sabgrantee will use billing state�nents accepta131e tfl
tl�e Department. The original bilfing sfatement and one copy is to be submitted tn the addre�s shown o� page 2
of this agreem�nt.
F. T'l�e Subgrautee agrees to sabmir the fiuxal requs�t for payment under this agreemetit witt�n six�y (SU) days of
the end of the grant period.
G. The Deparknent will exercise aU good fait� to �nake payr�ents withia thirty days af �ceipt o£prnp�rly preparad
and documented rec}uests for pa�yment. �a�nen�s, hawever, �re contingent upon the avaitabiiity of apprQpriated
funds.
H. Prcijeat agreements supparted with federal fisnds �re limited to the length af th� agreement �riod and usually
do not receive extended funding beyond t6r�e years. �bo�h the Departmeni and the 5ubgrantee agee that the
projecC l�as demanstrated tnerit or h$s potential lang rangs b�nefits, th� Subgrant�e maY aPP1y for funt�ing
assistance beyond t�e tl�ree year li�nit, To be eligible, the Subgrantee mast ha�e a cos# asseuuption p�an by the
end of the first twelve months. This glan wi11 include s sched�le for phasing in fimding fram its own t'eso�u�cces
and the pbassiing out of funding supgart from the Depa�tment. All plans must be appro�ed by the Department
before a�y e�ctension b�yand ths three year limit will be gra�tted. Pteference wi13 %� given ta t�ose projects far
which the Subgrautee h�s assumed soimtc casY shering by the end af tiie fust twelve mon�s, and to thnse wh3ich
proposs to asswn� the largest percentage of subsequent project costs.
Certain cat�gories af funds �p be exempted by t1�e federal go�emment from #he tinne Lim�ii req�reme�t.
Unless exempted, all federatly-funded �greexnents are conaida�d ta 6� subject to the time �mit prar�ision.
Funding support fcur all skate-�undatl projects will be limited to tlze t.e�rn ofthe agreement.

ARTICLE 3. Lll�1TATI0I�I OF LIABiL�TY
Because �ds are authnrir�d on a fiscal ye�ur basis only, payment qf cnsts inC�t�'ted hereunder is continge�t upon the
availability of funds.
If at any time during t�e agr�ement geriod the llepsrlsnent determines ihat tt►ere is insufficient funding to cont3nue
the projec�, thc Depar�ment shail sa nat�fy t.�►e Subgrantee, giving notice of intent to t�rminate the a�reement. Suc�
terminaiion will be conducted �n suG#� a manner that will min'srnize disruption ta the Subg�asttee and the Department,
and as fiirther specified in C�e�eral Provision G9, Tertni�ation.
The Subgrantee, if other than a 5tate agency, shall be responsible far seitleuient of any and all clauns and lawsuits �+
ti�ird parties arising from or ineident tn th� DepartmenYs nor�-payment of t1�e Subgrantee's claim under tl�is
agreement. The Subgra�tee axpressly acldmowledges that its responsibility ir�cludes the paytnent of a!! dama�es,
expenses, pe�alties, fines, casts, charges, and �ttorney fees, if the clairns or lawsuits are besed upoz� thc DeparEment's
non payme�t of c�a`sms submitted under tltis agreement. The Subgrantee shatl defenci sny suits brvught r�pon al� such
claims at�d tawsuits and pay a11 cas#s and expenses incidenta� thereto, but t�a Department shall have the right at it�
option to patticipat� in the defense af any s�ut, witi�out relievi�g th� Subgrantee af any obligation hereunder.
ARTI�LE 4. AGREENIER�T AIVIER�l14qEP�TS

t�E praj�at and the maxim�un amount payable i� insufficient, s wri�ten amendment is to be executed to autha�ze

Addiiaaz�akliy, anX changes in t�e agreement perioc�, agreem+ent t�rms or respa�sibi�ities or the parties hereto shalI be
enacted by wrilt�n a�nendmem executed by �oth parties.
The amendment shall %s �greed upon by the �arties t� this agreernent and shall state the change to the n�utt�al
satiafaction o�the parties. �n no event wi�l �e a�'eement periad be extended unless a written� amendme�t is executed
befrnre the completian date apecified in Article 1.
ARTICLE �. AllDITI�NAL W(lR�
If the Suhgr�tee is of#he op's�ion �1nat any work it bas been directed to perfarm is �eyond the scope of this
agreement and constitutes additional war�C, the Subgrantee sk�atl promptly notify tt�e Department in w�iting. In the
event that the �apar�nent finds that such vyoric do�s const�tute additiaz�al work, th� Departmet�t shall sn advise the
Sub�rantee and provide �ompensat'son for d�ing t1�is wor�C an ttfe samc basis as tl�e ariginal work. if tl�e
compensa�ion for tt�e additin�aS work will cause t1�e maxi�num amaunt payable to be exceeded, a written �nendment
wiil be ex�cuted. Any amantimer►t so execu#e� rr�ust be approved wi�thin tt�e agreement period speci�ied on Che ca�er
page to #his GranC.
A�TICLE b. CI�A�I'GL� �R1 WORI�
When the approved pro,�ect c�escriptian requires a completed wark prot�ct, the Department will review the t�vork �s
speeffied in the ap�raved project description. If the Deparbnent �ds it necessaty to request changes � previously
sa�sf�ctorily comple#ed �uvork or parts thereof, t1�te Sui�grantee wiii �ake such revisio�ts as requested atad dir�cted by
t�e Department. Such work wrll be aonsiclered as additional wark and subject to the requiremen�s established in
Article 5.
If the Depa�ment finds it neeessary tn require tlie �ub�ee ta r�vise completed work io carfect errors appear�ng
therein, i�he Subgrantee shall make such correciions and na compensatiaq will be paid for tha corrections. .

Tv the extent permxtted by law, the Subgrantee, if other th�nn a State agency, shall save harmless �h� Department from
all clainas and liability due to the acts or oraissions nf the Subgra�tee, its agents or ernplaqees. The Subgraz�t�e also
sgrees to save harmless the Department fro� �ny ar�d �11 expenses, including attorney fses, all court costs and awaa`ds
for damages, it�carred by fihe I]epartment in litigation or othen�ise r�isting such c�airas or liabil�ties as a reault �f
a�y activities of the Subgrantee, its �gents ar empinyees.
Further, to the extent permitted by law, tl�e Sub�rantee, if ather khan a Siate agency, agrees to protect� indemnify, and
sa,ve haz�mlesa the Deparlrnent from and against all claims, demands and causes o� actian n£ avery lci3nd and eharac�er
brought by any empioyee oiihe Subgr�tee against th.c Depakrtment due ta persanal injuries and/or death ta such
employee resulting from any alleged negligent act, by either coct�mission dr amission on th� part of tlie Subg€antee or
th� Departinent.
G�. I�ag�ction of Work
The Dep�rtment and, whe�► federal funds are involved, th� U. S. Depariment of Transporcation, and any authori�ed
re�resentative thereof, ha�ve the riglat at €�1 reasanabl� iimes ta inspeck or otherwise e�+aluate the wark performed or
being perforn�ed hereunder aad the premises in which it is being perfor�ec�.
If any inspec#ion or evaluatian is tnade on the pr�pnis�s of tl�e Subecantee or a subcoatractor, tha Subgrantee sh�ll
�ravide and ret;uire the subcontractor to prnvide a�1 reasanable f�cilities and assistance for the safety and
con�venience afthe inspecto�s in tl�e perforn�ance of tl�eir duties. Ail ins�sect�vns and evaluatians shat! be parformed
in such a �nanner as vvi� not u�nduly delay fhe wori�.
G3. Disput+es and Remedies
T'he Subgantee sl�i he responsible far the s�tt4ement of atl contr�ctusl anc€ adm.inistrati�ve issues arisi�ng ont af
prac�rement ente�ed in support af agreeme�t wark.
Disgutes conce�;� performance or payment shall be submitted to th� I?epartmant far settlement with the ��ecut�rre
D�'ector acting as re�ree.
This agre�ment s�all not be cansidereci as specifying the eacalusive remedy for any d3spute or �olation or breach af
agreament terms, but all remedies existing; at law and in eq�ity may be ava�ied of by either party and sha11 be
curnulative.
G4. Noncollusion
The Subg�antee warrants that it has not emplaysd or retained any cvmpany or person, other tl�an a ba�a fide
�,��i4y�e �Qx� �o� ��, to satioit o� secure this agree�n�nt, and that it has not paid or agreed to p�y a�y company or
�ersan, other tha� a bona fide empinyee, any fee, com�an�ssinn, percez�tage, brak�rage fee, gift, or any other
cox�sideration �aniingent upon ar resuIting frnm the awatd ar making of this agreemen�. If the Snbgrantee breachas
or violates this warranty, i�te Department sha�4 have the right �o annt►1 �s agreement withaut 3�biiity or, in its
discr�tintt, to deduct from ths agr�ement price or consideration, or other�vise recover t1�e full amount of such fea,
commission, brokerage f�e, gift, or cantingent fee.

G�. Reportin�
Not later than thifty days ai�sr the end of esch reporting periad, as designated in Attac�amcut A, t�e Subgrantee sh��l
submit a�erfotmance repart using farms provided orr appmved by �e Departmen� The �.:.. �{lAR�,:ace rep�rt will
inciude as a minimuz� (t} a comparison of actual accoipnnplish�nents to the objecii�es establisl�ed for the pe�iod, (2}
reasons why established objecti�es were not met, if appropriate, and (3} oiher pertinent information iuclnding, when
appi°apr�te, anaiysis and explanatian af cost overnuts or high �nii costs.
The Subgrantee sha�l submit t�e %nal p�rformance report wit� 30 days after �ornpletion afthe grat�t.
Tlie Subgra�tee s�l prompt�y adviss the Departm�t in writi� afevertts w�ich bave a signi�icant innpact upon �the
agr�emer�t, includin�:
1. Problems, delays, or adverse condi#ians which wi3l mat�rially affect the abi�ity to $ttain progra� objectives,
prevem the �eeting of time schedu[es ar�d abj�ectives, or preclude the attair►tnent of prnject work units by
establistxed time geriods. This disclasure sha11 be accomp�nled by a stat��ent af the aot�oa talGen or
contemplated and any De�rartment or Pederal assistance needed to reso��+w the sit�ation.
2. �'avarable develop�ents or �evetit� ti�at �a�le meeting time schsduies and objectives sanner than anticipated or
groduc�ng more work units than orig�nally prajected.
GG. Recards
The Subgratrtee agr�es to maintain all books, dQcume�nts, papers, $ccounting records, end other evidenee pertaining
to costs incncred and work �er%m�:ed �ercunder, said boo�s, doc�ent�, pap�rs, accounting records, and other
evidence per�ttaining to costs incwred �td worlc per�nrnasd hereinafter c�iled the recorcts, anci sh�l1 make such reeards
ar+ailable at its affice at a41 reasariatrle times for the tic�e period authoriz�d in Article 1, Cantract Period. Tfie
Subgrantee fixrth.er agre�s to retain said reearda for four years iram the date of �nal payment af contract cos�s
incurxed b�ereuncier.
Du�y suthorized re�resen#a#ives of tl�e Texas State Auciitar, the Te�s Depat�tment af Transportatian, the Unit�d
5tat�s Deparhn�nt of Transportation, and the Offc� of the inspector General shall �ave aceess to the records at
reasonable times during tlae �riod of the ag,reBment aad the four years retention period for the �os� af making
audits, excerpts, transcriptivns, and ather examinatians. 'I'l�is rig[tt of acs�ss is not limited to the fowr y�ar period bat
sha�l I�# as long as the rect►rds are retained. � any titigation, claim, nego�iation, audit ar o�►er action iuvalr�ng the
records has been started befar� t�e ex�iration of the fnur ye�r retentiQn period, the subgtantee stzall retain th� records
tyt�tii cc�t�letion of the action and resalution of all issues which ar'sse fro� it.
G9. Andit
The Subgrantee a�atl comgly witli the raquiremen#s of t�e Sing,�e Audit Act of 1984, �l�lic Law (PL) 98-502,
enswing that the single audit report includes the caverage stipttlated in OMB Circu�r A-193, '"Aadits of StafEs,
