WIT�tESSETH: �� For and in consideration of the payment by C'rrantee of the charges set out be�ow and the true and faithfui perforznance of the mutual covenants herein contain�d, City hereby grants to Grantee permission to temporarily encroach upon, use� and occupy po�rtions of fhe s�aace under, on and/or above the streets, alleys, sidewalks or other public rights-of yvay as follows: �p� ��„J .�'� � -�'���6��' � , t�. �o ��. � < < The �ocation and description of sa.id encroachment is more particularly describ�d in E�hibit "B" attached hereto, incorporated herein and made a part hereof for all puzposes. �� All use and occupancy of public streets, alieys, sid�wal�Cs or other public rights-of way under this agreement shall be in strict compliance with the Charter, Ordinances and Codes of City and �n accordance with the directions of the Building Official az�d the Director of Transportation and Public Works n� City. 3. Upan expiration o�'this agreenr�ent and the privileges granted �.ereunder, there shall be no encroachment by Gran�ee in, under, on o� above the surface of the public rights-of-way involved. � Grantee �gxees to pay ��n advance an encroachmeni fee �ar the temporazy privilege of encroaching upon a portion of ihe public rights- of-way as described in Exhibit "B". Said fee is calculated in the mannez- and amounts prescribec� by ihe Building Code o�the City of Fort Worth � for temporary use or occupancy of pubZic property. Grantee, at no expense to Ci�ty, shall make proper provision for the relocation and/or xnstaIlation of any existi:�g or future traffic control de�ices ox other improvemenis affected by such encroachment, use and occupancy, including the securing o� approval and consent from the appropriate agencies of the State and its po�itzcal subdivisions. In th� event that any installation, reinstallation, re�ocation or repair of any existing or future traffic control device or improvement owned or cons�ructed by or on behalf of the public or at public expense is made more costly by virtue of the existence of such eneroachment and use, Grantee shall pay to City an additional amount equal to such additional cost as determin�d by City. � The term of this agreemeni shall be for �� days, �rom �� 7 9 to r� provided, however, should the need �'or th� encxoachments granted hereunder at any tizr�e cease, Grantee agrees to immediate�y notify City of sucl� condition; and, upon receipt o� such notice by �he Building Official of the City of Fort VVorth, this agreement shall terminate. 3 7. It is expressly understood and ag�eed that t�ais Consent Agreement is for a tempora�y encroachment in, under, ovez- and upon the public property as lacated and described in Exhibit "B". This agreement shall nat be cor�strued as the granting o� a permanent easement, encroac�unent or license upon Ciiy's public streets, alleys, sidewalks or other .rights-of- W��. : City, through its duly authorized .representatives, shall hav� the fi.ill and unrestricted right to enter upon a�l pu6lic rights-of way foi• the purpose o�'making inspections to determine compliance with the terms, covenants and conditions herein. In the eveni thai any inspection should reveal a breach of any� tezms, covenants or canditions herein, City shall give Grantee notice of such breach. Should such breach not be correcfed by Grantee within twenty-fou� (2�4} hours of receipt of the notice, or wi�hin such shorter periad of iime as deemed nec�ssary by the Building Official for the pratection of public health o� saf�ty, City may terminate and cancel this agreement. � Upon expiraiion or termination of this agxeement �or any reason whatsoever, Grantee sY�al�, at no �xpense to City, restore the public rights-of-way and adjacent supporting structures to a candition accepiable to the Dxrector of Transportation and Public Works or hfs duly authorized representative and in accordance with then exxsting City specifications, and Grantee shall remove all bart'icades, equipment, supplies, materials or othec prop�rty from said Iocation. Grantee further covenants and agrees that for a period o£ one (1) year after the termination of this Consent Agreement, Grantee will repair all canditions or damages too the streets and sidewalks or o�her rights-of way that have resul�ed from Grantee's use or occupancy of th� streets and sidewalks or other rights-of way, as dete�nined by the Director of Transgortation and Public Works or his designee. Grantee agrees to begin such repairs within thirty (3Q) days o�receipt of notice from �he Directar o� Transporta�ion and Fublic Works or hrs designee. AlI repair� shall be performed in ar� expeditious and workananlike manner and shall comply with all applicable laws, codes, ordinances and City specifications. T� ihe event that Grantee fails to comply with the covenants herein contained with respect to sucl� �emoval or restora�ion, the Ci�y shall have the righ�t to remove ar dispose of any banricades, �quipmeni, supplies, materials o� oiher propez-iy and repair any conditions which in the opinion of the Gity are necessary to bring the public rights-of-way to the candition prescribed herein, and City shall not be responsible �`or trespass or any other damage or liability in conneciior� with such removal or restoration. Grantee shall reimburse City far the cost and expense of such removal and/or repairs immediately following billing fox sam� by City. Nothing herein shall be construed as a waiver by City to enforce penal sanctions prescribed by the Code af the City of �'art Worth and the laws of the State af Texas �or Grantee's continued encroachment 5 upon the public rights-of way following termination of this Consent Agreement. 10. Ii is fizz-ther understood and agreed between the parti�s hexeto that City holds the city str�ets, alleys, sidewalks and other public rights-o� way, including the portions of such sfireets us�ed and encroached upon as described herei�, as trustee for the public; that City exercises such � powers over the str�ets as have been delegated to it by the Constitution of th� Stat� of Texas ox by the Legisiatur�.; and �hat City cannat contract away its duty and its legisiative power to control the streets �or the use and benefit of �he public. It is aceordingly agreed that i� the governing body of City, to wit, i�s City Council, sh�uld at any time during the ierm hereof determine in its sole discretion ta use or cau�e or pezmit to be used for any public purpose the said encroached portion of the streets, then this agreement s�all be automatically canceled and termxna�ed. I l. Grant�e agrees to comply fully with all applicable federal, sta�e and Iocal laws, siatutes, ordinances, codes or regulations in connection with the construction, operation and maintenance of said encroachments and uses. 12. Gran�ee agrees to pay pramptly when due al� fees, taxes or rentals provided for by this agreement or by any federal, sfate or local statute, law or regulation. 0 13. Grantee covenants and agrees that it shall exercise aIl rights and privileges gran��d hereunder as an independent contrac�or, and not a� an officer, agent, servant or ernployee of City; that Grantee shall ha�e exclusive control of and the �xclusive right to control the details o� its operations and activities on said described public property and all persans performing same, and shall be solely responsible far the acts � and omissions of its o�fic�rs, agenfis, servants, employees, cont�actors, su�coniractors, licensees and invitees; that fihe doctr'rne of respondeat superior shal� not apply as between City and Grantee, its officers, agents, servants, emplayees, contrac�ors and subcontractors, and nothing herein shall be consirued as creating a partnership ar joint enterprise between City and Grantee. 14. Grantee covenants and agrees to indemnify, and does hereby indemnify, hold harmless and d�f�nd City, its officers, ag�nts, servants and employees, �rom and againsfi any and all ciaims or suits for prop�rty damage o:r loss and/or personal injury, inciuding death, to any and alI persons, of whatsoever kind or cl�arac�er, whether real or asserted, arising aut of or in connection with, directly or indirectly, the maintenance, occupancy, usc, exis�ence or location of said encroachment and uses granted hereunder, whe�her ar not caused, in whole or in part, by all�ged negligence of officers, agents, servan�s, 7 employees, contractors, subcon�ractors, lic�nsees or inviiees of City; and grantee h�reby assumes all liability and responsibility of City, its officers, agents, s�rvants and emplayees, for such ciaims ar suits. Grantee shall likewise assume alI liability and responsibility and shall indemnify City for any and all injury or damage to City proper�y, arising out a� o:r in connection with any and all acts or omissions of Gzantee, iis officers, agents, servants, employees, contractors, subcontractors, licensees, inviiees or trespassers. 15. Grantee agrees to furnish City with a Certificate of Insurance, naming City as certzf cate halder, as proof that it has secured and paid for a policy of public liability insurance covering all public risks related to the proposed use and occupancy of public pzoperty as located and described in E�ibit "B". The amounts of' such insurance shall be not less ihan the following: Praperty damage, �7�x pCGUx1'�ZIC� $ � QO,OQ� Bodily injury, per person $250,0�0 Bodily injury or death, per occurrence $SOO,OOa With the undexstand'zng of and agreemen� by Grantee that such insurance amounts shall be revised upward at City's option and that Grantee shall sa revise such amounts ixa�mediately following nntice to grantee of such requirem�nt. Such insurance policy shall provide �hat it cannot be canceFed or amended withaut at least thirty (30) days' prior written notice ta the Building Official of the City o� Fart Woz�th. A copy of such Certif cate of Znsurance is at�ached as E�ibit "A". Grant�e agr�es to submit a similar Certif caie of Insurance annually ta City on the anniversary date of the execution of this agreement. Grantee agrees, binds and obligates itself, its successors and assigns, to maintain and keep in force such public liability insurance a� all times during the term of �his agreement and until the removal of all encroachments and the cleaning and restoratian of the city streets. A�1 insurance coverage required herein shall include coverage of all of Grantee's contractors, 16. Grantee co�enants and agrees that it will not assign all or any of its righis, privil�ges or duties under this contract without the prior written approval af City, and any at�empted a�signrnent without such prior written approval shal� be void. 17. This agreement shall be binding upon the parties hereio, their successors and assigns. 1 �. Should any action, wheihex real ox asserted, at �aw or in equity, arise out of the terms and condrtions �f this agreement or out of the use and occupancy of City property as permitted hereunder, venue for said action sha�l be in Tarrant County, Texas. I9. In any actian brought by City �or the enforcement of �he obligatians of Graniee, City shall bE �ntitled to recover interest and reasonable attorneys' �ees.
