CONi��Ci° �!� . � STATE OF TEXAS COUNTIES OF TARRANT ANl7 DENTON In. consideration of the inutual covenants, promises and agreements contained herein, this agreement is made and entered into between the City of Fart Worth, a home rule municipal corparation of the �tate o�Texas, located within Tarrant and Denton Counties, Texas (hereinafter referred to as "City,") acting by and through Libby Watson, its duly autharized Assistant City Manager, and ihe Boys and Girls Clubs of Greater Fort Worth, hereinafter referred to a "Contractor,") acting by and through Joe Cordava, its duly authoriz�d President. RECITALS �]VHEREAS, th� City of Fort Worth has received a Local Law En£orcernent Block Grant from the Bureau of Justice Assistance far additional support for a variety of programs in th� Police Depaxtment and the City as well as for certain assistance to be provided to outside persannel under cont�act with the City; and WHEREAS, t1�e Boys and Girls Clubs of Greater Fort Worth propos�s to provide a Comin' Up gang i�terventioi� project and other suppo.rt to said program, and WHEREAS, the City of Fort Wnrth and the Boys and Girls Clubs oi Greater Fort Worth desire to enter i��ta a cantract and agreement whereby the said City o� Fort Worth vvill furnish said grant fiuids to the Boys aud Gir�s Clubs af Greater Fort Worth for u�e in operation of said program; NOW, THEREFORE, in consideration af the mutual covenants herein expressed, th� parties agree as follows: AGREEMENT 1. Contractor covenants and agrees to fully perform, or cause to be perfarmed, with good faith and due diligence, a11 work and services described in Exhibits "A" and "B", attached, and incorporated herein for all purpases ineident to this contract. Contractoz' agrees Yo expend the funds herein prnvided in aceordance with its budget, described in E�ibit "C", attached. 2. Ik is understood and agreed that in no event shaIl the tatal distribu�ions of federal grant funds froin tlae Local Law Enforcement Blocic Grant made ta the Contractor during the term of this agreement exceed the total sum of $1,031,259. Contractor shall keep all monies �ranted hez•�under in a separate account designa�ed only for thes� funds, and shall not contiizn¢�P rnP I .i����' � LVV � �}L�`u�4�°� i l�e ��L'���� _�. funds vvith any o�her monies. In the event �his cont�-act is ternunated for any reason at any time Contractor shall return to Ci.ty any unus�d portion of federal n�onies distributed hereunder. It is agreed that the funding provided hereunder shall be made on an on request basis in advance fo�lawing recaipt from the Contractox of a signed statement af anticipated expenses. Contractor shall deliver to City a monthly repork of programmatic activities and a monthly statement a� zts r�ceipts and expendiiures of fimds from Local Law Enforceme�t Block Grant monies, and such statement shall be signed by the Contractor or duly authorized officer of the Contractor. Each montllly report and statemenk shall be submitted to City na Iatex than the 10`h day of the followii�g montli. Contractor is autllorized to adjust any categories zn the budget in an amount not to exceed 10% af those particular categories withoui prior approval ofthe City but Conhactor must notify tl�e City, in writing of any such adjusfm�nts. Any adjusiment ofmore than 10% of each ca�egory inust have written permission from the City and the Bureau of Justiae Assistance prior to any budget adjustment being made. Any pragram income eazz�ed directly as a result of this grant project must be reported monthly and may be expended on this project with written permission from the project director. Requests for payment, expendiiur� reports, grant prograrnmatic reports, and budget adjustments shall be submit�ed to the Research and Planning Section ofthe Fort Worth Police Department, 354 W. Bell�ap, Fort Worth, Texas, 76102. 3. The tenn of this agreement is foz' a period beginning on Octobex 1, 2a01, and ending an September 30, 2003. Pursuant to Local Law Enforcement Block Grant regulations, aIl expenditures and payments must be completed prior to Septembe:r 30, 2Qb3. � Tt i� expressly understaod and agreed by aild between the parties hereto ihat this agreement is wholly conditioned upon the actual receipt by City af funds granted under the Loca1 Law Enforcemenk Block Grant; that all monzes to Contractor hereunder shall be exclusively from monies received under said Grant and required matehing funds, and not from any otker monies af the City; and tY�at if such funds uz�der said Grani are not timely forthcoming, in whole or i.n part, City may, at its sole discretion, ternainate this contract and agreement and City shall not be liable for paymeni for any work ox sezvices performed by Contractor under or in connection with this contract. 5. All aquipment purchased with grant funds must meet a11 eligibility requirements of the Local Law Enfarceiment Block Grant. Contra.etor s�all maintain equipment purahased under this grant and use such equipment exclusively in support of this program. All equiprnent remains th� properiy oi the City until such time as title is received from the Bureau of Justice Assistance. Within 1Q days following the end ofthe calendar year Contractor sha11 submit to City a detailed inventary af all equipment �urchased with Local Law Enforcement Block Gxani fund, including the date purchased, and description, cost and location of each piece of equipment, It is hereby understood Contractor shall replace ar repair any item of equipment used is support of this grant tha� no longez' �unctions or it lost or stolen, and that Cor�tractor shall not use grant funds to re�air or replace said equipment. � Contractor agrees to keep sufficient records to document its adherence to applicable federal regulations, along r�vith documentation and r�cords of all receipts and e�penditures of Local Laur E1�forcement Block Grant �unds. All records shall be retained for tIu�ee years follawing thE ternlination of this agreement. City aud United States Department of Justice or their representatives shall have tk�e rig�t to investigate, ex�mine and audit at any time any' and all such records relating to operations of Contractor under this agreemeni. Upon demand by City, the Contractor, its officers, membets, agents, employees, and subcontractors shall make such records readily aeailable for investigation, examination, and audit. In the event of such audit by City and in conformity with Federal Managen�ent Circular A-1�2, a single audit of a11 Connactar's operations will be undertaken and may be conducted either by City or an Independent Public Accountant of City's choice. Contractor, in accordance with Circular A-133, shall submit a copy of any audit performed hy their independ�nt auditor within 30 days of receipt of the final a�dit report. Contractor covenants and agrees to fully coopezate with City in monitoring the effectiveness of the services and wark to be performed by Contractor under this agxeement, and City shall have access at afl reasonable hours to of�ces and records of the Contrac�or, its officers, merr�l�ers, agents, employees, and subcontractors for the purpose of such monitoring. 7. I� is understood and agreed that ihis contract rnay be terininaied by City, in whole ar in part, whenever such teiY��.ination is determined by City ta be in the best interest of City. Termination will be e��ected by delivering to Contractor a notics of termination, specifying to whai extent perfarnr�ance af th� �vork under the contract is being terminated and the effective date of terinination. After receipt of noiice of termination, Contractor shall: (a) Stop work un.der the contract on the date and ta the extent specified in the notice of terminatian; (b) Place no further order or subeontracts except as maybe necessary for completion of the worlc not terminated; and �) Ternunate all orders and contracts to ihe extent that they relate to the performance of the work terminated by the notice of termination. 3 Within thzrty (30j days following the date of such terminatioz�, Cantractor shall return to City any unused portian af federal monies disiributed hereunder. 8. Contractor shall operate hez'eunder as an independent contractor and not as an ofiicer, agent, servant of emplayee of City. Cantractor shall have exclusive control of, and �he exclusive right to control, the details of the woxk and services perfortned hereunder, and all persons performing same, and shall be salely responsible for the acts and omissions of its officers, members, agents, servants, employees, subcontractors, program participants, licensees or invite�s. The dactrine of respoilde�lt superior shall not apply as between City and Contr�ctor, its o�ficers, rnembers, agents, servants, emplayees, subcontractors, program participants,license�s or invitees, and nothing hereui shall be eonsi�ted as creating a parttiership ar joint enterprise between City and Contractar. Tt is expressly understood and agreed that no officer, member, agent, employee, su�cnntractar, licensee or i�vitee of the Contractar, nor any �rogram participant hereunder is in the paid service of City and that City does not have the legal right to control �ae details of the tasks performed hereunder by Contracfiar, its offic�rs, rnembers, agents, emplayees, subcontractoars, program participants, Iicensees or in�itees. � City shall in no way nor under any circumstances be responsible for any praperty belonging to Contractor, its officers, members, agents, employees, subcontractars, program participants, licensees or invitees, which may be lost, stoleu, destroyed or in any way damag�d. f�#] Cantractor hereby assumes all liability and responsibility of the City of Fort Worth, its officers, agents, servants and employees for any and a11 claims or suits for praperty loss or damage a�.d/or persanal injury, including death, to any and all persons, of whatsoever kind or c�aracter, wheiher real or asserted, arising aut of or in cannect�on with t.�ie execution, perfarmance, a�tempted performance or nonperformance oit�is contract and agreement and/or the operatians, activities and s�rvices of the pro�ams describ�d herein. Contraetor likewise covenants and agrees ta assume responsibiliiy for any and all injury, damage or destruction of property of the City of Fort Worth, arising out of or in connectian with aIl acts or omissions of Contractor, its officers, agents, employees, subconixactars, invite�s, licensees or program participants. I�� the event it is determined that Contractor has misus�d, misappiied or misappropriated all or any �art of the grant fixilds described herein, Contractor agre�s to indamnify, hold harrnless and defend the City of Fa�t Worth, its officers, agents, servants and employees, from and against all claims ar suits resulting from such misuse, misapplication or misappropriation of such funds. 11. Contractor shall not assign all or any part of its rights, privileges or duties under this contract without t�e prior �ritten approval of City, and any attempted assignment of same wiihout such prior written approval shall be void, and constitute a breach of this agreement. It zs agreed that the City has the right ko inspect and approve ��vriting any proposed iease agreements or subcantracts between Contractor and any subcontractor or sub-lessee en�aged in any activity in conjunction with ihis grant funded proj ecfi prior ta any charges being incurred. 12. No member, officer or employee of City, ar its d�signees ar a�ents; no mernber af the govern.ing body af the locality in which the prograrn is situated; and no othei public official af such localzty ar localities who exercises any functians or responsibilities with respect to the program funded hereunder during his tenure or far one year thereafter, shall have any znte�rest, direct ox indirect, in any contract or su�contract, or the proceeds thereof, for work to be perfonned hereund�r. Contractor shall incorpoxate, or causa to be incorporated, like laxzguage prohibiting such interest, in all contracts and subcontracts hereunder. No officer, emplayee, m�mber ar progr�rn participant of Contractor or its subcontracto�•s shall have a financial interest, direct or indirect, in this contract or the monies transferred hereunder, or be financially interested, directly or indirectly, in the sale to Contractor of any land, materials, supplies, or services purchased with any funds transferred hereund�r, except on behaLf of Contractor, as an officer, employee, member or program participant Any willful violation of this paragraph with the 1�nowledge, expressed or implied, af Contractor or its subcontractors, shall render this contract vaidable by the City of Fort Worth. 13. In accordance with the policy of ihe Executive Branch of the fedaral government, Contractvr covenants that neither it nar any of its officers, members, agents, employees, program participants, or subconiractors, while engaged in perforniing this contract shall in connection with the employment, advancernent, or discharge of employees, or in connection with the terms, condiiions or pri�ileges af their employment, discriminate against parsons because of their age, except on ihe basis of a bana �ide occupational qualification, retaz'e�n�nt plan, or statutory requirernent. 14. ConLractor, iz� the execution, performance or attempted performance of this contract and agreement, will nat discriminate against any person or persons because of sex, race, religion, color, sexual orientation or nationai origi.n, nor vvi11 Contractor permit its agents, e�nployees, subcontractors or program participants to engage in such discrirnination. This agreement is made and entered into with reference specifically to Chapter 17, ArYicle III ("Discrimination"}, Division 3{"Ernployment Practices"), of thc City Cade of the City of Fort Worth, and Contracior hereby covenants and agr�es that Contraetor, its agenis, errzplayees and suhcontractors, have fully complied witi� all provisions of same and that no employee, e�ployee- applicant ar program participani has been d'ascrimina�ed against by the terms of such oz'dinance be either the Contractor, its agents, employees or subcontractors. I5. Contractor, its officers, agents, empIayees and subcontrac�ors, shall abide by and comply vvith all Iaws, federal, state and local, including all ordinanc�s, rules and regulations of City. It is agreed and understood that if Cify calls ta the attention of Cantractor any sueh violation on the part of Contractor or any of iis affzcers, agents, employees, subcontraciors or pro�am participants, then Coniractor shall iznmediately desist from and correct such violation. Contracior promises that it will use grant funds strictly for those purposes and goals intended under the terrns and condiiions of the Local Law Enfarcement Block grant, and ihe attached E�ibits. It is agreed and �anderstood thaf if City calls the atteniion of Contractar ta any such violations an the part of Contractor ar any of its officers, members, agents, employees, program par�ieipants ar subcontraciors, then Co�.tractar shall irnm�diat�ly desist from and correct such violation. 16. Contractor covenants and agrees thai in the event it �ails to comply with or breaches any of the tez-ms and provisions of ihis agreement, City shall have the right to declare this agreement immediately temunated, and City shall have no further respansibility ar liabzlify hereunder. Any such tez-miu�atian shall be subject to the provisions of Exhibits, attached hereto, 17, The provisions of this agreement are severable and if for any reason a clause, sentence, paragraph or other part of this agreement shaIl be deierm.ined to be invalid by a court or federal or state age��cy, board or commission having jurisdiction over tbe subject matter thereof, such invalidity shall not aFfe�t other provisions which can be git�en ef�ect without the invalid provisiol�. : The failure of City or Contractor ta insist upon the performance of any term ar provision of this agreement or �o exercise any right herein conferred sha11 not be construed as a waiver or relinquishment to any exten.t ai City's or District's right to assert or rely upan any such term or right on any future accasion. 19. Should any action, whe�er real ar asserted, at law or in equity, arise out of the execution, perFormance, attempied perforrraance or non-performance of ihis contract and agreement, venue for said action shall lie in the state courts locaied in Tarrant County, Texas ar ihe United States District Couri for the Northern District of Texas, Fort Warth Divisian. 20. The governing badies or boards of City and Cont�ractor have approved t�ie execution of this agreement, and tlie persons signing the agreement have been duly authorized by #he gaverning bodies of the �ity and Contractor to sign this agreemen.t on behalf of the governing badi�s ar boards. . 21. Autnor�ze the City Manager to accept a grant award firom the IJ.S. Department of Justice in the amount of $1,138,517 for the period October 1, 2001, through September 3a, 20Q3; and 2. Authorize th� transfer of $126,502 fram the General Fund to the Grants Fund as the cash match ta the Local Law E�forcement Block Grants (LLEBG) program; and 3. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the State Awarded Assets Fund by $40,000 from a�ailable funds; and 4. Authorize the transfer of $40,OD0 from the State Awarded Assets Fund to the Grants Fund to pravid� funds for the continuation af the Mental Health Liaison Program; and 5. Authorize the use of interes# earned in the amount of $70,000; and �. Adopt the attached appropriation ordinance increasing estimated receipts and a��ropriations in the Grants Fund by $1,375,D19 from available funds; and 7. Approve a co�tract wifh tF�e Boys and Girls Clubs of Greater For� Worth in the amount of $1,031,259. DISCUSSION: The 6th year of funding of the LLEBG program for Fort Worth inciudes $1,138,517 in federal funds, $126,502 in cash match, $4Q,OQ0 from award�d assets, and an estimafsd $7�,40q interest earned for a total of $1,375,Oi9. The funds will be provided in ad�rance beginning Octob�r 1, 20�1, and the City will have up to 2 years to expend these funds. Funds may be placed in an interest bearing account, and afl accrued interest will be considered program income and must be used on [�I.EBG projects. Th�se will ba placed in a separate account and used for closing costs andlor equipment needed at the end of the grant. Matching funds are budgeted in the Nan-Departmental, General Fund. The primary focus of the auto etching program is to etch the vehicle identification number (VIN) on the #ront and back windshields, as well as oth�r parts of the vehicle in order ta make the vehicle less prone to be stolen. In ad�ition, the auto etchers will also go ta various businesses to etch equipment such as office equipment, computers, efc. The auto etchers ha�e etched more than 4,500 vehicles and the proper�y of 68 businesses. � Eguipment $ 2,606 For the �urchase andlor u�grade of technical equipm�nt in the Palice Department to enhance efficiency and effectiveness. PARKS AND COMMUNITY SERVICES � Comin' Up $1,031,259 This is the City's gang in�ervention program, operated by the Boys and Girls Clubs of Greater Fort Warth since 1993. TARRANT COUNTY • Druq Treatment Court $ 162,8��4 In 1995, the police department provided seed fun�s from th� Camprehensi�e Communities Program (CCP) grant to Tarrant County fo initiate a drug treatment courf as an alternative pro�ram to incarceration. The drug treatment court targets the �ictims of the dealer, the drug-dependent user, and attempts to break the cycie of drug ab�se. Funds were pravided to the adult treatment cour� in th� 1996 Local Law Enforcement Block Grant to continue the adult treatmenf court and they obtained other saurces of funds to continue this operation. The court briefly ceased operations in FY 2000 due to the cessation of state funds but is being reopened with alt�rnative funding. These monies will be us�d to implement khe revised adult drug court program.
