Scope of Agreement -- i'F�is Agr��ment is applicable to conditions ur�der which the Company and fhe Gustomer agr�e tha� one or more generating facility ar faciiities af ten MW or less to be interconnected at 60 kV or less {"Fac�lity ar Faci{ities") may be interconnected to the Company's utility syst�m, as described in Exhibit A. 2. Establisf�ment af Point(s) of Interconnection -- Campany a�d Cus�omer agree ta interconnect their Facility or Facilities at t�e loeatians specified in fhis Agreement, in accordanee with Public Utility Commission of Texas Substantiv� Rules § 25.211 refating ta Interconnectiar� of Dis#ributed Generation and § 25,212 relating to Technicai requirements for Intercannection and I'aralle! Operation of Dn-Slte �istributed Generation, (16 Texas Adminis#rakive Code §25.211 and §25.212} {the "Rules") ar any successar rule addressing distributed g�:neration and as describe� in khe attached �xhibit A(khe "Point(s) of lnterconnectian"}. 3. Responsihilities af Company and Customer -- Each Party will, at its awn cost and expense, aperaie, mainkain, repair, and inspect, and shall be fiully responsible for, �acili#y ar Facilifies which it naw or hereafter may own unless otherwise specified an Exh9bik A. Customer shall conduct operakions of its facility(s) in compliance wit� all aspects of the Rules, and Company sha11 cor�duct operations on 9ts utility system in compliance with all aspects of the Rules, or as further descrEbed ar�d mutually ac�reed to i� the applicabfe Faci�ity Schedule. Maintenance af Facilities or intercannection facilities s�aH be pe�F�rmed in accordance with the appllcable manufaciurer's recommended maintenance schedufe. Tne Par�ies agree to cause tF�eir Facilities or systems to be cons#rucfed in accordanee with speeifications equal ta ar greater than those provided by the Nationaf Electrical 5afety Code, approved by the American National Standards lnstitute, in effect at t�e time of construction. Each Party covenants and agrees ta design, install, maintain, and aperate, or cause the design, installatian, maintenance, and aPeratian of, iis distribution system and related Facilities and Units so as ta reasonably minimize the Iikelih4od af a disturbance, originating in the systerri of one l�arty, a�Fecting or impairing the system of the other Party, or other syst�ms with which a Party is interconnecked. Gompany will notify Custorrier ifi there is evidence that the FaciEity operation caus�s disrupt9on or deteriaration of service to okher customers serrred from t�e same grid ar if the Facility aperation G�USBS damage ta Campany's system. Customer will notify Cornpany of a�y emergency or hazardo�s condikidn or occurrence with the Custom�r's Unit(s) which could affect safe operation o� the system. �. Limi#ation af Liabilify and Indemnificafiivn a. IVeither Campany nor Customer shal! be liable to the other for damages for arry act thaf is beyortd such party's control, lncluding any evenf that is a result nf an act of God, labor disturhance, act of the puhlic enemy, uvar, insurrection, rioi, fire, storm or flnod, �xplosion, breakage or accid�nf fo machrnery or equipment, a curtailment, order, or regulafion or resfriction impased by governmental, military, or lawfu!!y established civilian authorifies, or by the making of necessary repairs upon fhe property or eguipmen! of either parfy. c. Natwrths#anding Paragraph 4.6 of this Agreement, Company shall assu►ne ad liabflity for and shall ind�mnify Customer for any claims, losses, costs, and expenses af any kind or character fo the extent that they result frnm Company's negligence in connectlon with the design, consfruction, or operation of its faciliiies as described on Exhi6it A; provided, hawev�r, fhat Cornpany shal! have no abligation to r`ndemnr�jr Custamer for claims braughf by claimanfs who cannof recover direcily from Company. 5uch indemnity shal! include, dut is not limited fo, finaacfal responsibrlrty for: {a} Custanaer's moneiary Insses; (6) reasanable costs and expenses of defending an action ar claim made hy a thr`rd person; (cJ damages related to the deafh or injury af a thFrd person; (dJ damages to the praperty o�' Custorner; (e) damages fo the property of a third person; (�j damages for the disruption of the business of a th�rd person. In no evenf shall Company be liable for consequential, special, incidental ar punitive afamages, includir�g, wifhouf limitafion, loss of pro�fs, lass of revenue, or lass of production. The Campany does not assume liabPlity far any costs far damages arising from fhe disruption of the husiness of the Customer ar for !he Customer's costs and exper�ses of prosecufing or d�fending an action or claim agafnst the Campany. This paragraph does not creafe a Iia�6ility o►a the part of fhe Conrrpany fo the Ctrstamer or a lhird persan, but requires indemnification where such liabilify exists. 7he limitatians of liability pravr"ded in fhis paragraph da nof apply fn cases of gross negligence or intentiona! wrongdoing. d. Notwithstanding Paragraph 4.b of ihis Agreement, Cusfomer shaH assume ap liabFlity for and shall indemnify Company for any cPaims, IOS5B5y casts, and expenses of any kind or character ta the extent that ihe�y result from Customer's negligence in cannection with the design, cnnstrc�ction ar operation af its facilities as described ar� Exhr"6it A; provided, however, fhat Custamer shall have no obligatlon ta irrdemnify Campany �'ar claims broughf by eiaimants who eanno# reeover directly from Customer. Such indemnity shall include, but is r�of limited to, financial respansihility for.• {a} Company's rr►onetary losses; (bJ reasanable cosfs and expenses of defending an action ar cfarm made hy a third person; (c1 dam�ges rela#ed to the deafir or injury of a ihird person; (dj damages ta the prop�rty of Company; (e) damages #o fhe property of a fhird person; (� damages for fhe disruption vf the 6uslness of a lhird persan. ln no evenf shall Cus#omer ba liable for consequential, special, incidental or punrfiv� damages, incl'ud�ng, without limitatian, loss of prafi�s, loss of revenue, ar loss of producfion. The Customer c�o�s nat assume liab►lity for any cosfs for damages arising from the disrupfion of the business af the Company or for fhe Co.mpany's costs and expenses of prosecuting or defending an actJon or claim againsf the Customer. This paragraph does not create a liabilrty on the part of the Customer to the Cnmpany or a thrrd persan, buf requires indemnificafivn where such liabrli#y exlsts. The limitafior�s of liabrlify provided rn fhis paragraph do not apply in cases of grass negligence or intentiona/ wrongdoFng. e. Company and Customer shall each he respansihle for the safe insfallation, mainfenance, reparr and condition of their r�spective lines and appurtenances on therr respective sides of the point of dellvery. The Gampany dves not assume any duty vf inspecting the Customer's lines, wires, swifches, or aiher equipment and will not be respvnsihle therefor. Gusfamer assumes al! responsibilify for the electr�c service suppli�d hereunder arrd the facilities used irr connection #herewith af or beyand fhe point of delivery, the point of delivery b�ing fhe point where the elecfric energy first leaves the wire or facrlities provided and awned by Company and enters the wire ar facflifres pravided by Customer. Rig�t of Access, Equipment lnstallation, Remar�al & Inspection— Upon reasanable notice, the Company rnay send a qualifi�d person to the premises of the Customer af or immediately before the time the, Facility first �roduces energy to fnspect the intercon�ection, and abserve the �acility's cammissioning {including any testing), startup, and operation for a perfod of up to no mare than three days after initial startup of the unit. Fallowing the initial inspection process described abo�e, at reasonable hours, and upon reasonable notice, or at any time without notice in the event of an emergency or hazardous condition, Company shall have acc�ss ta Cuskomer's premises for any reasonable purpose in connection with the performance af the obligations impased on it by this Agreement or if necessary to m��t its legal obligatian to pr�vide service to its cUstomers. 6. Disconnectian af Unit — Cuskomer retains the option to disconnect from Campany's ukiliky system. Customer will notify the Company of iis intenf ka disconnect by giving the Company at least fhirty days' priar written notice. Such disconnection shall not be a termination of the agreement unless Cuskamer exercises rights under Seckion 7. Customer shall disconnect F'acifity from Cornpany's system upon the effective dake af any termination under Section 7. 5ubje�ct to Commission Rule, for rautine maintenance and repairs on Company's Utiliky system, Company shall �rovide Customer with seven business days' notice of service interruption. Company shall have the right to suspend service in cases where continuance of service ta Custamer will endanger persons or. proper�y. During the forced outag� af the Company's utility system serving customer, Company shall have the right to suspend service to effect immediate repa9rs on Gompany's utflity system, but the Com�any shall use its best efForts to provide the Customer witfi� reasona�E� priar notice. 7. Effective Term and Terminatian Righfs-- This Agreeme�t becomes effective when executed by bokh parties and shali cor�tinue in effact until terrninated. The agreement may be terminated for the follawing reasons: (a) Customer may terminaie this Agreement at any time, by giving the Company sixty days' written notice; (b) Company may t�rminate upon failure by the Customer to generate energy from the Fac�l�ty in parallel with the Company's system wiihin twelve months after campietion of the interconneckion, {c) either party may terrninate by giving ihe o#her party at least sixty days prior written notice that the other Party is in �efault af any of fhe material terms and canditions of the Agreement, so long as the notice specifies the basis for terminatian and khsre is reasonable opportunity to cure the default; or (d) Campany may terminate by gi�ing Customer at least sixty days notice in the e�ent that t�ere is a mat�rial change in an applicable rule nr statuke. 8. Governing Law and Regulatory Authority -- This Agreernent was exe�uted in the Sfate of Texas and must in all respects be governed by, interpreted, co�str�ed, an� enforced in accardance with the laws fhereof. This Agreement is subjeci to, and the Parties' obligations hereunder include, operating in full compliance with aii valid, applicable federal, state, and local laws or ordinances, and all applicable rules, regulations, orders of, and tarif#s approved by, d�ly constituted regulatory a�thorit9es having jurisdic#ian. 9. Amendment --This Agreement may be amended only upon mutual agreemenk of the Parties, which amendment wilf not be effective unki[ reduced tfl writing and executed by the Parties. 10. Entirety of Agreement and Prior Agreements Superseded -- This Agreemant, including aii attached Exhibits a�d Facility Schedu[es, which ar� �xpressly made a part hereof for all purposes, eonstituies the entire agreement and understanding between the Parties witF� regard to the interconnection of tfi�e facilities of the Parties at the Points af Interconnection expressly provided for in this Agreement. 7he Partiss are nat bound by or 19able for any statement, representation, promise, inducement, understanding, or undertafcing of any kind or nature (whether writ#en or oral) with regard to the subject matter hereof not set farth or provided: _ _ Agreement for Tnterconnectio�a and Parailel �peration o£Disfiributed Generation The City af Fort Worth Page 3 ���j�� f� 81�'� ����� ����� �o �,��`����1 ��, ' for herein. It is expressly acknowledged that the Parties may have other agreements caverir�g other services not expressly provided for herein, wnich agr�ements are unaffected by this Agreement. 11. Notices -- Notices given under this Agreeme�t are deemed to ha�e been duly delivered if hand delivered or sent by United 5tates certified mai1, return receip� requesked, postage prepaid, ta: . In�oiciRg and Payment -- In�oicing and paymenf t�rms for services associated with this agreement shall be consistent with applicable Substantive Rules of the PL1CT. . 13. No Third-Party B�neficiaries -- This Agreemer�t is no# intended to and does not create righis, remedi�s, or benefits of any character whatsoever in favor of any persons, corporafions, associations, or entities other than the Par�ies, and the oE�ligakions herein assumed are solely for the use and benefit of the Parties, their successars [n interesk and, where permikted, their assigns. 1�. No Waiver -- The failure of a Parky to khis Agreement to insisf, on any occasion, upon strict performance of any pravision of this Agreement wlll not be cansidered to waive tl�e obligations, rights, ar duti�s imposed upon the Parties. 15. HeaBings -- Tha descriptive headings of the various articles and sections of this Agreement hav� been inserted for co�venience of reference anly and are to be afforded no significance in the interpretatian or construction af this Agreement. 16. Multiple Counterparts -- This Agreement may be executed in fw4 or more caunterparts, each of which is deemed an original but all canstitute one and tF�e sarr�� instrument. Ma3ntenance Records. �stomer shall keep all cnaintenance and test records of the t'acility or on-site distributed generation equipment protective relay equipment, and malce this i.n.forz�aation available to Company for inspection at aIl reasonable times. Custorner shall also �ake all fault records of ail systern disturbances available to Comipany upan request. �. �`acility Malfunctions. Following any apparent malfunction of the relaying protection associated with the Facilities at the point of cammon conpling (relxys - 27, 59, 81 O/U, 32, 67} that is obvious to Company and Customer through good engineering judgernent, Customer shall perform both caliY�ration and funetionai trip tests of its relay protection equiprnent. These tests do not require t�ae tripping of any in-service generation unit. Th,ese tests do, however, require the associated protective relays and lockout cvnracts be ac�ivated. 3. Change In FaciIity, OpeXation or On�site Distrrb�uted Generation Equipment. Customer agrees that this Agreement must be azxiended in writin� to reflect the impact of atay changes Custorner desires to make in the capacity, design, specifications, operation (i.e., from paraIlel operation to exporting) or any of the other characteristics of tlie facility ar on-si�e dist�ributed generatian eqnipment identified in this Agreement or utilized in the pre-interconnection s#udy performed pursuant to this Agreen�ent. Customer agrees that before any changes are initiated, Custom�r wilt notify Company of its plans for t1�e desired madifications and will submit a new Application for Interconnection and Parallel Operatian for the desired modifications, reflecting in the Applicatzon the anticipated impact of any such ehanges on the interconnecfion af the facility or on-site distributed generation equipment on the Company's system. 4. Other Regulatory Reqnirements. Ta ihe extent there aze regulatory or legal requirements applicable to or necessary for the operation of Customer's facilsties, Customer understands that such requirements are not saiis�ed by the execution of this In.tercanneetion Agreement and the Company is nat respansi�le for ensuring compliance wzth them. Customer is solely responsible for obtaining all necessary permits vr autharizations to Agreement For Intercoa�z�.ecfio� And Parallel �peratian of Distributed Generation The City of Fort Worth �perate Customer's iacilities, specifically including any permits or authorizations required from the Texas Natural Resource Canse�rvation Commissian ("TNRCC"). �. Modifcation to Seetian 1- Scope of Agreement. Customer agrees to accept all terms of tl�e Agreement For Interconnection and Parallel Operation of Dis�ributed Generation and a11 provisions of Public Utility Commission Substantive Rules §25.211 and §25.212 (including any related or successar rules) except that Section 1 of the Agreement For Interconnection and Parallel Op�ration of Distributed Generation is hereby modified ta provide that the facilities that are tbe subject of the Agreement will be 10.6 MW instead af at ten MW or less. 6. Relay Settings. Within ninety (90) days aiter Inferconnectian Customer will furnish to Cornpany imal relay settings anc� relay test reports for all facilities associated with the point af commou coupling (relays - 27, 59, 81 O/U, 32 and 67). 7. Modi�ication to Section 4— Limitation of Liability and �udemnif cation, Subparagraph d. Replace paragraph 4.d, with the folIovving: d. Such indemnrty sha�! include, 6ut is not limrted to, financial responsibillfy for.• (a) Campany's monetary losses; {b) reasonable costs and ex,penses of defending an action or clairr► made by a third person; (c) darrrages related to fhe deafh or injury af a fhird person; (d) damages to the property of Company; (eJ damages to the property of a third person; (�J damages for fhe disruption of the ,business of a thTrd person.
