THIS AGREEMENT is made and entered inta by and between the Cify of Fart Worth, a municipaf cnrparation of Tarrant County, Texas, acting herein by and through its duly autharized City Manager or duly cEesignated Assistant Cifiy Manager, hereinafter referred to as the "city", and FW Baker Building, L. P., a Texas [imited parfnership, acting herein by and through its duly aukhorizec[ G�neral Partner, Ke[iy Capital In�estors, L.P., a Texas limited partnership, by its general partner, Red Chief, Inc, hereinafter referred to as "Grantee". WITNESSETH: 1. For and in consideration ofi the payment by grantee of the application charge se� out below and the true and faithfui perFormance af the mutual c�venants herein contained, City f�ereby grants to Gran#ee permissian to encroach upon, �se and accupy por#ions of th� space under, on andlor above the streets, alleys, sidewalks and other public rights-of-way as follows: Awning as shown an Exhi�it "A". f3�I�V���� ��'�.���k�' ��� ���� � ���� A�"`L��`�� ��� S� � ` 5 The foc�tion �nd �escri��ion ofi s��d encroachmenfi is more particularly d�scribed in �xhibifi "A", att�ched h�reta, incorpor�#�d herein an� m�d� a part h�reo� for all pur�oses. 2. All cons#ruciion, mainten��ce and pper�#ion in conn�ction with such encroachmen�, use ar�d occupar�cy shalE be p�rformed in strict camp�iance wifh the G�art�r, Or�inan��s and Ca�1es of fhe City �nd in accord�ne� with fihe directions of the �ire��or of Y�ar�sportation and ��blic Works of City, or his duly authorized repr�sentati�e. RII p�ans and specific��ions thereof shal� be subject to th� prior writken approval of th� �irector o� irartsport�tion and Public Works, o� his duty authori�ed representafiive, but such �pproUal shall not relier�e Grante+� of responsibilify and liability #or conc�pt, design ar�d computation in preparafiion of such pl�n� and specifications. 3. Upon campletion of constr�ction �nd therea�er, th�re sha�l be no encrpachments in, under, an or abov� th� surface are� of the streets, alleys, sidewalks a�d oth�r pub�ic right�-o� way in�olv�d, exc�pi �s describ�d h�rein and shown on #he herei��bave r�ferre� fo �xhibif "A". � 0 4. Grantee, 2�t no expense to fhe Cify, shall make proper provisions �or th� r�location andlor insi�ilation of �ny existing or fufiure utiliti�s aff�cted by s�ch encro�chmenf use and occupancy, inclu�ing the secu�ing of approva! and consen� from the utility companies �nd th� appropriate agenc�es o# ��e State �nd its politic�l subdivisions. In the evenfi t�at any insfialla#ion, reinstallatian, relqcafion or re�air of any �xisting or future utilify or improvem�nts owned by, construct�d by or on b�half of the public ar at public �xp�nse is m�de mofe cos�ly by �irtue of the construciion, mainfienance or exist�nce of such encroachmen� �nd u�e, Granfe� shall pay to Ci�}r an �dditional amount equal �d such additional cost a� d��ermin�d by the �irector of iransportation an� Public Works o� the C�ty, or his duly �u�hori�ed r�pr�senta#iv�. 5. Cify may enter and utiliae fihe referenced areas a# any tFme for th� �urpose o� installing ar m�int�inirig improvemer�ts necessary for the heal�h, s�fety and welfare of t�e public or for any other public purpose. In this regard, City shall bear �o responsibifity or I€�bilifiy for dam�ge or disrupfiion of improvem�nts installed by Gran��e ar i�s successors, but City will make reasonabie e�'or�s to minimize suc�i damage. � In order to defray all costs o� inspection and supervision which Ci4y has incurr�d or might incur as a resulfi of t�e consirruction or main�en�nce og �he 3 � encro�chmer�ts and uses prnvi�ed for by this agreeme�t, Grant�e agrees fio pay �o Cify a# the tim� this agr�em�nf is �xec�t�d aon appl�cation charge in the sum bf � �oll�r� ( �'� 5, r ) 7. �h� initial t�rm af �his agreemenf shali be thir�y (30) years, commericing on the d�te this agreem�nfi is execu�e� by th� Cifiy of �orfi V�orfh. � Upan terminatian af fihis agreement �or ar�y reason wh�fsoer�er, Grantee �hall, a# ��e option a� Ci�y and �4 no �xpense fio �ity, restore fihe public rightdof way and �dj�cenf supporfing� struc4ur�s fo � condition �cceptabfe #o the Director of Transporiafiion and �'ublic Wor�s, vr his duly �uthariz�d representafi�e, and ir� ar.cordance wi�h then existing Ciiy specifications. � It is �urther undersfiood an� agr�ed u�on betw��n #he parties hereto #hat the Ciiy s4re�fis, alleys, sidew�lks and aiher pub�ic rights�of w�y, including the portians of such stre�ks, alleys, sidewalks and ather publi� rights-of way to be used a�d encro�ched upo� �s describe� herein, are �eld by City as truste� for the public; tha� Cify exercises such powers o��r fhe sfireets as have been delegat�d fio it by th� Consfiitu�ion of fihe Staie af �exas or by fh� Legislature; ��d tha# Gi#y cannot cantr�c� �way `rfs duty and ifis fegisfative power to control fihe �tr�et� for th� use and benefit of #he publ�c. It is accordingly �greed that if ihe go�erning body of City, to wit, iis Ciiy Council, should at any time during the t�rm h�r�of determine in its sol� discretion to �se or cau�� or p�rmit the s�id �Oortions � m af the str�ets, atl�ys, sidewal�s �nd oth�r righ�s-of way to be €�sed for any oth�r pubiic purpose, �ncluding but nof be€r�g limit�d �o und�rground, s�rf`ace or o�erhea� communic�tior�, drainag€, sanit�ry sewerag�, ir�nsm�ssion of n�fiural g�� or el�ctricity, or any ofih�r pubEic �urpos�, whe#her presEnt�y �ont�mplafied or raot, ihen this agre�ment shall be aufiomaticaily canc�led or �ermina��d. 10. Grantee und�rstands and �grees that �he grantir�g of any encroachmenf hereunder is no# meant �o con�ey �o �r�nfe� any right to us� or occupy propergy in whici� a fihi�d p�rty may h�ve an inter�sfi, and Grantee �gr��s th�fi ifi will obtain a!I ner,�ss�ry permissior� be�or� oc�upying such p�operfy. Grante� agrees �o comply �u�ly with aft applicabl� f@der�l, state and focal laws, s4atute�, ordinances, codes or regulatians in �onnecfion with the consfiruc�ion, op�ratior� and maintenanc� of said encroachments ar�d uses. 12. Grantee covenants and agrees �o indemni�y, and does hereby indemnify, �old h�rmless ar�d defend City, its officers, agents, s�rvants �nd employees, from and against any an� ail claims or suifis fior proper�y dam�ge or lass andlor person�l injury, including deat#�, �o any and al� persons, of whatsoe��r kind or characfer, whether real or asserfied, arising oufi of oE in conn�ction wi�h, dir�ctly or iRdirectly, fhe consfructior�, m�ir�tenartce, oCCupancy, use, exis#ence or IQcation of said �ncroa�hmenfi and us�s grant�d her�und�r, �+vh�ther or no� caused, in whole or in par�, by aileged negligence of officers, ag�nis, servanfis, �m{olvyees, contractors, subcontractors, licen��es or F��ife�s of fhe City; and �rar�tee hereby ass�umes �II li�biliiy and r�spa�sibi�iiy for such cl�ims or suits. All in�urance cov�rage requir�d her€ir� s�all includ� coverage of all Granfiee's contracfiors. 7 e IV. Grantee agrees to depasit with the city when this agreemeni is executed a sufficient sum of money to be used to pay necessary fees to record #his Consent Agreement in its eniirety in #he deed racards of Tarrant Coun#y, Texas. After being sa recorded, the original hereof shall be returned to the C9ty 5ecretary of the City of Fort Worth, Texas. 17. In any action brought by the city for ifi�e enforcemen# of the obligations of Grantee, City shall be entitled ta recover Interest and reasonable attorney`s fees. 18. Grantee co�enants and agrees that it will not assign a1l or any af its rights, pri�ileges ar duti�s under this contract withaut the prior written appro�al of City, and any attempted assignment without such prior written appro�al shall be �oid. 19.
