The termi sheet attached h�reto as Exhibit "A" is hereby incorp�rated � and made part o� this Memorandurn of Understanding for�al� purpnses. The purpos� of this Memorandum of �Tnderstandin:g is to set forth the agreement in principle between KeIler and Fort Warth with resgect to condFtior�s by which a lon�-terrn water supp�y contract may be entered into between the two par[ies. Upon execution af this M�morandum of Understandin� all parties agree to praceed to fir�aliz� all aecessary documents (includi�g � schedule oi action by r�speciive City Councils of Keller and Fort Worth) relative to the water su�ply contract a�:d related matters. �LJpon comple[ion of these documents, eac� City Manager oi the resgective City a�rees ta present the dacurnents to the respective City Councils as soon as possible All parti�s acknowledge that the respective City Caun�ils of each City must approye a11 agreemez�ks and upon such ��reements being fin�lly approved, the City of Fort Worth wiil enter into a Unifarm Whoiesale 'Water Contract 4vith the City of Keller, f i. The City of Keller agrees to canstruct a twenty four (24) inch water main from the existin�g twenty one (2].) inch water main in Alta Vista (to US Hwy. 377) at Caylor Road at i�s expense, less particxpatza� by the City of Fort Worth for th� difference b�tween the construction cost of a sixteen {16) inch water main and th� tw�n�y faur (24) inch water main. Tk�e City of Ke11er agrees to pzavide at its sole experxse the cost of aIl er�gineering, design, bidding and inspection services related to the constzuctiQn of this main including all necessary permits required from TxD�T, al� railroad crnssings (if any} and �.11 easements (City of Fort Worth a�rees tb provide at no cost easement rights on prope�rty under its control). B. The CiCy of Keller agrees as part of th'rs praject ta constract a� its sole expense an additianal metering station at US Hwy. 377 and Caylar Road; to ine�ude all engineerzng, design inspection eCc. The City of Fort Worth will not participate in any of this proj�ct cast. The City of Fort Worth agrees to provide at no cost �asement rights on property under its' control. The City of Keller agr�es io pursue tl�e project includin� provzdirng the necessary funding for these irnprovements as soan as possible. The Ciry of Fort Worth agrees to assist the City af Keller in acquisition of any easements for the construction af this project. All cost for such acquisition shall be bor:�e by the City of Keller. Upon completian af the project by the City� o� Keller, the City of Fort Wflzth agrees to increase the wat�r supply Chrough the ne�ly constructed system by up to 3 MGD. C. The City of KeIIEr agrees to provide 75% of the funding necessary to upgrade the pt�mp and pipelir�e system at the Nocth Beach Tank. Fort Worth agrees th�t I�eller's portio� of the expense based on a 75 �0125 % cost si�aring ratie� shall not exceed $27,000 including engineerin�, design, easemenC inspectic�n and related cast. D. The City of Keller agrees td upgrade the existzng metering stations (at its sole expense) located at the North Beach Pump Sta[ion and at Pearson Road Co meet current City of Fort Wortia specifzcations. Keller further agrees to assume all responsibility for coordination of usage billing wit� th.e City of Sauthlake. � �u l:;_ I � �' .. , T�ellex agrees to be respansible for alI continued billing (if any} between Keller and Southlake to assure that the Ciry of Fort Worth is held harmless. (Thi,� does not apply to any legitimate dispute in billings between Fort Worth and Keller). Upon completian and fin� inspection of these impravements the City of Fort Worth agrees to assuine pwnershig and maintenance of the metering stations. E. The City of Keller agrees to provide information cancerning any and a1i connections outside the corporate limits of Kel�er, as we11 as informatian cancerni�g �ny and all intercoriz�ections ta other water systems whether public or pri�ate. The City of Keller agrees, upon r�qu�st by Che City af Fort Worth to elirninate any unaut�orized or inapprapriate connecti�ns. F. The City of Ke�ler agrees to provide at na cost to the City of Fart Worth easement rights an property. under its cantrol for Fort �Voxth's cozistructzon of the Big Bear Sanitary Sewer Main. Keller further agrees if requested to assist Fart 'Vt�orth in acquiring other easements within Kelier's juzisdictioz� for tk�is praject. i�eller �k�all bear no cost far such acquisitian. G. The Cicy of Keller agrees to immediatel� process the transfer of the remaining portion of the Keller CCN that is in the City of Fort Worth or with.in the City of Fort Worth's ETJ West of US Hwy 3?7 to Fort Worth (Map to be included} and to actively support the City of Fort Worth's apglication to incfude this area in the CCN of the City of Fart Worth. Tk�� City oi Keller agrees following the tz�ansfer of the CCN to coniinue pro�iding water to the existing customer base through an Interloca� Agreement for a period not to exceed five (5) years from the date of the TNRCC's approval of th� CCN transfer. Th.e Caty of I�eller a�r�es that no cnz�pensation %r the CCN area and facilities sha11 be due. II. City of Fort Worth A. The City of Fort Wortl� agrees to �nter into a Uniform Wholesale Water Contract upon approval �nd execution af the final documents encompassing the terms herein outlir�ed, (Any amendments to the Uniform CQntract would be subject to mutuai accEptance} B. The Cit�y of Fort Worth �gre�s to pay the first $7,500 associated with th� CCN transfer. Any amaunt in exCess of $7,500 shall be borne on a SOI�Q ratio between the tr�o cities. ���� ��u � � ��D} .� � ,� • ` . ✓r✓y� C.
