The Developer, at i#s sole cost and expense, agrees to retain the services ofi an engineerirtg firm to �r�pare tF�e plans, specifications and constructior� documents fvr improvements fo 6t Street, between N. Cammerce Street and N. Galhoun Sfreet, and drainage, as shown on EK�1k�Et "A", attached here#o, such improvements hereinafter referred to collec�ively as the Public Infrastructure". In addition the Developer shall prepare the plans and specificatians necessary for paricing lot impro�ements. B. it is agrE�d �he Developer will manage the design and cons#ruction of the Pubfic � lnfrastructure, Developer shal! award any professional services contract in compliance with Chapter 2254, Texas Go�ernment Code. It is understood and agreed that the award of t�e professional services contract to Dunaway Associates, Inc., as contemplafed herein, is deemed to be in compliar�ce with Chapter 2254, Texas Government Code. Developer shal[ be re�uired �o award any construcfion eontracts for the P�blic Improvements in accordance with the laws af the state of Texas, includ�ng but not {imited to Chapter 252, Texas Local Government Code. C, Attached hereto is tF�e Minimum Wage Rates as established by t�e City Council ofi #he City ofi Fort Worth. Developer shall be responsible for assuring its contractors pay no less than the attached Minimum Wage Rates for the construction of the Public Infrastructure. D. Ar�y de�iation from the scope of �vork or change order for #he Pui�lic Infrastructure that would resu[f in an increase in the cost of the Public Infrastructure must be approved in vvriting by fhe City of Fort Worth prior to such de�iation being made or char�ge order being issued. E. The estimated total cost of the Public In�rastructure and r�laied support services specified in this agreement, excluding design, is estimated fio be $113,012_ In accordance with this agreement as shown in �he Cost Summary and in accordance with a separate agreement between the Developer and Dunaway Associates, Ir�c., the Developer shall be responsible fior paying for all engineering services related to the Public Ir�fras#ructure to be constructed under this agreement. The City shali contribute the sum of $'{ 13,0� 2.00 for the constr�c#ion of #he Public f nfrastr�ucture. City personnel shal[ be responsible for the inspecfian of the Public InfrastructUre as they are b�ing constructed. The city inspector shall �e respo�sible for fhe preparatiot� of all payment documents. G. One (1) reproducible se� of as-built record drawings and specifications sF�all be furnished to fhe City af Fort Worth upon compl�tion of the Public Infrastructure. H. 1t is further agreed and understood by the parties hereio that �pon acceptance by the City, tifle to al{ the Public Infrastructur� sha[I be �ested in the City aft�r such acceptance, and De�eloper hereby relinquishes any right, title, or int�rest in and to said facilities or any par# thereof. l. For all Public Infrastrucfiure included in #his agr�ement for which the Developer awards its own construction contract, Developer agrees to follow the follovuing procedures: 1. T�e construction contract must be advertised, bid and awarded in accordance with State statutes pr�scribing the requirements for the letting of contracts for the construction of public work. This includes ad�ertising in a local newspaper at least twice in one or more newspapers of general circulatian in th� county or counties in which #h� work is to be performed. The first publicafion must be on or befo�e the fifkeenth {15th) day before the firs# date bids may be submitted. The bids shall be opened by an officer or employee of the City at o� in an offc� of the City. 2. To employ a construction contractar who is approved by the Director of tF�e Departmen# having jurisdictior� over t�e Pubfic �nfrastructure #o be constructed, said contractor(s} to meet Ci#y's requirements for being insured, licensed and bonded to do work in public streets. 3. To require the contractor(s) to furnish to #he Cifiy a�ayment and performance bond in the names af the City and the Developer and a maintenance bond in th� name of th� City for one hu�dred percent ('{00%) of the contract price o# the Public Infrastructure, said �onds to be furnished �efore work is commenced and to meet t�e requirements of Chapter 2253, Texas Government Cade. The st�rety company on al! bonds shal� be reasona�iy acceptable to the City. 4. De�eloper further shail require the contractar(s) to provide public liabilify in�urance equal to or i� excess of the amounts required by the City's specifications co�ering tY�at �articular work. 5. Developer shaEl giue 48 hours nofice to the City's Departmer�t of Engineering, Construction Services Division of intent to commence construction so that City inspection parsonnel will b� available; and to re�uire the contractor to allow the construction to be subject to inspection at any and al! times by City inspec#ion forces, and not to install any storm drain pipe unless a responsible City inspector is COMMUNITY FACfLIT1E3 AGIt��MBNT LA GRAVE FIELO Page 3 of b present and gives consent to proceed, and to make such iaboratory tesfs of maierials being used as may be required by the City. J. During the course of construction, De�eloper further covenants and agrees to, and by these presents does he�reby fully indemnify, holc! harmies� and defend t�e Ci#y, its officers, agen#s, and employees from a�d against any and all ciaims, sui�s or causes of action, of any nature whatsoever, brought for, or an account of any injuries or damages to persons or property, including death, on account of any negligent act or intentional misconduct of Developer. K. Developer will further require its contractors {not including Dunaway Associa#es, Inc.) to indemnify, hold harml�ss and defend tf�e City, its officers, agents and employees from and against any and aii claims, suits o� causes of action of any nature whatsoeve�, whether real or asserted, braug�t for or on account of any injuries or damages to persons or property, including death, resulting from, or in any way. connected with, the cpnstruction af the Public Infrastructure, whe�her or not caused, in whole or in parP�, by ghe neglrgence of officers, agents, employees, ficensees, or invitees of fhe �ify. L. Developer covenants and agrees th�t it discriminates against no individual in�ol�ing employment as prahibited by the terms of Ordinance No. 7278 (as amended by Ordinance No. 7400), an ordinance prohibiting discrimination in employment practice because of race, creed, color, religion, national origin �except for illegal aliens}, sex or age, unless sex or age is a�ona#ide occupational qualifica#ion, and that any subcont�actor or emplayment agency, either furnishing or referring appEicants to ❑eveloper, and any agent �of Developer, wil[ also be prohibited from discriminating against any in�ividual invalvi�g employment as prohibited by the terms af sucf� Ordinance No. 7278 (as amended by Ordi�ance No. 74�0}. M. The plans, specifications and construction documents �For the Public lr�frastructure produced pursuant to the separate agreement between Deve�oper and Dunaway Associates, Inc. are subject to the wri#ten approval of the City. Appraval by the City shal� not constitute or be deemed to be a release of the responsibility and liability of Dunaway Associates, Enc., its subconsul#ants and agents. Such approval shall not be deemed to be an assum�tion af such responsibi[ity and li�bility by the City for any defect in the designs, s�ecifications and contract documents prepared by Dunaway Associates, Inc., its subconsultants and agents, it being the intent of the parties that approval by the City signifies the City's appTo�al on only the gene�al design concepf af the improvements to be co�s#ructed. in t�is connection, the De�eloper will include in its contract with Dunaway Associates, Inc. a requirement that Dunaway Assoeiates, Inc. will, for a period af fi�e (5) years after the acceptance by the City of the completed canstruction project indemnify and hold the City and all of its officers, agents, servants and employees harmless from ar�y loss, damage, liabiliiy or expense, on account of damage to property and injuries, inc�uding death, to all persons which may arise out of any defect, deficiency or negligence of the enginee�'s designs and specifiications �ncorpora#ed into any impro�ements COIv1[vIUNITY FACdLITIES AGREEMENT LA GRAVE FffiLb Paga 4 of b cons#ructed in accordance �herewith, and further require Dunaway Associates, Inc, to d�fend at its own exper�se any suits or other proceedings f�rought against the City and its officers, agen#s, servants and employees, or any of them on account thereof, to pay all expenses and satisfy all judgmenis which rrmay be incurred by or renc�ered against t�em or any of them in connection therewifih. N. Venue of any action broug�t hereunder sf�all be in Fort Worth, Tarrant County, Texas. O. The City's Policy for the Installation of Community �acilities, as adapted by the City Council on March 2D, 2001, is hereby incorporated �erein �y reference, and Developer co�enants and agrees to comply with said Policy as a condition of this contract. The fallowing descriptions of work apply, as appropriate, to the areas inc[uded in the Community Facilities Agreement: STREETS Street improvements as shown in Exhibit A will be in accordance with plans and specifications prepared by #he De�eloper's engineer and a�proved by ihe Direc#or of Transpor�ation and Public Wor�Cs. 2. STORM DRAlNAGE Storm drain improuements as shown in Exhibit A will be in accordance with plans and specificatio�s prepared by the De�eloper's engineer and approved by #he Director of Transportation and Pubfic Wor�Cs. 3. OTHER WORKS ln the event that other work is required it will be included as a specific requiremeni to this Cammunity Facilities Agreement. 4. FOR THE DESlGN AND C�NSTRUCTION OF' STREET AND STORM DRAINAGE IMPROVEMENTS 1N LAGRAVE FIELD AREA RECOMMENDATION: ]t is recommended that #he Cify Council authorize the City Manager to execute a Community Facilities Agreement with LaGrave Reconstruction Company, L.L.C. far the design ar�d construction of street an� storm �rainag� impravements in the LaGrave Field area at an estimated cost �to the City of $113,012. DISCUSSION: ln December 200Q, the City Council authorized th� issuance of $45,040,QOa i� Certi��ates of Obligatian to address critical capital projecfs, which includes $2,50�,OQ0 in new development funds to su�plement the 1998 Capital Improvement Praject new dev�lopment fiunds. LaGrave Reconstruction Company, L.L.C., ihe dev�loper of LaGrave Field (Developer), has executed a proposed Communi#y Facilities Agreemenfi (Agreement} to make certain street paving and storm drainage impro�ements i� the �aGrave Field area. Under the terms of this Agreement, the ❑eveloper will retain and fund the services of an engineering firm to pre�are the plans, specifcations and construction doc�ments for #f�e impro�ements to 6th 5tr�et between Nartl� Commerce Street and Nortn Calhoun 5treet and the necessary storm drainag� improvements. The De�el�p�r will also cornpetitively bid and award the canstruction contract. Tt�e City of Fort Warkh will fund the canstruction at an estimated cost of $113,012 and do the insp�ctio� af the project during construction. � FfSCAL lNFORMATIONICERTIFICATiON: The �inance �irector certifies that funds are a�aiEable in the current capital budget, as appropriated, of the Critical Capital Projects Fund.
