I r C The location and descrip#ion af said encroachmen� is mare particulariy described in Exhibit "A", attached hereto, incorporated herein and made a part hereo'F for ali pur�oses. 2. All constfuction, maintenance and operation ir� connection wit� such encroachmen#, use and occupancy shall be pertormed in strict compliance with the Charter, Ordinances and Codes of the City and in accordanee with the c�irections of the Director of Transpor#ation and Public Works of City, or his duly auihoriz�d represen#ative. A!I plans and specifications thereof shall be subject to the prior written approval o� the Direcfor of Transpottation and Public Works, or his duly authorized representa#i�e, �ut such approval shall not relie�e Grantee of responsibilif.y and �iabiiity for concept, design and computa#ion �n p�eparatian of such plans an� specifications. � Upon comple�ian af cnnstructio� and thereafter, there shall be no encroachments in, ur�der, on or above the surFace area of the streets, alieys, sidewalks and other public rights-of-way involved, excep# as describe� h�rein and shown on the hereinabo�e referred to Exhibit "A". 2 11 � 4. Grantee, at no expense to the City, shall make proper pro�isions for �he relocation andlor instalfation af any existing or future utilities affec#eri by suc}� encroachment use and oceupancy, inclu�ing the securing of approval and consent from the utility companies and the appropria#e ag�ncies of the Si[ate and its political subdi�isions. In the e�er�t that any instailation, reinstailation, relocation or repair vf any existing or future utili#y or impror�ements owned by, constructed by or nn behalf of the public or at public expense is made more costiy by virtue ofi the const�uctian, maintenance or existence of such encroachment and use, Grantee shall pay to Cfty an additional amount equat to such additional cost as deiermined by #he Director of Transporta�ion and Public Works of the City, or his duly authorized �epresentative. � City may enter and uiilize the referenced areas at any #ime far the purpvse of installing nr maintaining improvements necessary for the health, safety and welfare of the public or for any other �ublic purpose. In this regard, City shall bear no responsibility ar liability ior damage ar disruption of impra�emenfs installed by Grantee or its successors, but City wili make reasonable efForts to minimize such �amage. Q ln order to defray a11 costs of inspection and sUPervision whEch City has incurred or might incur as a resu�t of #he construction or maintenance of the 3 � ', � encraachments and �ses provided for by this agreement, Grantee agrees to pay to City at the time �his agreement is executed an appfication charge in the sum of � di ����12 I�(! �1� � ���1-}"'i�'J '�iN� Dollars ( �� ). 7. The ini�iai term of this agreement shall be thirty {30) years, commencing on the date this agreement is executed by the Ci#y of Fort Worth. : Upon termination of this agreement for any reason wha#sae�er, Grantee shafl, at the option of City and at r�o ex�ense to City, restore the �ublic right-of- way and adjacent supporting structure5 to a candition acceptable fio the Director nf Transportation an�d Public Wor�s, or his d�ly authorized representa�ive, and in accordance with then existing Ci�y specifications. � It is furth�r understood and agreed �pon between the parties �er�to tha# the C9#y s#reets, alleys, sidewalics and other public rights-af-way, including the portions af such streets, alleys, sidewal�s and other pUblic rights-of-way tv be used and encroached upon as d�scribed �erein, are held by City as trustee fior the public; that City exercises such powers o�er the s#reets as ha�e been delegated to it by the Consti#ution of the State of Texas or by tY�e Legislature; and that City cannof con�ract away its duty and its legislati�e �awer to control the streeis for tF�e use and benefit of th�e public. I# is accordingiy agreed that if the governing bvdy of City, to wit, its City Council, should at any time du�ing the term hereof det�rmine in its sole discre#ion to use or cause vr permit the said portior�s 4 of the streets, aHeys, sidewalks and other rights-of-way to be used for any oth�er public purpose, includ�ng but nat being iimited to underg�ound, surFace or ove�head commur�ication, drainage, sanitary sewerage, transmission of natural gas or elec#ricity, or any ather public purpase, whether presently contempla#ed or not, then this agreement shal� be automatica�ly canceled or terminated, 10. Grantee understands and agrees tha# the granting of any encroachment �ereunder is not meant to conv�y fo Grante� any right to use or occ�py property in which a third party may have ar� inferest, and Grantee agrees fhat it wili obtain ail necessary p�rm�ssion befare occupying such property. 1�. 0 Grantee agrees to comply fuliy wit� all applicabie federal, state and lacal laws, sta�utes, ordinances, codes oT regulations in connection with �he construct�on, operation and maintenance of said encroachments and uses. 12. Grantee agrees to pay promptly when d�ae all fees, taxes or rentals prvvided for by this agreemer�# or by any fed�ral, state or }ocal statute, law or regulation. 'i 3. Grantee ca�enants and agrees that it sha11 operate hereunder as an inde�enden� contractor as to all rights and priviieges granied hereunder and not �s an afFcer, agent, servant or emp�oyee ofi City; that Grantee shall have exclusi�e control of and the exclusi�re right to control t�e details of its operatians, s an� a11 persor�s perForming same, and shall be sol�ly responsibte for ihe acts and omissions of its � officers, agents, servants, employees, contractors, subcontractors, licensees and in�itees; that t�e doctrine of respandeat superior shall not apply as between City and Grantee, its o�fficers, agents, servants, employees, con#ractors and subcontractors, and nothing herein shall be construed as creating a partnership or �oint enterprise between City and Grantee. 14. Grantee covenants an� agre�s to indemnify, and does hereby indemnify, hold harmless and defend City, its officers, agents, serrrants and employees, firom and against any a�d ali ciaims or suits for property damage or loss andlor persona! injury, including death, to ar�y and all persons, of whatsoever kind or character, whether real or asser�ed, arising out of or in connection wiih, directly or indirectly, the cor�struction, maintenance, accupancy, use, existence or Iocation of said encroachment and uses granted hereunder, wnether or not caused, in whole ar in part, by alleged negligence of officers, agents, servants, emplayees, contractors, subcontractors, licensees or invitees of �h� City; and Grantee hereby assumes a!I liability and responsibility for such claims or suits. Grantee shall likewise assum� all liability and respon5ib�lity and shall indemnify Ciiy fior any and all injury or damag� tc� City property arising out of or in cannection with any and all acts or omissions of Grantee, its ofFcers, agents, servants, employees, con#ractors, subcontractors, licensees, in�itees, or trespassers. 6 'i 5. Grantee agrees to furnish C�ty with a Certificate of Insurance, naming City as certificate holder, as proof #hat it has secured and paid for a policy of pubfic liabrlity insurance co�ering all public risks related to the praposed use and occupancy of public property as located and described in Exhibi# "A". The amou�ts o�F such insurance shall be not less than the �ollowing: Property damage, per occurrence $100,OOQ Bodily injury, per p�rson $250,OD0 Bodily injury or death, per occurrence $5p0,D00 with the understanding of and agr�emer�# by Grantee that s�ach insurance amoun#s shall be re�ised upward at City's op�ion and that Grantee shal! so re�ise such amounts immediately following notrce to Grant�e of such requirement. Such insurance po�icy s�all pro�ide tha� it cannot be canceled or amended without at least ten (9 Q) days privr written notice to the Building �fficial of the City of Fort Worth. A copy of such Certificate of Insurance Fs attached as attached as Exhibit "B". Grantee agrees to submit a similar Certificate of Insurance annually to Cify on the anni�ersary date of the execution of fhis agreement. Grantee agrees, binds and obligates itself, its successors and assigns, to maintai� and keep in force such public liability insurar�ce a# a!I times during #he term of this agreement and unti� t�e remo�al o� all er�c�'oachments and the cleaning and restoration of the city streets. All insurance coverage required herein shall inciude coverage of all Grantee's contractors. 0 7 16. Grantee agrees to deposit with the City when tF�is agreement is executed a sufFcient sum of money #o be used to pay necessary �ees to record this Cvnsenfi Agreement in its entirety ir� the deed records of Tarrant County, Texas. After beirtg so recorded, the original hereof sF�all be returned to the City Secretary of the City of �ort Worth, Texas 17. In any action brought by the City for the enforcement of the obligations of Grantee, City shall be enti�led to reco�er interest and reasonable ai�orney's fees. : Grantee covenants and agrees that it wiil no# assign ail or any of its rights, privileges or duties under this contract without the prior written approval of City, and any attempted assignment without suc� prior written approval shall be �oid. 19.
