autl�.arized representative LibUy Watson (Lessee). The term "I.,essor" s1�aI1 include the agents,
representat��es, employees, and coi�t7ractors of Lessor. The terin "Lessee" sliall incl�de the agents,
representati�es, and employees af Lessee. .
S�CTION 1. Leased Premises. For and in cansideration of the rental payments to be paid under
this L�asc, Lessor leases to Lessee and Lesse� Leases from Lessor:

� The office space, together with any and all stnict�ires, improvemeizts, fixtures and

boundaxi�s atad lacation of tl�e Leased Pre�nises are describec� on the attached Exhi��it A rnade a part
hereof.
SE�TION �. Use o[ premi.ses. The leased pre�nises shail be used as office s�ace for t�i� Fort Worth
Paliee vepartment, including off-duty polic� officers.
S�CTTON 3. Tertn aitd Rent. This lease shalt �e for a period oion� year cnmmencing on January
1, 2002 a�id teiminating on DecemUe�r 31, 20Q2, unless a prior tei�lination is eiFected hy either
Lessor ar Lessee tuider the termifiation pmvisians of iliis Lease. Lessee sha�l pay Lessor at�nual reni
of $�,240.00, payable z�� manthly payments of $350.40. T1ie rental payznecit shall i�e made t� tf�e
Lessor on tlle ��•st day af the tetm and each month fihereafter including ar�y extension of the Lease.

two s�tccessive tenns, provided t,.at Less�e natifies Lessor in writing of its intent io extend on or
hefore 30 days prior to the expirafiai� o�' th� Lease ar aziy .$xtension. The notice sllall b�: deeined
effective when dep�sited by Lessae �� United States mail, postage prepaid, certified mail, return
receipt recluested, addressed to Les�ar, Tlte terms of t1�is Lease shall continue ta go�+ern and control
the retatioj3ship ofthe parties c�uring ai�y extensions.
SECTION 4. '�'axes, Ittsurance, Ut�lities, Care of tiie of ilie Leased Pe��mises. L.assee agrees to Ue
responsiblc for the ��yment of al! electricity, naiural g�s, water, or other utility cl�arges that come dne
and payable durit�� the terin Lessee occupies the Leased Ft•emises. Lessar agrees io pay all taxes and

insurance on fh� property as th�y come dtte, Lessar shall keep the Leas�d Premises in good, elean
and habita�Ie condition, normal wear and tear excepted.
L�ssor shall mairltain in good repair the roof, fou�idation, and exterior walls o� the Leased
Premises. Lessee agrees to giv� Lessor written notice of defects or need for repairs in tlle roof,
foundation, anc� exterior walls of tl�e Lea�ed Prernises. If az�y repairs required to be made by Lessor
are nat commei�ced or made wifihin tliirty.calendar days af�er written notice is delivezed ta Lassor by
Lessee, Lessee may tenninate the Lease.
SECT��N �. X�sura��ce. L�ssar agrees to insu��e the strncture and preinises of 125$ Woodhaven
Blvd., Far[ Worfh, Tarrant County, Texas "1G112. Such itasurance shall, provide protection �'or
liabi�iiy, fre ai�d casualty, and property da�nage for tl�e property owned by the Lessor, situated at, and
it�cluciing, the T.,eased Premises. Veri�catian of tl�is coverage shalj be pro�ided to Lessee priar ta the
executian o� this contract. Lessee assumes iio lia�iliiy or financial obligation for the acq�xisition or
maintenance of sucl� insurance; all costs incurred during the caurse of insuring the premises s1�a1� be
borne salely �y the Lessor. �
S�CTION 6. Liauiiitv a�nd Hold HarmZess. Lessor cavenants and agrees to.,re�ea��, indemnify,
hold hannless and d�fend Lessee, its off cers, agents, servants, and employees, frc�m and against any
and all claims ar suits for �roperty damage, p�rsatial injury, or any otlier type of loss ar ad�erse
consequance related in any way to the existence of this Iease or the use or occupancy of the Leased
Prernises, rc;gardless of wl�ether th� act ar omission camplained of results from tha alle�ed negligence
or any otl�er act or omission of Lessor, Lesses, or �.ny t�ird party. Lessor shall Iikewise release,
in.demnify, l�old haxmless and defend Lessee from and a,�ainst ��y and aIl claims ar suits related in
any way ta any damage to, or defects in, the Leased �'remises or any other adverse oonsequences
related to tlle Leased Premises, ragardless of whether the act af omissiot� compXained af resnits from
tlie allegecl iieg�igence or any ather act or omission af Lessor, Lessee, or any third party. .
SECTION 7. �'ixtures . Lessor herein agrees that no properky ar equipment, owned or insi�lled by
Lesse�, or a�ly representative of Lessee, slxall, under any circun�stances, become a fixtur�, and that
Lessee shall a•eserve the right to remove any and all such property or ec�uzpm�nt at any time during the
#erm o:f this Ieas�, or subsequent to its termination by either pai�ty. Lessor furtlier agrees tl�at shelhe
will, ai no time, liold or retain, any praperty owned or installed by Lessee, for any reason whatsaever,
SLCTIOPV S. 'Ter�nination and Rii�ht af Insuection . Lessor shall have the right to terminate this
Lease at any Efine for any reasan unrelated to Lessee's default ar hreach of any of #he tein�s expressed
herein by giving Lessee 30 days' written notice prior to the int�nded #erminatioxi dat�. The not�ce
shall be deemed effective when deposited by Lessor ic� United States mail postage prepaid, certified
rnail, retutn receipt requested, addressed to Lessee. � �
Lessee sl�all have the rigl�t tv tenniilate �his �.ease at any tirne for a�ay reason unrelated ta
Lessor's default or breach of aiiy o� the terms expressed herein by gi�ing Lessor 30 days' written

If Lessee elects to l���ininate t11e Lease because of any alleged default ar breach by Lessor af
any Lease provisiaais, Lessec shall be required to give Lessor in�mediate notzce in wnting of that
intentian stating specifically [lxe reasons therefor and alIowing Lessor f�f�een calendar days after the
date a#�Le�sar's receipt of thc notice to cu:re any or all dei'aults(s) ox• bt�each(es) specified in the na�ice.
Tf the spe;cified defaults or Ureacla(es} of Le�sor are not cured to the satisfactian of Lessee's
Admiz�istrt�tar of Real Prape�-ty Management, the Lease will he terminated.
If t���is Lease is termi»ated uuder t11is seciion, oz as a result af tli� expiration of the Lease term
or any renc���tl period, neithci� pa�•ty slaali l�a�e any furthar abligatian or Iiability ta the other under
t%is Lease, �xcept that Lessar and Lessee shall b� liable for the bi•eac�i of tet-m cavenant or condition
contained iii #his Lease occljrring prior to the date of tUe surrender of the Leased Prexnises by Lessee
pursuant to tlle tertninatioai. Lessor and Lesse� shall be bound by the terms, covenants and conditions
expr�ssed �ierein until Lessce surrenders tl�e Leased the tenns, covenants and conditions expressed
herein until Lessee surrencls;rs the Leased Pxemises, regardless of whether the date of surrender
coincides with the date of terxninativn of the Lease.
Lessor xes�rves tl�e x'igUt to en�er upon the Premises at alI reasonable times �or t�e purpose of
�nspecting the Leased Prei7iises, provided ihat such entry does not conflict with �Lessee's rights
hereunder,
SECTION �. I+`unt�in�, Nuu-A�nranriatioii and Te�,mination. Tliis lease sha11 t�nninate in the
evcnt tha� the governing l�ody of Lessee shall fail tv approp�riate sufficient funds tn satisfy any
obligation of Lessee hereuiider. Te�-�nination shall b� e£fective as of tlse last day of the fiscaI period
for which sufficient funds were appropxzated or upon expenditure of all appropriated funds, whiche�+er
comes firsi. Teixnination �t�rsuant to tllis nan-appropriation clause shall be without f-�rther penalty or
expense to e�tl��r party.
S�CTION 1�. Surrendea• uf Leas.ed Premises. Upon the termination of this Lease for any reason
whatsoever., I.essee shall su�rent�er possession o� the Leased Premises in tl�e same co'nditiQn as the
Leassd P:remises were in i�pon delivery of possession under �he Lease, reasanaUle wear and tear
excepted. Lessee also shail sut'�render all keys far the Le�sed Premises ta L�ssor a� the place then
fixed far the paymenk for reill and sha11 inform Lessor of alI carnbinations on locks, safes, and vaults,
if any, on the Leased Preniis�s. Lessee shall rerr�ove al1 its fitrniture and equipment on or be�ore the
terminatian of ili� Lease; a�id Lessee sUall be responsible for r�pairing any damaged to the Leased
Premises caused by the re�aoval of furniture and equipment.
SECTIOlii i1. Governmezxtal Regulat�ons. Lessee agxe�s ta comply ftally with all applicab�e
Fcderal, sfiate, and municipal laws, statuies, ordit�az�ces, codes, or regulatians in conn�ction with use
af the Leaseci Premises. P��avided, liowever, Lessor (i) sl�all niake aIl i�r�provements necessary to
make the Leased Premises comply �vith the Americans With Dtsabilities Act of 1990 ("ADA"), 42
U.S.C. § 1210I et sen., sha�l fully indemnify and hvld i�armless Lessee from and against any and all
claims, 1�55@5, damages, suits, ai�d liaUility of �very kjnd, in�luding all expenses of litigation, arising
out of ar iii evnnection witla the Leased Premis�s' coinpliance, or lack tif compliance, witl� ADA, and
(ii) shall make aIi improve�nents necessary to c4i�-ect andl or abate alI environmental hazards of tha
Leas�d Preiiiises. �

SECTION 1�. Acceptance oi Leased Premises . Lessee represents tl�at it iakes the Leased
Premises iz� good condition and that the Leaseri Premises are suitable for the purpases far which tl�ey
are bein� leasecl.
S�C�'I�N 13. Assi�nmc��t. Lessee sha11 not assi.gn or sublet t�us Lease withaut the prior written
approval of Lessflr. Upaii issuance of such approval, t�iis Lease shall be binding aii the successors,
and iawful assignees of Lessor at�d tl�e s�.iccessars aF Lessee, as perinitted �y the terms of ll�is
agreemenl anci by the laws o� tlie �tats ef Texas a�id tl�e United Slates. Any person or eiltity usin� or
accupying �he Leased Premises w�thout a lawfiu� assigtunent or suUlease sha13 be subject to all the
rasponsibilities �.nd IiaUiliiies of Less�� and shall be sul�ject to ali provisions regarding termination
ar�d e�ictio�i.
S�CTION �4. Policc P�•atection. Lessor �g�'ees and understands that Lessee in no w�y promises ta
provide increased police pratection or more rapid emergency response tiine because afthis Lease. No
special, relatio�sllip shall exis� Uetween� Lessar or Lessee other than that af landlvrd and tenant.
Lessee shall provide na greatcr police prot�ctio�� 10 Lessor than is provided to all other reside�zts and
businesses o� tlae City of Forl Wortl�.

and Lessee, a�id sllall supersede any �ri�r agreements, eiiher oral or written, pertaining to the Leased
Prernis�s.
S�CTION 1'�. Waivers . One oz' more waivcrs of any covenant, tern�., or conditiorl oi lhe Lease by
either Lessor ar Lessee sl�all not be construed as a waiver of a suUseq��eilt breac�t of the same �
covenant, ie�•m, nr condition. The cansent or approval by either Lessor or Lessee to or of any act by
the ather party requiring such consent or approval shall nat Ue deemed a waiver or render unnecessary
conse�nt to or approval oF any subsequen� similar act.

RECOMMENDATION:
[t is recommended that the City Cauncif:
1. Authorize the City Ma�ager to execute a leasa for approximately 1,625 squar� feet of office space
located at 1258 Woodhaven �Baul�vard from Shil�h Realty Management at a cast of $4,2aQ per
year; and
2. Auti�orize the lease to begin January 1, 2aQ2, and expire December 31, 2002, with options to ren�ew
for #wo one-year periods. '

D[SCUSSION:
The En�ineering Department, Rea1 Property Services L ivisian, at the request of the Police Department,
has negotiated to lease affice space for a police storefrar�t.
The term of the lease is ane year, with two ane-year options ta renew. There is a rental charge af $3�0
per mflntf� for ths space. All utiliti�s and telephane service are to be paid by the City o� For� Worth.
The City has leased this spac� since Decem�er 1997. The previous lease agreement expired
December 39, 2040. Before that agr��ment expired, the Real Property 5errnc�s Division began the
negatiatior� process for a new lease agreement, which was nat signed by the land[ord until February 28,
2002.
FfSCA� INF�RMATIONICERTIFICATION:
The Finance Director certifies that funds are availabfe in the current aperating budget, as appropriated,
of the Crime Cantroi and Pre�ention District Fund.
