It is ��pressly undexstood and agre�d thai this Consent Agreement
�s for a�empoxaxy en.croachmeni in, under, over and upon the pui�lic
pr�operiy as Iocated and desc�ibed in ��ibit "�3", 'This �agreement shaZl
nat be construed as �he granting of a pernlanent easement, encrvachment .
or li�ense upon City's pub�ic streets, a�Ieys, sidewalks or other rights�af
way.

City, through i.ts duly autho�ized repxesentairves, sha11 ha�re fhe fu1l
and unrestricted rzght to enter upon a11 public rights-of way for the
purpose of makin� �.nspection.� to detex�mine comp�iance wi�hh. the terms, .
covenants and conclitions he�ein. S�i #h� event tt�ai any inspection should
reveaJ. a br�acl� af a�ay t�nns, cavenants or conditions her�in, City sha�l
give Gra.ntee not�ce of such breach. Should such breach noi be �
eorracted by Graniee w7.t�hin. twenty-four (�4) hours of rec�ipt of the
notice, or wi.th�.n such shaxter period of time as deemed necessaxy �y �he
Bui�d�g Of�icia� for the pra�e�on of public health or safety, City may
ie�minate and cancel thi.s agreeme�t.

Upon expiratian or �erm�n.a,�on of this agreement for any reason
whatsoever, Grantee shall, a# no exgense to City, restore the public
righ�s�of way an.d adjacent supporking structures tv a conditian
acceptable to t1�.e Di�ectar of Transportation�and Public V�J'orks ax his
�du�y authorized r�presentative and i�. accordar�ce with t�i�n e�st�ng C�t� �
��eczfica�ians, and C�raniee shall remove aI1 barricades, equipment,
supplies, ma.ferials ox o�her praperty from said locati,an. Gran�ee fu.rt�ie�=

begin su�h repairs w%thin tlurty (3U) days of xeceipt of notice from the
Dixec�or of Tra�gortation and PtrbZic Wvrks o� his designee. A11
repairs sha11 be performed in an expeditious and worlcmanlike manne�
and sha11 comply with all applicable laws, codes, ordivances and City
spec��tca�.an.s.

pawers over the sixeets as have been delegated ta it by the Coxastitution
of the State o� Texas or by the Legislature; and th�.t C�ty cannot �cantract
awa� its du�y and it� l�gis�a�.ve power to cantral fi1a� sireeis for ih� use
and bene�t vf �.e public. It is accardin.gly agreed th.�t i.f the governing
b4dy of City, ta wit, its Czty Cot�cY�, should at any ti.n�e duru�g th� term �
h�r�Qf detemun.e in its sole discretion to us� vr cause or permit to be �
used for any public purpose the said �ncraached portian of the. sixeet�,
then �Ius agreem�ni shai� be automat�cally canceled and ternunated.

offi.cer, agent, �ervant or emp�oyee of City; that Crrantee sha11 have

operaiions and ac�ivities on said described public pxoperiy and a11
p�rsor.� p�rfomn�ng same, and shall be solely responsib�� fa� �1a.e acts
and amissxons of its of�'tcers, a�en�s, servants, employees, con�raciors,
subconiractaxs, licerisees and inritees; �a� the doctrine oirespondeat
superior sha.�l �ot apply as between City and Gran�ee, �ts officexs, agents,
�ervants, employee�, �ont�a�tors and subconfractars, and nothing herezn
shall be construed as creating a partuership ox joint enterprise be�tween
C,zty and G�ra.n.t�e.

Ci�'y as certi�cate holder, as proof that it has secured ax�d paid fo�r a policy af
public �iab��ity insu�an.ce� cover�ng all public nsks xe�ated �a the proposed use
and occupancy of public groperty as located a�d described in Exhibit `B".
