WITNESSETH: 1. For and in co�sideration of the payment by grantee of th� application charge set out below and the true and faithful performance af the mutual co�enants herein confained, C�ty hereby grants to Grantee permission to encraach �pon, use and occupy portions of the space under, on andlor above the streets, alleys, sidewalks and other public rights-of-way as follows: 9. i�liscellaneous buildin_a encroachmenfs are as outlined in Lxhi6it `,4' sheets A�.9. The location and description of said encroachment is more particularly described in Exhibit "A", attached hereto, incorporated herein and made a part hereof far all purposes. 2. All construction, maintenance and operation in connection with such encroachmen�, use and nccupancy shall �� perFormed in strict compliance with t�e Charter, �rdinances and Codes of �he City and in accordance with the directions of the Director of Transportation and Public Works of City, or his duly authorized representati�e. All plans and s�ecifications thereof shall be subject to the prior written appraval of the Director of Transportaiion and Pu�lic Works, or his duly autnvrized representative, but such appro�al shall not rekie�e Grantee of responsibility and liability for concept, design and computation in preparation of such plans and s��cifications. 3. Upon completion of construction and thereafter, t�ere shall be no �ncroachments in, under, on or above the surFace area of the streets, alleys, sidewalks and other public rigi�ts-of way in�ol�ed, except as described herein and shown on the hereinabo�e referred to Exhibjt "A". __ __� ` �i� '���� � ���` ��`u� 2 L � ��~'�r� � �� o � �-�� � � . 0 4. Grantee, a� no expense to the C�ty, shall make proper �rovisions for the relocation andlor installation of any existing ar future utilities affected by such er�croachment use and oecupancy, including the securing vf approval and consent from the utilify campanies and the appropriate agencies of the Sta#e and its political subdi�isions. In the event fihat any fnstallation, reinstallation, relocation or repair of any existing or future utility or impro�ements owned by, constructed by or on behalf of the public or at public expense is mad� more costly by �irtue of the cortstruction, maintenance or existence of such encroachment and use, Grantee shall pay to City an additional amount equal to such additior�al cost as determined by the Director of Transpartatian and Public Works of �he City, or his duly au#horized re}�resentative. 5. City may enfier and u�ifize the referenced areas at any time for the purpose of instalGng or maintaining impro�ements necessary for the health, safety and w�lfare of th� public or for any ather publie purpase. In this regard, City shall bear no responsibility or liability for damage ar disruption of improv�ments instaEled by Grantee or its successors, but Cify will make reasonable efforts to minimize such damage. � In order to defray ail costs of inspecfion and supervision which City has incurred or might incur as a resu[f of the construction or mai�tena��n� �f the _� � �'�I����i!' .i� ,�''�'��I�V `�t��f �:�, If7;�i:"!}f I'I� ;i'� �� � . 3 t ' ' �° 0 encroachments and uses pro�ided for by this agreement, Grantee agrees to pay to Cify at the time this agreement is execUted an applicatian charge in the sum of Three hundred, thirtv f�e 7. Dollars ( � 335.00 � The inifiial �erm of this agreement shall be thirty (3D) years; commencing on �he date this agreement is execute� by the City of Fort Worth. : Upon termination of fhis agreement for any reason whatso�ver, Grantee shall, at the o�tio� of City and at no expense to City, restore the public right�of� rNay and adjace�t supporting sfiruetures to a condifion acceptable to the Director o# Transpa�kation and Public Works, or his duly authorized representative, and in accordance witF� then existir�g City specifications. � It is further understood and agreed upan between the parties hereto that the City streets, alleys, sidewalks and other public rights-of-way, including the partions af such streets, all�ys, sidewalks and other public righfs-of-way fo be used and encroac�ed upan as described herein, are held by City as trustee for the pubEic; that City exercises such powers over the s#reefs as �ave beer� de{egated to it by the Constitution of the State of Texas or by the Legislature; and that City cannot contract away its duty and its legislati�e power fo control the stree�s for the use and benefif of the public. Graniee understands and agrees that the granting of any encroachment hereunder is not m�ant to convey to Grantee any right to use or occupy property in which a third party may have an interest, ar�d Grantee agrees fhat if wi{! obtain all necessary permission �efore accupying such praperty. �1. Grantee agrees to comply fully with aA applicable federal, state and local faws, statutes, ordinances, codes or regulations in connection wifih the canstructivn, operation and maintenance of said encroachments and uses. 12. Grantee agrees ta pay promp#ly when du� all fees, taxes or rentals provided for by this agreement ar by any federal, state �ar local statute, law or regulation. 13. Grantee covenants and agrees that Et shall operate hereunder as an independent contractor as to all rights and pr[vile�es granted hereunder and nat as an officer, agent, servant or employee of City; that Grantee shall i�ave exc�usi�e control of and the exclusive right to control th� details of its operations, I �1�������� V"t'�:'���G���,; . ...�,�' s y �';�.,� � �: � ', � '�; ,. '� ��A f and all persons performing same, and shall be solely �esponsible for the ac�s and omissions of its officers, agents, servants, employees, contractors, subeontractors, licensees and invifees; that the doc�rine of respondeat superior shall not apply as between City and Grantee, its officers, agents, servants, employees, contractors and subcontractors, and nothing herein shall be canstrued as creating a partnership or joint enterprise between Ciiy and Grantee. 94. Grantee shall, to the extent aut�orized under the constitution and laws of The S#ate of Texas, indemnify, hold harm[ess and defend City, its afficers, agents, servants and employees, from and against any and all claims or suits for property damage or Ioss andlor personal injury, including death, to any and all persons, af v+rhatsoever kind or cF�aracter, whether real or asserted, arising out of or in connection with, directly or indirectly, the construction maintenance, occupancy, use, existence or location of said encroachment and uses granted hereunder; and Grantee hereby assumes all liability and responsibility for such claims or suits. 15. Grantee i� a governmental entity and is self insured fo the extent of its liabifity under the Texas Tort Claims Act. �6. In any action brought by the City for the enforcement of the obligativns of Grantee, City shall be entitled to reco�er interest and reasonable attorney's fees. � Grantee covenants and agrees that it will not assign al[ or any of its rights, privileges or duties under this contract without the prior writt�n approval ofi City, and any attempted assignment w�thout such prior writte� appro�af shall be �oid. 19.
