IV. TRAIN'INGANDSUPPORT
I.S.r. wi11 provide on going on-site installatiar�, assistance, and training on �'11�14� = 11/UII, In addition, I.S.I.
will provicEe telephone'HELP' supportfrom approximatel�r 9:00 A.M. Pacific Time until 5:00 P.M. Pacif�c Time,
Monday through Friday, normal halidays exaluded.
The ClJS7�MER agreesto provide telephone Iina access and a modem capahle ofalfawing I.S.�. communications
access to pro�ide'REMOTE' suppart on a pre-arranged basis. I.S.I. will prqvide the software aammunications
lin�a.
C{erical training is ineluded in the annual subscription charges. On a mutually agreeable schedule I.S.I. will
provide training semi�ars tp the Cl1STOMER. This training will be provided at no additional ci�arge to the
CUSTDMER.
V. BILLING
The CUSTOMER will be bil�ed an a M�NTHLY hasis. CHARGES are adjusted ON A QUARTERLY BaSIS,
BASED ON THE NET Ap�ITfONS OR QELETIONS of INV�NTORY ITEMS to the system. THREE (3)
MONTHLY invoices will be mailed durir�g the first week af EACH {�UART�R. Invoices far each mar�t�t are
due and payable no fater than the 15�'' day of the calendar month �ollowing the month for which the
INYOICE applies. {See APPENDIX A�or monthly charge�,
VI. PROPERTY
All camputer pragrams, written procedures and similar items provideci by 1.5.1., are the exclusive
praperty of l.S.I., and shail aEways remain the property of I.S.1., unless there is att express written
pro�ision to the avntrary.

responsibility of the CUSTOMER to praperly haclt up, store and safeguard.
All ClJSTOMER furnished information and data resutting from the operation of I.S.I."s prograrns an the
CUSTOMER's infvrmation in eonneation with this agreement shall be the sote and exclusive property of the
CUSTUMER.
Such information is the proprietary property of the CUSTOM�R and constitutes gavernment records of the
CUSTOMER. I.S.i. shalt treatthe CUS70MER's information as confidential and shall safeguard itto the greatest
extent practicable.
�urthermore, I.5.1. agrees that during tFte term of this agreement it shayl not make such infarmatian a�ailable
in any form to any person, oiher than the CUSTOM�R, without the prior written authorizat�on of ihe ClJSTOMER.
llpontermination ofthis agreement, such infarmation will notbe made avai�a�le by I.5.1. io any person otherthan
a duiy autharized representative of the CUSTOMER.
Vll. LIABILITY
In the event of any error, omissian, or other problem whether human or rrtechanical, an the part of I.S.I., its
empinyees, or.�`11�I�Is'I��� ��Apl1, l.S.l. agrees to correctthe so�tware atno additional charge tothe CUSTOMER.
It is ex�ressly understood and agreed that I.8.1. SHAI,L NOT be liable to any third persons for any damages
which said third persons rrsay incur, direatly or indirectly, as a result of the errors or omissions of the
CUSTOMER or the CUSTOMER's employees.
I.S.I. SIiALL NOT be iiable for failure ta perForm if due ta causes heyond its contral, under this contract, if the
failure arises from causes beyond ihe cantral of and withoutthe faultar negligenae of I.S.I. Such causes shall
include,laut not be 4imited, to acts of God, the public enemy, the Government, or contractual capacity, �res,
flaad, quarantine restrictions, strikes, freight embargoes, and unt�sually severe weather.

The terms and conditions of #his agreement may be changed by written mutual consent.
The pro�isions o# this agreement are se�erable; and if far any reasott any one or mare of tha pravisions
contained herefn are held to be invalid, illegal, ar unenforce�ble in any �espect, the individuality, illegality, or
un-enforce ability shall notaffectany ather prevision af this agreement, and this agreementshall remain in effect
and be construed as if the invalid, illegal, or unenfnrceable provisions had r�ever been cantained in the
agreement.
IX. ANNUAL PRICEA�JUSiMENT

receivewritten notice of I.S.I.'s intentto modifyorchangethe existing prices no latertt�aro three (3) months prior
ta the expiratian date of the contract year.
X. FUNDING
Availability af Funds: The parties agree that this Agreemeni anci all claims, suits, or obligatians arising under
or related ta thisAgreementare subjectta and limited tothe avallability offunds appropriated bythe FartWorti�
City Council, far the purposes of this Agresment or for the respecti�e claim, suit, or obligatlon, as epplioahle.

authority in all subcontracts,
Xl. ASSIGNMENT
1.5.1. and tha City bind themselves and any successars and assigns to this agreement. Neithec �.S.I. northe Ciijr
shalt assign, sublet, orta-ans#er its interest ln this agreementwithoutwritten consentof boti�, and �rty attempted
transfer without such aonsent is �oid. �lothing herein shall be construad as creating any persanal liability on
the part of any n�cer or agent vf I.S.I., or the City, nor shall it be construeci as giving any rights or benefits
hereunder to anyone other than to I.S.I. and the City. I�otwithstanding any pro�isions relating to asslgnment in
the Uniform Commercial Cade, na delegation b�r a par#y herefi.a of an� duties or obligations nar assignment i�y
a party hereto of any rights under or interests in the agreement will be binding on anather pariy hereta without
the written consent of the party sought to be bound; and, specificaily but wlthout limitatian, monies that may
beoome due and monies that are dus may not be assigned without sueh consent (except ta an extent that the
effect of this restrictian may be limited by law), and unless speci�calty stated ta the aantrary in any written
consentto an assignment, no assignmentwill release or discharge the assignor from any duty ar responsibility
underthis agreement. I.S.I. and the City each binds itself, its partners, suacessors, assigns and representatives
to the ather party hereto, its partners, successors, assigns and representati�es in respeat to ali covenants,
agrsements and obligations contair�ed in the agreement.
XII, WAIVER Of SOVEREIGN IMMUNITY
LS.I. and the City hereby agree thatthis Agreementdoes noi wa€ve the City's sovereign immunity rela#ing to suit,
liai�ility and the payment of damages. The parties t'urtheragree thatall claims, suits or obligations arising under
ar related to this Agreement are subjectta and limited to the a�ailabilityoffunds appropriated by the Fort Worth
City Council far that respective claim, suit, or obligation.
Xlll. SEVERABILITY
Any provision of this agreement he�d to be void or unenfarcealale under any Laws or Regulations sha�l be
deemed striaken, and atl remaining provisions shall continue to he �alid and binding upon I.S.I. and the City. In
such an event, it is herein agreed by I.S,1, and ihe City that the �greemet�# shall be refarmed to replace such
strtcken provision or par# thereof with a valld and enforceable provision that comes as close as possible to
expressir�g the intention af the stricker► pro�ision. In #he absenoe of reforrriation, this agreement shall remain
in effect and ba canstrued as €f the invalid, illegal or unenfaroeable provision had never been contained in t�e
agreement.

XIV. GOVERNINGLAWAND' VENUE
I,S.I. and the City agree thatthe laws of the State of�exas shall go�ern the valldity and canstruction af this agreement,
except where preem�ted by federal law. Should any action, real ar asserted, at law or in equity, arise aut of the terms
and conditions of this agreemeni, venue for said action shall be in �arrant County, Texas.
XV. RIGH�'S AND REMED�IES NOT WA1VE�
In na event shall the making by the City nf any payment to 1,5.1. constitute or be construed as a wai�er hy the City of any
hreach of co�enant, or atty defaultwhich may then exist, and the making af any suoh payment by the City while any such
breach ar defaultexists sha�l in no way impair or prejudice any right or rert'�eciy available to the Cit�r wlth respecttv such
breach or default. Any waiver hy either party of any provision or canditlon of this agreement shall not be construBd
or deareed to be a waiver of any athe provisian or conditior� of this agreement, nor a waiver of a subseguent hreach
ofthe same provisian ar conditian, unEess such waiver be expressed in writing hy the party to be bound.
XVI. TERMINATION
7f�e City may terminate this contract without aause by gi�ing ninety (90} days written notice to Cantractor, provided
that suah termination shal) be without prejuciice ta any ather remedy the City may have. In the event oi terminatian,
any work in progress will contlnue to oompletinn unless specified otherwise in the notice of terrninat�an.
1.5.1, mayterminate this contractwithautcause hy giving ninety (90) dayswritten natice to the City, provided thatsuch
termination shall be without prejudice to any oiher remedy I.S.I. may have. In the evenE of tet-mination, any work in
progress will continuB to campletion unless speCified atherwise in the notice of terminatinn.
The City may termin�te this agreementforfailure of I.S.I. to complywith the terms ofthis agreement. In the eventthe
City decides to terminate I,S,I.'s contracted serviaes, the City will provide I.S.I. with written notice ninety {90) da�s prior
to the termination of the agreemen�
I.S.I. may terminate this agreementfor failure of the City io comply with the terms of this �greement. In the e�ent I.S.I.
decides to terminafe aervlces contracted by the City, (.S.I. �tvill pxovide the City with written nati�e ninety (90) days prior
ta the termination of the agreement.
In the event either party defaults it� the performance of �ny af its obligations under this contrac#, misrepresents to the
other a material fiact, or fails to notify the other party of any material factwhich woutd affect the party's performance
of its obligations hereunder, the non-defaulting party shall have a rigf�t to terrninate this contract upon giving the
defaulting party written notice describing the breach vr omission in reaso�ahle detail. The defaulting party shall have
a ninety (8U) day period commencing upon the ciate of natiae of default in which to effect a aure. If the defaulting party
fa�ls to effect a cure within the eforesaid ninety (90) day period, or if the default cannot be cured, the contract shall
terminate as of the date pra�ided �n the notice of default.
XVII. F'ORCE MAJEURE
1.S.1. shali not be deemed to ba in dei`ault beaause of any failure to perform uncter this aot�tract, if the failure arises firom
causes beyond the aontrol and without the fault ar negligence of 1.5.1. Sunh causes shall include acts of Gad, acts of
the pul�lia enemy, acts of Government, in either its sovereign or contractua! ca�acity, fires, fload, epidemics,
quarantine restrictions, stri4ces, freight embargoes, and unus�aliy severe weatlier.
Ifthe failure ta perform is caused by the failure of a subcontraator of I.S.I.'s to perform, and ifsuch failure was beyand
the control of hath I.S,I, and the subcontraotar, without their fiault or negligence, (.5.1. shall nat be deemed to be in
defauft unless the sulocontraated supplies or services were reasanably obtainable from other sources.
Alternatively, if at any time during the term of ihis contract the work of I.S.1. fails to meet the specifications af the
cantract documents, the City may notify 1.3,1, of the defiafet�cy in writbng. Fallure of t.5.1. to correct s�ch deficiency
and camplete the wor� required under this contract to the satisfaction of ihe City within ten days after written
notifcatio� shail result in termination of t�is aontraci, I.S.I. shall pay all oosts and attorneys fees incurred by tf�e City
in the en%rcement of any pravision o#this contract.
The remedies provided for f�erein are in addition to any other retnediss available to the Cityelsewhere fn this cantraat.
XVlll. AUTHORIZATION
The undersigned afficer andlar agents of'the parties hereto are properly authorized officials and ha�e the necessary
autFiority tv execute this Agreement on behalf of the parties hereto, and each party hereby certifies ta ths atY�er that
any necessary resolutions extending such autk�ority ha�e been duly passed and are now In full force and effect.
