In consideration of the mutual promises and benefifs of this Co�tract, the Gity and the CESQG
a�ree as follows:

C�SQG hereby certifies that it is a conditionally-exempt smaU quantity gsnerator under the
iaws of the llnited States and the State of Texas, and that under normal operating
canditians its b�sEness generates less than 2�0 pounds (26.5 gallvns) nf hazarda�s
waste�s) and less than 2.2 paunds (0.265 galfons) of acutely hazardous waste(s) in one
caiendar monih.
2. T�RM - The term of this AGREEMENT shall run from the date the last party signs khis
AGR�EMENT unkii 5epfember 30, 2002.
3. CiTY'S RiGHYS AND O�LIGAYlOAlS �

A. CITY shall accept and arrange for the disposal the following waste(s}s from CESQG:
antifreeze; cleaning solutions; corrosives; flammables; oil (motar oil, spent olf); oxidizers;
latex and oil-based paints; pesticides & herbicides; saivents & thinners; f�rtilizers; m�tar
grease and f�od grease; afkaline batteries, button batteries, lead acid batteries, lithium
batterE�s N�Cd batteries; aerosol cans; non-PGB t�altasts, fluorescent bulbs and ail
fi(#ers. CITY will t�ot accep� ahy other waste{s).
B, CITI' will go ko CESQG'S place of bc�siness ta review CESQGs stored waste{s) and to
pravide a writte�►A�stimate of the weigf�tivol�me of such waste(s) and the costs CITY will
charge CESQG to accepE such wast�(s) ai the Envlrtinmental Col�ection Center (ECC)
io�a#�d at 6400 Bridge Sireet, Fort Worth, Texas. CESQG acknowledges that written
estimates s{�a�l �ot be �inding on the GITY.
C. CITY will accept waste(s) from CESQG an an APPO�NTMENT-��ILY BASIS at the ECC,
D. For waste that CITY acce�ts fram the CESQG at th� ECC, CITY will provide for a waste

E. C1TY wil�, i# requested in writing by CESQG, provide CESQG with copies of waste
manifests for shipmer�ts of CESQG'S waste(s) from the ECC. CESQG understands that
its waste{s) will be consolidated at the ECC with the waste{s) of other conditionally-exempt
small quantity generators and household F�azardous waste{s).
F, CITY will act under this Agreement in accardance with all applicabEe state and federal
laws.
G. CITY reserves the right to reject any and all waste(s).
4. C�SQG'S O��,ICAiIONS ANQ R�S�ORlSI�ILIiI�S �
A. CESQG agrees that it shall safely transport to the ECC its waste(s) for disposal under
this AGRLEMENT following a!I state and federal laws. CESQG understands that
regulatians under Title 49 of the Unit�d States Code o# Federal Regulations apply for
the trans�ort af hazardous materials in commerce.
B. CESQG ag�ees ihat it shall bring anly the type(s) of waste(s} that is acceptable ��rsuant
to Section 3 A abave.
C. CESQG agrees that it shafl bring waste(s} to the ECC anly after first getting a written
cost estimate from CITY and schedu[ing an appointment. C�SQG agrees that it shall
bring waste(s) only at its schedufed appointment dates and times.
D. CESQG agrees tha# the wa�te(s) it brings to the ECC shafl b� represented ancf
identified to CITY to the best af CESQG'S ability. C�SGQ agrees that it shall not bring
unknown waste(s) to the ECC.
E. The physical address(es) of CESQG'S faciiities that are� covered under this
AGREEMENT ar� as follows:

B. CESQG acknowledges and agrees that City may adjus# any fee listed in Section 6"A"
during the term of this agreement by giving C�SQG 60 days notic�.
C. PARTIAL QUANTITfES - Any partial gallor� or any partia! pound of waste shail be
charged as a full gallon ar pound.
D. CESQG understands tha# payment #o �ITY is required at the time of delivery of waste(s�
#o the ECC, and agrees that �t shall make such payment at such time, by check only,
payable #o uCity ot Fort worth -��M". Charges to C�SQG shall he based upon the
actual type an� amflunt of waste(s} delivered to the �CC �y CESQG and not upon tFre
written estirnafe pro�ided to CESQG by CIiY. In addition, a$2v.00 return check fee wil!
be �harged far any check that is dishonored.
E. C�SQG understancls and agrees tt�a# GTY will require additional payment ifi i# is
dstermin�d that waste(s) brought to t�a ECC by CLSQG have b.een misidentified and
that the cost to C�ITY to dispose of such waste(s) is mo�e than originalfy estimated.
CITY shall biEl CESQG for these additional costs by written statement. C�SQG agrees
to pay CITY r�o later tf�an 34 days fo!lowing the date of the statement.
6. YE�R�IAiAifO�l —
ClTY reserv�s the right ta terminate ff�is RGR��MENT' at any time, without cause and
for any reason wt�atsoever, by providing written notice to CFSQG. Such termination
shall be effective immediately.

cantract and the discharge af all other obligations awed by the parti�s ta each other.
9. �NTIR�TY � This AGREEMENT and alf delivery dvcuments signed under this AGREEMENT
contain atl commitments and agreements af the parti�s hereio, and na other oral or w�it�en
commi#ments shall have any force or effect if not co�tained hereln.
10. S�V��A�ILIT1( � In the event any ane flr mare of the pravisions contained in this
AGR�EMENT shall for any reasor� be held to be invafid, illegal, or unenforceabEe in any
respect, such 9nvalidity, il�egality, or unenforceability shall not affect any other pravision thereof
and this AGREEMENT shall be canstrued as if such invalid, iEiegal, or unenforcea�le
provisions had never been contained herein.
11. V�NU� � Shauld any action, real or asserted, at law or in equity, arise out of the #erms and
conditions of this AGREEMENT, venue for said action shail be in Tarrant Counfy, Texas.
