� " This Contract is entered into by and between the Cify of Fort Worth, Texas a
� home�rule municipal corporation situated in Tarrant, Denton and Wise Counties, Texas,
� �.
hereinafter called "City," acting h�rein ihrough Libby VVatson, its duly authorized
� i Assistant City Manage�, and Environmental Light R�cyclers�, Tnc., hereinafter cailed
{ "Contractor," by and thrflugh Steven Remley, its duly authorized Presiden�.

In considera�ion of the mutual promises and benefits af this Contract, the City and
Contractor agree as follovvs:
1.
TERM
The initial ierm of this Contract sha11 be f�ar a period of.twelve {12) months, be�nning
December 1, 2002 and expiring November 30, 2003. In addition to the initial terxn, City
shail h�ve the right t� renew this Cont7-act for up to two (2} consecutive one (1) year
renewal terms. The City may xenew this Gontract by the City Manager executing a
renewal agreem�nt, and City Council appropriating the funds.
2.
SCOPE �F C�NTRACTOR'S SERVrCES
A. Contractor agrees to provide in. a gaod a.nd prafessianal manner alI the labor,
rnaterials and equipment necessary to provide storag� and shipping containers,
provide on�site pickup, transporta�ian, recycling and disposal, if necessary, of
ail varieties of lights, liquid mercury and fluarescent light ballasts from City
facilit�es including but not Iimi.ted to: fluorescent lamps (4' & 8'), U-shaped
fluorescent Iamps, halogen larnps, autornotive headlights, incandescent bulbs,
flood lighis, mercury vapor lamps, sadium vapar lamps, xenon bulbs, matal
arc me�al halide bulbs, crushed bulbs (caused by City's employees only),
fluorescent light ballasts with PCBs, leak�ag fluarescent light ballasts with
PCBs, fluaresc�nt light ballasts without PCBs, and liquid rnercu�~y. Though
� not a11 ballasts contain PCB's, incineration of a11 capacitors (after removal
fioz�a ballasts) and any r�sultant PCB articles is required under this Contract.
After removal of capacitors, all ballasts rnus� be recycled unless they are
lealcing ancUor otherwise a PCB arkicle.

B. Cantractar shall perform in a good and profe�sional xnaraner the searvices listed
in this Contract, and those identi�ed in �he City's Request for Proposal dated
�ctober 8, 2042, in the mar�ner in which Contractor responded �o City's
Rec�uest for Proposal received by the City on October 23, 2042 and amended
October 24, 2402. Both the City'� Request foz Proposal and the Contra.ctor's
Response are attached bereto as exhibi�s and ixicorporafed into this Contract as
if fully set forth hexein, Any conflict between such documents and the main
body o� this Contract shall be governed by the terms of the main body of this
Contract.
C. Contractor shall have pre.sent at the various callection sites as determined by
City, employees or agents of Cvntxactor, as described in the Propasal, who are
trained in the identification o� hazardous wastes as deFined by Federal, 5tate
and Ioca1 laws and regulations, and such materials and equipment as are
necessary to handle, contai�erize, lahel, load and transport such waste frorn
the City's service area an a inanner conforming to F�deral, �tate and lacal
Iaws and regulations.
D. Contractor aga-ees to collect and transport aIl varieties of lights, liquid mercury
and fluorescent Iight ballasts from City facilities when notified by City wzthin
5 business days of notification.
E. Cont�'actor agrees to abey the speed limits and signage at all City �aci�zties
when perform�ng this Confiract.
F. Contractor agrees ia requir� any subcontractor perfornung under this Contract
to obey th� speed limits and signage at all City facilities when perfornung this
Contract.
G. Cont�actor agrees tv begin work at the varions City Collection sites only when
a City representative from the City of Fort Worth Environmental Managernent
Department is present at the site, unless oiherwise authorized in writing by
City.
H. Contractor certifies that it has and will maintain during the term o� this
Cantx-act, current and appropriate Federal, State, and local licenses and
pezznits to perform �his Coz�tract. In addition, Coniractar agrees to require an.y
of its subcontractoxs used to perform this Coniract to have and maintain
curreni and appropriate F�deraI, State and local licenses and permits Yo
perform this Contract.

damage. Cantractar agrees to cover costs for any darnage due to mishandling
of lamps during work performed under this Contract.

3.
COMPENSATION
A. Tn consideraiion for the work performed by Contractor under this Contract,
City shall pay Contractor a sum not to exceed $2�,900 (twenty-four thousand,
nine hundred dollars and no cents}. Payment shall be based an the unit price
charges contained in f1�e attachmcnts hereto. The City is responsible for
notifying Contrac#or of any questions concerning an invoice, and shall not be
required to pay Contractor until such questions have been resoived.
B. Periodically dux'ing the performance af this Contract, the Coniractor's Project
Manager shall in�orm the City's r�presentatives of his/her besfi estimate af t�e
expenses ineurred to that tizne. �n the event that the esiimate approximate� the
"not to �xceed" price, Contractor shall prepare to cease its operations unless
and until the Contrac� is amended and an authorized representative of the City
diarects Cantractor to perform additio�al work.
C. Contractor shall receive no compensation for delays ar hixa.dra�ces ta the
work, except when direct and unavoidable extra cost to Contractar was caused
by City's failure to provide information, if any, which it is required to do.
When extra compensation i� claimed, a written statement thereof shall be
presented to the City in a timely fashion
4. .
INSUI2ANCE
��, The Contractor certifies that it has, at a minirnum, current insura.nce coverage as detailed
` bela�v and wi11 maintain it throughout the terms of this Contract. Prior to commencing
- � wark, Contractor shall deliver to the City cert7ficate� doc�nenting this ca�erage. The

� City may elect to have tUe Contract submit its entire poli.cy for inspectiion.

combined single limit for bodily injury and property da�nage and $2,004,000
aggregate.
B. Professianal Liability Insurance: {i.e. Professional Liability or Errars and Omissions
Liability) $1,00O,OOa each accurr�nce and $2,000,004 aggregate.
C. Automobile Liabilztv Insurance -$1,040,000 per occurrence combined single limif
for bodily inj�axy an.d praperty damage or $500,000 bodily injury/person, $25�,000
property damage and $2,000,000 aggregate.

This policy sha11 include pallution coverage; ihat is, it shall not have the pollution
exclusion. Yn addition, the policy shall cover ioading, unloading and transgorting
materials coll�cted under this Con#ract.
D. Worker's Co�np�nsation - 5taiutory liuuts for Worker's Compensatian plus
employer's liabi�ity at a minimum of $1,000,000 each accident, $1,000,000 disease -
policy limit, and $1,000,000 disease - each ernplayee.
E. Enviranm�ntal Im�airment Liabilitv fEIL) andlflr Pollution Liabilitv -$S,OOO,Q00
per occurxence. EIL caverag�(s) shall be incl�ded in policies listed above; or, such
insurance shall be provided under separate policy(s}. Liability for damage occurring
r�vlule loading, unloading a�d transporting materials collected shall be included
under ihe Automobile Liabiiity ins�arance policy(s).
N�TE: BETWEEN A AND E ABOVE, �NY POLLUTION EXPOSURE,
INCLUDTNG ENVIl2CINMENTAL IlVIPAIRMENT LIABILITY,
ASS�CTATED WITH THE SERVICES AND OPERATIONS
PERFORMED UNDER THIS CONTRACT SHALL BE C�VERED; IN
ADDITION, SUDDEN �ND ACCIDENTAL CONTAM]NATZON OR
POLLUTION LIABII,ITY FQR GRADUAL EMiSSIONS AND CLEAN-
UP COSTS SHALL BE COVERED.
F. The follow�ng shalX pertain to a�l applicabie policies of insurance listed above:

, they shall pravide their own insurance coverage; and, in the latter case,

L 3. Prior to comrrtencing work under the Coni�act, tha Contractor shall deliver to
the City of Fort Worth insurance certificate(s) documenting the insurance
� required ax�d terms and claUses required.
� 4. Each insurance policy required b� fhis Contract shall cantain the following
�� clauses: "This insurance sh�a11 not be canceled,lirnited in scope or coverage,
� i, or non-renewed until aftear il�irty (30) days prior written notice has been
given to the Director of Environmental Management, City of Fort Worth,
1000 Throckmorton, Fort Worth, Texas 76102." Note: Written notice can

� S. The ins�rers for all policies must be approved to do business in ihe State of
Texas ar�d be currently rated in terms of financial strength and solvency ta
'� ihe satisfaction of the Risk Manager for the City of Fort WorEh. The �City's
standard is an A.M. Best Key xating A:VII.
6. The deductible or self-i�nsuted retentian (�IR) aff�cting the coverage
required shall be acceptable to the Risk Mauager of the City of Fort Worth;
and, in lieu of traditi�nal insurance, alternative covexage mainfained through
insuraxice poals ar risk relations groups must be also approved.
5.
INDENINI�'TCATION
A. For th� purposes of this Cont�ract, the following words and phrase� shall be
de�z�a.ed as follows:
1. Environmental Dazna�es shall mean all claims, judgments, damages, losses,
penalti�s, fnes, liahilities {including strict liability), encumbrances, liens, costs,
and expenses of investigation anc� defense of any claim, wh�ther ar not such claim
is ultimately defeated, and of any �ood faith settlement of judgment, of whatever
kind ar nature, contingent or otherwisa, matured ar unmatured, foreseeable or
unforeseeable, including but without lirniiation reasonable attorney's fees and
disbursements and cons�ltant's fees, any o� which are inct�rred as a result of the
existence of a vialation of Enviranmental Requirernents pertaining �o the services
performed under this Contraci, and including without limitation:
u a. Damages for personal injury and dea�li, or injury to property or natural
, i resources;
'' b. Fees incurrec� far the services of attorneys, consultants, Contractars,
. � experts, laboratories and 'znvestigation or remediaiion resulfiing�from any violation
�� of en�ironmental requirements including, but not Iimited to, the prepa�ration af
atiy feasibility studies or reports of the performance of any cleanu�, remediatian,
f removal, response, abatemenf, contai�nent, closure, restaration or monitoring
1 work required by any F�deral, State or Iocal governmental agency ar political
' subdivision, or otherwise expanded in connection with the existence of such
� � monitoring wells or violations or �nvironmen�al requiraments, and including
lwithout limitation any afitorz�ey's fees, costs and expenses incurred .in enforcing
this Contract or collecting any sums due hereunder, and
� c. Liability io any third person or goverrunental agency �o indemniiy such
person or �gency %r costs expended in connection with the iterz�s referenced in
� subparagraph {b} herein.

2. Environmental Reauirements shall mean aIl applicable statutes as they are now
�r as ihe�r may later be amended, regulations, rules, plans, authorizations,
concessions, franchises, and similar items, of all governmental agencies,
deparhnents, cammissions, boards, bureaus, or instntmentalities of the United
States, states, and political subdivisions thereof and all applicable judicial,
adminisirative, and regu�atory decrees, judgments, and orders xelating to the
protection of human healih or the env�ronment, including without limitation:
a. Al1 requirements, including, but �.ot limited to, those pertaining io
reporting, licensing, emissions, discharges, releases, or threatened releases of
hazardous materials, pollutants, contaminants or hazardous or toxic substances,
rnaterials, ar wastes whether salid, lic�uid, or gaseous in nature, in�a the air,
sur�ace water, groundwaYer, starm w'ater, or 1and, ar relating to the manufacture,
pracessing, distribution, use, treatment, starage, disposal, transpor�, or handling of
pollutants, cantaminants, ar hazardous or toxic substances, materials; or wastes,
whether solid,liqu%d, ar gaseous in na�ure; and
b. AIl requirements pertaining ta the protection of the health arid safety af
employees or the public.

H. In all of its Contracts with subcontractors for the perfozmance of any wark under

I. In the event that a written claim for daYnages against Contractor ar any of its
subcantractors remains unsetfiled at the time all work on the project has been
� completed to the satisfaction oi the City Manager, as evidenced by a final
inspection, final payment ta Contractar shall not be recommended by the City
; Manager Far a period of thirty (30) days a�er the dat� of such final inspection,
! unless the Contractar subrnits written evidence sa�isfactory to the City Manager
that the claim has been settled and a release has been obtained from the claimant
i invol�ed.
1, If the claim concerned remains unsettled at the expiration of the said
� thirty-day period, the Contractor may be de�med by the City Manager to
Ue entitled to a s�mi-%nal payment fox wark completed, such semi-final
payment ta be in an amount equal to the tatal dollar amount then due less
� the dollar vaiue of any writt�n claims pending agains� the Contractor
� arising out of the perfoxmance af such wark.
2. The City Manager shall not recomrn.ez�d final payment to Contractor if a
clairri far damages is outstanding far a period of six months following the
date of the acceptance of ihe work performed unless the Contractor
submiis evidence in wz�iting, satisfactory to ihe City Manager, that:
i. The claim has been settled and a r�lease has heen obtained fram
the claimant involved; or
ii. Good faith efforts have been made to settle such outstanding
claims, and such good faith efforts have failed.
, 3. If condition (i) above is met at any tirne within the si�-man#h period, the
�, ` City Manager shall recommend thai tlie final payment to Contracfiox� be
" made. If condition (ii) above is met at any time within the six-month
- period, the Czty Manager may recommend that final payment ta
IContractor be made. At the expiration of the six-month period, the City
Manager may recommend that final payment be made if all otb,er �ark has
, been performed and a11 other abligations of the Contractor have been met

6.
WARRANTY
� Contractor warrants that it understands the curxenity known hazards and suspected hazards
� which are presented to persons, property and the environment by the collection, handling,
storage and recycling of lights, mercury, and fluorescent light ballasts as raferred to in the
� Contractor's Scope of Services. Contractor further warrants that it will perform a11 services
� un.der tk�is Canf�'act in a safe, efficient and lawful manner using industry accepted practices,
�� and in fiill co�xapliance �vith all applicable State and �e��X=�'�aw�s b�S:���i�ts activities and
� �.

is uilder no restraint or order wh�ch would prohibit performance o�' services under this
Con�ract.
7.
LICENSES, PERMITS AND FEES
�. Co�tractor agrees to obtain, pay for, and maintain all Iicenses, permits,
certificates, inspections and alI other approvals and �ees required by law or otherwise
�' 'j necessary to perform the services pr�scribed hereunder.
8.
DEFAULT
A. Contractor shall not be deemed ta be in default because of any failure to perform
' I� �xnder this Contract, if the faiiure arises frorn causes beyond the control and
�� without the fault or negligence of Contractor. ,�uch causes shall include acts of
God, acts of the public enemy, acts of Govenn�ment, in either its sovereign or
' contractual capacity, �'ires, flood, epidemics, quarantine restrictions, s�rikes,
� freight embargoes, az�.d unusually severe vweather fox the geagraphic axea.
B. If t1�e failure to perform is caused by the failuxe af a subcontractor of Contractor's
to perfarm, and if such failure was beyond the control of bo#h the Can�ractar and
ihe subcontractor, without their fault or negligence, Contractor shall nat be
deemed to be in de�'ault unless the subconiracted supplies or services were
reasonably obtainable froxn ofher sources.
C. Tf Contractor iails io bt;gin work herein provided far �i�hin the time specified
abo�e, or to complete such wark within the time specified above, within the true
mea�ing of this Cont�act, City shall have the ri�ht to take charge flf and complet�
the work in such a maiu�.er as it rnay deem appropriate. If City exceeds the costs
detail.ed in ihe attached documenfis, Ci�y may deliver to Contractor a written
itemized statement of the total excess costs, and Contractor shall reimburse City
for such excess costs wzthout delay. �

, D. Alternatively, if at any time during the term of this Cantract ihe woxk of
:�� Contractor fails to meet the specifications of the Contract documents, City may
notify Contractor of the deficiency in writing. Failuze of Contractor to correct
such def ciency and coznplete the wark required u,nder� this Contract to the
Isa�isfaction of City within �en days ai�er written notification shall result in
�� term.ination of this Contract. AIl costs and attorneys fees incuz�red by City in ihe
� enfarcement oF any provision of this Cantract shall be paid by Contracto�.

f� to City elsewhere in t1�is Contract or by Federal, State or local laws or regulations.

TERMINATION
A. City may ter�riinate this Contract with or without cause upon tliirty (30) days prior
written notice to the Co�tractor, provided that such termination shall be witha�t
prejudice �o any other remedy the parties may have. In the event af tenniun.ataon, any
work in progress will continue to comple�ian unless specified otherwise in the notice
of termination. The City shall pay for any such wark in progress, and reasonable
clnsu re costs, that is completed by Contractar and accepted by the City.
B. If the City terminates �his Contract under paragraph A above, City shall pay
Con�racior for all servic�s performed prior to the ternvnation notice.
C. All completed ar partially completed original docutnents prepared under this
Contract sha11 become the property of the City when fhe Contr�ct is termi�tiafed, and
may be used by the City in any rnanner it desires; provided, however, that the
Contractor shall not be liable for the us� of such dacuments far any purpose other
ihan as described when req�esfied.
D. In the event either pariy dafaults in the performax�ce a� any of its obligatians under
this Cantract, misrapresents io the other a material fact, or fa:ils ta no�i�y fhe aiher
party of any maferial �act which wauld affect the party's performance af its
obligations hereunder, the non-defaulting party sha11 have the right to tex�ninate this
Contraex upon giving the defaulting party written notice describing the breach or
omission in reasonable deiail. The default.iz�g party shall hav� a thirty (30) day
period cammencing u�or� the date of notice af default in which to effect a cuxe. �£the
defauifing party fa�s to effect a cure wiihin the aforesaid �rty (30} day period, or if
the default cannot be cu�-ed, the Contrac� sha11 terminate as of the date pmvided in
the notice of default.
F. Th� remedies provided for herein are in addition to any other remedies available
to City e�sewhere in this Coniract.
10.
INDEPENDENT CONTRACTOR
The City agrees to hire Contractor as an independent Contractor, and not as an officer,
servant, or employee of the City. Contracior shall have the exclusive right to contt'al the
details of the wark performed hereunder, and all persons performing sarne, and shail be
solely responsil�le for t1�e negligent acts and omissions of its officers, agents, employees, and
subcontractors. NQthing herewith sha.il be construed as creating a partnership or joint
vex�ture between the City and Contractor, it� officers, agents, employ�es, and �ubcontractors;
and the doctztzi..ne a� zespondent superior has no application as between the City and
Contractor.

MODIFICATI�N

No modification of this Contract shall be binding vn Contractor or the City unless set out in
writing and signed by both �arti�s. Modifications shall be in ihe same format as the final
specification shawing the change ar addition of a task, project schedule, deliverable
dociiment(s), axid schedule of payments.
12.
RIGHT TO AUDIT
'' City and Contractor agree that, until the expiration o� tl�re� (3) years after the final payment

pertznent books, documents, papers and records of the Contractar involv:u�g tiransactions

A. During the performance of this Cantract, Contractar ag�rees not io disci-inunate
against any employee or applicant for emplayment because of race, religion, color,
sex or national origin, except where religion, sex or national origin is a 1�ona fide
occupational qualification reasonably necessary to the normal operatian of the
Conkrac�or. Contractor agrees to post in conspicuous place�, avaiJable to employees
and applicaxxts for emplo�nnent, notices setting forth the pro�iszoans of the �on-
discrunination clause.

placed by or on behalF af this Contract, that Contractor is a:� equai appartunity

C. Notices, advertisemen�s, an�l solicita�aons placed in accordance with Federal law,

requirements of this section.

SEVERABILITY
The provisions of this Contract are �everable; and if for any reason any one or rnore of
the provisians cantained herein are held to be invalid, illegal or unenforceable in any
respect, the ia�validity, illegality ar unenforceability shall nat aifect any other provision of
this Cantract, and this Contraci shall remain in effect and be construed as if the invalid,
illegal or unenforceable provision had never b�en contained in the Contracf.

RIGHT,S AND REMEDTES N�T WAIVED

In no eveni shall the making by the City of �y payment to Can�ractar eonstitute or ba
construed as a wa.iver by the City af a�y breach of covenant, or any default which may then
e�ist, on the part af Contractor, and the malang of any such payment by the Ciry while any
suah, breach ox default ��sts shall in no way impair ar prejudice any right or re�nedy
avaiIable to the City with z'espect to such breach or default.. Any waiver by ei�ller party of
any provision or condition of the Cantiract sha11 not be construed or decreed to be a waiver
of any other provision or condition of this Contrac�, nor a waiver of a subsequent breach of
the same provision or canditian, unless such waiver be expz'essed in wri�ing by the party to
be bound.
17.
VENYTE
Venue of any suit ar cause of acnon under this Contract shall lie in Ta�r�rant County, Texas.
18.
NOTICES
Any notices, bills, invoices or reports required by this Contract shall be sufficient if sent by
