Hwy. 287 to 1.H. 820. ,4�icEe I Scope of Serrrices A. The Scope of Services is set fort� in Attachmen# A. l�r�icle I! Compensa#i�n A. Th� �NGiN�ER's campensation is set fa�h in Attachment B. (3eneral The ENGIN�ER will serve as the CIiY's prafessionat engi�teenng representative under this Agreemet�t, providing professianal engin�ering consu�tation and ad�#ce and furnishing customary services incidentai thereto. �. Sf�r�dard of Ca�� The standard oi care appiicab{e to #he ENGIN��.R's serv�ces wi4! be ihe degr�e of skill and diligence normally empfoyed in the State of Texas by professivna� engineers ar consultants perfiorming the same or simil�r services at the time suc� s�rvices are pertvrmed. C. Su�sueface In�es�ig��iar�s (1) The �NGIN�ER s�alE advise tMe CITY w�th rega�d ta t�e n�cessity for subcontract work such as s�ecial suroeys, tests, test borings, or other subsurface in�estigations in connection r�rith d�sign and engineering work ta be per�ormed �ereunder. The �NGIN��R shal� alsa a�vise the CITY conceming #he results of same. 5uch suiveys, tesi�, and investigations shall be f�mished by the CITY, unless oiherwise speci�ed in Rttacnment A. (2) 1n soifs, foundation, grour�dwater, and other subsurface in�es#igations, the ac#ual character�stics may �ary significantly between successi�e test points a�d sample intervals and at locations other tha� where observa#ions, exploratian, and investigations �ave been made. �ecause of ihe inherent uncertainties in subsurface evaluations, ct�anged or unanticipa#ed underground condit€ans may occur that could affecY the total PROJECT cost and/or executian. Th�se conditions ar�d costlexecution eff�cts are not t�e respar�sibility of thE ENGINEER. �. �r�eparafiicn ofi �ngin�e�ing 9rav�ir�gs �he ENGiNEER will provide to the CIiY the original drawings vf all plans ir� i�k on reproducible �lastic film sheets, or as otherwise appraved by CITY, which shall become #�e proper�y of the CIlY. CETY may use such drawings in any manr�er it desires; provided, however, that the ENGINEI�R shall nat be liable for the use of suc�t drawings for aRy project ather #han the PROJ�CT described herein. ,��������a� ��'���� . ^ � rz ���si�����1�'w�k.:, �, .� �. �ngineer's �ersonnel a� Consfirucfion Sife (1) TY�e presence or duties of the ENGINEER's personnel at a construction site, whether as on-site representatives or otherwise, do not make the ENGINEER or its personnel in any way respansible for fihos� duties that belong to the CITY and/or the GITY's construction contractors or other entities, and da nvt relieve the canstruction co�tractnrs or any ather entity of their obligations, duties, and responsibilifies, i�cluding, but not limited t�, al� constr�ciian methads, means, tec�niq��s, sequences, an� procedures necessary for coordinating and comp�eting all por#Eans o� the construetion work in accordance with the Contract Documents and any heaith or safety prer.autions required by such construction warl�. The ENGaNEER and its personnel have na authori#y to exercise any contro! over any construction contractor ar flt�er entity or their emplayees in connecfion with their work or any health ar safety precautions. {Z} �ccept to the extent of specific site visits expressly detailed and set forih in Attachment A, the ENGINE�R or its perso�ne4 shall have na obiigation or responsibility to visit the construction site tv become familiar with ti�e progress or quality of the completed work on the PRO.�ECT or to deterrnine, in ger�eral, if the war4� an the PROJECT is being perFormed ir� a manner Endicating that the PROJ�CT, when cornpleted, w911 be in accordance with the Co�traci �ocuments, nor shafl anythir�g in the Contrac# Documents ar the agreement betwe�n CITY and ENGINEER be constr�.�ed as requiring ENGiNEER #o make exha�stive or cantin�ous on-site inspections to discover latent d�fects in the worEc or athetwise checic the qua�ity or quantity of the work o� tf�e PROJECT. If, for any reason, #h� ENGIN��R shauld make an an-site observation(s}, on the basis of such o�-site observations, ifi ar�y, the ENG4NEER shall endeavor to ke�p the CI�Y infarmed of any deviatian ftom the Contract Dacuments coming to the ac#ual natice ofi �NG�NE�R regardi�g the PROJECT. � (3) When professional certificafion of perFormance or characteristics of materials, systems ar equipment is �easonably required to perForm the services set farth in t�e Scope of Services, the ENGINEER shall be enti�led to refy upon such certification to establish materia[s, systems flr equipment and perFo�mance Criteria to �e req�ired in the Contract DocUments. �. Opinions af Probable Cosi, l��nancial C�nS�de�a��ons, and 5chedules (1} The ENGINEER shail pravide p�inions o� probable casts based on the current available infonna#ian at #�e time af pre�aration, in accordar�ce with Attachment A. (2) [n �roviding opinions of cost, financial ar�afyses, ecanomic feasibility proj�ctions, ar�d scheduE�s for the PROJECT, the ENGiNEER �as no control over cast or price of tabor and materials; unknown or latent conditions of existing equiprr�ent or structures that may affect aperation or rnaint�nance costs; competitive biddin� prncedures ar�d market _3_ - �,.},r .* i, _ h�, canditions; time or qualify of perfo�rnance by third parties; quality, type, managemen#, or directior� of operating personn�i; and other ecanomic and operational factors that may materially affect the ultimate PROJECT cost or scY�edule. Therefore, the ENGfNEER makes no warranty #�at the CITY's actual PROJECT casts, financial aspects, econornic feasibiiity, or schedules will not vary f�arr� the ENGINEER's opinior�s, aRalyses, projections, ar estimates. G. Construciion �rogr�ss �a�men�s Recommendations by the ENGINE�R to the CITY for periadic construction progress paymen#s to the construcfian contraetor will be based on the ENGENEER's knowledge, information, ar�d belief from selective sampling and observatEon that the wark has progressed to the point indicated. 5uch recammendat�ons do not r�present that coniinuous or detailed examinatians have been made by the ENGINEER #o ascertain that the constructian contractor has c�mpleted th� wor�C in exact accordance with the Cantract Documents; that the final work will be acceptable ir� a!I respecks; that the ENGIN�ER has made an examination to ascertain how or fior what purpdse the cor�struction contractar has us�� the maneys paid; ihat t�tle to any of the worEc, materiafs, or equipment has passed #o the CITY free and clear of �iens, ciaims, security interests, or encum�arar�ces; or #hat t#�ere are nat other matters at issue between t�e CITY and the construction cantractor thafi aff�ct the amount that sho�ld be paid. b. Reco�d ��awings Record drawings, if required, wiil be prepared, in part, on the basis af information compiled and fumished by others, and may no# always represen# the �xact location, type ofi varia�s com�onents, ar exact manner in which the PRQJECT was finaliy cons#ructed. The ENGINEER is riat responsibie for ar�y errors or omissions in the inforrnation frnm oth�rs that is incorporated into tF�e recard draw�ngs. I�ino�i� and Viloman �usiness �nterpn�e (Mfil+'��) pa�icipat�on In accord with City of �or� Wor�h OrdEnance No. 1'i923, as amended by Drdinance 13471, the City has goals for the participation of minority business enterprises and woman business enterprises in City cantracts. �ngEneer acicr�owledges the M/WBE goal established for thts contract and its commitment to meet that goal. Any misrepresentation of facts (other tha� a negligent misrepresenta#iart} ar�d/or the commission of fraud by the �ngir�e�r may resul# in the termination of this agreement and debarment from pa�ticipatir�g in City cvntracts for a periad af time oi �ot less than three (3) y�ars. .!. The CITY shall give ENGiNEER reasonable advance no#ice of inte�ded audits. (2) ENGINEER further agre�s to inGude in all its subconsultani agreements hereunder a pravision to the effect #hat the subconsuEtant agrees that the CITY shail, unti� the expiration of three (3) years after final payment under the subcantra�#, have access ta and the r�ght to examine and photocapy any directly pertinent boo�s, documents, papers and records of s�ch subcansultant, invol�ing tr�nsactions to the subcontract, and further, that the CETY sha41 ha�e access d�ring normaf woridng hours to all subcons�ltant facilities, and shall be provided adequate and apprapria#e wor�t space, in ord�r to conduct audits in campliance with the provisians of this articie together with subseciion {3}hereof. The term CITY shali include its employees, officers, officials, agents, and volunteers as respects the contracted services. (b) Certificate(s) of insurance shall dac�ment that insurance coverages specified according to items section f�.(1} and K.(2} of this agr�ement ars provided unc�er applicabEe poficies docume�ted thereon. (c) Any failure on documentation requirements. part of t#�e ClTY to requesf required insurance shali nof constitute a waiver of the insurance (d} A minimum of thirty (30} days natic� of cancellation, nor���eneuval or ma#erial change in coverage shail be pravided to the CITY. (e) �nsurers for ali policie5 must be authorized to do business ir� the state of Texas or be otherwise approved by the CITY; anc�, such insurers s�all be acceptable io t�e C1TY in terms of their financial strength and so���ncy. (f} Deducfible limits, ar seif Ensured retentions, affecting insurance required herein may be acceptabfe to the CITY at its sole discretion; and, in lieu of traditional insurance, any altemative caverage mai�tained through insUrance paois or risk reter�tion groups must be also approved. Dedicated financia! reso�arces or letters of credit may alsa be acceptable to the City. (g) Applica�le policies shall each b� endorsed with a waiver of subrogation in favor ox th� CfTY as respects t�e PROJECT. �h) The City sl�all b� entitl�d, upon its request and without incumng expense, tv re�iew tt�e ENGINEER's insurance policies including endorsements tY�ereto and, at the C�iTY's discretfan, the ENGINEER may be requi�ed to provide proof of insurance premium payments. (k) The CIT1' shall not be responsible fof the direct payment oi any insurance premiums required by this agreement. lt is understood that insUrance cost is an allowable compor�ent af ENGINEER's overhead. (I) Afl insurance required ir� section K_, except for th� Professiona� Liabili#y ir�surance policy, shall be wri�ten on an occurrence basis in order to be appraved by the CI�Y. (m) Subconsultants to the ENGINEER shall be requi�ed by th� ENGINEER to maintain the same or reasanably equival�nt insurance co�erage as required fo� the ENGINEER. When insurar�ce coverage is maintained by subconsuftants, ENGINE�R shafl provide CITY with documentation thereof on a certifieate of insurance. Notwithstandin� a�nything to the cvnirary contaEned herein, in the event a subcansultant's insurance co�erage is canceied or terminated, such ca�cellation or termina#ion shall not c�nstitute a breac� by ENGIN�ER of the Agreement. L. Independ�n4 Ca�sultant The �NGINEER agre�s to perto�m atl services as an in�ependent consultan# and no# as a subcontrac#or, agent, vr employee af the CITY. fl�. �iscl�s�re The ENGINEER acknow�adges to the CITY tha# it has made full dEsclosure in w�Eting of any existing cor�f{icts of int�res# or potential conflicts of interest, including personal financial interest, direck or indirect, in praperty abutting the proposed PRO.lECT and business rela#ianships wit� abutting property cities. The ENGINEER f�rther acisnowledges that i# will make disclosur� in writing of any canfl�cts af inte�est w�ich develop �ubsequent to the signing of ihis cantract and prior #o �ina! payment under the contract. fi�. Asbe�48s a� Hazardous Substances (1) If asbestas or hazarc�aus s�bstances in any farm ar� encountered or suspected, the ENGINEER wiil stap its own wor� in the affected partions of the PROJECT ta permit #esting and evaluatian. (2} !f asbsstas or other hazardous substances are sc�spected, the ENGENEER will, if requested, assist the C�TY in obtaining the services of a qualified subcontractor to manage the rerr�Qd���or� ��t;�;;+�a� �f �e PR�JECT. � �7� L4� - -- ��., �� �^ �" a O. Permiifing �Authorities - Design Changes If permitting authoriti�s requEre �esign changes so as to comply with pubiished design cri#eria andlor current engineering practEce standards which the ENGiNEER should I�a�e been aware af ai the time this Agreeme�# was executed, ihe ENGIN�ER shali revise pEans and specifications, as requir�d, at its own cast and expense. However, i# design chang�s are required due ta the changes in the permitting authori#ies' published design crit�ria �ncf/or practice standards criteria which are published after the da#� af thEs Agreement which the ENGINEER could not have been r�ason�bly aware of, the Eh1GfNEER shal! natify the C�TY of such c#�anges and an a�justment in compensation wilf be made through an amendment to this AGR�EMENT. Ariicle �l Qbligagions ofi 4he City Amendments to Article V, if any, are included in Attacl�ment C. A. City�Fu�nished �a�a The CITY wilE mak� available to the ENGINEER all technical data in the G1TY's passession reiating to the ENGINEER's services on #he PROJECT. The ENGINE�F� may rely upon the accuracy, timeiiness, and completeness of the information pravided by the CITY. �. �ccess to �aciiiiies and Pro}�erty TY�e CITY will ma�e i#s facilities accessible ta the ENGINEEFi as required far the ENGINEER's pertormance of i#s services and wi�l provide labor and safety equipment as required by i�e ENGINEER for such aecess. The CITY wi�l perForm, at no cosf to the ENGINEER, such tests of equipment, rr�achinery, pipelines, and other compar�e�ts of the ClTY's fiacilities as may ae required in cflnnection with th� ENGINEER's services. The CITY wili be responsible far all acts of the CIiY's persannel. �. Adveriisemeni�, �ermiis, and Access Uniess otherwise agreed ta in the Scope of Services, the CITY will abtain, arrange, and pay for all advertisements for bid�; permits and licenses required by locaf, state, ar federal autl�orities; ar�d land, easements, rights-af-way, and access necessary for the �NG�NEER's senrices or PROJ�GT construction. �. fimely Review The GITY wi�l examine the ENGINEER's studies, repor�s, s�tetches, drawings, speci#ications, pro�osals, and other documents; obtain acfvice of an attomey, insurance co�nselar, accourriant, auditor, bond and financial advisars, and other cansultan#s as ti�e CiTY deems �ppropriate; an� t�t;��r _�� '_r`y��lrj� L{�I51011S �� +�rt r � , ��. requireci by the CETY in a timefy manner ir� accordance with the project schedule in Att�chment D. E. Prompt Notice The CfTY wil� give prompt written notice ta the ENGINEER whenever CITY observes or becomes aware nf any de�e�opment that affiects the scope ar timing of the ENGINEER's se�vices or of any defect in #he vu�ork of tf�e ENGENEER or construction contractors. F. Asbes�os or Fiazardous Substance� and Indemnifeafiion ('�) To th� maximum extent permi�ted by law, t�e CI�Y will indemnify and reEease ENGINEER and its afficers, employees, and subcontractors from all �laims, damages, los�es, and costs, including, but not limited to, attomey's fees and litigation expenses a�ising out of or relating to the presence, discharge, release, or escaPe of �azardaus substances, cor�taminants, or asbestos on or from the PROJ�CT. Nothing cnntained herein s�all be construed to require the CITY to ]e�y, assess or callect any ta�c ta fund this indemnifiication. (2) i't�e indemr�ificatian and release required ab�ve shal! not apply ir� th� �vent the discharge, release or escape of hazardous substances, conta�inants, ar asbestos is a result of �NGINFI�R'S neg�igence or if suc� hazardous substance, contaminant or asbes#os is brought onto the PROJECT by ENGINEER. G. Contwac��r Indemni�caiion and Cfaims The CfTY agre�s to i�c�ude in all canstruction contracts the provisians of Ar�icle IV.E. regarding the ENGINEER's Persannel at Construction Site, and provRsions praviding cor�tractor indemni#ication of the CfTY and the ENGiNEER for contrac#or's negligence. Fi. C�niractor Claims and �hi�d-�a�y �eneficiaries (1) The ClTY agrees ta incfude th� folEawing clause in afl cot�tracts with constructiort contractors and �quipment of mate�ials suppliers: "Contractors, su�contractors and equipment and materials suppliers on the PRO.lECT, or their sureties, shall maintai� no direct actian against fhe ENGiN��R, its officers, empEoyees, and subcontractors, for any claim arising out af, i� connection with, or rasuliir�g firam the �ngineering services performed.' Only the CITY wi�l �e t�e benefiiciary of any unde�aking by the ENGINEER." {2) This AGREEMENT gi�es na rights or benefits to anyone other than #he CI7Y a�nd the ENGINEER and there are no third-party bene�Ficiari�s, {3) The CiTY wiil include in each agreement it enters into with any other entity or persan regarding the PROJECT a provi�ic�r� �t���-���# ��fi�� �r _g_ • ;� � � person shal� have no third-party beneficiary rights under this Agreemer�t. CITY's Ins��ance (1) The CITY may maintain property insurance DTl certain pre-existing structur�s associatecf witn the PRO.lECT. (2) 7he CITY will ensure that Builders Riskllnsiallation insura�ce is maintained at th� replacement cost valu� of the PROJ�G7. T�te GITY may provide ENGWEER a copy of the paficy or documenta#ion of such o� a certi�icate of insurance. (3) The CIIY will specify that the Builders Risk/lnsta�lation insurance shall be comprei�ensive in coverage a�prap�iate to the PR0.IECT risks. .!. �i�igafEon �ssis�ar�ce The 5cape of Services does nof include casts af the ENGfNE�R for required or requested assisianc� to s�ppart, prepare, docum8nt, bring, defend, or assist fn litigation undertaken ar defended by the CITY. In the e�ent CITY requests s�ch services of the ENGIN��R, this AGREFM�NT shall be amended or a separate agreement will be negotiated beiween the parties. F�. Changes The CITY may ma�e or approve cnanges wi4hin th� g�nerai Scope af Servic�s in this AGREEMENT. If such changes affect the ENGINE�R`s cost of or time required for pertormance af the s�rvices, an equi#able adjustment will be made through an amendment to this AGRE�MENT with appropriate CIiY approval. Article !�1 Gene�al Legal ��o�isi�ns Amendments to Arficle VI, if any, are Enclucfed in Attachment C. A. Aufho�i�a�ion �o �race�d ENGIN��R s�all �e autharized to proceed with this AG��EM�NT up�n receipt af a w�itten Notice to Proceed from #�e CITY. ' �. Reuse ofr p�ojeci Documents All designs, drawings, specifications, documents, and other work prod�cts of the ENGINEER, whether in hard copy or in eRectronic for,�, �rp .instr�m��ts of service far this PROJECi, whether the PRO.IEC� is car����?���� �r ���� f��e� change, or alteration by the CITY or by athers acting thrr��u�,� �� �t, i��s=���� �,� �t�� -10- CITY af any such instruments of service without t�e written p�rmission of ihe ENGfNEER will be at the CITY's sole risk. The final �esigns, drawings, specificativns and documents shail be owned by the CITY. G. �o�ce RAajeure The ENG�NEER is not responsibie far damages or delay in performance caused by acts of God, strikes, IockQuts, accidents, or ather events beyond the cont�ol of the ENCINEER. �. Termina�ion (1) This AGREEMENT may be terminated only by th� City far canvenience or� 30 days' ►nrritten notice. This AGREEMENT may be terminated by either the CITY or the �NGINEER for cause if either party fails substantially to perfiorm through no fault of the o#�ter and does not commence correction of s�ch nonperformance with five (5} days of written natice and diligently compl�te the correction thereaft�r. PHASE 1 7) Rightnof Way, �asement and Land Acquisitian Needs Tf�e Engineer shall determine the rights-of-way, easem�nt needs for the canstruct'ton of the project. Engineer shall cEetermine ownership of such land and furnish the City with the necessary right-of-way s�cetches, prepare n�cessary easement descriptions for acquiring the �'i�hts-of-way andlor easements for the construction of this pro�ect. Sketches and easement descriptio�s are to be presented in form suitab�e for di�ect use by the Department of Engine�ring in obtaining rights-of-way, easements, permi#s and licensing agreements. A!I materials shall be furnished on the appropriate City forms in a minimum of fo�r (4} capies each. 8} Design Survey The Engineer shall provide necessary field survey fvr use in the prepar�tion of Plans an� Specifications, The �ngineer shall furnish the City ce�tified copies o�F the field data. � 9) Utility Coordination The Engineer shall caordinate with all utilities, including utilifiies owned by the City, as to any proposed utility liens or adjustment to existing utility lines within #he project limits. The information ob#ained shall �e shown on the conceptual plarts. The �ngineer shaq shaw on the preliminary and final pEans the loca#ion of the proposed utility I�nes, existing utility iines, based on the information provid�d by the utility, and any adjustments andlor r�location of the existing lines within the project iimits. The appraved plans and contract specifications s�all b� used as authorized by the City for use in abtaining bids, awarding contracfs, and consfrueting tt�e project. 17} Bidding Assisfa�ce TY�e Engineer shall issue addencfa as apprapriate #o interpret, clarify, or expand the bidding documents, and assist the owner in determining the qualifications and acceptabilify of praspective consfrucfors, subconfractors, a�d suppliers.
