�'i) Th� Engine�r shall provide th� City sufficient docum�nt�iion ta

(2} Monthly invoic�s will b� issued �y th� �NG1NE��t for all worE� pertormed
under this AGREEMEi�T. Invoices are du� and payabl8 within 30 days
of recei�t.
(3) Upon completion of setvices snumeraied in Art+cl� I, the fina! payment of
any balance will b� du� within 30 days of r�ceipt of the fin�l invoice.
�4) In the event of a �lisputed or cantested billing, c�Ny �hat portivn so
coniested wi�l be withheld from paym�nt, and th� �ndisputed portion wi�!
be paid. The Ci�1( wifl ex�rcise reasonabl�n�ss in cor�t.�:sting s�ny bill ot
partion thereof. No interest will accrue or� any contested portiar� of the

the ac#ual chara�teristics may vary sigr�ificantfy b�tween su�cessive test .

of #h� inherent unce�tainties in subsur�c� ev�lu�tions, changed or

on reprodUcible plastic fiim sheets, or as oii��rwise �ppro�ed by CITY, which
si�all become th� property o� th� C1TY. CITY may use such drawings in �ny
manr��r it d�sires; pravid�d, howe�►�r, that t�ie �NGIN�E� st�all not be liable for
the us� of such arawings for �ny pro}ect other than the PRU.I�CT described
herein.

entities, �nd do not r�lieve the construction contractors or any �ther
�ntity o� their obligatians, duties, and responsibifities, incfuding, but nof
limit�d �o, �II constructior� methods, m�ans, #ecliniques, sequences, and
proc�de�r�s n�c�ssary far cvordinating a�nc! campleting all �ortions of the
construction wor� in �ccnrdance with the Contr�ct Docum�nts and �ny
hea�th ar saf�ty prec�ution� required �y such construction w��k. 7he
ENGINEER and its personn�l ha�e na authority tn exercise �ny control
over �ny constr�.�ct�on contr�cto� ar other �n�ity or th�ir. employee5 ir�
cann��4ion with tl��ir work ar any riea�IltFi or sa�fe#y �rec�utions.

a ma�nner indicating that the PROJ�Ci, when campleted, wil� be in

Contr�act Docum�nts or the �greement b�twe�n CIiY and �NGINE�R
b� consfirued as requiring �NGIN��R ta m�ice exhaus#iva or continuous

reason, th� �N��N��� should mak� an on-sit� absenration{s}, an th�

(3} WheR prafessional c�rtific�#ior� of perfiormance or char�cte�istics of
ma#er�als, systems or ��uipmeni is reasonably requirea to pertorm th�
s�nrices se� for�F� in ihe S�ope r►f Services, th� �NGtN��� shall be
entitled to rr�ly upon such certification to e�ta�lish m�teri�ls, systems or
et�uipment �nd per%rma�ce crit�ria to be required �n the Con�raCt
�vcum�nts.
�. Opinior�� �� ��o�abl� �o��, f�in���dal ��nsi��rr��o�ns, �n�1 ���ed�l��
{�I) ih� �NGIN��R sha!! provide opir�ions of probable cosfs bas�d on the
curr�nt �v�i�abie information �t the time of prepara�ion, in accordance
wit�i Attachmertt �.
(2} In providing opinions of cost, fn�ncial ar�a€yses, economic feasibi�ity
project�ons, and schedules fo� the PROJECi, fhe ENGIN��R has no
cor�trol over cost . or pric� ofi labor and materials; unknawn or lat�r�t
conditions af exis�ing eq�ipment ar stnictwres that may affect oper�tion
or mainten�nce costs; comp�titive bidding proc�dures and m�rket
m��
corrditions; time or qualify nf performance by thircl parties; qualiYy, type,
man�gement, ar directian af operating Personnel; and othe� ecor�omic
and operatEr�nal f�c�ors that may m�teria�ly af�ect the uliimat� �a4J�CY
cost or scf�edule. iherefore, the ENGINEER makes na warranty tf�at ##�e
CI�Y's actu�� PROJ�Ci costs, fin2�ncial aspects, �conam€c fe�sibili#yT �r
scherlules will not v�ry from the ENGIN�ER's opinions, ana�yses,
projections, u� estim�fies.
�. Consfir�c�ion �'r��r��� P�y�n�n�
R�commendations by t�� EN�IN��R to the CI�1( for periodic construction
progr�ss paymenfis to th� construction co�#ractor wili b� bas�d on the
�NGIN���'s knawledge, information, and b�lie� from selective s�mpl�ng and
obs�rvatian that the work has progressed �a #he point indicat�d. 5uch
r�comm�rtdatians da not represent that car�tinuous o� d�t�iled �xamin�tions
hav� been made by the �NGIN�ER to ascer��in th�t the consfinaction cor�tractor
�as completed the work in ex�ct accordance with the Cantract 9ocuments; th�f
the final work will be acceptabte in �II respe�#s, ti�t�t the EN�INE�R h�s m�de
an examin�#ion to ascertain how or for what purpose the constnaction cont�actar
has used the moneys paid; thafi title to any of the wor#c, materials, or aquipment
has passe�l to the CIiY free and cl�ar af lie�s, c[aims, secur�ty inter�sts, or
ertcumbrances; o� tMat th�r� ar� nat ather m�,ftet� at issu� betw�er� t�e CI7Y

infarmatioR compiled and fumished by o�ers, and may nat a�w�ys repres€nt
the exact location, typ� .of �arious c�mponents, or exac# m�nner in which tFte
PROJ�Ci was fin�l�y cottstructed. The ENCIN��� is not respansibl� for any
errars or omissior�s irt the information from others #hat is incorpofated into the
record dr�wings. ,
I. i�ir���i�y �nd !�4l�man �u�ine�� �n�ep�i�� �M�BE) p�riicip��ion
In a�cord with City of Fa�k Worfih Ordinance No. 1'I923, as �m�nd�d by
Ordinance 13471, the City has goa[s for the partic�pafior� of minority business
enterpris�s and woma� business �nterprises in Gity cor�tracts, Engin�er
ac4cnow�edges ti�� M/W�� go�l est�a�lished for this cantract �nd its commitment
to meet that goal. Any misrepr�ser�ta#ion af facts {other than a negrigent
misrepres�ntation} andlo� the commissior� of fraud by the �ngin�er may resuli in
the termination of this agreement and deb�rmer�t from pariicipating in City
contr�cts for a p�riod of tim� af not I�ss than three (3) ye�rs.
J. �fgh� �o �ucJit
(1) �NGIN��R �gre�s that th� CI�Y shalt, un#il the �xpirafion ofi t�res (3)
years a�ker final p�ymenf und�r this contract, hav� acr,�ss fo and the
ri�ht ta examine and photoca�y any direc�iy pertinent baoks, clocuments,
pape�rs and records of t#�� ENGIN�ER involving transactions rel�ting #o
�
this contr�ct. �NCINEER agrees that th� GI fY shall have access duri�g
narmal warlci�g haurs ta all nec�ssary ENGIN��R facilities and shall be
provided ad�quaie and appropriate work s�ace in arder to conduct
audi#s in compliance with the provisions of #i�is sectior�. The C�TY shall
give CNGIN��R reasonable advance no#ice af intended audits.
�2) ENGiM��R furkl�er agrees ia include in all its subconsultant agreements
her�und�r a pro�rision to ti�� �ff�ct th�# the subcvnsultant �grees fih�t
the GI'fY sf�al�, un#il #!i� expiration of tttree (3) years after fir�al payment
�and�r the subcontract, have aGcess in and the r�g�f �p ex�mir�e and
. phoiocopy any directly pertiner�t books, dacuments, papers and recards
of such subr.onsultant, involving transactions to the subcontract, and
furth�r, that #he CITY shai) h�v� �ccess during r�ormal wor�ing hours ta
all subconsuf#ant facitities, and shall be prnvided adequate and
appropriate war� space, in order to canclucE audits in compliance with the

(3) EI�CINE�R and subcor�suft�n# agre� to photr� copy such docum�nts �s

�NGlNE�� for the cost af cppies at the rate publ�si�ed in the iex�s
Administrative Cor1e in efFect as of th� time copying is p�rformed.

CITY shall include its employees, o�cers, afficials, agents, and
volunt��rs as resp�cts the contrac#�d services.
�b) Certiiicate(s} of �nsur�nce shall document that ins�rance
cov�rag�s spe�cifi�d according �o items secfian K.(1) and K.{2) af
this agreement are pravid�d under applic�bEe policies
documen4ed th�reon.
�c) Any failure on �a� o� the Ci`(Y ta reques# r�quir�d insurance
docum�nt�fion s�all r�a4 c�nstitute a waiver of the insur�nce
ret�uirement�.
(d) A minimum of thirty {30) clays r�afice af r,ancell�#ican, non�renewa{
or material cf�ang� in co�erage shall be providec! ia the G�YI'. A
ten (9 �) days notice shalt be acceptabl� in #he event of nan�
paym�nt of premium. Such terms �hal! be endorsed onto
�NCIN���'s insurance polici�s, Natice shall b� s�nt fo the

EN�IN�E� may be required ta prov'rd� proof of insurance
premium p�yments.
(I) 7he Commercial G�neral �,ia�ifity i�surance po�icy shall have no
exclusio�s by endorsem�nfs unless such are approved by th�
CITY.

(k) The CI1Y shall not be responsible for the direct p�ymer�t of any
inS�rance premiums requir�d by �is �greem�nt. It is und�rsfooc

aver�ead.
{I) All insurance required in secEion K., exce�t fior th� Prafessio�al
Vab�lity insurartce policy, s�all be writ��n on an occurrence basis
in order tp b� aPproved �y #he CIi�Y.
(m) S�bconsultants to th� �NGINE�R shall be require� by the
ENG7N��R tfl maintain �he same ar r�asanabty equivalent
insurance co�erage as required for the ENGfNEER. V'Vhen
insurance cov�r�ge is maiRfained by subcQnsultants, EN�INC�R
shail provide CITY with document�tion tt�er�of an a cer�ificate �f
irrsurance. Nvtwithstanding anyfihing #o the contr�ry co�t�in�ci
i�erein, in the ever�t a subcon5ultant's insur2�nce coverage is
cc �nceted vr ierminated, such car�cellation or termination shail not
ccros#itu#e a br�ac� by �NGIN�LR of the Rgreem�ni.

'ihe �NCEN��R aclu�owledg�s to the CITY t�a# if f�as m�cie fulf disclosur� in
writing of any existing conflicts af in4er�st or pot�ntial cor�f�icfs of interest,
inclucling pers�nal financial ir�#�resfi, direct or indirect, in proper-� abutting t�e
praposec� P{��J�CT and business refationships with abutiing� prap�rty cities.
The EIVGlN��� �urther ac�nawledg�� that �t wifl m��e disclosure in wrfting of
any conflicts of inter�st which de�elop subsequent to the sigr�ing of this contrac#
ar�d prior ta fin�l gayment �ander ih� c�ntract.

{2) If asbesios a� oth�r ha�ardo�s substa�ces a�e s�spected, t�ie
ENGINEER wifl, if requested, assist tl�a �ITY in obf�aining ti�e services of
a qualified su�confractor to manage the �emerJia#i�n activiti�s af th�
�ROJ�C�. .

If permitting �uthorities requite design c�anges sv as to comply with publish�d
design c�iteri2� andlor curr$nfi engineering pr�ctice si�an�larcfs which #��

execut�d, the ��CiN�ER sh�l! revise plans and sp�cifications, as re�uired, �t
its own cost �nd �xp�nse. Nowever, if d�sign chang�s ar� r�q�aired du� to th�
cf�anges in the permit#ing authorifies' published desigr� c�iteria and/or practice
stanc��rds crit�ria which �re published after gh� date �fi this �greement whiGh
th� ENGII���R could nnt ha�e been rea�ar�ab�y aware Qf, th� ENGIN��R sh�ll
notify fih� �ITY of such ch�ng�s �nd �n �d�ustm�nt in comp�ns�tion wifl be
made through an ame�ameni to this At;R��M�Ni.

eq�ipmet�t as r�quir�d k�y th� �NGIN�ER for such acc�ss. Th� �1�1( wi�1
p�rform, �t na cast to th� ENGIN�E�, sucf�t tests of equipmerlt, machinery,
pipefines, and othe� compon�nts of the �IYY's facilities as m�y be t'equired in
connection wifi�t the EMGINE��`s sen+ic�s. Tf�e CITY will be responsii�{e for ap
acts of the GITY`s per�onnel.
�. Adir�rfi��rrr��r�i�, Pe��fs, and Ace��
Unf�ss ath�rwis� �gr�ed to in the 5cape of Services, th� CEN wilr abtafn,
arean�e, a�nd p�y fvr �II aBvertisemen#s for bids; perrriits and liaenses required
by lacal, state, or fed�ral au#horities; and land, easements, rfghts-of-way, and
ac�ess nec�ss�ry for the �NCIN��fi's services or �ROJ�Ci constructivn.
�. Tirrt�ly ��vi��n►
The C1iY wifl examine the �NCINEER's studies, reports, s�cetches, drawings,
s�ec�fications, proposa�s, and other docum�nts; obtain �dvice of an �ttom�y,
insuranc� counselor, accaun#anti auditor, bond and frnanci�l advi�ors, and oth�r
consuttanis as #he CIT`f deems �pprvpriat�; and render in writir�g decisions
�
required by t�e CiTY in a timely mar�ner in accordance witi� the proj�c# schedule
in Attachm�n� A.
�. R�amp� hiofiic�
The Cli`Y wiil giv� prompt wr�tt�n natice to �he �NCINEE� wh���ver GIiY
absenres or beaomes aware of �ny de�elopment tl�at aff�cts �� scope ar timing
of �the �NGIN��R's services or of any d�fect in the work of fh� �NGIN�ER or
construct�or� cvnfractors.
�. A����f�� or �ia������ SuH�ican��s �n� i�d���i�ic��ian
('!) . To the maximum �x�ent permitted by I�w, tl�� CIiY wtll ind�mr�ify and
release �NGfN��R and its o�cers, emp�oy�es, and s�bconiraciars from
a{I claims, damag�s, losses, an� �osts, incl�ding, bu� not fimited to,
attorney's fees and litigefwn exp�ns�s arising oufi of or rela#�ng to the
presence, discharge, release, vr esc�p� of hazarciaus subs�ances,
cont�min�nts, or �sbes4as on or from the PROJ�GT. Nothing cantained
herein shal� be construed to r�quire th� CITY t� levy, assess or coll�ct
ar�y t�x to fund�this indemnification.
(2) Y�re indemni�cation anc! refe�s�e reqcair�d �bo�� shali not �pply in t#�e
event the discharge, releas� or escape of hazardous substances,
con#amir�a�ts, or �sbestos �s a result of �NGIN€ER'S n�gligence or if

segment. Base sheets shall reference affected or adjacent streets.

and profile sheets. ENGINEER will coordinate witf� uti�ity
companies and the City of �ort Worth fo determine if any future
�mprovements are planned that ma� impact th� praject.

and/or wastewater service lines which connect directfy to any
mair� �eing replaced, including replac�ment � of existing service
I�nes wiihin City right-of way or utility easement. When ti�e existing
alignment of a water and sanitary sew�r main or lafieral is
changed, provisions w�ll be made in the final plans and/or
specificatians by the ENGINEER to relocate all service lines which
are cont�ect�d fo the exisfing main and connect said service lines
to the relocat�d main.
f. Tt�e ENGINE�R will prepare standard and special detaif sheets
fo� wafer line installation and sewer rehabilitatian or replac�ment
that are nat alrea�y included in ti�e D-Section of the City's
spec�ica#ions. These may include connection details befiweer�
�arious parts of the praject, tunneling details, boring and jacking
details, waterline reloca#ions, and details unique to the
construction af the projecf, trenchless details, and speciaf servic�
latera! reconnections.

It is recommended that the City Cnuncil:
1. Authorize the transfer of $217,093 from the Water and Sewer Qperating Fund to the Sewer Capital
Projeet Fund; and
2. Adopt the attached a�pro�r�ation ordinance incrsasing estimated rer,,eipts and appropriations i� the
Sewer Capital Projec# Fund in the amaunt of $217,�93 from available funds; and
3. Authorize the City Manager to execute an ertgineering agreement ►nrit� Carter & Burgess, �n�. ir� the
amount of $20i,09� for 5anitary 5ewer Replacement Contract LXVfII (B�}.
