STANDARD AGREEMENT FOR PROFESSIONAL SERVICES
FORT WORTH CONVENTION CENTER RENOVATION PROJECT

COUNTY OF TARRANT
WHEREAS, The City of Fort Worth and Broaddus & Associates, Inc. (Consultant)
made and entered into City Secretary Contract No. CS-56784 (The Contract) which
was authorized by the City Council by M&C 21-0934, the 30th day of November,
2021, for Multi -Year Project Management Services Associated with the Renovation
of the Fort Worth Convention Center, in the amount of $2,313,927.00 and
WHEREAS, The City of Fort Worth and Broaddus & Associates, Inc. (Consultant) made
and enter into an amendment 1 to provide additional services for additional site & utility
surveying. The cost of this additional service was $99,390.00. The scope of services is
described. more fully in Broaddus & Associates Letter dated January 25, 2022, subject:
"Fort Worth Convention Center Expansion Project Management Amendment 1"
WHEREAS, further amendment is necessary to reimburse the Consultant as part
of the Project Management Services associated with the Water Gardens Project
(M&C23-0930).
NOW THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends the
Contract:
1.
Article I — Scope of Services, Paragraph (3) shall be added to read as follows:
(4) Provide additional services for project management for the water gardens project.
The cost of this additional service is $556,158.00 (M&C 23-0930). The scope of services
is described more fully in Broaddus & Associates Letter dated March 27, 2023, subject:
"Project Management Services Proposal — Water Gardens"

Article II — Compensation, first paragraph, is amended as follows:
"Consultant shall be compensated in accordance with the Fee Schedule
shown in Attachment "B". Payment shall be considered full compensation.
for all labor, materials, supplies, and equipment necessary to complete the
services described in Attachment "B". However, the total fee paid by the
City shall not exceed a total of $2,969,475.00 unless the City and the
Consultant mutually agree upon a fee amount for additional services and
amend this Agreement accordingly."

Subject: REV 1 - Project Management Services Proposal — Water Gardens
Thank you for the opportunity to submit this proposal for Project Management Services, which we have
prepared for your review and consideration. This proposal allows The City of Fort Worth and our team to
remain flexible in our efforts to support your program and to chart a course to success. As the work
proceeds, we will have options to direct the project management efforts in a manner that is most
advantageous to the City of Fort Worth.
We propose to assign an experienced Project Manager who will coordinate and lead the design and
construction effort for the City of Fort Worth. Our PM has navigated complex projects and overcome scope,
cost, and schedule challenges in the past, and will coordinate and work with the City of Fort Worth's
equipment vendors, other consultants, and contractors to ensure a successful project for the City of Fort
Worth. Our PM will also be able to draw resources from across our organization as supported by our North
Texas Regional Manager, Mark Leemaster and David Crabtree, as well as across Texas as needed.
Staffing and Fee Proposal
We propose to provide one part-time Project Manager (PM) for the duration on the project/s, for now that
is estimated to be 37 months. This results in a total Lump Sum of $556,158.00 inclusive of reasonable
travel expenses. The lump sum also includes the business equity goal of 26.8%. The total fee will not
exceed the agreement without prior written approval from you.

Renovation of the Fort Worth Convention Center and Fort Worth Water Gardens(2022 Bond Program)
RECOMMENDATION:
It is recommended that the City Council authorize execution of amendment #2 to the professional services agreement (CSC No. 56784) with
Broaddus & Associates, Inc., in an amount up to $556,158.00 for a total contract amount of $2,969,475.00 for the multi -year project management
services associated with the renovation of the Fort Worth Convention Center and Fort Worth Water Gardens.
DISCUSSION:
The purpose of this Mayor and City Council Communications (M&C) is to authorize the execution of amendment #2 to the professional services
agreement with Broaddus & Associates, Inc., in an amount up to $556,158.00, for multi -year project management services associated with the
renovation of the Fort Worth Convention Center and Fort Worth Water Gardens. Broaddus & Associates, Inc. was selected to provide project
management services for the expansion of the Fort Worth Convention Center through a competitive process and on November 30, 2021, City
Council authorized the execution of a professional services agreement, in the amount of $2,313,927.00 (M&C 21-0934). Staff administratively
executed amendment #1 to the professional services agreement, in the amount of $99,390.00, to provide additional professional services. With
the execution of amendment #2, the total value of the professional services agreement will be $2,969,475.00.
The expansion of the Fort Worth Convention Center will have a significant impact on the adjacent streets and properties. The City of Fort Worth's
Water Garden is a 4.3 acre renowned urban park located immediately to the south. This park was designed by noted architects Philip Johnson
and John Burgee and constructed in 1974. The Water Gardens is in need of various repairs and improvements. Because the Convention Center
and Water Gardens project complement and impact each other in significant ways, staff recommends that Broaddus & Associates, Inc. should
provide project management services for both and recommends executing amendment #2 to provide project management services that includes
the Fort Worth Water Gardens.
The anticipated Fort Worth Water Gardens budget is listed in the table below:

This project is included in the 2022 Bond Program. The City's Extendable Commercial Paper (ECP) (M&C 22-0607; Ordinance 25675-08-2022)
provides liquidity to support the appropriation. Available resources will be used to actually make any interim progress payments until debt is
issued. Once debt associated with a project is sold, debt proceeds will reimburse the interim financing source in accordance with the statement
expressing official Intent to Reimburse that was adopted as part of the ordinance canvassing the bond election (Ordinance 25515-05-2022).
Funding is budgeted in the Park & Recreation Departments 2022 Bond Program Fund for the purpose of funding the 22 Bond Water Garden
project, as appropriated.
Diversity & Inclusion: Broaddus & Associates agrees to maintain its initial M/WBE commitment of 27% that it made on the original agreement and
extend and maintain that same M/WBE commitment of 27% to all prior amendments up to and inclusive of this Amendment No. 2. Therefore
Broaddus & Associates remains in compliance with the City's M/WBE Ordinance and attests to its commitment by its signature on the Acceptance
of Previous M/WBE Commitment form executed by an authorized representative of its company.
The Fort Worth Convention Center is located in COUNCIL DISTRICT 9 but will benefit ALL COUNCIL DISTRICTS.
FISCAL INFORMATION / CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget, as previously appropriated, in the 2022 Bond Program Fund
for the 22 Bond Water Garden project to support the approval of the above recommendation and execution of the agreement. Prior to any
expenditure being incurred, the Park and Recreation Department has the responsibility to validate the availability of funds.
