FIRST AMENDMENT TO THE LEASE AGREEMENT
This FIRST AMENDMENT ("AMENDMENT") OF FORT WORTH CITY
SECRETARY CONTRACT (CSC) NO. 60290 is made and entered into by and between the
City of Fort Worth, a home -rule municipal corporation of the State of Texas ("City"), acting herein
by and through Dana Burghdoff, its duly authorized Assistant City Manager, and Gridiron Air,
LLC, acting by and through its duly authorized President and CEO, Paul Kirby ("Tenant"). City
and Tenant are individually referred to as a "party" and collectively referred to as the "parties".
WHEREAS, the City entered into a Facility Lease Agreement (City Secretary Contract
No. 60290) ("Lease") with Tenant on October 16, 2023 to lease approximately 35,150 square feet
of space in the Parts Building #11 located at 2008 Eagle Parkway, Fort Worth, Texas 76177 at the
Alliance Fort Worth Maintenance Facility ("Premises"); and
WHEREAS, the parties agree that Tenant will increase the occupied space to 42,139
square feet of the Premises, as described in Exhibit "A" in this Amendment, and
WHEREAS, the parties agree that the Leased Fee will increase to $24,000.00 per month
to use the Premises during the term; and
WHEREAS, the Lease renewals are due to expire January 13, 2023 and the parties agree
to add two (2) additional, automatic and successive thirty (30) day renewals to expire March 13,
2024. These renewals and the terms herein are intended to provide the parties with adequate time
to conclude negotiations for an extended long-term lease of the Premises; and
NOW THEREFORE, in consideration of the terms set forth in the Lease, the parties agree
to amend the Lease Agreement as of the executed date of this Amendment as follows:
1. Paragraph 1 (Premises) is hereby amended by deleting "35,150 square feet of space" and
inserting "42,139 square feet of space."
2. Paragraph 3 (Lease Term) is deleted in its entirety and replaced with the following:
The term of this Lease shall commence on the date of its execution ("Effective Date"), as
shown on page 7 in this Agreement and expire thirty (30) days from the Effective Date.
The term shall be automatically extended for four (4) additional, successive thirty (30)
day periods. This Lease may be terminated by either party, for any reason, by providing
the other party with no less than thirty (30) days written notice prior to the effective date
of such termination.
3. Paragraph 4 (Lease Fee; Time of essence) is amended by deleting "$20,000.00 per
month" and inserting "$24,000 per month."

4. The Existing Exhibit "A" in the Lease is replaced with Exhibit "A" in this Amendment.
All other terms and conditions of the Lease remain unchanged and in full force and effect.
