4. SPECIAL TERMS AND CONDITIONS
4.1. Termination. Subject to the Minimum Payment Per iod , either Party may terminate any Service provided under this Pricing Schedule
for convenience by providing its Notice of terminat ion to the other Party at leas t 30 days ' prior to its intended date of term ination.
4.2. Non-Appropriations of Funding. If Customer is a government agency dependent entirely on government fu nding , by executing
th is Pri cing Schedule , Customer warrants that Customer has funds appropriated and ava ilable to pay all amounts due hereunder through
the end of Customer 's current fiscal period . In the event Customer is unable to obtain the necessary appropriations or funding for the
Se rvices provided under this Pricing Schedule , Customer may terminate the Serv ices without liabil ity for the Term ination Charges set
forth in the Agreement upon the following conditions: (i) Customer has taken all actions necessary to obta in adequa te appropriations or
funding ; (ii) despite Customer 's best efforts funds have not been appropria ted and are otherwise unavailable to pay for the Serv ices ; and
(iii ) Customer has negotiated in good faith with AT&T to develop revised terms , an alte rn at ive payment schedule or a new agreement to
accommodate Customer 's budget. Customer must provide AT&T th irty (30) days ' wr itten notice of its intent to term inate the Serv ices
under this section . Termination of the Services for failure to obtain necessary appropriations or funding shall be effect ive as of the last
day for which funds were appropriated or otherw ise made ava ilable . If Customer term inates the Servi ces under th is Pricing Schedule
under this section , Customer agrees as follows : (i) it will pay all amounts due for Services incurred through date of termination , and
re imburse all unrecovered non-recurr ing charges ; and (ii) it will not contra ct with any other provider for the same or substantially sim ilar
services or eq ui pment for a period equal to the orig inal Minimum Payment Pe riod for such Service(s). ·
4.3. Governing Law. This Pric ing Schedule and any claims aris ing he reunder or related hereto , whether in contract or tort , shall be
governed by the domestic laws of the State of Te xas .
4.4. Change of Law
AT&T reserves the right to requ ire periodic updates to the terms and conditions of this Pricing Schedule , and all relevant documents
associated therew ith , to ma inta in alignment with new and changed legislation , legal requirements , rules and regulatory requ irements
applicable to the products and services offered under this Pricing Schedule . If federal or state laws and regulations are changed and /or
become effective that may impa ct the Terms and Conditions related to the products and services offered under this Pricing Schedule , the
change of law Terms and Conditions shall be implemented through a contract amendmen t process whereby an author ized represen tative
of the Parties shall execute a formal written amendment. Such Amendment shall be referred to as the "Change of Law Amendment."
Notwi thstanding the forego ing , if the Part ies cannot reach agreement on the Change of Law Amendment terms within 30 days of the
effective date of the applicable law , and such change of law impacts the rates/p rices conta ined in this Pri cing Schedule , then subject to
Se ction 4.2 above , then the rates shall be implemented immediately in accordance with such appl icable law . Such rate changes shall be
implemented consistent with E-Rate rules and regulations and appl icable pro curement la ws.

SUBJECT: Authorize Execution of a Universal Agreement for Telecommunications Services with
AT&T for the Information Technology Solutions Department Using a State of Texas
Department of Information Resources Contract at an Annual Cost Not to Exceed
$2,400,000.00
RECOMMENDATION:
It is recommended that the City Council authorize AT&T to provide telecommunications services at
multiple City of Fort Worth sites for the Information Technology Solutions Department using State of
Texas Department of Information Resources Texan 2000 SWB-LS contract at an annual cost not to
exceed $2,400,000.00.
DISCUSSION:
Employees are provided access to information systems and resources via the City's data network.
This network provides the connectivity required for technology such as computers, workstations,
video , etc. A key component of this connectivity is one or more telecommunications circuits provided
by public telecommunication providers .
AT&T is one of the City's primary telecommunication providers. The City's current agreement with
AT&T has expired. This agreement includes services such as high bandwidth and fiber optic type
technologies. Staff recommends the execution of a universal service agreement with AT&T to support
network connectivity.
In awarding specific telecommunication orders for service, staff continues to broaden its use of
telecommunication vendors. Specific telecommunication serv ice orders are competitively awarded to
telecommunication vendors based on price , service and capacity to ensure the City is getting the best
value . This Universal Agreement allows the City to Use AT&T where appropriate.
The State of Texas Department of Information Resource is authorized to offer the cooperative
purchasing programs to state agencies, public institutions of higher learning, public school districts
and local governments. Pursuant to Government Code Section 791 .025, a local government that
purchases goods and services under the lnterlocal Cooperation Act satisfies otherwise applicable
competitive bidding requirements.
ADMINISTRATIVE INCREASE -An administrative amendment or increase may be made by the City
Manager for an amount up to $50,000.00 and does not require specific City Council approval as long
as sufficient funds have been appropriated.
M/WBE - A waiver of the goal for M/WBE subcontracting requirements was requested by the IT
Solutions Department and approved by the M/WBE Office because the purchase of goods and
services is from sources where subcontracting or supplier opportunities are negligible .
AGREEMENT TERMS -This agreement will begin March 1, 2011 and expire August 31, 2011.
RENEWAL OPTIONS -This agreement may be renewed in accordance with the terms of the DIR

Texan Contract. This action does not require specific City Council approval provided that the City
:council has appropriated sufficient funds to satisfy the City's obligation during the renewal term.
