SECOND (2) AMENDMENT TO
FORT WO TH CITY SECRETARY CONTRACT NO. 55664
BETWEEN CITY OF FORT WO TH AND AVI-SPL LLC.
This First (1) Amendment to Fort Worth City Secretary Contract No.55664 ("Second (2)
Amendment') is made between the City of Fort Worth ("Fort Worth"), a municipal corporation
and AVI-SPL LLC ("Vendor").
WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth
City Secretary Contract No. 55664 beginning February 1, 2023 (the "Agreement'); and ends
January 31, 2024.
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement to increase the amount of the contract by, to reflect increase costs, from $99,000.00 to
$100,000.00; and
WHEREAS, the parties also agree to amend the Agreement to incorporate the attached
Exhibit A and its terms into the Agreement.
NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein
by the through their duly authorized representatives, agree to the following terms, which amend
the Agreement as follows:
1. Paragraph 3 of the Agreement, titled Compensation, shall be deleted in its entirety
and replaced with the following language:
3. Compensation. City shall pay Vendor in accordance with the fee schedule of
Vendor personnel who perform services under this Agreement in accordance with the
provisions ofthis Agreement and Exhibit "B," — Price Schedule. Total payment made
under this Agreement for Initial Term shall not exceed the amount of One Hundred
Thousand Dollars and Zero Cents ($100,000.00), and the City makes no promise or
guarantee of the total amount of work that will assigned to vendor under this
Agreement. Vendor shall not perform any additional services or bill for expenses
incurred for City not specified by this Agreement unless City requests and approves in
writing the additional costs for such services. City shall not be liable for any additional
expenses of Vendor not specified by this Agreement unless City first approves such
expenses in writing.
2. The Exhibit A, attached to this Amendment, is hereby added to the Agreement and
incorporated as if originally attached thereto.
3. All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
