HomeMy WebLinkAboutContract 51995-A1R1CSC No.51995-A1R1 FIRST AMENDMENT AND FIRST RENEWAL OF CITY SECRETARY CONTRACT NUMBER 51995 This FIRST AMENDMENT AND FIRST RENEWAL OF CITY SECRETARY CONTRACT NUMBER 51995 ("First Amendment and First Renewal") is made and entered into by and between the CITY OF FORT WORTH, ("City"), a Texas home rule municipal corporation, acting by and through its duly authorized Assistant City Manager, and TEXAS A&M AGRILIFE EXTENSION SERVICE, ("Texas A&M"), a member of the Texas A&M University System and an agency of the State of Texas. City and Texas A&M are herein referred to individually as a ("Party") and collectively as the ("Parties"). WHEREAS, on February 1, 2019, the Parties entered into an Interlocal Agreement for the purpose of Texas A&M providing agricultural and wildlife management training to the City, as set forth in Exhibit A, the same being City Secretary Contract ("CSC") Number 51995 ("Agreement"); WHEREAS, the Agreement provides an initial term of five years; WHEREAS, the initial term of the Agreement will expire on January 31, 2024; WHEREAS, it is the collective desire of the Parties to amend the Agreement to allow for renewal terms and to increase the total contract amount; and NOW, THEREFORE, for and in consideration of the mutual promises and covenants set forth herein, the Parties agree to amend and renew and extend the Agreement as follows: I. 1. City and Texas A&M hereby agree to amend Section 2, "Term" to add subsection 2. 1, "Renewals", to read as follows: 2.1 Renewals. City and Texas A&M may agree, in writing, to renew this Agreement under the same terms and conditions, for two (2) additional five-year renewal periods (each a "Renewal Term"). 2. City and Texas A&M hereby agree to amend Section 3, "Compensation" to be and read as follows: 3.1 Total compensation under this Agreement will not exceed Eight Thousand Dollars and Zero Cents ($8,000.00), for annual staff training. 3.2 City will pay Texas A&M in accordance with the Prompt Payment Act (Chapter 2251 of the Texas Government Code) and provisions of this Agreement, including Exhibit `B," which is attached hereto and incorporated herein for all purposes. 3.3 Texas A&M will not perform any additional services or bill for expenses First Amendment and First Renewal of CSC 51995 OFFICIAL RECORD page 1 of 5 CITY SECRETARY FT. WORTH, TX incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City will not be liable for any additional expenses of Texas A&M not specified by this Agreement unless City first approves such expenses in writing. 3.4 City shall pay Texas A&M for services within 30 days following receipt of an undisputed invoice. City will remit payment as directed on the invoice. II. City and Texas A&M hereby agree to extend this Agreement for a five-year period effective beginning on February 1, 2024 and expire on January 31, 2029, ("First Renewal Term"). 1. All terms in this First Amendment and First Renewal that are capitalized but not defined shall have the same meanings assigned to them in the Agreement. 2. All terms and conditions of the Agreement that are not expressly amended pursuant to this First Amendment and First Renewal shall remain in full force and effect. First Amendment and First Renewal of CSC 51995 Page 4 of 5 EXHIBIT B PAYMENT SCHEDULE Following acceptance of the Services by the City, Texas A&M must provide the City with an invoice summarizing (i) the services that have been delivered and (ii) requesting payment. If the City requires additional reasonable information, it will request the same promptly after receiving the above information, and Texas A&M must provide such additional reasonable information to the extent the same is available. Invoices must be submitted to the City of Fort Worth, at Supplierinvoicesafortworthtexas.aov or mailed to 200 Texas Street, Fort Worth, Texas 76102.
