Home My WebLink AboutContract 58185-A1CSC No. 58185-A1 FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 58185 This First Amendment to Fort Worth City Secretary Contract No. 58185 is made between the City of Fort Worth ("City"), a Texas home rule municipal corporation, acting by and through its duly authorized Assistant City Manager, and Peak Scientific, Inc. ("Vendor"), a corporation and acting by and through its duly authorized representative, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 58185 beginning January 13, 2023, ("Agreement") to provide maintenance services to the Crime Lab's nitrogen generator ("Services"); WHEREAS, it is the collective desire of both City and Vendor to amend the Agreement to add coverage to another generator in the Crime Lab; WHEREAS, it is the collective desire of both City and Vendor to further amend the Agreement to increase overall compensation to a not -to -exceed total of $28,162.98, which allows for the updated maintenance cost due to the added generator as quoted in the attached Exhibit `B"; and WHEREAS, it is the collective understanding of both City and Vendor that professional liability coverage is not needed under this Agreement, so the "N/A" box should have been checked on Section 10.1(d). NOW THEREFORE City and Vendor do hereby agree to the following: AMENDMENTS TO AGREEMENT The following terms are hereby amended to either replace any conflicting terms in the Agreement or will be added to the terms and will be binding and enforceable as if they were originally included therein and the amended agreement will be referred to as the Agreement in all future documents. Scope of Services. Vendor will provide maintenance service to the Crime Lab's nitrogen generators ("Services"), which are set forth in more detail in Exhibits "A" and `B", also attached hereto and incorporated herein for all purposes. Compensation. 3.1 Total compensation under this Agreement will not exceed twenty-eight thousand one hundred sixty-two dollars and ninety-eight cents ($28,162.98). OFFICIAL RECORD CITY SECRETARY FT.
