Home My WebLink AboutContract 58289-A1R2CSC No. 58289-A1R2 FIRST AMENDMENT AND SECOND RENEWAL OF CITY SECRETARY CONTRACT NUMBER 58289 A COOPERATIVE PURCHASE AGREEMENT BETWEEN THE CITY OF FORT WORTH AND STAPLES CONTRACT & COMMERCIAL LLC This First Amendment and Second Renewal of City Secretary Contract Number 58289 is entered into by and between the City of Fort Worth, a home -rule municipal corporation organized under the laws of the State of Texas ("City"), and Staples Contract & Commercial LLC, a Delaware limited liability company ("Vendor"). City and Vendor are referred to herein individually as a "party" and collectively as the "parties." WHEREAS, the City and Vendor previously entered into a contract for Vendor to provide City with janitorial supplies, City Secretary Contract Number 58289 ("Agreement"); and WHEREAS, the original term of the Agreement was from October 1, 2022 to April 6, 2023; and WHEREAS, the Agreement automatically renewed for the first renewal term from April 7, 2023 to April 6, 2024; and WHEREAS, the City Council authorized the Agreement to have up to four renewal terms, and WHEREAS, the Parties desire to amend the Agreement to provide for four renewal terms; and WHEREAS, the Cooperative Agency Contract, Sourcewell 012320-SCC, has been extended until April 6 ,2025; and WHEREAS, City and Vendor desire to renew the Agreement for an additional one-year period; NOW, THEREFORE, City and Vendor, acting herein by the through their duly authorized representatives, enter into the following agreement to amend and renew the Agreement as follows: 1. Paragraph 6 of the Agreement which reads "The term of this Agreement shall be for one year beginning on beginning on October 1, 2022, and ending on April 6, 2023 in line with cooperative contract. However, if funds are not appropriated, the City may cancel the Agreement 30 calendar days after providing written notification to the Contractor." shall be amended in its entirety to be and read as follows: The term of this Agreement shall be begin on October 1, 2022, and end on April 6, 2023 ("Initial Term"). Upon the expiration of the Initial Term, the Agreement shall renew automatically under the same terms and conditions for one year from April 7, 2023 to April 6, 2024 ("First Renewal Term"), unless City or Contractor provides the other party with notice of non -renewal at least 60 days before the expiration of the Initial Term. Upon expiration of First Renewal Term, this Agreement may be renewed for three (3) additional one-year periods under the same term and conditions. However, if funds are not appropriated, the City may cancel the Agreement 30 calendar days after providing written notification to Vendor. 2. The Agreement is hereby renewed for its second renewal term beginning on April 7, 2024 and ending on April 6, 2025. J. a. All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. b. All terms in this First Amendment and Second Renewal that are capitalized, but not defined, shall have the meanings ascribed to those terms in the Agreement.
