STANDARD AGREEMENT FOR GENERAL PROFESSIONAL SERVICES
This agreement (“Agreement”) is between the City of Fort Worth, a Texas home-rule
municipality ("City"), and AECOM Technical Services, authorized to do business in Texas
(“Consultant”), for a project generally described as: Transportation Master Plan (“Project”) –
Project No. 104860.
Article I
Scope of Services
(1) Consultant hereby agrees to perform professional services as set forth in this
Agreement and the Scope of Services, attached hereto as Attachment “A”
(“Services”). These Services shall be performed in connection with the Project.
(2) Additional services, if any, will be memorialized by an amendment to this Agreement.
(3) All reports, whether partial or complete, prepared under this Agreement, including
any original drawings or documents, whether furnished by City, its officers, agents,
employees, consultants, or contractors, or prepared by Consultant, shall be or
become the property of City, and shall be furnished to the City, prior to or at the time
such services are completed, or upon termination or expiration of Agreement.
Article II
Compensation
Consultant shall be compensated an amount up to $2,200,000.00 (“Contract Amount”) in
accordance with the Fee Schedule shown in Attachment “B”. Payment shall be considered
full compensation for all labor (including all benefits, overhead and markups), materials,
supplies, and equipment necessary to complete the Services.
Consultant shall provide monthly invoices to City. Payments for services rendered shall be
made in accordance with the Texas Prompt Payment Act (Texas Government Code Ch.
2251).
Acceptance by Consultant of said payment shall release City from all claims or liabilities
under this Agreement for anything related to, performed, or furnished in connection with the
Services for which payment is made, including any act or omission of City in connection with
such Services.
Article III
Term
Time is of the essence. The term of this Agreement shall commence on the Effective Date and
shall continue until the expiration of the funds or completion of the subject matter pursuant to

the schedule, whichever occurs first, unless terminated in accordance with the terms of this
Agreement. Unless specifically otherwise amended, the original term shall not exceed five
years from the original effective date.
Article IV
Independent Contractor
Consultant shall operate hereunder as an independent contractor and not as an officer, agent,
servant, or employee of City. Consultant shall have exclusive control of and the exclusive right
to control the details of the work to be performed hereunder and of all persons performing
same, and shall be solely responsible for the acts and omissions of its officers, agents,
employees, contractors and subcontractors. The doctrine of respondeat superior shall not
apply as between City and Consultant, its officers, agents, employees, contractors, and
subcontractors, and nothing herein shall be construed as creating a partnership or joint venture
between City and Consultant.
Article V
Professional Competence
Work performed by Consultant shall comply in all aspects with all applicable local, state and
federal laws and with all applicable, standards, codes, rules and/or regulations promulgated
by local, state and national boards, bureaus and agencies. Approval to proceed by City of
Consultant’s work or work product shall not constitute or be deemed to be a release of the
responsibility and liability of Consultant or its officers, agents, employees, contractors and
subcontractors for the accuracy and competency of its performance of the Services.
Article VI
Indemnification
CONSULTANT, AT NO COST TO THE CITY, AGREES TO INDEMNIFY AND HOLD CITY,
ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, HARMLESS AGAINST ANY
AND ALL CLAIMS, LAWSUITS, ACTIONS, COSTS AND EXPENSES OF ANY KIND,
INCLUDING, BUT NOT LIMITED TO, THOSE FOR PROPERTY DAMAGE OR LOSS
(INCLUDING ALLEGED DAMAGE OR LOSS TO CONSULTANT’S BUSINESS AND ANY
RESULTING LOST PROFITS) AND/OR PERSONAL INJURY, INCLUDING DEATH, THAT
MAY RELATE TO, ARISE OUT OF OR BE OCCASIONED BY CONSULTANT’S BREACH
OF (i) ANY OF THE TERMS OR PROVISIONS OF THIS AGREEMENT OR (ii) ANY
NEGLIGENT ACT OR OMISSION OR INTENTIONAL MISCONDUCT OF CONSULTANT,
ITS OFFICERS, AGENTS, ASSOCIATES, EMPLOYEES, CONTRACTORS (OTHER
THAN THE CITY) OR SUBCONTRACTORS RELATED TO THE PERFORMANCE OR
NON-PERFORMANCE OF THIS AGREEMENT. THIS SECTION SHALL SURVIVE ANY
TERMINATION OR EXPIRATION OF THIS AGREEMENT.

Article VII
Insurance
Consultant shall not commence work under this Agreement until it has obtained all insurance
required under Attachment F and City has approved such insurance.
Article VIII
Force Majeure
City and Consultant shall exercise their best efforts to meet their respective duties and
obligations as set forth in this Agreement, but shall not be held liable for any delay or
omission in performance due to force majeure or other causes beyond their reasonable
control, including, but not limited to: acts of the public enemy, fires, strikes, lockouts, natural
disasters, epidemics/pandemics, wars, riots, material or labor restrictions by any
governmental authority and/or any other similar causes.
Article IX
Transfer or Assignment
Consultant, its lawful successors and assigns, shall not assign, sublet or transfer any interest
in this Agreement without prior written consent of City.
Article X
Termination of Contract
(1) City may terminate this Agreement for convenience by providing written notice to
Consultant at least 30-days prior to the date of termination, unless Consultant agrees
in writing to an earlier termination date.
(2) Either City or Consultant may terminate this Agreement for cause if either party fails
to substantially perform, through no fault of the other and the nonperforming party
does not commence correction of such nonperformance within 5 days after receipt of
written notice or thereafter fails to diligently pursue the correction to completion.
(3) If City chooses to terminate this Agreement, upon receipt of notice of termination by
Consultant, Consultant shall discontinue Services on the date such termination is
effective. City shall compensate Consultant for such services rendered based upon
Article II of this Agreement and in accordance with Exhibit “B”.
Article XI
Right to Audit
(1) Consultant agrees that City shall, until the expiration of three (3) years after final
payment under Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of Consultant involving transactions
relating to Agreement. Consultant agrees that City shall have access during normal

working hours to all necessary facilities and shall be provided adequate and appropriate
workspace in order to conduct audits in compliance with the provisions of this section.
City shall give Consultant reasonable advance notice of intended audits.
(2) Consultant further agrees to include in all its subcontracts hereunder, a provision to
the effect that the subcontractor agrees that City shall, until the expiration of three (3)
years after final payment under the subcontract, have access to and the right to
examine any directly pertinent books, documents, papers and records of such
subcontractor(s), involving transactions to the subcontract, and further, that City shall
have access during normal working hours to all subcontractor facilities, and shall be
provided adequate and appropriate work space in order to conduct audits in
compliance with the provisions of this article. City shall give Consultant and any
subcontractor reasonable advance notice of intended audit.
(3) Consultant and subcontractor(s) agree to photocopy such documents as may be
requested by City. City agrees to reimburse Consultant for the cost of copies at the rate
published in the Texas Administrative Code in effect as of the time copying is performed.
Article XII
Business Equity Participation
City has goals for the full and equitable participation of minority business and/or women
business enterprises in City contracts greater than $100,000. In accordance with City’s
Business Equity Ordinance No. 25165-10-2021 (as codified in Chapter 20, Article X of the
City’s Code of Ordinances, as amended, and any relevant policy or guidance documents),
Consultant acknowledges the MBE and WBE goals established for this Agreement and its
execution of this Agreement is Consultant’s written commitment to meet the prescribed MBE
and WBE participation goals. Any misrepresentation of facts (other than a negligent
misrepresentation) and/or the commission of fraud by Consultant may result in the termination
of this Agreement and debarment from participating in City contracts for a period of time of not
less than three (3) years.
Article XIII
Observe and Comply
Consultant shall at all times observe and comply with all federal, state, and local laws and
regulations and with all City ordinances and regulations which in any way affect Agreement
and the work hereunder, and shall observe and comply with all orders, laws ordinances and
regulations which may exist or may be enacted later by governing bodies having jurisdiction or
authority for such enactment. No plea of misunderstanding or ignorance thereof shall be
considered. Consultant agrees to defend, indemnify and hold harmless City and all of its
officers, agents and employees from and against all claims or liability arising out of the violation
of any such order, law, ordinance, or regulation, whether it be by itself or its employees or its
subcontractor(s).

Article XIV
Immigration Nationality Act
Consultant shall verify the identity and employment eligibility of its employees and
employees of all subcontractor(s) who perform work under Agreement, including completing
the Employment Eligibility Verification Form (I-9). Upon request by City, Consultant shall
provide City with copies of all I-9 forms and supporting eligibility documentation for each
employee who performs work under Agreement. Consultant shall adhere to all Federal and
State laws as well as establish appropriate procedures and controls so that no services will
be performed by any Consultant employee who is not legally eligible to perform such
services. CONSULTANT SHALL INDEMNIFY CITY AND HOLD CITY HARMLESS FROM
ANY PENALTIES, LIABILITIES, OR LOSSES DUE TO VIOLATIONS OF THIS
PARAGRAPH BY CONSULTANT, CONSULTANT’S EMPLOYEES,
SUBCONTRACTORS, AGENTS, OR LICENSEES.City, upon written notice to Consultant,
shall have the right to immediately terminate Agreement for violations of this provision by
Consultant.
Article XV
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any provision
of Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas
or the United States District Court for the Northern District of Texas – Fort Worth Division.
Agreement shall be construed in accordance with the laws of the State of Texas.
Article XVI
Contract Construction/No Waiver
The parties acknowledge that each Party and, if it so chooses, its counsel, have reviewed
and revised Agreement and that the normal rule of contract construction, to the effect that
any ambiguities are to be resolved against the drafting party, must not be employed in the
interpretation of Agreement or any amendments or exhibits hereto.
The failure of City or Consultant to insist upon the performance of any term or provision of
this Agreement or to exercise any right granted herein shall not constitute a waiver of City's
or Consultant’s respective right to insist upon appropriate performance or to assert any such
right on any future occasion.
Article XVII
Severability
The provisions of Agreement are severable, and if any word, phrase, clause, sentence,
paragraph, section or other part of Agreement or the application thereof to any person or
circumstance shall ever be held by any court of competent jurisdiction to be invalid or

unconstitutional for any reason, the remainder of Agreement and the application of such
word, phrase, clause, sentence, paragraph, section, or other part of Agreement to other
persons or circumstances shall not be affected thereby and Agreement shall be construed
as if such invalid or unconstitutional portion had never been contained therein.

Notices regarding Articles IX or X are to be provided to the other Party by hand-delivery or
via U.S. Postal Service certified mail return receipt requested, postage prepaid, to the
address of the other Party shown below:

Article XIX
Prohibition On Contracts With Companies Boycotting Israel
Consultant, unless a sole proprietor, acknowledges that in accordance with Chapter 2271 of
the Texas Government Code, if Consultant has 10 or more full time-employees and the
contract value is $100,000 or more, the City is prohibited from entering into a contract with
a company for goods or services unless the contract contains a written verification from the
company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of
the contract. The terms “boycott Israel” and “company” shall have the meanings ascribed
to those terms in Section 808.001 of the Texas Government Code. By signing this
contract, Consultant certifies that Consultant’s signature provides written verification
to the City that if Chapter 2271, Texas Government Code applies, Consultant: (1) does
not boycott Israel; and (2) will not boycott Israel during the term of the contract.

Article XX
Prohibition on Boycotting Energy Companies
Consultant acknowledges that in accordance with Chapter 2276 of the Texas Government
Code, the City is prohibited from entering into a contract for goods or services that has a
value of $100,000 or more, which will be paid wholly or partly from public funds of the City,
with a company (with 10 or more full-time employees) unless the contract contains a written
verification from the company that it: (1) does not boycott energy companies; and (2) will not
boycott energy companies during the term of the contract. The terms “boycott energy
company” and “company” have the meaning ascribed to those terms by Chapter 2276 of the
Texas Government Code. To the extent that Chapter 2276 of the Government Code is
applicable to this Agreement, by signing this Agreement, Consultant certifies that
Consultant’s signature provides written verification to the City that Consultant: (1)
does not boycott energy companies; and (2) will not boycott energy companies
during the term of this Agreement.
Article XXI
Prohibition on Discrimination Against Firearm and Ammunition Industries
Consultant acknowledges that except as otherwise provided by Chapter 2274 of the Texas
Government Code, the City is prohibited from entering into a contract for goods or services
that has a value of $100,000 or more which will be paid wholly or partly from public funds of
the City, with a company (with 10 or more full-time employees) unless the contract contains
a written verification from the company that it: (1) does not have a practice, policy, guidance,
or directive that discriminates against a firearm entity or firearm trade association; and (2)
will not discriminate during the term of the contract against a firearm entity or firearm trade
association. The terms “discriminate,” “firearm entity” and “firearm trade association” have
the meaning ascribed to those terms by Chapter 2274 of the Texas Government Code. To
the extent that Chapter 2274 of the Government Code is applicable to this Agreement,
by signing this Agreement, Consultant certifies that Consultant’s signature provides
written verification to the City that Consultant: (1) does not have a practice, policy,
guidance, or directive that discriminates against a firearm entity or firearm trade
association; and (2) will not discriminate against a firearm entity or firearm trade
association during the term of this Agreement.

define or limit the scope of any provision of Agreement.

This Agreement may be executed in one or more counterparts and each counterpart shall,
for all purposes, be deemed an original, but all such counterparts shall together constitute
but one and the same instrument.

SCOPE OF SERVICES
CITY OF FORT WORTH MASTER TRANSPORTATION PLAN
“MOVING A MILLION”
SCOPE OF WORK
Fort Worth is the 12th largest City in the United States and is growing at a rate of 20 thousand
to 25 thousand new residents each year. This rapid growth creates challenges in keeping up
with the transportation infrastructure, funding needs, and project delivery necessary to
minimize congestion, support economic development, maximize operational efficiencies,
technological advances, while maintaining the safe operation of the network for the traveling
public. The establishment of a Master Transportation Plan will provide the necessary
foundational policies and guidelines by which the City can effectively “move” forward. This plan
will have a horizon year of 2050 to coincide with the updated Comprehensive Plan, upcoming
Vision Zero Safety Action Plan, and North Central Texas Council of Governments (NCTCOG)
Metropolitan Transportation Plan cycle.
Contract Duration: 24 months
Budget: $2,200,000.00
TASK 0 – PROJECT MANAGEMENT
AECOM will manage the work outlined in this scope to ensure efficient and effective use of the
team and City’s time and resources. AECOM will communicate effectively, coordinate internally
and externally as needed, and proactively address issues with the City’s project manager and
others as necessary to make progress on the work. For this scope, the City’s project manager is
Kelly Porter, Assistant Director – Transportation and Public Works. The City’s project manager
or designee will serve as liaison between the project team and study stakeholders, including
elected officials, partner entities and the public, unless otherwise directed. AECOM team’s
project manager shall serve as liaison between project team members and the City.
0.1 – Managing the Team
AECOM will lead, manage, and direct design team activities.
AECOM ensure quality control is practiced in performance of the work. Any work
deemed unsatisfactory by the City may delay payment to AECOM.
AECOM will identify project tasks and allocate team resources.

0.2 – Communications and Reporting
AECOM will update schedule, provide logistics, conduct, and prepare meeting notes for
all project related meetings, and will provide committee meeting materials five business
days ahead of time for City review.
AECOM will schedule and attend up to 36 bi-weekly project management meetings
between the City and AECOM.
The AECOM team will coordinate with the City and use Teams or other online
collaboration tools for reviewing and editing deliverables.
0.3 – Schedule
Work is to begin upon the execution of a Notice to Proceed from the City and is expected to
take 18 months and the contract will be for 24-month term.A project schedule will be
developed and updated each month.
0.4 – Progress Reports and Invoices
AECOM will prepare and submit detailed narrative progress reports and itemized invoices to
the City’s Project Manager. Invoices and progress reports will include all work performed during
the reporting period only. The report will be submitted monthly in the format requested by the
City. AECOM will complete Monthly M/WBE Report Form and Final Summary Payment Report
Form at the end of the project.
0.5 – Sub-Consultant Monitoring and Management
AECOM is responsible for the management and monitoring of sub-consultants work product
quality and adherence to the agreed upon scope and associated activities.
TASK 0 – DELIVERABLES
1. Detailed schedule indicating compliance with the 24-month completion timeframe and
all required items.
2. Monthly invoices and detailed narrative progress reports in accordance with City
requirements.
3. Copies of sub-consultant contracts.
4. Meeting Notes.
TASK 1 – OUTREACH AND ENGAGEMENT
The Master Transportation Plan is a first of its kind effort for the City of Fort Worth and will
require robust stakeholder and public outreach. AECOM will work with City staff to develop a
comprehensive and inclusive public participation plan (PPP) that will lead to meaningful
participation of various stakeholders. In addition to new elements such as smart cities, freight,
and micromobility, this plan will serve an update and replacement of the existing Master

Thoroughfare Plan and Active Transportation Plan. At key points, Master Transportation Plan
and Comprehensive Safety Action Plan outreach initiatives will be coordinated and/or
collocated to leverage public feedback opportunities between the two efforts. Other citywide
efforts such as the 2050 Comprehensive Plan, Parks Master Plan, and Municipal Equity Plan
should also be considered for coordination efforts. The PPP will include, but is not limited to,
the following subtasks:
1.1 – Develop Draft Vision, Goals, and Objectives for the Plan
AECOM team will develop the draft vision, goals, and objectives for the Master Transportation
Plan to address future travel demand of all modes of transportation using the multimodal
network; effective land use and transportation integration; coordinated uses of technology and
traffic management; efficient and safe local goods movement and delivery; and improved travel
safety, economic development, regional connectivity, growth management, and financial
planning. This draft will be vetted by staff, advisory committees, and the public.
1.2 – Transportation Advisory Committees (TAC) (Technical and Community)
AECOM will conduct up to six Transportation Advisory Committee (TAC) meetings for each of
the Technical and Community committees. The TACs will be bicameral and made up of a
technical committee geared towards public agencies such as TxDOT, counties, NCTCOG, the
development community, educational institutions, freight interest, and other implementing
entities. A community-based committee will be made up of a representative from one of each
of the 11 council districts, at least one student/youth, and representatives from community-
based groups. Neither committee will exceed 15 members.
The TACs will vet study recommendations, provide data, participate in outreach, and champion
the plan. Any materials to be presented to the TAC will be provided at least five days in advance
of the meeting to ensure that City project members have adequate time to review the materials
prior to each meeting.
1.3 – Public Open Houses
AECOM will conduct up to three open house public meetings in each of the 10 Council Districts
and meeting at large in person and up to three virtual citywide meetings. Public open houses
will be held during the study pursuant to the approved schedule to gain the perspective of area
residents, businesses and other entities or specific groups recommended by the City and SAC.
Should COVID-19 protocols become necessary, outreach methods will include socially distant
opportunities and, when possible, online methods for engagement. AECOM is responsible for
the development of outreach materials and tools. All public facing materials will be submitted
to the City for review and approval at least five days prior before being released.
1.4 – Community Meetings and Small Group Briefings

AECOM team will conduct up to two community meetings in each of the 10 Districts and two
small group briefings (up to 22 meetings/briefings in total). The team will collaborate with the
City’s project management team to determine appropriate attendance and participation at
community events and small group briefings such as area community-based organizations,
farmers markets, neighborhood associations, events, community alliances, and civic clubs (e.g.,
Rotary, PTA, etc.) as an additional way to engage the public. AECOM will facilitate and provide
support personnel and exhibits for these events that are the same or like those used at public
meetings. AECOM will collaborate with the City to coordinate necessary logistics for the
community events and briefings. Throughout the project, if the City determines there is a need
for public outreach materials to be advertised or produced, AECOM will produce print and
electronic materials in up to three languages that are prevalent in the target area.
1.5 – Targeted Outreach
AECOM team will conduct up to two targeted outreach meetings. Outreach will be conducted
to ensure vulnerable populations are represented in the planning efforts. Vulnerable
populations are defined as low-income, minority, senior, school-aged, people with disabilities,
zero-car households, populations with limited English proficiency, and other groups as deemed
necessary. Outreach materials will need to be translated into Spanish and other languages as
needed. Targeted outreach through chambers of commerce, schools and churches by email
blasts, flyers, online surveys, local TV programs and community meetings/events may be used
to elicit feedback from elected officials, property owners, businesses within the district,
developers and other groups or populations as deemed necessary. Psychographic profiles will
be developed; identify at least 10 types of system users based on differing mobility needs,
abilities, geography, and background.
1.6 – Project Web Site and Other Methods
AECOM shall be responsible for working with the City to provide content for a public project
webpage including a project overview, post meeting virtual public meetings, and surveys.
AECOM may suggest to the City, upon approval, additional outreach methods relevant to the
planning effort.
TASK 1 –DELIVERABLES
1. Draft and final PPP and proposed public meeting schedule.
2. Draft and final technical memo with vision, goals, objectives, metrics, and Citywide
Master Transportation Plan logo.
3. Surveys, questionnaires, comment cards, letters, and any other materials with

TASK 2 – DISCOVERY, EXISTING CONDITIONS, AND NEEDS
ASSESSMENT
AECOM team will review and evaluate current local, state, and regional plans, policies, and data
relevant to the City’s transportation network, assets, and financial components. This will
include the review and identification of relevant programs and policies that impact the City’s
transportation network. Focus will be given to safety, performance, connectivity, operations,
and access.
Policy and Processes – AECOM team will consult the City, and review and analyze policies
and regulations that help shape the built environment as it relates to the regional
transportation network. This could include thoroughfare amendments/waivers, zoning
ordinance/map, future land use map, form-based codes, subdivision regulations,
development review/traffic impacts, developments of regional impacts, infrastructure
design manual, complete streets, transit routes, technology, state of good repair, and
access management policies. The City will be responsible to provide the documents, or
document links, to AECOM for review.
Programs – AECOM team will review and analyze programs that support the transportation
network such as safety, transportation demand management, technology, incident
management, maintenance, bond projects (city and counties), urban villages, open space,
and micromobility.
Plans – AECOM team will review and analyze relevant plans and documents to support the
existing conditions analysis. The following is a preliminary list of relevant documents that
will be included in the analysis. AECOM will work with the City to identify additional plans
that should be considered in the analysis.

2.1 –Data Review
The AECOM team will review the following data and, as appropriate, develop supporting GIS
maps and summary tables. This review/analysis will:
Document areas where vulnerable and Justice 40 populations are located. The analysis
will summarize demographic characteristics and mobility needs for each identified area.
Vulnerable populations will include Justice 40 populations, seniors, school-aged
children, persons with disabilities, zero-car households, and populations with limited
English proficiency. The City’s Socially Vulnerability Index and Justice 40 information will
be provided to AECOM to include in the equity analyses.
Document current and year 2045 forecasted land use and demographics including
activity densities (jobs/residents and daytime or special population surges).
Develop detailed analysis of development patterns, access points, pedestrian/bicycle.
conditions and access, and parking with special focus on the identified major corridors,
activity centers, and trip generators.
Document street grid connectivity and intersection density (this will include a review of
the network along with the identification of intersection, interchange, bottleneck, and
operational issues).
Review the Federal functional classification system to identify potential areas for
reclassification (e.g., classify as major, minor, etc.).
Review current railroad at-grade crossings and potential crossings.
Compilation of available data on existing traffic operations such as daily and peak-hour
traffic volumes, turning movement counts, and recent traffic impact studies.
Review existing and proposed transit data and/or plans from applicable transit agencies
to include ridership, route information, frequency, fares, travel times, and service plans
(Trinity Metro).
Review pertinent data on existing and planned major utility corridors and freight
facilities.
Document hot spot crash locations and high injury network. It is anticipated that the
most recent six years’ worth of crash data will be provided by the City.
Document redundancy and alternative routes to/from and emergency response.

Assess the ability of the current system to facilitate emergency evacuations and other
responses to natural and/or manmade disasters (e.g., wildfire, flashfloods, long-track
tornadoes, hazmat incidence, etc.).
Conduct environmental constraints analysis.
Review air quality data, including greenhouse gas emissions.
Review water quality and supply data, specifically as it pertains to impacts on
impervious cover.
Review stormwater/drainage data such as FEMA floodplains and non-FEMA flood risk

etc.
2.2 – Technology (Smart Cities)
AECOM will review new technologies and processes the City is using, based on the needs
addressed in Task 2. Factors such as safety, operations, state of good repair, governmental
transparency, equity, cost savings, lifecycle costs, information access, environment/public
health, and durability will be considered. The factors will be confirmed in coordination with the
City.
2.3 – Financial Review
AECOM will review the City’s current and projected transportation financial picture, including
but not limited to:
Current and projected capital projects and operations and maintenance costs
Transportation related funding sources and financing mechanisms, revenue amounts,
eligible uses, and associated policies guiding their use
Financial condition review such as audited financial statements, debt, budget forecasts,
and income and balance sheets
2.4 – Baseline Network
AECOM will work with the City to develop a network and system baseline performance and gap
analysis, based on the information collected during the discovery period. The gap analysis will
be based on deviation from plan goals and performance targets. This analysis will provide:
Initial understanding of the strengths, opportunities, and challenges in the City’s
transportation network in terms of policies, funding, mode balance, safety, and
connectivity, state of repair, and state of technology
Condition of current infrastructure, system, and policy
AECOM will assess current operations based on the regional NCTCOG model Volume/
Capacity ratio. AECOM will coordinate with the City and NCTCOG to model any changes
in the network.
Assess functionality of the current street, transit, active transportation, and freight
network (mode balance)

TASK 2 – DELIVERABLES
AECOM team will deliver a draft discovery and needs assessment chapter “State of the System”
that summarizes the baseline network/mobility conditions. The technical memo will include
photographs, maps, graphs, and charts summarizing the existing conditions of the current
transportation system, with key issues identified. These could include safety, connectivity,
travel times, policy gaps, bottlenecks, operational issues, and interchange/intersection
deficiencies. Potential technologies and related policy recommendations to implement these
technologies will be described in the technical memo. This technical memo will include the
aforementioned information in Task 2. The deliverables will include the following:
1. A draft and final data collection plan highlighting the relevant data sources (including
any third-party data), data type and applicable data validation techniques that will be
utilized for Task 2.
2. A draft and final technical memo document relevant policies, programs, and plans.
3. The technical memo will document the assessment results and methodology for
establishing Existing Conditions, Baseline Network, and Needs Assessment.
4. The technical memo will summarize the findings of the financial analysis, including cost
breakdowns, revenue assessments, and funding source evaluations.
TASK 3 – PERFORMANCE MEASURES
AECOM team will work with the City to develop a set of performance measures that will be
used to evaluate the multimodal transportation network. The performance measures will be
developed to be consistent with the established goals and objectives and will be used to assess
the network’s existing and future year performance. While most performance measures are
anticipated to be quantifiable, qualitative measures may be used if they better represent the
performance assessment of a particular function. The performance measures will be developed
in coordination with funding authorities such as NCTCOG, TxDOT, and USDOT.
The AECOM team will review the following areas:

AECOM team will deliver the following:
1. A draft and final technical memo documenting the list of performance measures and
development methodology, and data sources used in determining system performance
and to evaluate projects. The memo will include various tables, graphs, charts and/or
infographics to display performance measure data.
2. The technical memo will summarize performance benchmarks showing the City’s
current performance on metrics compared to its peers.
TASK 4 – DEVELOP MULTIMODAL GAP ANALYSIS AND
UNCONSTRAINED NEEDS NETWORK
AECOM will develop an illustrative multimodal network which will include multimodal
transportation needs for the City.The gap analysis will be based on the information collected
during the discovery period – Task 2 and 3. The gap analysis will be based on deviation from
plan goals, performance targets, and identified needs.
The AECOM team will develop an illustrative network that will include a mapped inventory of
identified needs to address system gaps and enhance regional connections, minimize barriers,

remove bottlenecks, and improve access between and within destinations around the City and
region. AECOM team will utilize available demographic information, development trends, asset
condition, traffic data, and will incorporate an analysis of adjacent land uses and zoning. The
draft illustrative network will highlight system gaps as well as practical operational
improvement opportunities. This will be developed along with future travel characteristics and
volumes, based on an analysis of demand and potential capacity. This analysis should be broad
and include all modes including arterials/complete streets, active transportation (on street and
trails), local transit, high-capacity transit, suburban/regional transit, micromobility, etc.
4.1 – Develop Illustrative Network and Identify System Gaps/Deficiencies
AECOM will develop a draft illustrative network that will highlight system gaps/deficiencies.
AECOM will develop gap/deficiency maps that will serve as a starting point for regional partners
when developing components of the plan. AECOM team will utilize available development
trends, and traffic data, operations, bottlenecks, state of good repair, and incorporate an
analysis of adjacent land uses and zoning.
4.2 – Refine Illustrative Network and System
Based on Task 4.1, AECOM will develop illustrative multimodal draft network maps that will
serve as a starting point for regional partners when developing project-level components of the
plan. Performance measures and benchmarks from Task 3 will be used to determine, based on
identified needs, which segments in the illustrative network analysis have the highest cost-
benefit to network users and the City.
4.3 – Identify Policy Gaps and Deficiencies with Interventions
AECOM will identify gaps and develop draft policy and amendments based on work completed
in Tasks 2 and 3. This may include but not limited to topics such as:
Transportation Demand Management
Autonomous/Semi-autonomous ground or aerial vehicles for passengers or delivery,
etc.
Transportation System Management and Operations (TSMO) concepts such as
transportation demand, inclement weather, work zone, and special events management

including planning, design, right-of-way acquisition, utility relocation, construction,
maintenance, and operations.

A list of potential revenue enhancements including funding sources and financing tools with
projected revenues. A review of revenue enhancements from peer cities including best
practices and related policies.
TASK 5 – DELIVERABLES
1. A draft and final technical memo will have a 25–year funding profile, including projected
life-cycle costs, revenues, and funding sources.
2. The technical memo will include transportation User Fee Policy for adoption and
supporting data for communication.
3. The technical memo will also include recommended revenue enhancements with best
practices from peer city reviews and policy recommendations for adoption.
TASK 6 – PRIORITIZED PROJECT LIST (FISCALLY-CONSTRAINED) AND

AECOM will develop the phasing and timing of identified improvements, from the project list
and policy amendments, by transportation mode and supportive operational program and
strategies from Task 4 for prioritizing improvements. The AECOM’s prioritization process will be
driven by clearly defined project selection criteria developed from the performance measures
and public process. To develop cost-effective improvements, AECOM team will consider
leveraging other major infrastructure capital projects such as internal projects to the City (e.g.,
water and parks) and with other regional partners like NCTCOG, TxDOT, Counties, and the
private sector. Private sector led arterial road development will be evaluated and included in
the project list.
AECOM shall create near, short-, medium-, and long-term projects program and policy
recommendations from the ranking of projects screened through the project selection
criteria. These recommendations include but is not limited to:

TASK 6 – FINAL DELIVERABLES
1. A draft and final technical memo will include multimodal and technology project

2. The technical memo will also document the implementation and financial plan.
3. The technical memo will also include four or five-year list of priority projects and
programs, including costs, funding sources (allocated and/or potential) and project
schedules.
4. Draft and Final Plan Report will include all supporting, memos (chapters), visuals, and
described deliverables from each task. The memos associated with each task will be
combined to form the chapters of the Final Plan Report with appendices.

5. The final report will include all associated graphics, spreadsheets, word processing and
other native files.
6. The final report will also include all the GIS files and associated data. This data should be
in State Plane Coordinate System NAD83 Texas North Central fips 4202 feet. Layer data
should be provided as a shapefile or/and as a ESRI File GDB format. ArcGIS Online maps
and other data/viewer formats will be transferred to the City of Fort Worth’s AGOL
Organizational account. Maps created using ArcMap or ArcGIS Pro should be provided
as a Map Package or a Project Package.

electronic format. No hard copies are included.

Design Services for

Lump Sum Project
I. Compensation
A. The CONSULTANT shall be compensated a total lump sum fee of $2,200,000.00
as summarized in Exhibit B-1 – CONSULTANT Invoice and Section IV – Summary
of Total Project Fees. The total lump sum fee shall be considered full
compensation for the services described in Attachment A, including all labor
materials, supplies, and equipment necessary to deliver the services.
B. The CONSULTANT shall be paid monthly payments as described in Section II -
Method of Payment.
II. Method of Payment
A. Partial payment shall be made to the CONSULTANT monthly upon City’s approval
of an invoice prepared and submitted by the CONSULTANT in the format and
including content as presented in Exhibit B-1, Progress Reports as required in item
III. of this Attachment B, and Schedule as required in Attachment D to this
Agreement.
B. The estimated current physical percent complete as required on the invoice shall
be calculated from the progress schedule as required in Attachment D to this
Standard Agreement and according to the current version of the City of Fort
Worth’s Schedule Guidance Document.
C. The cumulative sum of such monthly partial fee payments shall not exceed the
total current project budget including all approved Amendments.
D. Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the CONSULTANT.
E. Each invoice should withhold five percent (5%) of the charged amount for
retainage. Retainage will be released in full with satisfactory completion of the
project as part of the final invoice
III. Progress Reports
A. The CONSULTANT shall prepare and submit to the designated representative of
the Transportation and Public Works Department monthly progress reports and
schedules in the format required by the City.

STANDARD INSURANCE REQUIREMENTS
(1) INSURANCE LIMITS
a. Commercial General Liability Insured shall maintain commercial general
liability (CGL) and, if necessary, commercial umbrella insurance as follows:
$1,000,000 each occurrence
$2,000,000 aggregate
If such Commercial General Liability insurance contains a general aggregate
limit, it shall apply separately to this Project or location.
i. City shall be included as an additional insured with all rights of defense
under the CGL, using ISO additional insured endorsement or a
substitute providing equivalent coverage, and under the commercial
umbrella, if any. This insurance shall apply as primary insurance with
respect to any other insurance or self-insurance programs afforded to
City. The Commercial General Liability insurance policy shall have no
exclusions or endorsements that would alter or nullify:
premises/operations, products/completed operations, contractual,
personal injury, or advertising injury, which are normally contained
within the policy, unless City specifically approves such exclusions in
writing.
ii. Insured waives all rights against City and its agents, officers, directors
and employees for recovery of damages to the extent these damages
are covered by the commercial general liability or commercial umbrella
liability insurance maintained in accordance with Agreement.
b. Business Auto Insured shall maintain business auto liability and, if
necessary, commercial umbrella liability insurance as follows:
$1,000,000 each accident (or reasonably equivalent limits
of coverage if written on a split limits basis).

employer s liability insurance and, if necessary, commercial umbrella liability
insurance as follows:
Coverage A: statutory limits
Coverage B: $100,000 each accident
$500,000 disease - policy limit
$100,000 disease - each employee
Insured waives all rights against City and its agents, officers, directors and
employees for recovery of damages to the extent these damages are
umbrella insurance obtained by Insured pursuant to this Agreement.
d. Professional Liability (Errors & Omissions) Insured shall maintain
professional liability insurance as follows:
$1,000,000 - Each Claim Limit
$2,000,000 - Aggregate Limit
Professional Liability coverage may be provided through an endorsement to
the Commercial General Liability policy, or a separate policy specific to
Professional E&O. Either is acceptable if coverage meets all other
requirements. Coverage shall be written on a claims-made basis, and
maintained for the duration of the contractual agreement and for five (5) years
following completion of services provided. The policy shall contain a retroactive
date prior or equal to the Effective Date of the Agreement or the first date of
services to be performed, whichever is earlier. An annual certificate of insurance
shall be submitted to City to evidence coverage.
(2) GENERAL INSURANCE REQUIREMENTS
a. Certificates of insurance evidencing that Insured has obtained all required
insurance shall be attached to Agreement concurrent with its execution. Any
failure to attach the required insurance documentation hereto shall not
constitute a waiver of the insurance requirements.
b. Applicable policies shall be endorsed to name City as an Additional Insured,
as its interests may appear, and must afford the City the benefit of any
defense provided by the policy. The term City shall include its employees,
officers, officials, and agents as respects the contracted services. Applicable
policies shall each be endorsed with a waiver of subrogation in favor of City
with respect to the Project.
c. Certificate(s) of insurance shall document that insurance coverage limits
specified in this Agreement are provided under applicable policies
documented thereon. insurance policy(s) shall be endorsed to
provide that said insurance is primary protection and any self-funded or

commercial coverage maintained by City shall not be called upon to
contribute to loss recovery. liability shall not be limited to the
specified amounts of insurance required herein.
d.

approve in writing any alternative coverage for it to be accepted.

f. Insurers must be authorized to do business in the State of Texas and have a

and solvency .
g. Any deductible or self-insured retention in excess of $25,000 that would
change or alter the requirements herein is subject to approval in writing by
City, if coverage is not provided on a first-dollar basis. City, at its sole
discretion, may consent to alternative coverage maintained through insurance
pools or risk retention groups. Dedicated financial resources or letters of credit
may also be acceptable to City.
h. In the course of the Agreement, Insured shall report, in a timely manner, to
City's Risk Management Department with additional notice to the Contract
Compliance Manager, any known loss or occurrence which could give rise
to a liability claim or lawsuit against City or which could result in a property
loss.
i. City shall be entitled, upon its request and without incurring expense, to
review insurance policies including endorsements thereto and, at
City's discretion, Insured may be required to provide proof of insurance
premium payments.
j. Lines of coverage, other than Professional Liability, underwritten on a claims-
made basis, shall contain a retroactive date coincident with or prior to the date
of this Agreement. The certificate of insurance shall state both the retroactive
date and that the coverage is claims-made.
k. Coverages, whether written on an occurrence or claims-made basis, shall be
maintained without interruption nor restrictive modification or changes from
date of commencement of the Project until final payment and termination of
any coverage required to be maintained after final payments.
l. City shall not be responsible for the direct payment of any insurance
premiums required by Agreement.
m. Subcontractors of Insured shall be required by Insured to maintain the same
or reasonably equivalent insurance coverage as required for Insured. Upon
Insured shall provide City with documentation thereof.

DISCUSSION:
On September 12, 2Q23, City Gouncil appro�ed Mayor and Gouncil Cammunication (M&G] �3-Q757 which authorized funding fvr the
Citywide Transportation Masber Plan NIKIA Fvrt Warth Transpartatian Master Plan project. This project will produce a pragram of multi-madal
prajects with dear limits, descriptians, funding svurces, cvst estimates and start dates. [City Project No. 1D486�).
This plan is important because �t will recommend prajects and impro�emerrts for the Bond Program and help ad�ance projects thraugh tlie Capital
�elivery Prooess. The recornmended program af projects will address grdwth, congestion, connedir►ity and safety throughout the City.
This M&C recommends engaging AECQM Technical Services, Inc, tp assist staff with this project. The project is expected to start in Fall 2�23 and
he completed by Fall 2a25. Upan campletion of the praject there will be nn anticipated impaet an the General Fund operating hudget.
The project was advertised far propasals on July 13, 2023 and July 20, 2023 in the Fort lNvrth 5tar-Telagram. On August 10, 2023 the following
respanses were receiyed, reuiewed and s�ored by a committee cansisting of rnember-s from the TransporEation and Public Works, Qevelopment
Services and Ecanomic QeWelopment Qepartments as well as representatives from Trinity Metro and Tamant Caunty. The table refleds the final
ranking af the respandents:
