lin�.ited partnership �"Licensec"), acting bp and through its duly azithari��d Manager.

VV�12EA�, LiGensee is the awner af the real praperty lcacated at 22�1 Lands
End Soulevard, Fort W�rth, Texas 76116 {"Froperty"), being more particular described
as, Lot 2A, Black 102, Ridgmar, hy Instrument Number D223219611, in Tan�ant County,
Texas, and;
WHEREA�, the City owns a right-of way (the "Public Property") acijace�rt to
the Property, recorded in the deed recards Qf Tarrant Caunty by instrument r�umlaer
D 19717�DGS; and
WHEREAS, Li�ensee desires ta construct, place, and maintain cer#ain
impravements which wili encraach in, �n, above, nr below the �ublic Property; and
WHEREAS, ta acconimadate the needs of the Licensee, the City will allaw the
encroachment �nder 1he terms and cnnditions as set �orth in this Agreemen�.
N�W, TAEREFURE, the City and Licensee agree as fallaws:
AGREEMENT
1.
The City, in consideration of the payrner�t by Licensee af the fee set out below
ar►d co�enants and agreernents hereinafier contained to be kept a�d per€ormed by
Licensee, hereby grants permissic�n to Licensee to encroaGh in, an, abo�ve, ar helow and
�c�upy a partian of ihe City's Public Praperty as des�ribed in and at the locatian shown
on Exhibit `�A," but only to t�e exte�# sh�wn therean, for the purpase of canstructing,
znsi.alling, and maintaining private irrigatinn �the "Eneraachment"). Upan ca�ple#ion vf
the Encraachment, Licensee agrees to be res�ansible far rnaintaining the Encraachment
within the 1'ublic Pmperty. Licensee sha3l nut �xpand c�r otherwise cause the

Encroachment to further infringe in or on the Pu61ic Property beyond what is specifically
described in �xhibit "A."
2.
�,11 canstructian, installation, main#enance, and operation af the Encroachment
and the use or occupancy of the Public Praperty shall comply with and be perform�� ir�
strict cornpliance with this Agreement and with the charter, ardinances, cades, and
policies of tl�e City. Priar ta the construction or installatian af the Encroachment,
Licensee sha11 submit ail plans and specificaiions to the Director of the De�=elopment
Ser�ices Department or duly authorizeci representative. Licensee shall nat commence
canstnictian or installation of the Encroachment nor make any use of the Public Yropert�
until after the execution af t��is Agreement.
3.
Licensee, at no expense to the City, shall make proper provisions for the
relocation and installation of any existing or future utilities affected hy such
Encrc�achment and the use and c�ccupancy af the Public Property; including the securing
the appra�al and consent of the appropriate utility companies and agencies af thc State af
Texas and its paliticat subdivisions. In the e�ent that any installation, reinstaliation,
relacation, or repair of any existing or future utility or impravements awned by �r
cons#ructed by or an behalf flf the public or at pulalic expense is made more castly by
viriue c?f the canstruction, maintenance, ar existence of the Encroachment and use of
Yublic Praperty, Licens�� shall pay to City an additional amount equal to such additional
cost as determined by the Direct�r of Transpartation and Public Works, the Directar of
the Water Department, the Director af the De�elopment Services Department, or their
du�y authorized representati�e.

Licensee agrees that City may enter and utilize the Public Property at any time �or
any publie purpose, including installing, repairing, replacing, nr maintai�;r��
impra�ements to its public faciliii�� n� utilities necessary f�r the health, safety, and
�e,�_f�,re of the public. The City shall have na responsibility or liability for any damages
related tc� the Er��ro��l3rne�� resulting from the City's use of the Pubiic Prop�rty;
howe�er, the City shai] make reasonable efforts to minimize such damage.
5.
Upon termination of this Agreement, Licensee shal�, at the option of and at n�
expense to the City, rema�e the �ncroac�unent and restore the Public Praperiy to a
conciition acceptable to the Dircctor of Transporta#ion and Public Works, the Director of
the WatLr I�:�Sae�t����c, #h� �3i�:�tar of the Development Services Deparlxnent or their

duly authorized representati�e. Any such removal of the Encroac�uncnt shall b� in
accardance with then-exisiing City re�ulations and p�licies. It is understood and agreed
to by Licensee that if this A��reemer�t terminates and Licensee fails to remo�e the
Encroachment and restore the Puhlic Property, Licensee hercby gi�es Cit�� permissian to
remov� the Encrt�achment and any sup�orting structures from the Public Property, to
restare the Public Property, and to assess a lien on the Prflperty for the casts expcnded ��
the City in taking such actions.
6.
In order �a defray all cnsts of inspection and supervision which the Cif}� has
incurred ar will incur as a result of the construction, maintenance, inspection or
management af the Encraachment and use of Public Praperty as pro�ided for by this
�greement, Licensee agrees to pa� tfl City at the time this Agreement is requested an
applicaiion fee in the sum af Nine Hundred llollars {�9U4.0[1j.
7.
The term of this Agreerr�ent sha11 be for thirty {34} years, cornmencing on t�e
date this Agreement is executed hy City. Howe�er, the City may terminate this
Agreernent upan �,icensee's noncompliance with any of the terms of ihis Agreement.
City shall natify Licensee in writin� of any such nancampliance and if Licensee daes not
cure the noncompliance within thirtv (30) days of notice from City, the City may
terminate this Agreernent. �Iowever, the City may, at its sole aptian, allow the Agreeanent
ta remain in effeet so long as Licensee has taken reasonable measures to cure the
noncompliance or is continuing to diligentiy attempi to remedy the iioncompliance.

It is further undexstood and agreed between the partics hereto that the Public
Property ta be used arid encroac�ed upon is held by City as trustee for the public; that
City exercises such po��ers over the Yublic Yroperty as ha�e been delegated to it by the
Constitution of ti�e State af T'exas or by the Texas Legisla�ure; and t�iat City cannot
contract away its duty and its legislative power ta control the Public Property far the �se
and benefit of the public. It is accordingly agreed that if the go�erning bfldy of City may
at any #ime during the term hereaf determine in its sole discretion ta use ar caus� �r
permit the Pubiic Praperty to be used far any atl�er public purpose, includin� but nat
being limited ta �nderground, surface, or o�erhead communication, drainage, sanitary
seiverage, transmission of na�ral gas ar e�ectricity, or any ather public purpose, whe#her
presently canternpla.t�d or raot, that tl�e parties agree to negotiate in goad faith in order to
accammodate both the Encraachment an� the public purpase.

10.
While this Agreement is in effect, Licensee agrees ta furnish City with a
Certificate of Insurance naming City as cerEificate holder as prc�of that is has secured and
paid #'or a palicy af puhlic liability insurance covering all public risks related to the
praposed use anc� occupancy af public property as located ai�d described in Exhibit "A."
The ainounts of such insurance shall be not less than

with thc understanding and agreement by Licensee that sueh ansurance amounts rr►ay bc
revised upward at City's option and that Licensee shal� sa re�ise such amounts
immediately �allowing natice ta Licensee of such requirement. Such insurance palicy
si�a�l nat be canceled or amended without at least thirty {30) days priar written notice to
the Building {Dfficial of the City. A copy of such Certificate c�f Insurance is attached as
Exhibit "B" and incorporated hercin for aIl purposes. Licensee agrees, binds, and
obligates itself and its successors and assi�ns to maintain and kee� in force such p�bl�� �
liability insurance at all times during the tenn af this Agreement and until the rem��al o�
the Encroachment and restoratian of the Public Property. All insurance coverage
required her�ein shall include coverage ot all Licensee's cantractors and subcontractors.

11.
Licensee agrees ta deposit with the City w�en this Agreement is executed a
sufficient sum of money to be used to pay necessary fees to record this Agreement in the
real propert�� records of the county in which the Encroach�nent is lacated. Af�er being
recarded, the original shall he returned to the City Secretary of the City af Fort Warth.
12.
I,icensee agrees to compfy fully with all applicable federai, state, and lacal taws,
statutes, ordinances, cades, and regulatians in connection with the construcia��,
aperation, and maintenance of the Encroachment and use af ihe Public Praperty.
13.
Licensee agrees to pay promptty when due all fees, t�es, or rentals prfl�ided for
b� this Agreement or by any federal, state, ar local stat�#e, law, ar reg�zlation.

Licensee covenants and agrees that it shall operate hereunder as an independent
contractor as to all rights and pri��ileges granted hereunder and not as an o�icer, a�eni,
servant, ar emplo}tee of City, and Licensee shall ha�e exclnsi�e contral af and the
exclusive right to control the details of its aperations, and all persons perfarming same,
and shall be salely responsible for the acts and omissions of its officers, agents, servants,
employees, contractors, suhcantractors, licensees, and in�itees. The doctrine of
respandeat superior shall not apply as between City and Licensee, its officers, ager�t�,
5�T'ValltS, employees, contractors, and subcontractors, and naihin� herein shall he
construed as creating a partnership ar jaint enterprise between City and Licensee.
15.
Licensee agrees and acknawledges that this A�reement is sole�y for the purpose
�i permitting Licensee to c4nstruct, maintain, and locate the Encraachment a�er ar within
the Public Proper�y and is not a canveyance of any right, title, or interest in or to the
Frx��ic �roperty, nar is it meant to con�ey any right ta use or accupy praperty in wnich a
third-party may ha�e an ir�terest. Licensee agrees that it wiJl obtain aiI necessary
permissions before occupying such property.

In any action brought by the City far the enforcement of the obIigations �f the
Liccnscc, CitS- shall be entitled to reco�er interes# and reasonable attorneys' fees.
17.
The parties agree that the d�aties and abligations confained in Sec#ion 5����ll
s�uvive t�e termination of this Agreement.
18.
Licensee covcnants and agrees that it will not assign all ar any af its ri�ts,
privileges, or duties under this Agreement without the written appro�al of the City, and
�y att�mpted assignment without such written appra�al shall be �oid. In the event
Licensee con�eys ihe Property; Licensee may assign all af its righis and obl'agations under
this Agreement to the new owner of the Property, and Licensee shall be deemed released
from its duties and abligatians hereunder upon City's appro�al in writing of such
assigrunent, which approval shall not be unreasonably canditioned or u�ithheld,
Fareclosure by a secured lender of Licensee ar assign.ment ta a secured lender by
Licensee in the e�cnt of default or otherwise shall nat require City appro�al pro�ided that
said lender natifies City in writing within sixty (bU) days of such fareclosure ar
assignment and assumes all of Licensee's righis and abligations hereunder. However, no
ehange of ownership due ta foreclosure or assignment to any secured lender of Licensee
shall be effective as to City unless and until written notice of such foreclosurc or
assignment is provided to Cit�.

Any cause of action for hreac� of' this A�reement shall be braught in Tarrant
Countyr, "Tcxas. This Agreement shal� be gaver�ied by the laws ot the State o£ Texas.
20.
This Agreement shall be binding upan the parties hereto and their successar� a.�rt3
assigns.

This Agreement rnay be executed in multiple counterparts, each of which shall be
considered an ariginal, but all of which shall canstitute one instrument
