Instrument Number D20$2303iR, in Tarrant Caunty, Texas, and;
WHEREA� T�R thraUgh that certain lease agreemer�t �"Lease") has a leasehold
intere;,t in ceri�in partions o€th� Properky; and
WHEI2EAS, the City awrrs a water and sewer easements (the "Fublic
Property"� adjacent to the Prnperty, recarded in the deed records af Tarrant County 6y

WHEREAS, TCR desires ta constru�E, place, and maintain certa.in improvements
which will encrQach in, nn, above, dr helow the Pubiic Pr�perty; and

instatIing, and maintaining a pri�ate waEer line {tt�e "En�roa�hment"}. Upon cflmpletian
of the Encraachment, Licensee agrees to k�e resgansilale for �maintaining the
Encraachment withir� the Public Praperty. Licensee sha[1 nat expand or otherwise cause
the Encroa��ment to �urther infringe in ar on the Pu$lic Property beyond w�at is
specifically described in Exhibit "A."

All �onstructiQr�, instal4ation, ttaaintenance, and Qperatian of the Encraachment
and the use or occupancy af the �ublic Praperty sha�I comply witll and be performed in
strict campliance with this Agreement and with the charter, ordinances, cades, and
palicies of the City. Prior to the cor�struction or insta[lation of the En�roachment,
Licensee shall submit aIl plans and specifications ta the Directar of the �e�e�apment
Servic�s Depa�tment or duly azztfiorizE�i r�pr�:sentati�ie. Licensee shall not commenc�
�onstruction or installatian of the Encroa�hment nor make any use of the Public Property
untif after the executian af this AgreeEnent.
3.
Li��nse�, at no exp�nse to the City, shall Enake praper pra�isions far the
relocation and instaiiation of any existing ❑r future uti�ities a#fec#ed 6y such
Encroachment and the use and occupancy of the Pubiic Property, inc�uding the se�urin�
the appror�ai and consent af the apprapriate utility cornpar�ies and agencies of the State of
Texas an�f its p�litica[ subdi�isio�s. Tn t�e event that any installatian, r�instaliation,
relocation, or repair af any existing ar future utility or irripro�ements ❑wned by or
canstructed by Qr on behal� of the puhlic ar at public ex�ense fs made mQre costly hy
��rtue of the cor�struction, rnain€ena��ce, or existe�ice af the Encroachment and use oF
P�blic Praperty, Licensee sl�all pay to City an additional amount equal ta such addit�anal
o�t af packet cost as doc�me�ited a�id deterrt�ined i�y tiie Directar ❑f Trattsportatien and
Pu51ic Works, the I�irector of the Water Department, the Director of the Develapsnent
Servi�es Department, or their duly authorized rep�-ese�itati�e.
4.
Lice�isee agrees that City may enter atid uti I ize ti�e Pu61ic Property at any time for
any puhlic purpose, lf1C�Lldfllg instali�ng, �epairing, repla�ing, ar maintaining
impro�ements to its pc�bl€c facilities ar utilities r�ecessary for the Heaith, safety, and
weIfare nf the public. The City shal[ ha�e no responsihility ar jia�ility for any �amages
related ta the Encroachment resulting from the City's use af the Pubiic Froperty;
howe�er, the City shafl ma�C� reasanable effarts to rrtinimize such damage.

Praperty ta its previo�s candition, except for reasonat�le wear and tear, as determined
acceptable hy the ❑irectar pf Transportation and Pubt�c Works, the Dire�tor of the VVater
Bepartment, and the Director of the De�etopment Services. Any such remo�al af the
Encr�achrrtent shali 6e in a�cardance wi#h then�-existing City regulations ar►d policies. It
is understood and agreet! to by Licensee that if Ehis Agreement t�rminates and Licer�see
fails tfl re�'n4ve the Encr�achmer�t a�d restore the Public Prop�rty, Licensee �ereby giv�s
City perinission to rerr�o�e the Encroachment and any supporting siructures from the
Pu�fic Proper�y, ta restore the Puhli� Property, and to assess a lien on #he Fraperty for the
costs exper�dec€ hy the City in taking suct� actiQns.
6.
In order tp defray all C05t5 vf inspection aCli� 5L€�7e7'V15101t whi�h the C'sty has
incurred ❑r will incur as a result ❑f the canstructian, rnainter�ance, i�spection or
�nanagerrient of the Encroachment and �ise of P�blic Froperty as pro�ided for by this
Agreernent, Licensee agrees to pay to City at the time this Agreement is requested an
applicatian fee in the sum o#'Nine Hundred Do��ars (�9�a.��).
7.
Tt�e term of this Agreement shall be for thirty (34} years, c�mmencing on the
date this Agreement is exe�uted by City. City shal� notify Li�ensee in wri[ing of any suc1�
noncampliance and if Licensee does r�ot cure the nancompliance withit� thirty (30) days
of notice from City, the City may te�rn�nate this Ag�•eement. The City reser�es ihe �-ight ta
terminate this A�reement if the Licensee fails ta carnply with any terrtis and such failure
persists heyond the ��re periad, except for cases where the �ity decides irnmediate
terminati�n is ne�essary due to specifi� nancompliance conditivns. The City may, at its
sole aption, allow tHe Agreement to retnain �n effect sa lot�g as Licer�see has taken
reasona6le measur�s to cure the nancompliar�ce ❑r is cantinuing to dilige�tly atternpt to
remedy the noncam�lian�e.
8.
It is further understood an�€ agreed between the parties hereto that the PublEc
Property to �e used and en�roached upon is heId by C ity as trustee for tl�e pubkc; that
City exer�ises such powers o�er the Public Property as ha�e �een delegated to it by the
Constitutian of ih� State of Texas or by Ehe Texas Legistature; and that City cannot
�ontract away its duty and its legislati�e power ta cantral the Pubiie Property for the use
and benefit of the publi�, It is accordingly agreed that if the ga�erning body of City may
at any time during the terrr� hereof determine in its sole discretion to use or �a�se or
pernr�it the �ublic Prope�ty to t�e used far ar�y �ther public pu�-pase, in�ludi�g but nat
being limited to undergraund, surface, ar ❑�erhead �ommunication, drainage, sanitary
sewerage, transmission af r�atura� gas or electricity, or any other pub�ic purpose, whether
pres�r�tly contemplated or nvt, that the pa�ties agree to negotiate in good �'aith in order to
ac�ammodate hoth the Encraachment and the public purpose.

�IVhile �his Agreement is in effect, Licensee agrees to furnish City wi�h a
Certificate of Insurance narnin� City as certificate holder as }�roof that is has secured and
paid for a palicy of pubiic liability insurance co�ering alt public ris�Cs related to the

pro�osed use and ti�cupancy of public prc�perty as locat�d and r�escrihed in Exhi�it "C."
The amounts oF su�h insurance sha�l be n�t less than

re�ised upvvard at City's option and that L1C�I'lSEG shall sa re�ise such amounts

the Build':ng Of�cial of the City. A copy of s�ch Certi#icate af �nsurance is attached as

af�ligates itseIf and its successors and assigns to mair�tain and keep in farce such public
liability insLzrar�ce at afl times durin� t�e term of this Agreernent and untiI the r�ma�al ai
the En�roachment and restaratican af #he Public Praperty. All insiirar�ce co�erage required
k�erein shaIl incIude co�erage of ail Licensee's cantractors ar�d subcontractors.

Licensee agrees ta deposit with the City when #his Agreernent is exeeuted a
st�fficient sum af money ta be used to pay necessary fees to r�card this Agreeme�nt in the
r�a! property re�ords af t�e caunty in whi�h the Encroachment is located. After being
recorded, the az'i�inal shall be reti�rned to the C:ity Se�retary ofthe City of Fort Vl�arth.
1�.
Licensee agrees to comp(y fully witlz ali appIi�able federal, state, and local �aws,
�i�t�ates, ardinar�ces, codes, and regulations in cQnnection with #he canstru�tian,
operation, and mai��texyance af the En�raachment aiid �ase of the Public Property.
13.
Licensee agrees to pay prampt�y when due all fees, taxes, or re��tais provided for
by this Agreement or �y any federal, state, or lucal statute, law, or regulation.
14.
Licensee co�enants and agrees that it shail �perate �tereunder as an independent
�antractar as to all rights and privileges granted hereunder and not as an officer, agen#,
servant, az' empiayee af City, and Licensee shall have exclusi�e cantral �f and the
exclusi�e right to control the rietails of its nperatians, and all persons perFvrming same,
and shall be solely responsib€e t'or the acts and orr�issions af its o#'ficers, agents, servants,
employees, �ontractors, subcor�tractors, licensees, and in�itees. T�e dvctrine of
respondeat superior shall �ot apply as b�tween City and Licensee, its of�cers, agen#s,
ser�ants, employees, contractors, and s�ibcantra�tors, and nothing i�erein shaIl be
construed as creafing a par�nership or joint enterprise between City and Licensee.

15.
Licensee agrees and a�kt�awledges tf�at this Agreement is solely for the p�arpose
of permitting Licensee to construct, ma�ntai:i, and tocate t�te Encroachrrtent over ar within
the Pubiic Property and is nat a con�eyance af any right, title, ar interest in ar to fhe
Pub�ic Praperty, nar is it meant to cvn�ey any right ta use or occupy property in whi�h a
third-party rnay ha�e an interest. Licensee agrees that it wilf obtain aIF necessary
perrr�issions bef�re occupy�ng such praperty.
1G.
In any action brv►.:ght by the City far tE1e enforcement of the obiigations ❑f the
Licensee under this Agreement, City shall be entitled to reco�er interest and reasonable
attorneys' fees.
17.
The pa�ties agree that the duties a�d abligati�ns canta�ned i� 5ectian 5 shall
st�rvi�e ihe termination flf this Agreenlent.
18.
Licensee cnvenants and agrees that it will nat assign all or any af its rights,
pri�i�eges, or duties under this Agreement without the written appraval of the City, and
any attempted assignment without such written appro�a! shall be �oid. In ttie event
Licensee can�eys the Property, Licensee may assigr� all af its rights and abligations under
this Agreement to t�ie new owner of the Property, and Licensee shail be deemed reieased
from its duCies and ohli�ations h�reunder upoi� City's approval in wri�ing of such
assigh��iFt�, whi��Z a��a��t ���I1 ntit be unreasfl�abiy delayed, cor�ditioned or ��i#hheld.
Farecios�re by a secured lender of Licensee or assignnnent [o a se�ured le�ider by
Licensee ir� the e�ent af default o,r oth�rwise shall not require City apprv�al provided that
said lender notifies City in writing w�thin six#y (60) days of suc� foreciosu�-e or
assignment and assumes alt o#' Lic�nsee's rights and o�Iigatians hereunder. However, no
change af awr�ership due ta fareclasure or ass�gnment to any secured lender of Li�ensee
shall 6� effecti�e as ta City unless and until writ#�n notice of such fareclosure or
assignmer►t is provided to City.

Caunty, Texas. This Agreerr�ent shall be go�erned by the laws of the Sfate af Texas.
