Home My WebLink AboutContract 58903-A2R1CSC No. 58903-A2R1 SECOND AMENDMENT AND FIRST RENEWAL OF CITY SECRETARY CONTRACT NO. 58903 BETWEEN CITY OF FORT WORTH AND ALLIED WASTE SERVICES OF FORT WORTH, LLC DBA REPUBLIC SERVICES OF FORT WORTH. This Second Amendment and First Renewal is entered into by and between the City of Fort Worth (hereafter "City"), and Allied Waste Services of Fort Worth, LLC DBA Republic Services of Fort Worth (hereafter "Vendor"). WHEREAS, the City and Vendor entered into a Vendor Services Agreement for Vendor, City Secretary Contract Number 58903 ("Agreement"), to provide the City with equipment, materials, labor, and personnel for container provision, refuse and garbage removal and disposal for City facilities, and single stream recycling removal and processing services; and WHEREAS, the parties amended the Agreement on December 13, 2023 to increase compensation under the Agreement to $2,404,169.00 for additional services for City; and WHEREAS, the City and Vendor desire to amend the original Agreement to update the description under the Scope of Services provision and to revise the total compensation and the price schedule under the Agreement; WHEREAS, the City and Vendor also desire to renew and extend the Agreement for the first renewal term. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, City and Vendor agree to amend and renew the Agreement as follows: I. RENEWAL The Agreement is renewed and extended for the First Renewal Term beginning on March 1, 2024 and expiring on February 28, 2025. II. AMENDMENTS 1. Section 1 of the Agreement, Scope of Services, is hereby amended to be deleted in its entirety and replaced as follows: Vendor will provide City with equipment, materials, labor, and personnel for container provision, refuse and garbage removal and disposal for City facilities, and single stream recycling removal and processing services ("Services"), as set forth in more detail in Exhibit "A," attached hereto and incorporated herein for all purposes. Section 3 of the Agreement, Compensation, is hereby amended to be deleted in its entirety and replaced as follows: City will pay Vendor in accordance with the provisions of this Agreement, including Exhibit "B," which is attached hereto and incorporated herein for all purposes. Total compensation under this Agreement will be in an amount not to exceed Three Million, One -Hundred Eighty -Nine Thousand, Five -Hundred Seventy -Four Dollars and Zero Cents ($3,189,574.00) for the initial term of the Agreement. Compensation under the Agreement's four one-year renewal options are as follows: • First Renewal An amount not to exceed Three Million, Three -Hundred Forty - Nine Thousand, and Fifty -Three Dollars and Zero Cents ($3,349,053.00) • Second Renewal — An amount not to exceed Three Million, Five -Hundred Sixteen Thousand, Five -Hundred Six Dollars and Zero Cents ($3,516,506.00) • Third Renewal An amount not to exceed Three Million, Six -Hundred Ninety - Two Thousand, Three -Hundred Thirty -One Dollars and Zero Cents ($3,692,331.00) • Fourth Renewal An amount not to exceed Three Million, Eight -Hundred Seventy -Six Thousand, Nine Hundred Forty -Eight Dollars and Zero Cents ($3,876,948.00) Vendor will not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City will not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. 3. Exhibit B of the Agreement, Price Schedule, is amended in its entirety to be and read as set forth in Attachment 1, attached hereto and incorporated by reference. III. MISCELLANEOUS 1. All terms and conditions of the Agreement that are not expressly amended pursuant to this Second Amendment and First Renewal shall remain in full force and effect. 2. All terms in this Second Amendment and First Renewal that are capitalized but not defined shall have the meanings assigned to those terms in the Agreement.
