HomeMy WebLinkAboutContract 53540-A1CSC No. 53540-A1 FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 53540 This Amendment is made between the City of Fort Worth ("Fort Worth") and Enviroquest, Inc. ("Vendor"). WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No.60432 beginning January 15, 2020 (the "Agreement"); and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to revise the insurance requirements to delete Vendor's obligation to hold a Worker's Compensation policy, as approved by the Risk Department of the City of Fort Worth; and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend Exhibit "B" of the Agreement in order to allow reimbursement of Vendor's insurance premiums, as authorized by the United States Department of Housing and Urban Development's ("HUD") Lead Hazard Control program. The Parties agree that annual insurance premiums will be billed equally in 12 consecutive invoices issued after incurring the premiums, to be billed in the same coverage year as the premiums are incurred. NOW THEREFORE, Fort Worth and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by deleting in its entirety Section 10.1(c) Worker's Compensation from the Agreement. Vendor is still obligated to maintain all other insurance policies as listed under the Agreement. 2. The Agreement is hereby amended by deleting in its entirety Exhibit `B" of the Agreement and replacing it with the revised Exhibit `B," attached hereto. 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. WORTH, TX First Amendment to Fort Worth City Secretary Contract No. 53540 Page 2 of 2 FEE SCHEDULE, Amended Service and Fee per Inspection 1) Lead Inspection and Risk Assessment is to be performed within 21 working days from issuance of assignment with reports delivered to CFW Lead Safe Program within 10 workings days of inspection. Samples will be collected and shipped by contractor. CFW will be responsible for lab fees. Fee Per Inspection: $850.00 2) Healthy Homes Inspections will be conducted by qualified personnel to address the 29 hazards identified by the Healthy Homes Rating System. Average inspection time estimated to be 1-2 hours. Training will be paid for by the City of Fort Worth Lead -Safe Program. Travel and accommodations for training will be the responsibility of the Contractor. Fee Per Inspection: $250.00 Insurance Premium Reimbursement Vendor will invoice and bill for the following annual insurance premiums to be split equally in first 12 consecutive invoices issued after incurring the premiums. Annual insurance premiums must be billed in the same coverage year as premiums incurred. Coverage to be included is listed as follows: 1) Commercial General Liability — $1,000,000 — Each Occurrence $2,000,000 — Aggregate Total fee for annual coverage: $425.00 2) Professional Liability (Errors & Omissions) — $1,000,000 — Each Claim Limit $1,000,000—Aggregate Limit Total fee for annual coverage: $1,311.57
