LEASE AMENDMENT NO. 5
BETWEEN THE CITY OF FORT WORTH AND
INTERNATIONAL SISTER CITIES ASSOCIATION OF FORT WORTH, INC.
CSC NO. 45334
This Fifth Amendment to the Lease Agreement ("Fifth Amendment") is made by and
between the City of Fort Worth, Texas ("Lessor"), and International Sister Cities Association of
Fort Worth, Inc. ("Lessee").
WHEREAS, Lessor and Lessee entered into a Lease Agreement ("Lease") (City Secretary
Contract No. 45334) effective as of January 30, 2014 for the leased premises located at 908 Monroe
Street, Fort Worth, Texas, for use as office space for the Fort Worth Sisters Cities Program; and
WHEREAS, the Lessee and Lessor amended the Lease on November 14, 2017, to define
the Leased Premises, Common Area Space and Shared Space, (City Secretary Contract No. 45334-
Al); and
WHEREAS, the Lessee and Lessor amended the Lease on March 1, 2018, to replace
Exhibit A to incorporate revised room numbers for the Leased Premises (City Secretary Contract
No. 45334-A2); and
WHEREAS, the Lessee and Lessor amended the Lease on January 25, 2019 to extend the
Primary Term, as defined in the Lease, for one year until January 29, 2020, to authorize four (4)
additional automatic one-year renewals to expire January 29, 2024, and to provide an early lease
termination option by either party by providing thirty (30) day written notice, as authorized by
City Council on January 15, 2019 (Mayor and Council Communication No. L-16176; City
Secretary Contract No. 45334-A3); and
WHEREAS, the Lessee and Lessor amended the Lease on May 3, 2019 to reduce the
Leased Premises by one office known as Suite 513 (City Secretary Contract No. 45334-A4); and
WHEREAS, the last renewal expired on January 29, 2024 and the lease remains in
holdover status; and
WHEREAS, the Lessee and Lessor desire to amend the Lease to add five (5) additional,
automatic one-year renewals to expire on January 29, 2029, as authorized by City Council on
04/09/2024 (Mayor and Council Communication No. 24-0290).
. NOW THEREFORE, in consideration of the rentals set forth in the Lease, the parties
agree to amend the lease as follows:
1. The second sentence in Article 2.01 Term. is hereby deleted in its entirety and amended to
read as follows: "This Lease will automatically renew for up to nine (9) one-year renewal

final renewal option is set to expire on January 29, 2029.
2. All other terms and conditions of the Lease remain unchanged and in full force and effect.

It is recommended that the City Council authorize execution of a fifth amendment to the lease
agreement with International Sister Cities Association of Fort Worth, Inc. to add five (5) additional
automatic one-year renewal options set to expire January 29, 2029 for office space in the City Hall
Annex Building
DISCUSSION:
The Sister Cities Program, hosted by the International Sister Cities Association of Fort Worth
("Lessee"), was initiated in 1985 in the City of Fort Worth and has been instrumental in cultivating
relationships and international understanding among youth, adults, businesses, and organizations
through educational, leadership, and exchange programs that promote tourism and commerce in the
City of Fort Worth. Sister Cities also produces economic and public benefits for the entire Fort Worth
Community.
On December 17, 2013, Council approved a lease agreement with Lessee for use of office space in
the City Hall Annex located at 908 Monroe Street in downtown Fort Worth (Mayor and Council
Communication C-26604; CSC No. 45334)_ The term of the lease was for five years beginning on
January 30, 2014, at a cost of $100.00 per year, plus expenses for use outside of normal business
hours such as utilities, access cards and security. Lessee was responsible for providing its own
internet and phone service.
The lease has been subsequently amended four times to define and clarify the office, common area
spaces, and to extend the term once before. The term of the current lease expired on January 29,
2024 and remains in effect in holdover status.
Lessee has requested to remain in the leased space in the City Hall Annex for an additional five
years, or until the move to 200 Texas Street once the property is available. This fifth amendment
provides for five (5) additional automatic one (1) year renewal options, commencing on the effective
date of the amendment and set to expire January 29, 2029.
All other terms and conditions of the lease agreement will remain the same, including the annual rent
of $100.00.
The office space is located in COUNCIL DISTRICT 9.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that upon approval of the above recommendation and execution of
the amendment, funds will be deposited into the General Fund. The Property Management
Department (and Financial Management Services) is responsible for the collection and deposit of
funds due to the City.
