TO CITY SECRETARY CONTRACT No. 49334
WHEREAS, the City of Fort Worth (CITY) and Lamb -Star Engineering, LLC,
(ENGINEER) made and entered into City Secretary Contract No. 49334, (the
CONTRACT) which was authorized by M&C C-28290 on the 20th day of June,
2017 in the amount of $ 1,000,000.00; and
Amendment Number 1 in the amount of-$200,000.00 which was
administratively authorized on October 25, 2017 and Amendment Number 2 in
the amount of $350,000.00 which was authorized by M&C 19-0182 on September
24, 2019 and Amendment Number 3 in the amount of $1,331,140.00 which was
authorized by M&C 21-0090; and
WHEREAS, the CONTRACT involves engineering services for the following
project:
Engineering Services for Meandering Road, CPN 100873; and
WHEREAS, it has become necessary to execute Amendment No. 4 to the
CONTRACT to include an increased scope of work and revised fee.
NOW THEREFORE, CITY and ENGINEER, acting herein by and through their
duly authorized representatives, enter into the following agreement, which
amends the CONTRACT:

Article I of the CONTRACT is amended to include the additional
engineering services specified in proposal attached hereto and incorporated
herein. The cost to City for the additional design services to be performed
by Engineer totals $483,098.00 (See Attached Funding Breakdown Sheet, Page
-4-)

Article II of the CONTRACT is amended to provide for an increase in
the fee to be paid to Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all
work and services shall be an amount of $2,964,238.00.

This letter is to amend the scope and funding of City Secretary Contract No. 49334, Professional
Engineering Design Services for Design of Meandering Road from East Gate of NASJRB to River
Oaks Blvd/SH 183.
This amendment includes two (2) additional resubmittals to the previously submitted Environmental
documentation, traffic analysis, and 90% PS & E plans for Meandering Road from East Gate of
NASJRB to River Oaks Blvd. The additional work includes revisions to the Environmental
documents, performing updated traffic counts, updating the traffic analysis, and modifying the
engineering plans developed under the original contract and previous amendments to final
construction documents, specifications, and estimates. Design changes include updates to the
geometry at the Yale/Meandering Road intersection and the geometry for Brocks Lane. Additional
services include procuring ROW for River Oaks, incorporating Joint Bid Utility Plans into the PSE
submittals, and updating utility relocation schedules.
Lamb -Star Engineering proposes to complete the additional work for a fee not to exceed $483,098
bringing the total engineering fees to $2,964,238. The following table summarizes a complete view
of engineering services.

Scope for Enaineerina Desian Related Services for Street Improvements
The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project.
OBJECTIVE
The objective of this project is to improve vehicular, pedestrian, and bicycle safety on
Meandering Road from Roberts Cut Off Road to the east entrance of the Naval Air Station
Joint Reserve Base, Fort Worth. The anticipated scope of services for this project shall
include (but not be limited to) route studies and schematic design, minor roadway design,
traffic engineering studies, traffic signal timing, street and pedestrian illumination design,
traffic signal design, bicycle and pedestrian facility design, storm water analysis and design,
environmental analysis and design, right of way acquisition support, easement acquisition
support, boundary and topographic surveys, subsurface utility exploration, construction
phase assistance, and any potential federal and/or state environmental permits.

TASK 1. PROJECT MANAGEMENT.
ENGINEER will manage the work outlined in this scope to ensure efficient and effective use
of ENGINEER's and CITY's time and resources. ENGINEER will manage change,
communicate effectively, coordinate internally and externally as needed, and proactively
address issues with the CITY's Project Manager and others as necessary to make progress
on the work.
1.1. Managing the Team

proposed infrastructure, and provide and obtain information needed to prepare the

• With respect to coordination with permitting authorities, ENGINEER shall
communicate with permitting authorities such that their regulatory requirements are
appropriately reflected in the designs. ENGINEER shall work with regulatory
authorities to obtain approval of the designs, and make changes necessary to meet
their requirements, as part of the design scope.
• Personnel and Vehicle Identification: When conducting site visits to the project
location, the ENGINEER or any of its sub -consultants shall carry readily visible
information identifying the name of the company and the company representative.

6.1. Additional 90% Resubmittal of Construction Plans and Specifications
ENGINEER will prepare construction plans as follows:
• Final draft construction plans (90%), including estimate and specifications, shall be
submitted to CITY per the approved Project Schedule.
• Following City review, final draft construction plans (90%), including estimate and
specifications, shall be submitted to TxDOT per the approved Project Schedule.
• 100% plans, specifications, and estimate are omitted from this scope.
• The ENGINEER shall submit a final design estimate of probable construction cost with the
90% design packages. This estimate shall use standard TxDOT bid items and standard
CITY bid items.
• ENGINEER will coordinate with utility owners to determine estimated relocation schedule.
• The ENGINEER will coordinate with the City of Fort Worth Utilities Department and the
River Oaks Utilities Department to get PSE for utility relocations incorporated into
Meandering Road PSE.
ASSUMPTIONS
• 11 x1 7 size drawings and specifications will be delivered electronically for the 90% Design
package.
• ENGINEER to provide estimated final sheet list (cover/index, general notes, control point
location, easement layout, SUE plan sheets, no. of plan/profiles, special detail sheets, etc.)

ENGINEER will support and perform activities related to ROW and land as outlined below,
per scoping direction and guidance from the CITY's Project Manager.
9.1. Right -of -Way Research
• The ENGINEER shall determine rights -of -way, easements needs for construction
of the project. Required temporary and permanent easements will be identified

based on available information and recommendations will be made for approval
by the CITY.
9.2. Right-of-Way/Easement Preparation and Submittal - Not Included
• Not included in this amendment.
9.3. Temporary Right of Entry Preparation and Submittal
• Prior to construction, the ENGINEER shall prepare, mail and obtain Temporary
Right of Entries from landowners. It is assumed that letters will only be required
for land owners adjacent to temporary construction easements or who are
directly affected by the project and no easement is required to enter their
property.
• The documentation shall be provided in conformance with the checklists and
templates available on the CITY's Buzzsaw site.
ASSUMPTIONS
Right -of -Way research includes review of property/right-of-way records based on
current internet based Tarrant Appraisal District (TAD) information available at
the start of the project and available on -ground property information (i.e. iron
rods, fences, stakes, etc.). It does not include effort for chain of title research,
parent track research, additional research for easements not included in the
TAD, right-of-way takings, easement vacations and abandonments, right-of-way
vacations, and street closures.
9.4. Right Of Way Service
• Project Management and Administration - Attendance at project meetings, preparation of
monthly status reports via SmartSheet, general consultation on right-of-way matters, and all
necessary tracking or clerical work associated with the services provided. Preparation of all
materials necessary for submission to The City Council for all landowner compensation
approvals and/or other matters as required. ORC's project management fee is based upon
monthly meeting, for 12 months, with each meeting being 2 hours in length. This fee also
includes the requisite oversight of project duties and the preparation of monthly status
reports. If meetings or reporting deliverables become more frequent than monthly, or the
meetings last longer in duration than the above stated time, ORC reserves the right to
submit a change order to obtain additional hours as needed to meet project and client
needs.
• Appraisals: Two (2) properties will require an appraisal and an appraisal review. Both
appraisals will be a Before & After appraisal for the takes, using TxDOT forms. ORC will
subcontract the appraisals and appraisal reviews to qualified consultants. ORC will manage
the procurement of the appraisals and appraisal reviews. One appraisal will be ordered for
each impacted property unless specific otherwise by the client. Upon completion of the
review process, ORC will submit the appraisal, appraisal review and any additional support
documentation to the City for its review and approval. It is assumed the appraisal amount
will be approved by the client within a statutory timeline to ensure no appraisal updates are
required. Appraisal updates were not included within this fee. Appraisal subconsultant fees
will be invoiced to the client and no markup will be charged.

Should additional appraisals be required, ORC reserves the right to submit a change order
for additional services over the agreed upon scope of work. At the time of preparing this
proposal, it is ORC's understanding property owners will not be compensated for TCEs or
TCLs, and as such, waiver valuations are not required. As a result, ORC did not include any
fees for waiver valuations within the proposal.
• Property Owner Negotiations: Negotiation with property owners for the purchase of partial
and full properties, Temporary Construction Easements ("TCE") and Temporary
Construction Licenses ("TCL"). Preparation of all letters and subsidiary documents required
using TxDOT forms, including rights of entry, all offer letters, post -offer responses, appraisal
summary agreements for purchase, and other documents as required. All correspondence
between ORC and the property owners will be documented and kept as part of the parcel
file, including any mailings, documents and agent notes. All negotiation services shall be
performed in accordance with the Uniform Relocation Assistance and Real Property
Acquisition Act and shall be reviewed and approved by The City and/or by the State of
Texas depending on the source of project funding. ORC will negotiate with property owners
in good faith, including attempting to reach an agreement between parties to ensure timely
project delivery. However, once a determination has been made by ORC's project manager
that negotiations have reached an impasse, ORC will begin preparing the parcel file for
condemnation. Good faith negotiations include at least 30 days to consider an offer and an
at least 3 attempts to contact.
-Relocation Assistance for one (1) commercial business. Preparation of all letters and
subsidiary documents required using TxDOT forms, including personal property move
claims, re-establishment claims, and other documents as required. All relocation services
shall be performed in accordance with the Uniform Relocation Assistance Act and shall be
reviewed and approved by The City and/or by the State of Texas depending on the source
of project funding. ORC assumes at the time of preparing this proposal that one (1) business
relocation will be required. However, if it is determined there is more than one (1) business
operating within the impacted parcel, ORC reserves the right to submit a change order to
obtain additional hours as needed to meet project and client needs.
• Escrow and Title Coordination — Coordination of escrow and title work with WFG National
Title Company. ORC will order two (2) title commitments for the fee acquisitions on the
project. ORC will subcontract the title commitments to qualified consultants. The title
company will close the transaction and procure a final title insurance policy based on the
value of the property for each of the two parcels. ORC is assuming no title work, including
obtaining vesting deed, will be required for any of the TCE or TCL properties. If additional
title work is required beyond the two (2) fee acquisitions, ORC reserves the right to submit a
change order to obtain additional hours as needed to meet project and client needs. Title
subconsultant fees will be invoiced to the client and no markup will be charged.
• Condemnation Proceedings Support - Delivery of copies of all pertinent information and
documentation related to condemnation proceedings to the City or Cities' Legal
Representative. Coordination with the City in filing documents and responding to information
requests related to condemnation proceedings. Attendance of hearings and provision of
testimony as needed. If additional title work is required beyond the attendance of hearings
and provision of testimony, ORC reserves the right to submit a change order to obtain
additional hours as needed to meet project and client needs.

TASK 10. SURVEY.
10.1 Project Control
The Surveyor shall establish horizontal and vertical control points for the project. Primary
and secondary project control points will be established in accordance with TxDOT level 3
specifications. A closed -loop digital level network will be surveyed through the control points.
Final adjusted elevations will be based on TxDOT VRS GPS observations or existing
TxDOT control, if available.
10.2 Design Survey
ENGINEER will provide survey support as follows.
ENGINEER will perform field surveys to collect horizontal and vertical elevations
and other information needed by ENGINEER in design and preparation of plans
for the project. Information gathered during the survey shall include topographic
data, elevations of all sanitary and adjacent storm sewers, rim/invert elevations,
location of buried utilities, structures, trees (measure caliper, identify overall
canopy, and have qualified arborist identify species of trees), and other features
relevant to the final plan sheets. Existing drainage at intersections will be verified
by field surveys. Spot elevations will be shown on intersection layouts with cross
slope to fit intersecting grade lines.
• The minimum survey information to be provided on the plans shall include the
following:
- A Project Control Sheet, showing ALL Control Points, used or set while
gathering data. Generally on a scale of not less than 1:400:
- The following information about each Control Point;
a. Identified (Existing. CITY Monument #8901, PK Nail, 5/8" Iron Rod)
b. X, Y and Z Coordinates, in an identified coordinate system, and a
referred bearing base. Z coordinate on CITY Datum only.
c. Descriptive Location (Ex. Set in the centerline of the inlet in the South
curb line of North Side Drive at the East end of radius at the Southeast
corner of North Side Drive and North Main Street).
- Coordinates on all P.C.'s, P.T.'s, P.I.'s, Manholes, Valves, etc., in the
same coordinate system, as the Control.
- No less than two horizontal bench marks, per line or location.
- Bearings given on all proposed centerlines, or baselines.
- Station equations relating utilities to paving, when appropriate.
10.3 Cross Sections and Drainage Study - Not Included

11.1 Environmental Documentation and Reports (BOA)

ENGINEER will update permitting support for the CITY to obtain any and all agreements
and/or permits normally required for a project of this size and type.
11.2 Asbestos Inspection and Documentation
Perform an asbestos inspection to identify suspect building materials that contain asbestos
by a Texas Department of State Health Services licensed inspector for demolition purposes.
Exterior and roof materials will be sampled as part of this inspection, as requested by the
client. The client is responsible for coordinating a roofer to secure the roof after the asbestos
inspection is completed, if applicable. By signing this agreement you agree that Phase
Engineering, LLC. is not liable for any damage to these areas inspected. A minimum of
three samples, of each suspect asbestos containing homogeneous building material will be
taken, to satisfy the Texas Department of State Health Services requirements for demolition
of asbestos building materials. A minimum of one sample only may be required for exterior
suspect asbestos containing materials sampled, if applicable. The samples will then be
taken to the lab and analyzed for asbestos. Samples that are over one percent asbestos
and under 5 percent asbestos can be point counted at the laboratory to confirm the
percentage of asbestos in the building material. This analysis is more expensive than the
traditional analysis (Polarized Light Microscopy) and is used when asbestos is near the one
percent detection amounts. Transmission Electron Microscopy (TEM) is considered one of
the most accurate methods for laboratory analysis for suspect asbestos containing building
materials, however, this method is more costly and currently it is only recommended under
federal regulations.

ADDITIONAL SERVICES NOT INCLUDED IN THE EXISTING SCOPE OF SERVICES
Additional Services not included in the existinq Scooe of Services — CITY and
ENGINEER agree that the following services are beyond the Scope of Services described in
the tasks above. However, ENGINEER can provide these services, if needed, upon the
CITY's written request. Any additional amounts paid to the ENGINEER as a result of any
material change to the Scope of the Project shall be agreed upon in writing by both parties
before the services are performed. These additional services include the following:
• Services included in Amendments 1, 2, 3
• Negotiation of easements or property acquisition.
• Services related to development of the CITY's project financing and/or budget.
• Services related to disputes over pre -qualification, bid protests, bid rejection and
re -bidding of the contract for construction.
• Construction management and inspection services
• Performance of materials testing or specialty testing services.
• Services necessary due to the default of the Contractor.
• Services related to damages caused by fire, flood, earthquake or other acts of
God.

• Services related to warranty claims, enforcement and inspection after final
completion.
• Services to support, prepare, document, bring, defend, or assist in litigation

Compensation
A. The ENGINEER shall be compensated for personnel time, non -labor expenses,
and subcontract expenses in performing services enumerated in Attachment A
as follows:
i. Personnel Time. Personnel time shall be compensated based upon hours
worked directly in performing the PROJECT multiplied by the appropriate Labor
Cateaory Rate for the ENGINEER's team member performing the work.
Labor Cateaory Rate as presented in the rate schedule table below is the rate for
each labor category performing the work and includes all direct salaries,
overhead, and profit.

ii. Non -Labor Expenses. Non -labor expenses shall be reimbursed as Direct
Expenses at invoice or internal office cost.
Direct Expenses (non -labor) include, but are not limited to, mileage, travel and
lodging expenses, mail, supplies, printing and reproduction services, other direct
expenses associated with delivery of the work; plus applicable sales, use, value
added, business transfer, gross receipts, or other similar taxes.
iii. Subcontract Expenses. Subcontract expenses and outside services shall
be reimbursed at cost to ENGINEER plus a markup of ten percent (10%).

iv. Budgets. ENGINEER will make reasonable efforts to complete the work
within the budget and will keep the City informed of progress toward that end so
that the budget or work effort can be adjusted if found necessary.
ENGINEER is not obligated to incur costs beyond the indicated budgets, as may
be adjusted, nor is the City obligated to pay ENGINEER beyond these limits.
If ENGINEER projects, in the course of providing the necessary services, that the
PROJECT cost presented in Article 2 of this Agreement will be exceeded, whether
by change in scope of the project, increased costs or other conditions, the
ENGINEER shall immediately report such fact to the City and, if so instructed by
the City, shall suspend all work hereunder.
When any budget has been increased, ENGINEER's excess costs expended prior
to such increase will be allowable to the same extent as if such costs had been
incurred after the approved increase.
B. The ENGINEER shall be paid monthly payments as described in Section II -
Method of Payment.
II. Method of Payment
A. The ENGINEER shall be paid by the City based upon an invoice created on the
basis of statements prepared from the books and records of account of the
ENGINEER, based on the actual hours and costs expended by the ENGINEER
in performing the work.
B. Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the ENGINEER.
C. ENGINEER shall prepare and submit invoices in the format and including content
as presented in Exhibit B-1.
D. Payment of invoices will be subject to certification by the City that such work has
been performed.
III. Progress Reports
A. The ENGINEER shall prepare and submit to the designated representative of the
Transportation and Public Works monthly progress reports and schedules in the
format required by the City.

RECOMMENDATION:
It is recommended that the City Council authorize execution of Amendment Number 4 to City
Secretary Contract No. 49334, with Lamb -Star Engineering, LLC, in an amount up to $483,098.00
for additional engineering phase services for the Meandering Road — LT JG Barnett Road project
(City Project No. 100873).
DISCUSSION:
The purpose of this Mayor and Council Communication (M&C) is to authorize Amendment Number
4 to an existing engineering services agreement with Lamb -Star Engineering, LLC for the
Meandering Road — LT JG Barnett Road project.
This amendment is required to incorporate changes to the intersection of Meandering Road at Yale
Street requested by the City of River Oaks and to the intersection of Meandering Road at Brocks
Lane. The City of Fort Worth is making these changes in response to communications with affected
property owners. As a result of these changes, additional traffic analyses must be performed, the
project environmental documents must be updated, and the engineering plans must be revised and
re -submitted to the Texas Department of Transportation (TxDOT) for approval.
This amendment will also provide for professional services to produce the final construction
documents, provide right-of-way exhibits, and to perform bidding and construction management
services for the project.
Lamb -Star Engineering, LLC was awarded contract No. 49334 (M&C C-28290) on June 20, 2017
to perform preliminary design and scope development for the project in the amount of
$1,000,000.00.On October 25, 2017, Amendment Number 1 in the amount of ($200,000.00) was
approved administratively to revise the funding. On September 24, 2019, Amendment No. 2 in the
amount of $350,000.00 (M&C 19-0182), provided for Lamb -Star Engineering, LLC to continue with
the preliminary engineering effort.
On September 22, 2020, the City Council approved M&C 20-0722 to execute an Advanced
Funding Agreement (AFA) with the Texas Department of Transportation (TxDOT), which revised the
original AFA, and accepted $18,284,010.00 of federal grant funds to complete the next phases,
(final design, property acquisition, and construction), of the Meandering Road — LT JG Barnett
Road project. On February 2, 2021, Amendment No. 3 in the amount of $1,331,140.00 was
approved to allow Lamb -Star Engineering, LLC to move forward with final design of the project
and other services as provided for in the AFA.
Lamb -Star Engineering, LLC proposes to complete the additional work associated with
Amendment No. 4 for a fee up to $483,098.00. Staff considers the fee to be fair and reasonable for
the scope of services proposed. The following table summarizes services for the project.

This M&C
Business Equity Division: Lamb -Star Engineering, LLC agrees to maintain its initial DBE
commitment of 4.5% that it made on the original agreement and extend and maintain that same
DBE commitment of 4.5% to all prior amendments up to and including this Amendment Number 4.
Therefore, Lamb -Star Engineering, LLC remains in compliance with the City's DBE Ordinance and
attests to its commitment by its signature on the Acceptance of Previous DBE Commitment form
executed by an authorized representative of its company.
Funding is budgeted in the TPW Department within the Grants Cap Projects Federal Fund for the
purpose of funding the Meandering Road project, as appropriated.
This project is located in COUNCIL DISTRICT 7 and in the City of River Oaks.
FISCAL INFORMATION / CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget, as previously
appropriated, in the Grants Cap Projects Federal Fund for the Meandering Road project to support
the approval of the above recommendation and execution of the amendment to the engineering
contract. Prior to an expenditure being incurred, the Transportation and Public Works Department
has the responsibility to validate the availability of funds.

Amendment Purpose Statement:
The purpose of this engineering amendment is to provide additional design services to incorporate
changes to the intersection of Meandering Road at Yale Street and to the intersection of Meandering
Road at Brocks Lane. The changes at Yale Street were requested by the City of River Oaks, and the
changes at Brocks Lane were a result of coordination with affected property owners at that intersection.
As a result of these changes, additional traffic analyses must be performed, the project environmental
documents must be updated and the engineering plans must be revised and re -submitted to the Texas
Department of Transportation (TxDOT) for approval. This amendment allows for all of these activities.
Additionally, this amendment provides professional services to produce the final construction
documents, create right-of-way exhibits and perform bidding and construction management services for
the project.
The design and construction of this project is 100% federally funded. An amendment to the Advance
Funding Agreement (AFA) with TxDOT was approved by City Council on 2/13/2024 with M&C 24-0120.
That amendment to the AFA allowed for increased project costs to fund this engineering amendment.
