FOURTH AMENDMENT AND FOURTH RENEWAL
TO CITY SECRETARY CONTRACT NO. 55861
This Amendment and Renewal is executed by and between the City of Fort Worth
(hereafter "City"), a home rule municipality, and Consolidated Traffic Controls, Inc. (hereafter
"Vendor"). City and Vendor are each individually referred to herein as a "Party" and collectively
as the "Parties."
WHEREAS, on June 15, 2021 the Parties entered into City Secretary Contract No. 55861
to purchase School Zone Beacon Communication Modems, Traffic Signal and other Related
Hardware and Equipment ("Agreement/Contract");
WHEREAS, the Agreement memorialized City Council's authorization to procure such
items from Vendor under M&C P-12296 which was approved on February 5, 2019;
WHEREAS, the Agreement provides three (3) one-year renewal options and also
authorized the City to purchase similar equipment and supplies under an extended, successor
HGAC contract;
WHEREAS, the Agreement memorialized City Council's authorization of the optional
HGAC contract extension and the purchase of similar equipment and or supplies under the
extended contract;
WHEREAS, the Parties wish to amend the Agreement to extend and renew the
Agreement; and
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives, enter into the following agreement:

AMENDMENTS TO AGREEMENT
Paragraph 5 of the existing Agreement shall be deleted in its entirety and replaced with the
following:
The Contract with the City of Fort Worth expires on April 30, 2024 (the "Expiration Date").
Pursuant to the terms of the Contract, the Contract may be renewed by the mutual consent of the
parties. This letter will memorialize the collective desire of the parties to renew the Contract for
its fourth renewal term, which will begin immediately after the Expiration Date. All other terms
and conditions of the Contract remain unchanged. OFFICIAL RECORD

RENEWAL
This Agreement is hereby renewed for its Fourth Renewal Term, beginning on May 01, 2024
and ending on April 30, 2025.

ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.

SUBJECT: Authorize Amendment to Existing Agreement with Consolidated Traffic Controls, Inc., using
a HGAC Cooperative Purchasing Agreement for School Zone Beacon Communication
Modems, Traffic Signal Parts and other Related Hardware and Equipment in an Annual
Amount Up to $750,000.00 and Authorize Annual Renewal Options in Amount of
$300,000.00 in Accordance with the HGAC PE-05-17 Coop Contract for the Transportation
and Public Works Department (ALL COUNCIL DISTRICTS)
RECOMMENDATION:
It is recommended that the City Council authorize an amendment to the existing Agreement with
Consolidated Traffic Controls, Inc., using the HGAC Cooperative Purchasing Agreement PE 05-17 for
procurement of School Zone Beacons Communication modems, Traffic Signal Parts and other traffic signal
related hardware and equipment in an amount of $750,000.00 for the first year and a renewal option in the
amount of $300,000.00 for following three (3) years in accordance with the HGAC PE-05-17 or applicable
successive HGAC contracts for the Transportation and Public Works Department.
DISCUSSION:
The Transportation and Public Works Department initiated a requisition for an Amended Agreement to
purchase School Zone Beacon Communication modems, traffic signal parts, and other related traffic signal
hardware and equipment to make necessary upgrade, repair, or bringing the traffic control devices up to
standard and compliant with the latest industry requirements. The parts provided under the Agreement
include cellular modems for School Zone Beacons, Vehicular and pedestrian traffic signal indication and
housing with clam shell, count down pedestrian signal insert, vehicular and pedestrian mounting brackets,
pedestrian push button assemblies, traffic signal cables, and other traffic signal parts. Staff recommends
awarding an Amended Agreement to Consolidated Traffic Controls, Inc., using the H-GAC Cooperative
Purchasing Agreement PE 05-17. No guarantee was made that a specific amount of services would be
purchased. However, the department anticipates spending approximately an amount up to $750,000.00 in
the first year and $300,000.00 for each year after. Staff reviewed the pricing and found pricing to be fair
and reasonable. State law provides that a local government purchasing items under a Cooperative
Purchasing Agreement satisfies state laws requiring that the local government seek competitive bids for
purchase of items. H-GAC Cooperative Purchasing Contract PE 05-17 has been competitively bid to
increase the purchasing power of government entities and simplify the process.
ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the
City Manager in an amount up to $100,000.00 and does not require specific City Council approval as long
as sufficient funds have been appropriated.
AGREEMENT TERM: Upon City Council's approval, this Agreement will commence upon execution by
both parties and continue in accordance with the terms and conditions of HGAC-Contract No. HGAC PE-
05-17 or applicable successive HGAC contracts for the same services. Upon City Council approval, this
Agreement shall begin upon execution of the Agreement.

SUCCESSOR CONTRACTS: The City will use HGAC PE-05-17 to make purchases authorized by this
M&C. As noted, HGAC PE-05-17 expires on April 30, 2019. If the HGAC contract is extended, this M&C
authorizes the City to purchase similar equipment and supplies under the extended contract. If the HGAC
contract is not extended, but HGAC executes a new cooperative contract with Consolidated Traffic
Controls, Inc. with substantially similar terms as HGAC PE-05-17, this M&C authorizes the City to
purchase the equipment and supplies under the new HGAC contract.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current operating budget as appropriated, of
the General Fund. Prior to an expenditure being made, the department has the responsibility to validate the
availability of funds.
