THIS CONTRACT AND AGREEMENT MADE AND ENTERED INTO THIS lst
day of March , 1968 , by and between the City of Fort Worth, a
municipal corporation located in Tarrant County, Texas, acting by and through its
duly authorized mayor, DeWitt McKinley, and the Benbrook Water and Sewer Authority,
duly authorized by law, acting through Wayne Hallman, President of the Board
of Directors, hereinafter called "Purchaser", located in Tarrant County, Texas.
W I T N E S S E T H:
WHEREAS, the City of Fort Worth has constructed a sanitary sewerage system,
including interceptor or collector lines, mains, submains,laterals, sewage treat-
ment facilities and other appurtenances for the purpose of collecting sewage and
other acceptable waste and transporting same away from the premises to places to
treatment and disposal; and
WHEREAS, said City maintains said lines, plants and facilities as a sanitary
sewerage system and component part of the Fort Worth Water Department; and,
WHEREAS, the Purchaser has constructed a sanitary sewerage system within the
limits of the City of Benbrook; and,
WHEREAS, the Purchaser, by virtue of having entered into a previous contract
with the City of Fort Worth, being known as City of Fort Worth Contract No. 3375,
signed November 8, 1955, has had and enjoyed the privilege of connecting to
parts of the City of Fort Worth sanitary sewer system; and,
WHEREAS, the Purchaser and Fort Worth are planning the extension of sewerage
facilities to serve growth and development with the cities of Benbrook and Fort
Worth on the most economical, efficient and feasible basis; and,
WHEREAS, the City of Fort Worth, for and in consideration of the performance of
the covenants and agreements hereinafter contained, is willing to continue to
accept sewage from customers within the limits of Purchaser's authority into its
sewer lines at existing points or future points of connection and to transport
and treat said sewage in the same manner that sewage from within the limits of
the City of Fort Worth is transported and treated, NOW THEREFORE
KNOW ALL MEN BY THESE PRESENTS:
That for and in consideration of the execution and performance of the mutual
covenants herein set forth, the City of Fort Worth and the Purchaser do hereby
covenant and agree as follows:
TERMS AND CONDITIONS
A. The City of Fort Worth shall permit the Purchaser to have parts of the
sanitary sewer system of the Benbrook Water and Sewer Authority, or any residen-
tial or approved commercial or industrial connection in the City of Benbrook,
connected directly or indirectly to the sanitary sewers of the City of Fort
Worth; provided the plumbing facilities, including the building sewer as defined
in the Fort Worth City Code, of all residential, commercial or industrial con-
nections so connected to the sanitary sewers of the City of Fort Worth, shall
meet or exceed the material and construction requirements of the applicable
ordinances governing a similar connection within the corporate limits of the City
of Fort Worth.
Included among such applicable ordinances is the ordinance requiring that taps
made directly to the City of Fort Worth lines shall be constructed only by the
City of Fort Worth crews or by contractors approved to do such work by the
Water Department Director. The charges paid to the City of Fort Worth for such
connections shall be the same to customers in the City of Benbrook as they are
to customers in the City of Fort Worth except that charges paid for such connections
shall not include the cost of paving repairs required as a result of the connections
being made. This repair cost shall be paid by the customer in the City of Benbrook
directly to the Benbrook Water and Sewer Authority, and that Authority shall be
responsible to see to it that the pavement cut is repaired to the satisfaction
of the City involved.
B. Any lateral sewer, main or submain serving two or more units of any classi-
fication of customer, and which is connected directly or ultimately with the
sanitary sewers of the City of Fort Worth, shall be designed by and the construc-
tion supervised by licensed professional engineers. Prior to the construction by
the Benbrook Water and Sewer Authority of any lateral sewer, main, or submain
which is to be connected directly or indirectly to the Fort Worth Sanitary
Sewerage System, two (2) complete sets of the construction plans and specifica-
tions for such proposed facilities shall be submitted to the Director of the
Water Department of the City of Fort Worth for approval, said plans to include
plans and profile drawings, locations, grades, pipe sizes, details, etc., for
each of the proposed facilities.
The Director of the Water Department shall review, or cause to be reviewed, the
plans and specifications submitted and shall approve same by affixing his signa-
ture to the plans, provided the standards of construction are not less than the
standards for construction of similar sanitary sewerage facilities by the City
of Fort Worth. The Director of the Water Department will return one (1) approved
set of plans and specifications to the Benbrook Water and Sewer Authority.
The Benbrook Water and Sewer Authority specifically agrees to inform the City
of Fort Worth when such construction is to start and the City of Fort Worth shall
have the right to make inspections while such construction is in progress and to
require compliance with the approved plans and specifications.
C. The Benbrook Water and Sewer Authority grants ,_o the City of Fort Worth the
right to connect future sanitary sewer mains constructed by the City of Fort
Worth to the Benbrook Water and Sewer Authority"s sanitary sewerage system,
provided there is sufficient available capacity in the sanitary sewerage system

of the Benbrook Water and Sewer Authority, as determined by the engineers of the
Authority. The Purchaser agrees that the charge rate to be paid by the City of
Fort Worth to the Benbrook Water and Sewer Authority shall be computed and
determined in accordance with the standard procedure described in this agreement
for the determination of similar charges to be made by the City of Fort Worth
to the Benbrook Water and Sewer Authority for comparable services based on
the charge rate components. In the event the sanitary sewerage system of the
Benbrook Water and Sewer Authority does not provide sufficient available
capacity, it is agreed that the Purchaser and the City of Fort Worth will
cooperate in the development of a mutually satisfactory plan for providing
sanitary sewer service.
D. The Purchaser will not make any extension of sanitary sewer lines within
the extraterritorial jurisdiction of the City of Fort Worth without the approval
of the City of Fort Worth. In the event the City of Fort Worth agrees to any
extension by the Purchaser of sanitary sewer service within the extraterrito-rial
jurisdiction of the City of Fort Worth, such extensions shall be of sufficient
size and capacity to serve the drainage area involved, and the rates to be charged
its customers by the Purchaser, and the compensation to be paid by the Purchaser
to the City of Fort Worth shall be determined and fixed at the time such action
is taken.
E. Purchaser shall grant to the City of Fort Worth the same rights and privileges
in easements and rights of way along public streets and highways within the
corporate limits of the City of Benbrook as are enjoyed by the Purchaser,
insofar as such rights and privileges may be necessary, in the opinion of the
Fort Worth Water Department Director, to construct and maintain portions of the
Fort Worth sanitary sewerage system. The City of Fort Worth will repair any
damage to any street caused by the construction or operation of such sanitary
sewer mains therein. All work done by or on behalf of the City of Fort Worth
under this paragraph shall be performed in accordance with specifications equal
to those applying to work of a similar nature performed within the City of Fort
Worth.
F. It is agreed that a collector sewer will be constructed by the City of Fort
Worth to service a part of the drainage area of the Clear Fork upstream from its
juncture with Mary's Creek. This collector sewer is designated as the "Benbrook
Lake Collector". It is further agreed that the parties hereto will participate
in the total project cost of constructing the portion of such collector from its
connection to the Clear Fork Collector to its connection to the Benbrook Sewage
Treatment Plant.
The total project cost shall include the cost of construction, rights of way,
engineering design, surveying, construction, supervision and miscellaneous costs
directly chargeable to the project, less all applicable grants.
The project shall be composed of two units:
Unit 1- The Benbrook Lake Collector segment described above.
Unit 2: The Benbrook Sewage Treatment P ant connection to the Benbrook
Lake Collector, including the Benbrook Sewage Treatment Plant
Metering Station.

Participation in the cost of Unit 1 shall be in proportion to the size of the
drainage areas served within the City of Fort Worth, and within the boundaries of
the City of Benbrook and/or the Benbrook Water and Sewer Authority, as compared
to the total extent of the drainage area served. The Benbrook Water and Sewer
Authority shall pay the total project cost of Unit 2. This sharing of total
project costs is summarized in the following table:

G. The Benbrook Water and Sewer Authority covenants and agrees to pay 50 per cent
of its share of the estimated total project cost of the collector main facilities,
sewage treatment plant connection and metering station to the City of Fort Worth
within 45 calendar days after the construction contract therefor has been awarded
by the City Council of Fort Worth and covenants and agrees to pay the remainder
of its share of the estimated total project cost, including the remaining metering
station and connection cost, within 30 days after the project has been completed,
approved and accepted by the City Council of Fort Worth. A final adjustment of
costs shall be made by the parties hereto when the total project costs have been
determined and all grant monies have been received. The Benbrook Lake Collector
and the metering station shall all be owned, operated and maintained by the City
of Fort Worth.
H. In the event the Benbrook Lake Collector is constructed by the City of Fort
Worth at the request of the Benbrook Water and Sewer Authority prior to the need
of the Benbrook Lake Collector by the City of Fort Worth, the Benbrook Water and
Sewer Authority shall divert approximately 25% of the untreated sewage received
at the Benbrook Sewage Treatment Plant, or any amount in excess of its rated
capacity, whichever is the greater, to the Benbrook Lake Collector through a meter-
ing station at the time the collector becomes available for connection.
I. The Purchaser agrees to completely abandon its sewage treatment plant for
sewage treatment purposes within ten years following the completion of the Benbrook
Lake Collector to the point of connection with that sewage treatment plant.
J. Construction and operation of the Benbrook Sewage Treatment Plant Metering
Station will not necessarily require conversion of the charge rate to the charge
rate per 1000 gallons basis, if the parties hereto agree to a method of converting
metered sewage to an equivalent number of connections.

MAINTENANCE OF SANITARY SEWERAGE SYSTEMS
All sanitary sewers, laterals, mains, submains and appurtenances owned by or
acquired by Purchaser shall be maintained by Purchaser, and the City of Fort
Worth shall not have any responsibility or liability now or ever for the operation
or maintenance of said sewers.
All sanitary sewers, laterals, submains, mains and appurtenances owned by or

acquired by the City of Fort Worth shall be maintained by the City of Fort Worth,
and Purchaser, Benbrook Water and Sewer Authority, shall not have any responsibi-
lity or liability now or ever for the operation or maintenance of same.

RATES
1. Rate to be Used
The charge rate to be applied under the terms of this contract is the charge
rate per residential connection per month, except in the event either the City of
Fort Worth or the Purchaser shall exercise the option to convert billing to the
metered sewage basis in the manner described hereinafter.
The charge rate for the initial period of this contract, which shall terminate
September 30, 1968, has been determined to be as follows:

A. The charge rate is $0.081 per 1000 gallons of sewage handled by the City
of Fort Worth when metering stations are used.

B. When the payment is computed on a per connection basis, the initial
charge rate per residential connection of Purchaser, Benbrook Water and Sewer
Authority„ is $0.85 per month, and the initial charge rate for each commercial
connection shall be equal to the gallons of water consumed per month by the
commercial customer divided by 10,500 gallons and multiplied by $0.85. The
charge rate for each commercial connection shall not be less than the residential
charge rate per month.
C. The service charge shall be $25.00 per month for billing on a connection
basis and shall be $25.00 per month per metering station in use. The meter ser-
vice charge includes the cost of billing, meter reading, charts and routine minor
maintenance of metering equipment. Cost of electric power and/or telephone lines
and costs of other than minor repairs to the metering station, including the costs
of materials, parts, labor and equipment costs., shall be paid by the Benbrook
Water and Sewer Authority in add;tion to the $25.00 water meter service charge.

3. Adjustment of Charge Rates
The charge rate shall be revised and adjusted every five (5) years. The first
such adjustment shall take effect on October 1, 1968, based upon the annual cost
of operation for the fiscal year 1967-68 and/or the consultant's report referred
to below.
It is contemplated that the City of Fort Worth will employ competent rate
consultants to study and report on the rates being charged by the City of Fort
Worth for sewerage services rendered to other municipalities, the purpose of such
study and report being to assure reimbursement to the City of Fort Worth of its
total cost of acquiring, constructing, operating and maintaining facilities for
the collection, transportation and treating of sanitary sewage as computed for
the portion of the system utilized by each respective municipality contracting
for sewerage services. It is accordingly agreed that the charge rates as herein
set out may be adjusted by the City of Fort Worth to conform with the study and
report of the rate consultant at the time such study is accepted by the Fort
Worth City Council, but not earlier than October 1, 1968. A review and rate adjust-
ment based on annual costs of operation shall be made for each succeeding five-
year period for the term of the contract in the manner set forth below:
A. When metering stations are used, the adjusted charge rate for transport-
ing and treating sewage from the Benbrook Water and Sewer Authority's sanitary
sewerage system shall be determined in the following manner:
(1) The portion of the charge rate relating to rental charge for trans-
porting facilities is to be held constant at $0.025 and is not
subject to variation for the life of the contract.
(2) The portion of the charge rate relating to rental charge for treat-
ing facilities shall vary as the product of $0.025 multiplied by
the result obtained by dividing the average construction cost per
million gallons of sewage treatment capacity at the Fort Worth
Village Creek Sewage Treatment Plant in existence at the time of
such recomputation by $161,000,00. The average construction cost
is defined as the total final contract cost for all existing
facilities at the Fort Worth Village Creek Sanitary Sewage Treatment
Plant at the time of such recomputation divided by the total capacity
in million of gallons per day of such existing facilities.
($161,000.00 is to be taken as the average construction cost per
million gallons per day of treatment capacity at the time of execution
of this contract.)
(3) The portion of the charge rate relating to sewage treatment plants
operating and maintenance cost shall vary as the product of $0.030
multiplied by the result obtained by dividing the combined total
costs of operating and maintaining all City of Fort Worth Sewage
Treatment Plants per million gallons of sewage treated in such
plants, less net revenues from the sale of any sewage effluent,
during the fiscal year most recent to the time of such recomputation,
adjusted to reflect anticipated trends in such costs over the five
years to be governed by the recomputed charge rate, by $29.20. (The
$29.20 amount was the cost per million gallons of sewage treatment
during the fiscal year 1961-62 for operation and maintenance of all
City of Fort. Worth Sewage Treatment Facilities.)

Water and Sewer Authority at each billing date for services rendered during the
billing period preceding such billing date an amount equal to the sum of:
(1) The meter service charge of $25.00 per metering station used, plus
metering station repair costs incurred by the City of Fort Worth
during the billing period.
(2) The sum of money obtained by multiplying by $0.081, or the then
applicable charge rate, the total number of thousands of gallons
of sewage flowing from the Benbrook Water and Sewer Authority's
sanitary sewerage system into the Fort Worth sanitary sewerage
system during the billing period.
(3) The sum of the charges set forth under IA and 1B as applicable to
connections in the City of Benbrook discharging sanitary sewage
into the Fort Worth sanitary sewerage system other than through a
metering station.
D. Failure on the part of the Benbrook Water and Sewer Authority to make
payments due the City of Fort Worth shall be sufficient cause for refusal
to receive sewage as provided herein.
E. Records Available: The Benbrook Water and Sewer Authority agrees to
furnish a current statement each month showing the number and types of sewer
connections to its sanitary sewerage system for said preceding month, and
further agrees to permit the City of Fort Worth, at reasonable times, to examine
the water and sewer records and customer accounts of customers served under the
terms of this contract.

CHANGE IN CHARGE RATE BASIS
1. If Purchaser should decide that the volume of flow generated per connection
is sufficiently less than the average flow assumed for calculation of the per con-
nection rates, such that the charge rate on the per connection basis is not com-
mensurate with the charge rate per 1000 gallons of sewage, then Purchaser may
notify the Director of the Fort Worth Water Department of such decisions in writ-
ing and request that such flow metering stations be constructed as the Director
of the Fort Worth Water Department deems necessary to determine the volume of
sewage being delivered into the City of Fort Worth's sanitary sewerage system
from the Purchaser's sanitary sewerage system. Within six months after having
received such written notice, the Director of the Fort Worth Water Department
shall have caused such flow metering stations to be constructed and placed in
operation.
2. If the City of Fort Worth should decide that the monthly charges per connec-
tion to be paid to it hereunder are not commensurate with its costs for handling
the volume of sewage generated by such connections, then the Director of the
Fort Worth Water Department shall notify the Purchaser in writing of such decision.
Within six months after having given such written notice, the Director of the Fort
Worth Water Department shall have caused such sewage flow metering stations to be
constructed as he deems necessary to determine the volume of sewage being delivered
into the City of Fort Worth's sanitary sewerage system from connections to the

Purchaser's sanitary sewerage system.

METERING STATIONS
The construction of metering stations shall be made by the City of Fort Worth,
but all construction costs including meter, recording and transmitting devices
and the site acquisition, will be an expense of the Purchaser. The Purchaser
shall pay such construction costs within 30 days of billing, except for the
sewage treatment plant metering station as otherwise herein provided, such
billing by the City of Fort Worth to follow within 30 days after the metering
stations are completed and placed in operation.
Metering stations shall be accessibly located. The City of Fort Worth shall
operate and maintain the installed sewage flow metering stations in good order
at all times and record the total volume of sanitary sewage delivered into the
Fort Worth sanitary sewerage system during each subsequent billing period.
Both parties have the right to observe performance of metering devices at any
time. Both the City of Fort Worth and the Purchaser shall have the right to
test any metering station at any time by first giving the other party notice
of its intention to make such a test and therefore give reasonable opportunity
to the other party to have representatives participate in such test. Should
any malfunction be observed at any time, it shall be the duty of each party
immediately to notify the other, and correction of such malfunction shall be
made promptly by the City of Fort Worth.
7.
INDUSTRIAL WASTES
The quality of the sewage delivered into the Fort Worth sanitary sewerage
system from the sanitary sewerage system of the Purchaser shall be equal to or
better than the quality standards established by ordinances of the City of Fort
Worth regulating industrial wastes to be injected into the Fort Worth sanitary
sewerage system from connections within the corporate boundaries of the City
of Fort Worth, and Purchaser covenants and agrees to be liable for an assume the
same penalties for violation of such quality standards applicable to a producer
cf industrial wastes located within the corporate boundaries of the City of Fort
Worth.

REALIGNMENT OF BOUNDARIES
In the event that the corporate boundaries of the City of Fort Worth and the
City of Benbrook are realigned so that areas now situated in the City of Benbrook
shall be situated within the City of Fort Worth, the Purchaser agrees that it
will exercise every good -faith effort and every reasonable means known to it or
suggested by the City of Fort Worth to secure authority from the Legislature of
the State of Texas for the boundaries of the Authority to be made coincidental
with the corporate boundaries of the City of Benbrook as they then exist or may
be changed in the future.

LIFE OF CONTRACT
The life of this contract shall be thirty-five (35) years from the date of its
execution, and thereafter shall be subject to renegotiation between the parties
hereto.
It is contemplated by the parties hereto that the basis for renegotiation for
this agreement upon its expiration will have as its object computing a fair
charge for services that recover all costs direct and indirect -that might be
incurred by the City of Fort Worth in providing such services.

EFFECTIVE DATE FOR BILLING
The effective date of this contract for billing purposes shall be the next bill-
ing date after approval and execution by the Purchaser's Board and the City
of Fort Worth.
The City of Fort Worth and Purchaser each binds itself, its successors and
assigns, to the other party to this agreement and to the successors and assigns
of each other party with respect to all covenants contained in this agreement.
Neither party hereto shall assign, sublet or transfer any rights hereunder with -
cut the written consent of the other party.
IN TESTIMONY WHEREOF, after proper action by the respective governing bodies
for the parties hereto, we have caused these presents to be executed in quadrupli-
cate copies, each of which is considered to be an original, and the seals of the
respective parties to be hereto affixed on the date above written.

On November 8, 1965, a ten-year sanitary sewer service contract with the
Benbrook Water and Sewer Authority expired. The Authority, a governmental
agency created by the State Legislature, provides water and sewer service
to residents of the City of Benbrook. Late in 1965, the Authority requested
that new long-term water and sewer contracts be executed by the City of Fort
Worth.
On February 9, 1966, the City Council was informed of the status of the
negotiations and advised that unsuccessful efforts had been made with the City
of Benbrook to reach an agreement regarding an adjustment of boundary lines
between the two cities.
On June 27, 1966, (M&C C-738) a long-term contract was approved for the sale
of treated water to the Benbrook Water and Sewer Authority and the City
Council was advised that additional efforts would be made to reach an
agreement on boundary adjustment with the City of Benbrook before the
execution of a new sewer contract.
The staff has met several times with elected officials of the City of Benbrook
with respect to boundary adjustments without progress being made toward any
satisfactory agreement. It is believed that mutually satisfactory boundary
adjustments are not possible at this time.
The Authority desires to enter into a long term contract for sanitary -sewerage
service with the City of Fort Worth. A proposed contract, which has been
approved by the Benbrook Water and Sewer Authority, is transmitted herewith
for consideration by the City Council.
Summary of Contract Provisions
The proposed contract is in accordance with the standard policy of the City
of Fort Worth for transporting and treating sanitary sewage originating in
neighboring communities.
The contract provides for the joing financing of the construction of the
"Benbrook Lake Collector" from its connection to the Clear Fork Collector
to a future connection with the Benbrook sewage treatment plant with the
Authority payirtg 26.2 per cent and Fort Worth paying 73.8 per cent of the
collector main cost based on the proportionate drainage area to be served
within each City. The Authority agrees to completely abandon its treatment
plant which now serves the south part of the City within ten years after
the "Benbrook Lake Collector" is constructed. The area of Benbrook located
in the Mary's Creek drainage area is currently served by Fort Worth.

The rates charged the City of Benbrook are based on the complete cost of
operation and maintenance and the pro rata capital cost of Fort Worth
facilities used in transporting and treating Benbrook sewage, in accordance
with the standard charge rates established by the City Council for providing
sanitary sewer service to neighboring communities.

The charge rate is 85 cents per residential connection per month. Benbrook
will pay for sanitary sewer service on the "per connection" basis. However,
conversion to a metered basis of payment can be initiated by either city,
and meters installed under the terms of the agreement will be paid for by
the Authority.
In order to conform with contracts with other cities, the first review of
the rates will be based on the annual cost of operations for the fiscal year
1967-68. Rates are subject to review at five year intervals thereafter.
The contract provides that in the event Fort Worth employs rate consultants
to study and report on rates being charged by the City of Fort Worth for
sewage services rendered to other municipalities, the rate as set out in the
contract may be adjusted by the City of Fort Worth to conform with the study
and report of the rate consultant at the time such study is accepted by the
Fort Worth City Council, but not earlier than October 1, 1968.
Term of Contract
The term of the contract is 35 years.
Settlement of Past -Due Charges

The expired contract required the Benbrook Water and Sewer Authority to pay
$2.05 per month per residential connection and $50 for each new sewer connection
served by the Fort Worth sewerage system.
The Authority paid for sewer service at the $2.05 rate through December 1966
but its offer to pay at the proposed new rate beginning with January, 1967,
was refused pending the execution of a new long-term contract with the City
of Fort Worth. The $50 connection charges have not been paid since the
expiration date of the old contract.
The Benbrook Water and Sewage Authority has offered to pay all service and

1) It is recommended that $16,199.20 be accepted as payment by
the Benbrook Water and Sewer Authority of all past -due sewer
charges.
