HomeMy WebLinkAboutContract 58152-A1Date Received: 06/28/24 Record Number: PN24-00104 --------- Time Receiv ed: __ 9_a_.m_. _____ _City Secretary No.: _5_8_1_5 _2-_A_l ______ FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 58152, EASEMENT ENCROACHMENT LICENSE AGREEMENT This SECOND AMENDMENT TO CITY SECRETARY CONTRACT NO. 58152, EASEMENT ENCROACHMENT LICENSE AGREEMENT ("Amendment") is made and entered into by and between the CITY OF FORT WORTH, a home rule municipal corporation of Tarrant County, Texas ("City"), acting herein by and through its duly authorized City Manager, Assistant City Manager, or Development Services Department Director, and PR III/Crow Building E, F, G, & L, LP, a(n) Delaware limited partnership ("Licensee"), acting herein by and through its duly authorized Senior Vice President. RECITALS WHEREAS, City and Licensee made and entered into City Secretary Contract No. 58152 on September 30, 2022 (the "Agreement"), to authorize the use of the City's easement for the purposes of constructing, installing, and maintaining berms, irrigation, landscaping, fire line and private sewer; and WHEREAS, the parties wish to amend the Agreement to incorporate an additional encroachment, specifically, a fence; and WHEREAS, the City owns a water, sanitary sewer and storm drain easements adjacent to the Property as shown in the Agreement, as recorded in the plat records of Denton County as plat number FP- 22-003: and WHEREAS, it is the mutual desire of City and Licensee to execute this Amendment to the Agreement and to replace the existing "Exhibit "C" to accurately depict the included encroachment area. NOW, THEREFORE, City and Licensee, acting herein by and through their duly authorized representatives, enter into the following that amends the existing Agreement: Revised 12/2022 1. Amendment to Section 1: Permission to Encroach and Maintenance Responsibilities. Section l of the existing Agreement is hereby deleted in its entirety and replaced with the following: The City, in consideration of the payment by Licensee of the fee set out below and covenants and agreements hereinafter contained to be kept and performed by Licensee, hereby grants permission to Licensee to encroach in, on, above, or below and occupy a portion of the City's Public Property as described in and at the location shown on Exhibit "C," but only to the extent shown thereon, for the purpose of constructing, installing, and maintaining berms, irrigation, landscaping, fencing, fire line, and private sewer line (the "Encroachment"). Upon completion of the Encroachment, Licensee agrees to be responsible for maintaining the Encroachment within the Public Property. Licensee shall not expand or otherwise cause the Encroachment to further infringe in or on the Public Property beyond what is specifically described in Exhibit "C." 2. Amendment to Exhibit "C." The existing "Exhibit C" of the Agreement is hereby deleted in its entirety and replaced with the Exhibit "C" attached to this Amendment. 3. Date of Effectiveness; Limited Effect. This Amendment will become effective on the date that it is executed by all parties. Except as expressly provided in this Amendment, all of the terms and provisions of the existing Agreement are and will remain in full force and effect and are hereby ratified and confirmed by the parties. Without limiting the generality of the foregoing, the amendments contained herein will not bc construed as an amendment to or waiver of any other provision of the existing Agreement.
