PUBLIC PROPERTY RIGHT-OF-WAY ENCROACHMENT LICENSE
AGREEMENT
TIER II
THIS AGREEMENT is made and entered into by and between THE CITY OF
FORT WORTH, a home rule municipal corporation of Tarrant County, Texas ("City"),
acting by and through its duly authorized City Manager, Assistant City Manager, or
Director of the Development Services Department, and Blue Mound Stone Partners, LP
a(n) Texas limited partnership ("Licensee"), acting by and through its duly authorized
trustee.
RECITALS
WHEREAS, Licensee is the owner of the real property located at 1601 Western
Center Boulevard, Fort Worth, Texas 76131 ("Property"), being more particular
described as, a Replat of Lot lR, 2, 3, and 4, Block 1, Spencer Business Park, and
addition to the City of Fort Worth, also being a portion of the Josiah Walker Survey,
Abstract No. 1602, by Instrument Number D222006700, in Tarrant County, Texas, and;
WHEREAS, the City owns a right-of-way (the "Public Property") adjacent to
the Property, recorded in the plat records of Tarrant County as plat number Cabinet A,
page 5953; and
WHEREAS, Licensee desires to construct, place, and maintain certain
improvements which will encroach in, on, above, or below the Public Property; and
WHEREAS, to accommodate the needs of the Licensee, the City will allow the
encroachment under the terms and conditions as set forth in this Agreement.
NOW, THEREFORE, the City and Licensee agree as follows:
AGREEMENT
1.
The City, in consideration of the payment by Licensee of the fee set out below
and covenants and agreements hereinafter contained to be kept and performed by
Licensee, hereby grants permission to Licensee to encroach in, on, above, or below and
occupy a portion of the City's Public Property as described in and at the location shown
on Exhibit "A," but only to the extent shown thereon, for the purpose of constructing,
installing, and maintaining a storm line (the "Encroachment'l Upon completion of the
Encroachment, Licensee agrees to be responsible for maintaining the Encroachment

wi�?nin the Public Property. Licensee s�all not e�pamd or atherwise cause the
�ncroachment to fiirther infringe in or on the Public �roperty beyond what is specifically
described in Exhibit "A."
2.
All construction, installatian, maintenance, and operation of the Encroachment
and the use ox occupancy o£ the Public Property shall comply with and be performed in
strict campliance with this Agreement and with the chax�er, ordinances, codes, and
policies of the City. Prior to the construction or installation of the Encroachment,
Licensee shal� submit all plans and specifications to the Director of the D�velopment
Services D�partment or duly authorized represen�ative. Licensee shall not commence
construct'ron or i�stallation of the Encroachment nor make any use of �he Public Property
uniil after the execution of this Agreement.

Licensee, at no expense to the City, shall make proper provisions for the
relocation and installation of any exisiing or future utiliiies affected by such
Encroachment and the use and occupancy of the Publ�c Property, including the securing
the approval and consent of the apprapriate utility companies and agencies of the State of
Texas and its po�itical subdivisions. In fihe event that any installation, reinstallation,
relocation, or repa,ir of any existing or future utility ax improvements owned by or
constructed by or on behalf of the public ar at public expense is made more cosfiXy by
�irtu� of fhe canstruction, maintenance, ox existence of the Encroachment and use of
Public Property, Licensee shall pay to City an additional amoun� equal ta such additional
cast as determined by the Director of Transpartatian and I'ublic Wflrks, the Director of
tk�e Water Department, the Director of the De�elopment Sereices Department, or their
d�ily authorized representative.
4.
Licensee agrees that City may entex and utilize the Public Property at an� t�me for
any public purpose, including installing, repairing, xeplacing, or maintaining
impravements to its public facilities ar utilities necessary far the health, sa�ety, and
welFare af t�e public. The City shall have no responsibility or liability for any damages
related to the Encroachment resulting from the City's use of the Pub�ic Property;
however, the City shall malce reasonable efforts to minimize sucln damage.

Upon termination of this Agreement, Licensea sha11, at ihe option of and at no
exp�nse to �he City, remove the �ncroachmeni and restore the Public Properly to a
condition acceptable to the Director of Transportation and Public Works, the Director oF
i.he Waier Departrnen�, the Direcior of ihe D�velapment �ervices Department or their
duly authorized representative. Ai1y such removal oi the Encroachment sha11 be in
accordance with then-existing City xegulations and policies. It is uilderstaod and agreed

to by Licensee ti3ai if this Agreement ferminates and Licensee fails to remove the
Encroachme�t and restare the Public Property, Licensee hereby giv�� City parmissian to
remove the Encroachment and any supporting structures from the Public Prope:t�y, to
restore the Public Property, and to assess a lien on the Praperty for the costs expended by
the City in taicing such actions.
6.
In order to defray all costs of inspection and supervision which the City has
incurxed or will incur as a result af t�e consiruction, maintenanca, inspection or
managernent oi �ae Encraachrnent and use of Public Property as pravided for by this
Agreernent, Licensee agrees io pay to City at the time fhis Agreeme�t is xequested an
application fee in the sum of Nine Hundred DolIars ($900.Q0). Additionally, Licensee
agrees to pay a fee in the amount :of $2.00 per square/linear �ooti of the encroachment area
upon execution of this Agreement and annually thereafter.
7.
T�e fiez�m o£ this Agreement sk�a11 be for thirty {30} years, commencing on the
date this Agreement is executed by Ciiy. However, ihe City may terminate this
Agreement upon Licensee's noncompliance v�rith any of the terms of this Agreement.
City shal� n.oti�y Licensee in writin�; o� any such noncornpliance and if Licensee does not
cure the noncorn.pliance within thirty (30) days of notice from City, the City may
terminate this Agreernent. However, the City may, at its sole optian, allow the Agreeme�t
to remain in effect so long as Licensee has taken reasa�able �neasures to cure the
noncompliance or is continuing to diligently atternpt to remedy the noncompliance.

Tt is fttrther understood and agreed between the parties hereto that the Public
Pxoperty to be used and encroached upon is held by City as trustee for the public; that
City exercises such powers over ihe Public Property as hav� been delegated to it by the
Co�st�tution of the State of Texas ar by the Texas Legislature; and that City cannot
cantract away its duty and its legislative power to cantrol t1�a Public Property for tlie use
and benefit of the public. It is accordingly agreed ihat if �he governing body o� City may
at any iime during the term hereof determine in its sole discretion to use or cause or
permit the Public Proper�y to be used for any other public purpose, including but not
bein.g li�x�ited ta underground, sur�ace, or overhead communication, drainage, sanitary
sewerage, transmission a� natural gas or eleciricity, ar any other public purpose, whether
presently contem�lated or not, that the �arties agr�e to negotzate in good faith in order to
accornmodat� boi.h the Encroachrnent and the public purpose.
9.
LICENSEE C�VENANTS AND AGREE� TO INDEMNIFY, AND DOES
HEREBY iNDEMNIFY, HOLll HARMLESS, AND DEFEND C.iTY, ITS

DAMAGE OR LOSS AND/OR PER,SONAL INJURY, INCLUD�NG DEATH, TO
ANY AND ALL PER�ONS, OF WHATSOEVER KIND OR CHARACTER,
WHETHER REAL OR ASSERTED, ARISING OUT OT OR IN CONNECTiON
WITH, DIRECTLY OR INDIRECTLY, THE CONSTRUCTION,
MAINTENANCE, OCCUPANCY, USE, EXISTENCE, OR LOCATION OF THE
ENCROACHMENT AND US�S GRANTED HER�UND�R, WHETHER OR NOT
CAUS�D, IN WHOLE OR IN PART, BY THE ALLEGED N�GLIGENCE OF
OFFICERS, AGENTS, SERVANTS, EMPLQYEES, CONTRACTORS,
SUSCONTRACTORS, LTC�NSEES, ELECTED UFFICIALS, OR INVITEES OF
THE CITY; AND LICENSEE HEREBY A�SUME� ALL LIABIL�TY AND
RESPONSIBIL�TY FOR SUCH CLAIM� OR SUITS. LICENSEE SHALL
LIKEWISE AS�UM� ALL LIABILITY AND R.�SPONSIBILITY AND SHALL
Il�TDEMNIFY CITY FOR ANY AND ALL 1NJURY OR DAMAGE TO CITY
PROPERTY ARISING OUT OF OR IN CONNECTION WITH THE
ENCROACI�MENTS AND ANY AND ALL ACTS OR OMISSIONS OF
LICENSEE, ITS OFFICERS, AGENTS, SERVANTS, EMPLOYEES,
CONTRACTORS, SUBCONTRACTORS, LICENS��S, OR INVITEES.
10.
While this Agree�nent is �n e�fect, Licensee agrees to fw�nish City with a
Certif cate o� Insurance naming City as certificate holder as proof that is has secured and
paid for a policy of public liability insurance co�erin� all public risks related to the
�raposed use and occupancy of public property as located and described in Exhibit "A."
The amout;ts of such insurance shall be not less than
$1,OUO,OUO
with xhe understanding and agreernent by Licensee that such insurance ainounts may be
revised upward at City's option and that Licensee shall so revise such amounts
immediately fallowing notice to Licensee af such requirement. Such insurance policy
shall no� be canceled or amended withaut at leasi thirty {30} days prior written notice to
the Building O£ficial of the Citq. A capy of such Certificate of Insurance xs attached as
Exhibit "B" and iz�corporated herein for all purposes. Licensee agrees, binds, and
obligates itself and its successors and assigns to maintain and keep in force such public
liability insurance ai all times during the ierm af this Agreement and until the removal of
the �ncraachment and restoration of khe Public Property. All insurance coverage
required herein shall include covexage oF all Licensee's contractors and subcontractors.
11.
Licensee agrees to deposit with the City when this Agreement is exacuted a
�u�f cient sum of money to be used to pay necessazy �ees to record this Agreement in the

real property recards of the county in which the Encroachment is located. After bezng
recorded, the original shall be returned to the City Secretary of the City of Fark Woartli.
12.
Licensee agrees to comply fu11y with all applicable federal, state, and local Iaws,
statutes, ordinances, codes, and regulations in connection with the construction,
opexation, and mainienance of the Encroachment and use af tha Public Property.
13.
Licensee agrees to pay prom�tly when due ail fees, taxes, or rentals provided for
by this Agraemen.t ox by any �edexal, state, or local statuta, law, or xegulation.
14.
Licensee covenants and agrees #hat it shall operaie hereu�der as an independent
contractor as to a11 rights and priviXeges granted hereur�der and not as an officer, agent,
servant, or employee of City, and Licensee shall have exclusxve contral o� and the
exclusive right to control the �etails of its operations, and ail persons pex�oxming same,
and shali be solely responsible for the acts and omi,ssions of its officers, agents, seYvants,
employees, contractors, subcontractors, licensees, and invi�ees. The dactrin.e of
respondeat superior shall not apply as between City and Licensee, its officers, agents,
servants, emp�oy�es, contractors, and subcontractors, and nothing herein shall be
construed as creating a partnership or j oint enterprise batween City and Licensee.
1.5.
Licen�ee agrees and acknowledges that this Agreement is solely for the purpose
of permitting Licensee ta construct, maintain, and locate tk�e Encroachment over or within
the Public Property and is not a conveyance of any right, title, or interest in or to the
Public Property, nor is it meant to convey any right ta use or occupy property in which a
�.iird-party inay have an interest. Licensee agrees that it will obtain all necessary
permissions before occupying such property,
16.
Tn any action brought by the City for the enforcement o� the obligatians oi the
Licensee, City sha11 be entitled to recover intere�t and reasonable attorneys' fees.
17.
The parties agree that the duties and obligatians contained in Section 5 shall
sur�ive the termination af this Agreemen�.

Lice�see covenants and agrees that it will not a,ssign all or any of its rights,
privileges, or duties under this Agreement without the written approval of �he City, and
any attempted assignment without such wriiten appra�al sha11 be void. Tn the event
Licensee co�veys the Property, Licensee may assign all of iis right,s and obligations under
this Agreement to the new owner of the Property, and Licensee shall be deemed r�leased
from its duties and obligations h�reunder upon City's ap�roval in writing af such
assignment, which approval shall not be unreasonably conditioned or w�i�hheld.
k'oreclosure by a secured �e�der oi Licensee ox assignment ta a secured lender by
Licensee in the eve�t of default or otherwise shall not require City approval provided that
said Iender notifies City in writing within sixty (GO) days of such foreclosure or
assignrnent and as�umes a11 of Licensee's rights and obligations hereunder. �Towever, no
change oi ownership due to foreclosure or assignment to any secured lender of Licensee
shall be eifective as ta City unless and until wri�ten notice of such foreclosure or
assignment is provided to City.
l9.
Any eause of action for breach of this Agreement sha11 be brought in Tarrant
County, Texas. This Agreement shall be go�e�ned by the laws of the State of Texas.
20.
This Agreemen� shall be binding upon the parties hereto and their successors and
assigns.
21.
This Agreament ma� be executed i� multiple counterparts, each of which shall be
con.sidered an original, but all of which shall constitute one instrument
