SECOND AMENDMENT TO PRE-DEVELOPMENT AGREEMENT
This Second Amendment to the Pre-Development Agreement ("Second Amendment") is
hereby made and entered into this __ day of May, 2024 ("Second Amendment Effective Date''},
by and between AFWP, LLC ("Developer") and the Research and Innovation Local Government
Corporation ("RILGC''). Collectively, Developer and RILGC hereinatler may be referred to as
"Paities." Reference is made to that ce1tain Pre-Development Agre,ement by and between the
Parties, dated November 1, 2023 as amended (the "Agreement"). All capitalized tenns used but
not defined herein, shall have the meanings ascribed to them in the Agreement.
RECITALS:
WHEREAS, on or about November l, 2023, the RILGC and Developer entered into City
Secretary Contract No. 60393, for the develop a concept plan for the Research Development
facilities associated with the Texas A&M Fort Worth Campus (''Project");
WHEREAS, on or about February 27, 2024, the RlLG� and Developer entered into the
First Amendment to the Agreement. for the further refinement of a concept plan, including an
updated program of requirements for the academically occupied spaces, for the Research
Development facilities associated with the Project; and
WHEREAS, the RILGC and Developer now desire to (i) fmther extend the term of the
Agreement, (ii) add development services and land use approvals, as described below, (iii) increase
the total compensation in the Agreement, (iv) revise the scope of services to provide further
updating of Texas A&M's program of requirements and a new Concept Design Package, and (v)
otherwise modify the Agreement, all as more paiticularly set forth in this Second Amendment.
• NOW, THEREFORE, in consideration of the mutual promises contained herein and for
other good and valuable consideration, the receipt and adequacy of which are hereby
acknowledged, the Paities hereby agree as follows:
1.The third paragraph on the first page of the Agreement is hereby amended by
adding the following:

2.The fourth paragraph on the first page of the Agreement is hereby replaced in its
entirety with the following:
Attachments "A" through "D,'' which are attached hereto and incorporated
herein, are made a pa1t of this Agreement for all purposes. In the event of
any conflict between the terms and conditions of Attachments "A" through
"D" and the terms and conditions set forth in the body of this Agreement,
the terms and conditions of this Agreement shall control.
3.The Agreement is hereby amended by adding Exhibit "A" -attached to this Second

RILGC shall �ay Developer tor the services rendered pursuant to this
A�reement an amount of One Million, Six Hundred Sixty-Five Tl�ousand
Seven Hundred and 00/100 Dollars ($1,6G5,700.00), IIIC�llC�lll� a portion of
Developer's direct costs in the amount of Six Hundred Sixty Thousand and
00/100 Dollars ($660,000.00), in accordance with the provisions of tl�is
A�reen�ent and Attacl�ment "D," Payment Schedule, t�hicl� is attached
l�ereto and incorporated herein for all purposes. Developer shall not perfoi7n
any additional services for the RILGC not specified by tl�is A�reement
unless tl�e RILGC rec�uests and ap��roves in writing the additional costs for
such seivices. RILGC shall not be liable tor any additional expenses of
Developer not specitied by tl�is A�reement unless RILGC tirst approves
such expenses in ��ritin�. R1LGC a�rees all invoices of Developer are due
and payable ���ithin thirty (�0) days of receipt. Tl�e RILGC will endeavor to
pay all invoices to Developer within tifteen ( I 5) days of receipt. Should a
portion of an invoice Ue contested by RILGC, payment of such contested
�ll1011lli, upon resolution, will be made within thirty (�0) days after
RILGC's receipt of the revised invoice. Amounts not contested shall be paid
witl�in thirty (�0) days after RILGC"s receipt of'tl�e revised invoice.
Para`raph 3.d. of tl�e A�reement is l�ereby replaced in its entirety with tl�e
Term. Unless ternlinated pursuant to the tenns herein, this A�reement shall
end Septe�nUer �0, 2024. �

7. The A�ree�llent, as amended, and this Second Amend�nent shall Ue read to�etl�er
and shall have the same effect as if the provisions of the A�reement and this Second Amendment
were contained in one a�reement. Each and all other provisions of tl�e A,reement nat an7ended
by this Second Amendment sl�all remain unchanged and shall continue in full force and ettect as
provided in the A�reement immediately prior to the Second Amendment Effective Date. In the
event of any inconsistency bet��een the terms of this Second Aniendment and the terms of the
A,reement, the terms of this Second Amendment shall control.
8. This Second A�nendment may be executed in one or more counterparts and
delivered by facsimile or otl�er sinlilar electronic means. Any sin�le counterpart or a set ot'
counterparts executed, in eitlier case, by all the Parties shall constitute a tull, ori�inal, and Uindin�
Second Amendment tor all purposes.

WHERrAS, the Research and Innovation Local Government Corporation ("RILGC") and
City of Fort Worth selected Aggieland Fort Worth Partners, LLC ("Developer") to develop the
parcels on the TAMUS downtown Fort Worth campus that do not include the Law and Education
Building ("Research Development");
WHEREAS, the RILGC and Developer entered into a Predevelopment Agreement
("Agreement") for the Research Development; and
WHEREAS, the RILGC and Developer now desire to add to the scope of services to the
Agreement and increase the total compensation to Developer.
NOW THER�FORE, BE IT RESOLVED BY TH� BOARD OF DIRECTORS OF
THE RESEARCH AND INNOVATION LOCAL GOVERNMENT CORPORATION:
1. The RILGC is hereby authorized to enter into an amendment to the Agreement to
add certain work to the scope of services and increase the total compensation amount to One
Million, Six Hundred Sixty-Five Thousand Seven Hundred and 00/100 Dollars ($1,665,700.00).
2. This Resolution talces effect fi•om the date of its adoption.
