RECITALS WHEREAS , th e City and SLF IV -114 Assemblage, L.P., a Texas limited partners hip (prior o wner of the Property) ("SLF ") entered into that certain De ve lo pment Agreement for the Traditions devel o pment dated January 12 , 2016 (City Secretary Co ntract No . 47477) (the "Agreement") governing approximate ly 1,10 2 acres of land shown in Exh ibit A and de sc ribed in Exhibit B att ac hed hereto and incorporated here in by reference (the "Pro perty"); and WHEREAS, th e Property consists of a ppro x imately 431.303 acres e nc o mpasse d by Tradition Municipal Utility Di strict No . 1 of Denton Co unty, a ppro x imate ly 662.91 acres encompassed by Tradition Municipal Ut ili ty Di st ri ct No. 2 B of Dento n Co unty and approximatel y 8 .707 acres no t contained wi thin a municipal utili ty district ; and WHEREAS, th e Agreement was reco rded in the Denton Co unty real property record s on Fe bruary 11 , 2 016, as In strument No. 20 16-150 30 ; and WHEREAS, th e C ity and SLF entered into that ce rta in First Amendment to Deve lo pm ent Agreement dated effecti ve Jun e 17 , 20 19 , and recorded in Denton Co un ty Clerk 's Office o n June 2 7, 20 19 und e r C lerk 's D ocu me nt No . 76441 (t he "First A mendme nt"); a nd WHEREAS, SLF 's ri g ht s under th e Deve lop ment Agreeme nt w here assig ned to Owner by . Ass ig nm e nt a nd Assumption Agreement dated October 15 , 2019, and recorded in the De nt on Co un ty Clerk 's office under C lerk's Document No. 131236, contemporaneously with Owner acquiring titl e to the Property and ass umin g the o bli gatio ns unde r the Agreeme nt, whereupon Owner beco me the de velo pe r of the Tradition project ; and WHEREAS, the Ci ty and Traditions In vestors LLC ("TI"), but neither SLF nor Owner, entered int o that certai n Seco nd Amendment to D eve lopment Agreeme nt dated effective Apri l 22 , 2019 and recorded in the D enton Co unty C le rk 's office o n September 6, 2022 under Cle rk 's Second Amendment to Development Agreement -Page 1 OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX Document No. 2022-129169 (the "Second Amendment"), to pro v ide for the limited purpose a nnexation of that certain 4 7.262 acre tract of land within the Prop e rty de s ig nate d fo r mi xed-u se development a nd described on Exh ibit C attached (the "Second Amendment Mi xe d-Use Tract") and to a ll ow for a dditi o nal u ses with in that tract of land and w hich affected o nl y the Second Amendm ent Mixed-Use Tract, but no t the remainde r of th e Property ; and WHEREAS, the Seco nd Amendment Mi xed-Use Tract re main s owned by Tl. and 1s undeveloped ; and WHEREAS, in o rd er to provid e fl ex ibili ty in the o rderin g of phases of d eve lo pment of the Property as a ll owed under the Agreement, the City and Owner w is h to amend th e Agreement to in corporate the gas pad s int o the Res identi a l Tracts , re v ise the permitted re s id ential den s it y and permit ad diti o nal u ses for o ne tract ; and WHEREAS , City a nd Owner d esire to vest devel o pm e nt of the public infra tructure fo r the Property to the City 's ordi n a nc es, re g ulation s, and de s ig n standard s in effective o n the effective date of thi s Third Amendment in accordance w ith chapter 245 of the Texas Loca l Government Code ; and WHEREAS, thi s Third Amendment d oes not affect th e Seco nd A m e ndm e nt Mix-Use Tract, the terms of the Second Amendment, no r TI, and amends the Agreement, as amended by the First Amendment , with re s pect to the Property o ther than the Second Amendment Mixed -Use Tract; and OW , THEREFORE, in co n s iderati o n of the pr e mi ses , mutual promi ses, covenants o bli gati o ns , and benefits herein contained, the C ity and Owner agree as fo ll ows: I .
