PUBLIC PROPERTY RIGHT-OF-WAY ENCROACHMENT LICENSE
AGREEMENT

THIS AGREEMENT is made and entered into by and between CITY OF
FORT WORTH, a home rule municipal corporation of Tarrant County, Texas ("City"),
acting by and through its duly authorized City Manager, Assistant City Manager, or
Director of the Development Services Department, and Block Younger, LLC, a Delaware
limited liability company ("Licensee"), acting by and through its duly authorized co
president.
RECITALS
WHEREAS, Licensee is the owner of the real property, being the NW Retail
Unit of West 7 th Master Condominiums ("Property"), together with an undivided interest
in the common elements, as set forth in the Fifth Amended an Restated Condominium
Declaration dated July 6, 2018, recorded under County Clerk's File No. D218148330
("Property"), and;
WHEREAS, City owns a right-of-way (the "Public Property") adjacent to the
Property, recorded in the plat records of Tarrant County as plat numbers FS-07-170 and
FS-07-169; and
WHEREAS, Licensee desires to construct, place, and maintain certain
improvements which will encroach in, on, above, or below the Public Property; and
WHEREAS, to accommodate the needs of the Licensee, City will allow the
encroachment under the terms and conditions as set fo1th in this Agreement.
NOW, THEREFORE, City and Licensee agree as follows:
AGREEMENT
1.
City, in consideration of the payment by Licensee of the fee set out below and
covenants and agreements hereinafter contained to be kept and performed by Licensee,
hereby grants permission to Licensee to encroach in, on, above, or below and occupy a
portion of City's Public Property as described in and at the location shown on Exhibit
"A," but only to the extent shown thereon, for the purpose of constructing, installing, and
maintaining benches, planters and railings (the "Encroachment"). Upon completion of
the Encroachment, Licensee agrees to be responsible for maintaining the Encroachment
within the Public Property. Licensee shall not expand or otherwise cause the

2.
All co�-►stcuctian, installalior�, �naintenancc, a«d operation of ilae Enct•oacl�rnent
and the i�se or occu�ancy of tl�e Public Property shall comply r�vitlt atad be pe�•fori�ied in
st�-ict co����fia�ce with tl�is Agreelnent and tivith the chart�r, ordin�nces, cades, and
policies af City. P�'ior to the construction or installatio�i of the Encroacht��ent, LiceE�see
shall subi�liti alf plans and s��cifications to the Diz•eclor af the Develop►nent 5ervices
De�artn�ent or dUly at�tt�nrized represettta�ive. Licensee shal{ not commence canstructian
o�� installation af tl�o Enc�•oachn�ent nor anake any use of the Public P�•ope�•ty �mtiE after
tl�e executia�� of'this Ag�•�crncr�t.
3.
Licensee, at no e�pens� to City, shall make proper �rovisions for the relacation
and installatian of any existing or future utElities affected by such Enc�•oacla�nent and the
use and occupancy of t[ie Public Prop���ty, including the sec��•ing the approval and
consent of tl�e apprapriate utiIity cotnpanies and agencies of tl�e State of Te�as azlc3 its
political s��bdivisions. In ti�e event t�at any installation, reinstallation, rclacation, or
i•epair of any existing or future iitility ar imprnt�ements owned by ar const�•ucted by or on
behalf of the public or at public eapense is made more costly by virtu� of the
canstrUctio�, maintenance, ar existence of the Encroachn�enC and lise af Public P�•operty,
Licensee shall pay to City an additional amount equal to such additional cost as
detei-mined by the Director of Transpartat�an and Public Works, the Director of the Water
De�art�nenf, the Directo�• of the De�elopment Seivices Departnlent, or theiR• ctuly
auth�o�•ized representative.
4.
Licensee agi�ees that City may enter and utilize the Pu}�lic Praperty at any tiine fo��
any �ublic ��r�ose, i��cluding installing, t•epairing, E�eplacing, or n�aintaining
itnprove��ients tn its p�rblic facilities o�• utilities necessaty for the health, safety, and
welfare of the public. Tl�e City shal[ have nn res�onsibility or liability for any da►nages
related to the EncroacE�ment �'es«Iting fi•oin Cily's use of the Public Property; ho��vever,
Ci�r shall �na(ce �•easonal�le effot•ts to znini�nize such da��lage.
5.
Upon te�•aa�ination of this A�eee�nent, I.,icensee shall, at #he opiion nf and at no
e�pense to City, remo�e the Encroachi�ient and t•estore the PuUlic P�•operty to a condition
acceptable to the Directar of `I'ransportation and P��blic Warics, the Dii•ectoi• of tl�e Water
De�art�nent, the Di��ector of the Develapn-�ent Se��vices De�art�neni or ��1�1I' {Iilly

authorized ��e��i-esentative. Any such rci��oval of the �noroachment sttall be ix� accardance
with then-existin� City regulations and pnlicies. It is undei•stood and agreed to by
Lieensee that if tE�is Ag��ee�nent termi��ates and Licensee fails to reinove the
Encroachment and resto��e the I'i�blic 1'rape�-ty, Licensee I�ereby gives City per�n#ssion to
remove the �ncroach�nent ar►d any s�ipporting str��ctu��es fi•oa� tk�e Public Property, to
��estore tl�e Public P�•opea•ty, and to assess a lien on th� 1'r•operty for tt�e costs expended by
City in taking such actions.
G.
In order to defray all costs of inspection and su�ervision �vhicl� City has incurred
o�• will incui� as a result of the construct�on, maintena��ce, inspection or manageitZent of
tlle Fncroaclaix�e��t and ��se of Public Pro�erry as provided for l�y this Agrcem�nt,
Licens�e agrees ta pay to City at the ti�ne this Ag��eement is �-equested an applicatinn fee
in the st�m of Nine Hu»cli•ed Dollars (�400.00).
7.
'I'he term of this Agree�nent shall be for tl�irty (30) years, coEii�iiencing on the
date this Agreeinent is executed by City. Howe�er, City �nay ter�ninate this Agree�ne��t
upon Licensee's no�icompliance witl� any of the terms of this Agz•eetnent, subject to tlie
natiee and et�re p��ovisions of this Section 7. City sl�ali notify Licensee in rvriting of any
such noneom�liance anc3 ii Licensee does not cu�-e the noncompliance wittzin tl�it•ty (30}
days of its receipt of such notice froz� City, City �nay ter�nina#e this Agreement.
However, City may, at its sole option, al[ow the Agreernent to reinai�� in effect so long as
Licensee has taken r�asonable measc�res to cure the noncompliance ar is co��tini�ing tn
c�iligently atternpt tn �•e�nedy the :nonco�npliance.
8.
It is fua-ille�- unde��stood and agreed betrveen the parties l�ereto that the Public
Pt•ope�•ty to be used and e�icroached upon is held by City as trustee far the public; that
City exercises st�ch po��vers ovcr th� Public P�•operty as har�e been delegaied to it by tlle
Constitution of thc State of Texas nr by tile Te�as Legaslatt�t•e; and if�at City cannot
contract a�va�� its cE��ty and its legislative po��et• to contt•o) the Public Proper•ty for the use
and l�enefit of the pi�blic. It is accardingly a�;reed #hat if the go�erning body of City inay
at any tiine dui-ing tE�e term 1�ereof deterinine in its sole disca•etio� to use o�• cause or
permit fhc Public Property to be used �`o�• any otller p��blic puipose, including b��t not
b�ing lit��ited to undergt•ound, su�•fac�, or a�erhead co�n�nunieation, drainage, sanitaiy
se��erage, trat�st�a�ssion of natur•al gas or• electricity, o�� any othei- public pu�-pose, whether
prese�itly contemplated or not, tha� ti�e �a�-ties agree to negotiate in gond faitl� in ot•det• to
accom�i�odate both the Encrflach�nent and the p�iblic ����rpose.

10.
Wiiile ti�is Ag��ee�nent is in effeet, Licensee agrees to furnish City witlt a
CertificaTe of Insurance naming City as cet•ti�cate halder as p�•oof that is has secured and
paid fo�� a policy nf public liability insurance cove�•ing all public ��isks ��elat�d to tk�e
proposeci use and occupancy of p«blic propet•iy as Eocated and dese�•ibed in Exhibit "A."
The amounts of such inst�rance shall be not less tha�i
$1,040,000
�vith the i�nde►•standing and agreement by Licensee that s�ch insurance amotrnts inay be
revised up�uard at City's option and that �,icenscc shall so �•evise suci� a���ounts
irninediately following notice to Licensee of such requiretaaent. Such insu�•ance palicy
shaIi not �e canceled ar a�ne�ided without at least thit•ty (30) days pr•io�• w��itte�i notice to
the Building Of�cial of the City. A ca�y af s�ach Certifieate of Insurance is attached as
Ex�iibit "B" and incorporated herein for all purposes. Licensee agrees, bi►�ds, and
abligates itself a�id its s�ccesso�-s and assigns to maintain and keep in force such ��i�blic
liability i��surance at all tit��es during tl�e tet•tn of tliis Ageee�nent and until the rer�ioval af
ti�e EE�croachment and ��estoz•�tion of tlie Pub[ic Propei•ty. All insurance cove��age
t•equired he�•eit� shall include caverage of all Licensee's contractors and subeontt•actors.

Licensee agrees to cfeposit w�tF� Cit�� �vlien this Agree�nent is executed a sufficient

pr•ope�-ty recards of tl�e caunty in which fhe E�croacl��nent is located. Afte►• b�ing
recorded, the o�•iginal sha11 be z•et��•ned #o City Secreta�y of City of Fort Wortll.

Licensee agrees to coinply f«ily with all applicable federal, state, and [acaE laws,
stat�►tes, o�•dinances, codes, and regulattans in connection witli tl�� eonstri�ction,
operation, and �n�intenance of tl�e �ncroach�ner�t and use of tlie P�iblic Prn�erty.
13.
Licensee agr•ees to pay prnmptly vvhen due ali fees, taxes, oz• �•entals provided for
by t��is Ag�•ee�nent o�• by an}� fede�•al, state, o�• [ocal stat��te, law, or regulation,

contt•actor as to all a'igh�ts attd �3riviEeges g�•anted hereunder and not as an officer, agent,
se�•vant, or etnplayee of City, and Licei�see shall have exclusive control af aiid the
exclusive right to control t�e detaits of its operations, and all persons perfori�i��g sa�ne,
and s�all be solely responsihle for the acts and omissions of its officers, agents, set•vants,
e�nployees, coniractors, subcoi�t►•actnrs, licensees, and invitees. The doctrine of
respondeat s€�perioi• shall nat ap}�ly as bcri�cen City and Licensee, its officers, agents,
seivants, ernp[oyees, contractors, and subcontractors, and natl�ing l�ez•ein sl�all be
construed as creating a partners�ip oz• joi�t ente�p�•Is� be���een City and Licensee.
15.
Licensee ag�•ees az�d acknowledges that t��is A�;reement is solely fo�• the purpose
af permittiE-►g Licensee to constr��ct, n�aintain, and locate the Encroaciunent ov�r or within
the Public Property and is not a conveyance of any i-ight, title, or interest i�� or tn the
Public P►-ope���T, nor is it n�eant to convey a�1y right to use or occu{�y p�•apez•ry in wlfich a
thfr•��party may f�ave an intei•est. Licensee agrees t3�at it will obtain all necEssa�-y
�ei•�nissions 6efore occi►pying suci� property.
16.
In any action brought by the City for the enfo��cernent of the abligations of thc
Licensae, City shall be entitled to �•ecove�• iratez•est ai�d reasonable attorne}�s' fees.

Licensee cn�ena�fts and agr•ees that iE will not assig�� all ar a�ly of its rights,
pt•ivileges, ar duties unde�- this Agreernent withot►t tlie ���-itten approval af City, and an}�
atten�pted assigi�rnent withc�ut se�ch w�•itten a��proval sl�all he voicl. In t�e event Lice�isee
conveys the Prnperty, Licensee may assigz� all o�' its �•igi�ts and ohligations under this
Agreeineni to the ne��v owner of the Property, and Licensee slaall be deemed released
fi•om its duties and obIigatians hei•euncie�� �ipon City's app�-oval in w�-iting of s��ch
assi�ni��ent, whicli appravaI shall nof be unreasonably co��ditianed or �Wit�held.
�'oreclos��t•e by a sec�ared lender• of Licensee oi• assignment to a seeured lender by
L#censee in the event of default or otl�erwise shall not requi��e City ap�raval pro�rided that
said lender notifes City in w�•itir�g wifihin sixty (60) clays af such �'oreclosure ni•
assign�atent a��d ass�tnes alf af Licensee's rights and obligations here�nder. Ilowever, no
cl�at�ge af awners�ip due to foreclosure or assign�nent to any secured lender of Licensee
shall be effective as ta C�ty un{ess and until �vritten E�otice of suc� fareclosure aa•
assign�nent is provided to City.

Any cause of action for breacli af this Agreernent shall be brought in Tarrant
Cotrnty, Texas. This Agreeine��t sliall be gover•ned by the ia«�s af the State of Texas.
