PUBLIC PROPERTY RIGHT-OF-WAY ENCROACHMENT LICENSE
AGREEMENT
TIER II
THIS AGREEMENT is made and entered into by and between CITY OF
FORT WORTH, a home rule municipal corporation of Tarrant County, Texas ("City"),
acting by and through its duly authorized City Manager, Assistant City Manager, or
Director of the Development Services Department, and Block Younger, LLC, a Delaware
limited liability company ("Licensee"), acting by and through its duly authorized c9-
president.
RECITALS
WHEREAS, Licensee is the owner of the real property, being the NW Retail
Unit of West 7 th Master Condominiums ("Property"), together with an undivided interest
in the common elements, as set fm1h in the Fifth Amended an Restated Condominium
Declaration dated July 6, 2018, recorded under County Clerk's File No. D218148330
("Property"), and;
WHEREAS, City owns a right-of-way (the "Public Property") adjacent to the
Property, recorded in the plat records of Tarrant County as plat numbers FS-07-170 and
FS-07-169; and
WHEREAS, Licensee desires to construct, place, and maintain certain
improvements which will encroach in, on, above, or below the Public Property; and
WHEREAS, to accommodate the needs of the Licensee, the City will allow the
encroachment under the terms and conditions as set forth in this Agreement.
NOW, THEREFORE, the City and Licensee agree as follows:
AGREEMENT
1.
The City, in consideration of the payment by Licensee of the fee set out below
and covenants and agreements hereinafter contained to be kept and performed by
Licensee, hereby grants permission to Licensee to encroach in, on, above, or below and
occupy a portion of the City's Public Property as described in and at the location shown
on Exhibit "A/' but only to the extent shown thereon, for the purpose of constructing,
installing, and maintaining parking garage si gn s (the "Encroachment"). Upon
completion of the Encroachment, Licensee agrees to be responsible for maintaining the
Encroachment within the Public Property. Licensee shall not expand or otherwise cause

Encroac�Tr►ent an� the use anci accupancy of the P�i[�lic Property, includ�ng the securing
the appro�al and consent of the appropriate ut�lity co�npanies and agencies of the State of
Texas and its political subdivisions. In the event tllat any installation, reinstaliatinn,
relocat�on, ar �•epair of �ny existing or future utility ar im��rovem�nts nwned by or
constructed by or on behalf of the pi�bIic or at public expense is �nade �no�•� castly by
vi��lue af ti�e co�istri�ction, �naintenance, or existence of the Encraachm�nt and use af
Pt�blic Prnperry, License� shall �ay to City an additional ainount equal to such additianal
cost as detet•n�ined by the Directot• of Transportation and Public Wo��ks, the Director of
the Water Departinent, ihe Directar c�f the Develop��aent Ser�ices Department, oz- tl�ei��
duiy autl�orized representative.
4.
Licensee agrees that Ciry n�ay ez�ter and uti(ize the Public I'rope�-ty at any tirne fo�•
any puhlic purpose, including installing, repairing, raplacing, or n�ai►�taining
improvernents to its �ublic facilities or utilEties necess�ry fo�• tl�e health, sa%ty, and
i�elfare of tl�e pi�blic. The Cily shall have no res�onsibility or liability for aily datf�ages
relatcd to tf�e Enc�•oachz��ent �•�st�fting fi•om the City's us� of the Public P�•opez•ty;
however, the City shalf i��ake reasanable efforts to n�initnize s�ch datriage.
5.
Upon te�•�nination o� this A�•ee�ne�►t, Licensee s��all, at the option of and at no
expense to the City, �•einove the Encroach���ent and resta�e tlfe Pubiic �'raperty to a
condition acc�ptable to tl�e Iait•ectar of Transportatian and Public Works, t��e Directo►- of
the Water Depa�•t�e�it, the Di��eetor af the Devefop�nent Services Depart�ne�t or their

accardance with t�1en-exis�ing City regulations and pol�cies. lt is i�i�dcrsto�d anci agreed
to �y Licensce that if #his AgreeEnei�t te�•ini��ates and Licensee fails to rcmove tl�e
Encroacl�r�ient ���id restot'e the Public 1'roperty, Licensee ��ereby gives City per3niss[on to
re�iio�e the Eneroachn�ent and ar�y supporting structures Fi�o��� the I'ublic Property, to
resto�•e tiae Pubfic Pi•operty, a�3d to assess a lie�i a�� tlle 1'ro�e��ty for the costs expcnded �y
the City in taking suc11 actians.
G.
In arcier to defi-ay all costs af inspection ancl supetvisian �afl�ich the City has
incu��red or will incur �s a result of the ca��struction, maintenance, inspection or
Enanagc��-►ent af t[te Eneroach�nent and ��se of Pul�lic Properry as p3�ovided for by this
Agreement, Licensee agrecs to pay to City at lhe time this Agreer►-�ent is rec�uested an
�pplication fee in the st�tn of Nine Huudred Dollars ($900.00). Additionally, Licensee
agrecs to pay a fee ir� the a��aot�nt af $2.00 pe�• square/l�near foot of tlie e�ic�-oactunent area
i�pon eaecution of tl�is Agrceme��t and annuaIly thereafter.
7.
Tl�e tet•m of this Agreement shall be far ifii�•ty {3U} ye�rs, cot�a�ner►cing an the
date this Agrce��-►eut is e�.ecuted by City. However, City may te���7linate this Agreement
upon Licensee's nonco�3ipliance with any of the terms of tEiis Agreenae�3t, subject to the
notice and ctu•e provisions of this Section 7, City shall notify I..icensee in writing of atfy
such noncomp[iance and if Licensce does not cure tlfe nonca�npliance ��rithin thicty (30}
days of its receipt of suclj notice from City, City tuay terminate tl�is Agreement.
I�o��vever, City may, at its sole option, allow the Agreement to t•eR�ain i� effect sa long as
Licensee has taken reasonable 3neasures lo cure tlie noncoinplisnce o�� is continuing to
diligently attempt to re�nedy the not�complranee.

City eYercises s�tch powers over the Public Propez'fy as ha�e been delegated ta it by the
Constif�itio�l of the Statc of Teaas or by the Teaas Legislature; anci that City cannot
contract away its duty and its legiskative �a��er to control fl�e Public Pi�ape�-ty for t11e use
at3d benefit of the ��iblic. It is accordi�igly agreed that i�the governing E�ody of City tnay
at any tinle during the ter�71 hej-eof deteriuitte itt its sole discretion to use or ca�.�se ot-
permit the Pt�b[ic Property to be used for any other pubEic p�t�posc, i�tcluding but not
being li�nited to undea'ground, surface, or ovei•head com�ni�nicakion, d�'ainage, sanitary
sewet'age, t�'ansmissfon of natueal gas ot� eEect��icity, or any other pi�blic purpose, �uhether
presently con�emplated or not, that the parties agree fo negotiate in good f�ith in order ta
accon�modate botit the Encraachme�it �nd tlie public ptirpose.

shall not he canceled or an�ended ��it�out at least thii•ty (30} days prior writfe�� natice to

rxliibit "B" and incorporated he��ein far a11 p�arposes. Lzcensee agrees, binds, and
abligates itseff a►id its suceessois and assigns ta �a�aititai�� and kee�� in %rce such �ublic
liability insu�•ance at all t�ines dt�ring tEie fe�•��1 of tl�is Agreetnent and until the ren�a�val 01�
the Encroaeh�net�t and restoration of the 1'�iblic P�•opea�ty. All insurance cover�e

Licensee �grees to cotnply fully with alf applicable federal, sfate, and Iocal la«�s,
statt�tes, ordinances, codes, and reg�ilatinns in cot�nectian witli the construction,
operation, and ��aintenanca of the Et�ci•oach�net�t and use of the Public P�•operty.

Licensee covenants and agrees that it sl�all operate hereundet• as an i��de�endent
contractor as to all rights and �3rivi{eges granted hereunder and not as an Officet•, agent,
servant, or emplayee of City; and Licensee sl�ail have exelusive control of and tiie
exclusive right to cantroi the details of its operations, and all persot�s perfarrning sa�ne,
and sha[l be solely responsible for the acts attd omissians of its af�eers, agents, servants,
e►nployees, contract�rs, strbcontractors, IiceE�sees, and invitees. The dflctrine nf
�•esp4ndeat s�iperior shall not apply as between City and License�, its af�ce�•s, agents,
servants, employces, contractors, and st�bcontr•actars, and nothing herein shall be
constr�ied as e�-eating a pa►•tne�•sl�ip o� joi►�t enterprise between City and Licensee.
15.
Licensee agre�s and acknowledges that this Agreetnent is solely fo�• the purpose
of uermitting Licensee to constr��ct, �naintain, and locate the Encroach�nent over o�• tivitliin
the Pubiic Properly a�3d is not a conveyance of any �•ight, title, o�• inte�•est in or to the
Public Pro�erry, nor is it meant to convey any t•ight ta use or occupy prope�•ty in ��hici� a
third-pa�-�y r��ay IZave an iratet•est. Licensee agrees that it will abtain all necessa�y
pei•�nissions before occi�pying such prnpecty.
16.
In any action brought by the City for the enfc�rceinent of the obligatioris of the
Licensee, City s��all be entitled to r�caver interest and z�easa��ab�e atkarneys' fees.

Tl�e parties agree tliat the di�ties anci abligations contained in Sectio�� 5 shal[
s�irvi�e the terininatio�� af this Ag��ee���ent.

Licensee ca�e�az�ts and agrees that it will not assign all o�• ai�y ofi its rights,
privileges, op• duties t�nder• this Agree�nent e�ithout the wriften app�•o�al of the City, and
any atte�n�tecE assignment ��itt�ot�t sucl� �uritten a�pt•or�al shall be void. In the event
Licensee conveys the Property, Liee�isee tnay assign all of its �•ights and obligations ��nde3•
tllis Agree���ent #o the new o«ner af the Pt•opez•ty, and Licensee shall be deemed released
fi�o�n its d��ties and obligaEions h�reunder upon Cily's app��oval ir� writing of sucl�
assign�ne�it, whicli spp��oval s11a11 not be �in�•easonably canditioned or witl�l�eid.
Pareciosu�-e by a sectu•ed lender of Licensee or assigninent to a secu�•ed lende�• by
Licensea in tl�e event of default or atheil��ise shal[ not require City approval �rovided tl�at
said lender t�otifies City in 1v�•iting within sixty (60) days of s�ic�� foreclos�3re or
assignment and assu�nes all of Licensee's riglits and obligations he��ei�ncier. Ho«e�ver, no
change of ownership due to foreclasu►•e o�• assignment to any secured fender of Licensee
shall be effectiv� as to City un[ess &I1Ci until written notice af such foreclosure or
assignx��ent is pro�ided to City.
19.
Ar�y cause of actian for bz�eac}� of this Agreei��ent sl�all be ��-o��gk�t in Tari•ani
County, Texas. This Agreeilient shali be go�erned by t�ie laws of the State oi Texas.
