HomeMy WebLinkAboutContract 41774-A2City Secretary Contract No. 41774-A2 SECOND AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE CITIES OF HASLET AND FORT WORTH AND THE TRINITY RIVER AUTHORITY OF TEXAS FOR THE CONSTRUCTION OF CERTAIN WASTEWATER COLLECTION MAINS AND THE TRANSPORTATION OF WASTEWATER This Second Amendment to the Agreement by and between the Cities of Haslet and Fort Wotth and the Trinity River Authority of Texas for the Construction of Certain Wastewater Collection Mains and the Transportation of Wastewater ("Second Amendment"), is made and entered into effective as of the date of execution by all of the Parties. WHEREAS, the City of Haslet ("Haslet"), the City of Fott Wo1th ("Fort W01th") and the Trinity River Authority of Texas ("TRA") (collectively referred to as the "Parties") entered into an Agreement by and between the Cities of Haslet and Fo1t Worth and the Trinity River Authority of Texas for the Collection of Certain Wastewater Collection Mains and the Transportation of Wastewater effective April 27, 2011, also known as Fott Worth City Secretary Contract No. 41774 (the "Agreement"), establishing the duties and responsibilities of the Parties as they are related to the construction of a sanitary sewer line that will extend from Fort Worth's city limits through Haslet and then connect into TRA's Denton Creek Wastewater Interceptor System (the "Improvements" as defined in the Agreement), to serve Haslet and Fort Worth's service areas; and WHEREAS, the Parties previously executed the First Amendment to the Agreement to revise the preliminary cost estimates for the Improvements and the cost sharing percentages between the Parties due to development changes; and WHEREAS, as of the execution of this Second Amendment, the wastewater collection main from Point H to Point B, Point B to Point C, Point C to Point D, and Point D to Point E has been constructed and accepted by TRA; and WHEREAS, in accordance with Section 7.1 of the Agreement, Haslet has notified Fort Worth that the combined volume of Haslet's and Fort Worth's wastewater flow in Haslet's Existing Main (Point D to Point E) exceeds 75% of Haslet's 15" existing wastewater main; and WHEREAS, Section 7.1 of the Agreement requires Fort Worth, at Fort Worth's sole cost and expense, to construct a relief main to divert Fort Wo1th's wastewater flow from Haslet's existing main which will ultimately become part of the TRA system; and WHEREAS, Fort Worth and Haslet desire to participate in the cost of replacing a portion ofHaslet's 15" existing wastewater main (Point D to Point E) named HC-6 in lieu of Fort Worth constructing the relief main; and WHEREAS, the Parties desire to amend Exhibit "A" of the Agreement to reflect this change. SECONDAMENDMENTTOTHEAGR EEMENTBYANDBETW EENTHE CITIES OF HASLET AND FORT WORTH AND THE TRINITY RIVER AUTHORITY OF TEXAS FOR THE CONSTRUCTION OF CERTA IN WASTEWATER COLLECTION MA INS AND TH E TRANSPORTATION OF WASTEWATER Page 1 of 10 NOW, THEREFORE, in considej•ation of the mutual covenants and agreements contained herein, and in the Agreement, the Parties hereby agree to amend the Agreement as follows: I. Section 3.1 of the Agreement is amended in its entirety to be and read as follows: 3.1 "Improvements," as used herein, shall mean all or any segment of the following improvements: (1) the 18" wastewater collection main from Point G to Point B hereinaftee referred to as "Segment C"; (2) the 21" wastewater collection main from Point B to Point C hereinafter referred to as "Segment B"; (3) the 21" wastewater collection main from Point C to Point D hereinafter referred to as "Segment A"; (4) the wastewater metering station located approximately at Point G, such meter station being hereinafter referred to as the "Meter Station No. 1;" (5) the 15" North Main segment from Point F to Point C hereinafter referred to as "Segment D"; (6) the associated metering station being herein referred to as "Meter Station No. 2;" and (7) the replacement of approximately 2,660 linear feet of an existing 15" sanitary sewer main with a 24" sanitary sewer main from Point D to Point E hereinafter referred to as "HC-6", all as more pat�ticularly shown on the attached Exhibit "A" which is attached hereto and incorporated herein by reference for all purposes. Depending on the development needs of Fort Worth or Haslet, either City has the discretion unless otherwise stated herein, to begin the implementation of the design and construction of all or any segment of the Improvements as provided for in Sections 3.2 through 3.7 of this Agreement. Upon implementation, both Fort Worth and Haslet have the obligation to carjy out the terms and conditions of this Agreement. Thereafter, the "Implementing City" shall mean the City that will design and construct all or any segment of the Improvements to meet its development timeline. As used herein, the "Partnering City" means the City that will participate in the cost of designing and constructing all or any segment of the Improvements according to the prorated percentages establish in Section 3.8 of this Agreement. As used herein, "segment" means any segment of the Improvements as shown on the attached Exhibit "A" and listed in Section 3.8 of this Agreement. II. Section 3.7, subsection f of the Agi•eement is amended in its entirety to be and read as follows: f. Access rights shall be extended to the City of Haslet on all easements from Point G to Point D and from Point F to Point C for interim maintenance and operational pui•poses. Haslet shall grant, without charge to Foi-t Worth, such easements along public highways or other property owned by Haslet, as may be necessary for the Impr•ovements contemplated by this Agreement, to the extent that Haslet's ownership, rights and interest allow it to do so and provided that such easements do not unreasonably interfere with other uses of highways or property. Haslet 4.54% 8.23% 16.64% 15.55% 38.73% 0.00% 0.00% 0.00% Section 3.10 of the Agreement is amended in its entirety to be and read as follows: 3.10 TRA shall be responsible for the operation and maintenance of the Improvements fi�om the Fort Worth/Haslet city limit line to Point H, and from Point F to Point C, and Meter Station No. 1 and Meter Station No. 2 as shown on Exhibit "A" upon completion of consttuction. Haslet shall not permit service taps into the Improvements unless such taps are approved in writing by TRA and subject to the terms of the Trinity River Authority of Texas Denton Creek Regional Wastewater System Treatment Contract between the Cities of Fort Worth, Haslet and Roanoke Dated October 28, 1987 (the "1987 ContracY'). Q Section 3.11 of the Agreement is amended in its entirety to be and read as follows: 3.11 TRA shall operate and maintain Meter Station No. 1 and Meter Station No. 2 as an operation and maintenance expense of the Denton Creek Regional Wastewater System. � Section 4.1 of the Agreement is amended in its entirety to be and read as follows: SECOND AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE Page 3 of 10 CITIES OF HASLET AND FORT WORTH AND THE TRINITY RIVER AUTHORITY OF TEXAS FOR THE CONSTRUCTION OF CERTAIN WASTEWATER COLLECTION MAINS AND THE TRANSPORTATION OF WASTEWATER 4.1 TRA's DCRWS will accept the responsibility for the measurement of flow generated in Fort Worth and being introduced into the Improvements at Meter Station No. 1(Point G) and Meter Station No. 2(Point F) as shown on Exhibit "A." TRA will also assume the responsibility for deleting this flow from Haslet's downstream accumulation flow measurement under the 1987 Contract, and adding it to the billing methodology to Fort Worth as a Fort Worth contribution to the DCRWS. In consideration of Haslet's agreement to assume responsibility for the operation and maintenance of the Improvements from Point G to Point D and Point F to Point C, Fort Worth agrees to pay a transportation charge of $0.13 per 1,000 gallons of flow measured through the TRA Meter until such time as TRA accepts the Improvements as a TRA system asset. TRA assumes responsibility for assessing the transportation charge to Fort Worth and crediting this amount to Haslet in the Adjusted Annual Payment owed by Haslet under the 1987 Contract. The credit to Haslet will be limited to the amount actually collected from Fort Worth, and in the event a dispute arises as to the transportation charges, Haslet and Fort Worth agree to resolve such differences in good faith. TRA shall have no right or duty to intervene in such a dispute. Haslet reserves the right to adjust annually the transportation charge; provided, however, that any such adjustment shall be based upon a cost-of-service study; attd provided further, the transportation charge cannot increase by more than 15% fi•om one year to the next and cannot increase by more than 50% during the period that Fort Worth is discharging into the Haslet wastewater collection system. VII. Section 6.1 of the Agreement is amended in its entirety to be and read as follows: 6.1 Fort Wot�th will be required to submit Point of Entry requests to TRA in accordance with Section 3 of the 1987 Contract. Initially TRA will consider approval of the Point of Entry to be located where the Haslet 15" wastewater main currently connects to the DCRWS Treatment Plant wastewater main (Henrietta Creek Interceptor). When the future wastewater main improvements are constructed and accepted by TRA, TRA will then consider revising the Points of Entry to be located at or near Meter Station No. 1 and Meter Station No. 2. VIII. Section 6.2 of the Agreement is amended in its entirety to be and read as follows: 6.2 Haslet will be required to submit Point of Entry requests to TRA in accordance with Section 3 of the 1987 Contract for connection to wastewater main segments fi•om Point G to Point D and from Point F to Point C. IX. Section 7.1 of the Agreement is amended in its entirety to be and read as follows: 7.1 When the combined volume of Haslet's and Fort Worth's wastewater flow in Haslet's SECOND AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE Page 4 of 10 CITIES OF HASLET AND FORT WORTH AND THE TRINITY RIVER AUTHORITY OF TEXAS FOR THE CONSTRUCTION OF CERTAIN WASTEWATER COLLECTION MAINS AND THE TRANSPORTATION OF WASTEWATER existing main (Point D to Point E on Exhibit "A") exceeds 75% of the capacity of Haslet's 15" existing wastewater main, Fort Worth and Haslet will participate in a project to i�eplace approximately 2,660 linear feet of the existing 15" sanitary sewer main with a 24" sanita�y sewer line to provide the ultimate capacity for Fort Worth and Haslet ("HC-6"), as set forth in this Section 7.1. a. HC-6 shall provide Fort Worth with 5,096 gallons per minute ("GPM") and Haslet with 3,221 GPM of capacity, respectively. Any capacity beyond the 5,096 GPM needed fot• Fort Worth will be allocated to Haslet. b. Fort Woi•th shall pay 61.27% of the cost of HC-6, in an amouttt not to exceed $2,352,048.08 based on an engineer's estimate of $3,838,825.00. Haslet will pay 38.73% of the cost of HC-6. The cost of HC-6 shall include the following: >>. iii. iv. v. vi. vii. viii. ix. X. XI. xii. Consultant costs related to design; Land acquisition and construction costs; TRA Engineering review; TRA Management review; TRA inspection costs; Easement acquisition costs; Franchise utility fees or relocations; Public notifications; Obtaining permits fi�om outside entities (e.g Material testing and inspection; Public bidding; and Advertisement costs. TxDOT or railroads); City stafftime and Belcheff & Associates' program management costs will not be a cost of HC-6 and will not be shared between Fort Worth and Haslet. c. In addition to the costs for NC-6, Fort Worth shall pay to TRA for 100% of the cost of the engineering review, labor, inspection and material testing for a meter station related to HC-6 and Segment E in an amount not to exceed $120,000.00. d. Haslet will enter into an agreement for the design and construction of HC-6 Main. City will pay Haslet for the City's share of the project as follows: i. Fort Worth will pay Haslet for Fort Worth's share of the design services no later than 60 days after receiving an invoice. ii. As easements are obtained, Haslet will track the costs and present an invoiceto Fort Worth requesting Fort Woi-th's share of the easement costs. Fort Worth shall pay the invoices presented within 60 days. iii. After design is complete and all necessary easements are acquired, the project SECOND AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE Page 5 of 10 CITIES OF HASLET AND FORT WORTH AND THE TRINITY RIVER AUTHORITY OF TEXAS FOR THE CONSTRUCTION OF CERTAIN WASTEWATER COLLECTION MAINS AND THE TRANSPORTATION OF WASTEWATER will be advertised for bid. Upon receiving bids, Fort Worth will pay its share of the construction costs to Haslet for deposit in a trust account (consistent with section 3.4). Haslet must award the construction contract within 60 days of the date the bids are opened. iv. Upon completion of construction, Haslet will issue an invoice to Fort Worth to reconcile changes in the difference between construction, const�•uction services, and inspection costs incurced and the estimated amount paid. The invoice (or credit) will be paid (or issued) within 60 days. e. Naslet will manage all phases of the project, including engineer selection, design, land acquisition, bidding/advertisement and construction administration. Design and construction standards and easement terms will be as determined by TRA. f. The new 24" HC-6 sanitaty sewer line will become part of TRA's collection system upon completion of construction and acceptance by TRA. Q Section 7.2 of the Agreement is amended in its entirety to be and read as follows: 7.2 Fort Worth agrees to convey to TRA ownership of Meter Station No. 1 and Meter Station No. 2 and right of access to both meter stations. If the Fort Worth/TRA agreement for treatment of Fort Worth wastewater at TRA's DCRWS Treatment Plant expires or is terminated, TRA shall convey to Fort Worth ownership and right of access to Metey Station No. 1 and Meter Station No. 2. � Exhibit "A" ofthe Agreement is amended in its entirety to be and read as set forth in Exhibit "A" of this Second Amendment which is attached hereto and incorporated herein by reference. XII. Exhibit "B.1" ofthe Agreement is amended in its entirety to be and read as set forth in Exhibit "B.1" of this Second Amendment which is attached hereto and incorporated herein by reference. XIII. Exhibit "B.2" ofthe Agreement is amended in its entirety to be and read as set forth in Exhibit "B.2" of this Second Amendment which is attached hereto and incorporated herein by reference. XIV. a All other provisions of the Agreement which are not expressly amended herein, shall remain SECOND AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE Page 6 of 10 CITiES OF HASLET AND FORT WORTH AND THE TRINITY RIVER AUTHORITY OF TEXAS FOR THE CONSTRUCTION OF CERTAIN WASTEWATER COLLECTION MAINS AND THE TRANSPORTATION OF WASTEWATER in full force and effect. b. All terms in this Second Amendment that are capitalized, but not defined, shall have the meanings ascribed to those terms in the Agreement.
