ASSIGNMENT AND CONSENT OF EASEMENT ENCROACHMENT AGREEMENT

THIS ASSIGNMENT OF ENCROACHMENT AGREEMENT ("Assignment') is
made and entered into as of this � day of July , 20 24, by and between the CITY OF FORT WORTH, a Texas home-rule municipal corporation ("City'), FORT WEST CC
OWNER, LP, a Delaware limited partnership ("Assignor'), and FORT WORTH INFILL
INVESTORS, LLC, a Delaware limited liability company ("Assignee"). Sometimes herein
City, Assignor, or Assignee may also be referred to individually as a ''Party" or collectively as
the ''Parties."
W IT NE S S E TH:
WHEREAS, the City entered into an Encroachment Agreement, City Secretary Contract
No. 57683 (the ''Encroachment Agreement'), on the 9th day of June, 2022, with Assignor, the
owner of certain real property more particularly described in the attached Legal Description (the
''Property') located adjacent to or near the City's right-of:.way on which the encroachments are
located. The encroachments are more particularly descnbed in the Encroachment Agreement,
attached hereto as "Exhibit A" and incorporated herein by reference for all pm-poses, and are
referenced therein and herein as the "Improvements";
WHEREAS, the Encroachment Agreement was recorded the 23rd day of June, 2022, as
Instrument No. D222159773 in the Real Property Records of Tarrant County, Texas;
WHEREAS, Assignor desires to assign the Encroachment Agreement to Assignee;
WHEREAS, the Property has been conveyed to Fort Worth Infill Investors, LLC, as
Instrument No. D224130043 , in the Real Property Records of Tarrant County, Texas;
AGREE ME NT:
NOW, THEREFORE, for and in consideration of the above and foregoing premises and
the mutual covenants, terms, and conditions herein contained, and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby
agree as follows:
l. Assignor hereby assigns, transfers, and conveys all rights and interests and

2. Assigiiee hereby accepts the Assig�lent granted herein, and assunnes all of
Assignor's rights, dtrties, and ob�igations arisaYg i�nder the E�icroachrr�ent Agreernetit.
3. Assi�or has fiill right, power, and authoi�ity to enter i�1to this Assigtvnent, to
make the representatioi�s set forth herein, and to carry out Assignor's abligations hereimder.
Assignee has ti�e full right, power, and atithority to enter into this Assigninent, to make the
representations set forth heren�, and to carry out Assig�iee's obligations hereunder.
4. The effective date of th.is Assignment sl�all be the date of its execution by the City
(the "Effect�ve Date"). All rights, duties, and obligations under the Encraacl�ment Agreement
arising, aceruing, or rel�ting to the period before the Effective Date are allocated to Assignor,
and all rights, dtrties, and obligano��s arising, accrunig, or relatu�g to the period thereafter shall
be allocated ta Assig�lee.
5. Bxcept as atherrvise expressly set farth in this Assignment, Assignor w�ll be
discharged frozn ar�y and all fiuther obligatian,s �mder the Encroachment Agreeinent as of the
Effective Date.
6. Assignor represents, warrants, and co�enants with City and Assignee that as of
the Effective Date, Assignor is not in default of any of its obligatioi�s contained m the
Encraachment Agreement.
7. City here6y cousents to this Assignment upoiz the tern�s and conditions set fortl�
herein. Unless and �mtil City has executed thi� Assigtui�ent, �t is of no effect. The consent
g�•anted herein should not be canstrued as consent to any furthe�� assignanents. The failure or
deiay o�' City in seek�g to enforce any provision of the Encroachrnent Agreement or this
Assignment shall uot be deemed a waiver of rights or remedies that Ciry may have or a waiver of
any subseqt�ent breach of the terms and provisions theren� or heren� contauied.
8. Any notice given by any Party to another Parry rrnast be in wrrting and shall be
ef�ective upon re�eipt when (i} sent by U.S. ma�7 with proper postage, certitied mail ieturn
receipt reqfiested, ar by a nationally recogrvzed ovemight delivery service, and (ii) addressed ta
the other Party at the address set out below or at such other address as the receivuig Pariy
designates by proper notice to the sei�dirig Party.

9. Except as herein otherwise provr�ed, this Assignment will be bindnlg upon and
irnn•e to the benefit of the Parties and their respective successors and assigns.
10. Assig�iee shall cause this Assigninent to be filed of record at Assignee's expense
in the Real Aroperky Records for Tarrant County, Texas.
11. T�ie Certificate of [nsurance for the Assignor attached as E�ubrt `B" to ttte
Encroachment Agreenlent �s hereby de�eted and replaced w�th the attached Certificate of
I��st�rance from the Assignee as "Exh�bit B, Revised."
1 Z. All tenns and conditions of the Encroachrnent Agreement not amended herein
ren�am tuiaffected and in full force and effect, are binding on the Parties, and are hereby ratifiied
by the Parties. Capitalized terms not defined herein shall have meanings assigned to them in the
Encroachment Ageement.

WI�REAS, L,icensee is the o�,vner of t11e real �raperty located at 3101
Northwest Centre �r, Fort Worth, Texas 7fi13S ("Property"), 6eing inore particularly
descnbed in tl�e attached Exhibit "A" which is incor�rarated herein fnr all purposes; and
WHEREAS, the City owns a storm drain easement and drainage easenlent (the
"Public Property") acljaccnt to the Property as shawn in the attacf�cd Exhihit "B,"
which is incorporated herzin for all Purposes, and as recorded in the plat records oti
Tarrant County as plat munber FS-15-131; and
WHEREAS, Licens�e desires to coi�strtict, place, and maintain certain
improvements �vhich will encroach in, on, above, or below the Public Property; and
W�[EREAS, to accommodate the needs of the Licensee, the City will allo�v the
encroachment under the tenns and conditions as set forth in this Agreement.

AGREEMENT
1.
Tl�e City, in cansideratioi� of tl�e payment by Licensee af the fee set out below
and covenants and agreements hereinafter contained to be kept and pertonned by
Licensee, hereby gra��ts pernlissian to Licensee ro encroach in, on, abave, or below and
occupy a pprtion of the City's Pubiic Property as descriUed 'en and at the locatiou sht�wn
on Exhi6it "C," hut anly to the extent shawn thereon, for tl�e puc•pose of constructing,
�nstalling, and maintaining a private storm Drain (the "EncroachmenY'). Upon
cnmpletion ot' the Encroachment, Licensee agrees to be responsible for nlaintaining the
Encroachment 4vithin the Public Property. Licensee shal[ not expand or otEierwisc cause

All construction, installatic�it, itlaintenance, and operation of the Encroaehinent
and tlie use or occu�ancy of the 1'ublic Property sl�all comp(y ���itt3 and be perf�rmed in
strict con�p]iance with this Agreemcnt and �,vith the charter, ordinances, cacles, and
poiicies of the City. Prior to the constn�ction or installatian of the Encroachment,
Licensee shall submit all plans and specifications to tl�e Director of khe Deveiopment
Services Departrne�It or duly authorized representati�e. Licensee shall not comrrience
constrtiction or iiistallation of the Encroacluiient nor make any use of the Public Property
wltil a#�er the execution of this A�meet��ent.
3.
Licensee, at no expense to the City, shall mal�e proper pravisions for the
relocation attd installation of any existing or fiiture utilities atfected by st�ch
Encroachment and the use and occupancy of che Public Properry, including the securiiig
the approval �tnd consent of the appropriate utility coinpanies and agencies of the State �f
Texas and its political subdivisions. in the event tt�at any installation, rei�lstallation,
rclocation, or repair of �ny existing or future uti[ity or improveilicnts o�vned by or
constnicted by or nn behal#� of the public or at pub6ic expense is made more costly by
virtue of the constructinn, maintenance, or existence of the EncroacE�inent and use of
Public Property, Lice�lsee shall pa_v to City an additional amotmt equa� to such additional
cost as deterinined by tlle Director af Transportation and Public Works, the Director of
the Wat�r Department, the Director of the Development 5ervices DeparEjnent, or t�eir
duly author��ed representativc,
4.
Licensee agrees that City may enter and titilize the Public Property at any time far
any pubiic pur�osc, includin� installing, rcpairing, replacing, or �r�aintainin�
improvements to its public facilities or utilities necNssary far the health, safety, and
welfare of tlte public. The City shal! have no t•esponsihility or liahility fnr any da�nages
�-elated to the Encroachment resulting fro�n the City's use of the Public Property;
howev�r, the City shall make reasonable etforts ta rn�nirnize such damage.

Upon tcrmination of this Agreement, Liccnscc shall, at the option oF and at no
expense to the City, remove the Encroachment and restore the Public Property to a
condition acceptable to the Director of Transpartation and Public Works, the Director of
tlie Water Departm�nt, the Director of the Developnient Services Department or their

duly authorized representative. Any such removal of the Encroachment shall be in
accordancc with then-existi��g City regtElations and pc�licies. [t is tindcrstood and agrccd
to by Licensee that if this A�•eement tem�inates and Licensee f�ils to remove the
F,��croachment and restore the public Property, Licensee hereby �ives City permissinn to
remove the Encroachnlent and a��y suppo�ting structures from the Public F'roperty, to
restore the Public Property, and to assess a lien on the Pro�erty for the costs expended by
tl�e City in taking such actians.
6.
In order to defrly all costs oF inspection and s��pervision which the City has
ERCl1CI�� or �uill incur as a result oi the constn�ction, maiiitenance, inspectian oz
inanagement of the E.ncroachment ai�d use of Public Pro�erty as pro�ided for by this
Agreement, Licensee agrees to pay to City at the tinte Chis A��-eement is requested ati
application fec in thc sum of Seven Hundred Dollars (�700.00}.

The term of this Agreement sha[1 he for thirty (30) years, coinmencing on tl�e
date thi5 Agreement is executed by City. However, the City may terminate this
A�reei�leut t�pon Licer�see's noncompliance with any of the terms of' this Agreement.
City stiall notify Licensee in writing of any such noncompliance and if Licensee does not
cure the nancompliance wit�iin thirty (3{�} days of notice from City, the City nzay
terminate this Agree�nent. Hc�wever, the City tnay, at its sole optioi�, alloiv the Agreement
to remain iu etfect sa long as Lic�nsee has taken reasonable �neasures ta cure the
nancompliance ar is continuing to dil igently attempt to remedy the noncompliance.

It is ftirther understood ancl �greed behveen the parties hereto that khe Public
Properry to be used and encmached upon is hzld by City as trustee for the public; that
City exercises 5uch powers aver the Public Pro�erty as have b�en delega[ed to it hy the
Constitution af thc St�atc of Texas ar by the Texas Lcgislature; and that City cannot
contract aw�ay its duty and its legislative power to control the Public Property Eor the ��se
and benetit of the p�tblic. It is accardingly agreed tE�at ii the governing hody af City may
at any time durin� the term hereof detei�ine in its sole discretion ko use ar cause �r
pe�znit the Public Property ta be used tor any otl�er public purpose, including but �iat
being limited to underground, surface, or n�erhead communication, drainage, sanitary
sewerage, transmission of natural gas or electricity, or any other public purpose, whether
presen4ly conten�plated or �ot, that the parties agree to negotiate in good faith in nrder to
accammadate bath the: Encroachment and the puhlic pur�aose.

While this A�reement is in effect, Licensee agrees Ta furnish City with a
Certificate of lnsurance nan�in2 City as certificate holder as proof tl�at is has secured and
paid for a policy of public liability insurance �overing all pu�lic risks related to the
prnposed usc and occupancy of public property as [ocated and dcscribcd in Exhibit `�C."
Tl�e amounts of such ins�irance sha[l be not less than

with the understanding a��d agreement by Licensec that such insurancc amounts may bc
revised uPward at City's option and that Licensee shall so revise st�ch amounts
immediately follor��ing nc�tice to L€censee of such requirement. Such insGirar�ce poliey
shall not be canceled or ainended �vithotir at least thirty (30) days prior written notice to
the Building Official of the City. A copy of such Certiticate of Ins�irance is attacheci as
Exhibit "D" and iaicorporated herein for a[l purposes. Licensee agrees, bi�ds, and
ob�igates itsclf and its successors and assigns to maintain and keep in force such public
lial�ility insurance at a�l times during the term of this Agreeinent and until the ren�ovaE of
thc Eneroachment and restoration of the Public Property, All insurance covera�c
required herein shall include coverage of a!1 Licensee's contractors anc� subcontractors. y

11.
Licensee agrees to c�eposit with the City when this Agreement is executed a
sufficient surn of mnnc:y to be used to pay ❑ecessary fees to record this Agreement in the
rca] property records of thc county in �vhich the Encroachmcnt is locatcd. Aftcr being
recorded, the origina[ shall be returued to the Ciry 5ecretary oFthe Ciry of Fort Worth.

Licensee a�rees to comply fully �S�itl� a[l a�plicable federal, state, and local laws,
statutes, orr�inances, codes, and rebulations in connection with the construction,
operation, and rnaintenanc� of thc Encroachmcnt and use of the Puhl ic Property.
13.
Licensee a�ees to pay prompily when due all f�es, taxes, or rentals provideci for
by this Agreement or by any t'ederal, state, or lc�cal statute, law, or regulatinn.
14.
Licensee cnvenants afid agrees that it shall operate her�under as an independent
contractor as to all rights and gs•ivileces granted hereunder and not as an ofticer, agent,
servant, ar einployee af City, and Licensee shall have exclusive control of' and the
exclusive right to contro] the details of its operatinns. and al] persons performing sarne,
and shal! be soEely responsible for the acts and omissions of its officers, a;ents, s�rvants,
emplayees, canCractars, subcontractors, licensees, and invitees. �hc doctrine of
respondeat superior sliall not apply as between City and Licensee, its afticers, agents,
se;rvants, einployees, cantractors, and subcontractors, ana nothing herei�i shall be
constnied as creatin� a partnership or joint enterprise between City and Licensee.

Licensee agrees and ackno�vledgcs that this Agrecmcnt is solely for thc purpose
of pennitting Licensee to construct, maintain, and locate the Encroachment over or withi❑
the Public Pro�erty an� is not a con��eyance of any right, title, or interest in or to the
Public Property. nar is it meant to convcy any right to use or occupy property in which a
third-party may have ara interest. Licensee a�ees that it will obtain all necessary
permissions bcf'ore occupyina such property.

I 6.
In any action broiight by the City for the euforcement of tl�e obligations of the
Licensee, City shall be entitled to recor•er interest and reasonable attorneys' fees.
17.
The parties a�ree that tlie diities and obliqations cantained in Section 5 shal�
survive the tent�ination of t11is Agreen�ent,

Lic�nsee covenants and agrecs that it �vill not assi�n all or any of its rights,

Licensee conveys the Property, Licensee �nay assign all af its riehts and obligatians under
tllis A�reement to the new owner of the Property, and Licensee sh�ill he deemed released
froni its duties and obligations hereunder upon City's approval in writi�ig of such
assio incnt, which approval shall not be unreasonably conditioned or �vithheld.
Fareclosure by a secured lender of Licensee or assignment to a secured lender by
Licensee in the eveut of default or otherwise shall not rcquire City approval provided that
said ]ender notifies City in tvriting within sixty (5€1) daVs of such foreclosure or
assignment and assumes ali af Licensee's rigl�ts and obligations hereunder. Ho�ve�er, no
change ot o��nership due to tareclosure or assignmevt to �ny secured lender of Licensee
sl�all be effective as to City unless and unti] w�-itten notiee of such foreclasure or
�s�ignment is provided to City.

Any cause of action for breach ot� t�is Agreemer�t shall be brought in Tarrant
