Home My WebLink AboutContract 59145-A1R1CSC No. 59145-AlR1 AMENDMENT NO. 1 AND RENEWAL 1 TO CITY SECRETARY CONTRACT NO.59145 LICENSE AGREEMENT This Amendment and Renewal is executed by and between the City of Fort Worth ("City"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, and Swank Movie Licensing USA ("Company"). City and Company are each individually referred to herein as a "Party" and collectively as "Parties." WHEREAS, Parties have previously entered into City of Fort Worth City Secretary Contract No. 59145 ("Agreement"); WHEREAS, the Agreement was executed for Company to grant City non-exclusive right to unlimited movie showings by anyone at the Licensed Premises of the Fort Worth Public Library ("Library") during the Term; WHEREAS, the original term of the Agreement expired on December 31, 2023; WHEREAS, the Agreement allows for annual renewal options under the same terms and conditions; WHEREAS, City and Company now wish to renew the term of the Agreement retroactively for continued services for an additional year, specifically from January 1, 2024 to December 31, 2024; WHEREAS, City and Company now also wish to amend the Agreement for the purpose of updating current Library locations; and WHEREAS, City and Company now also with to amend the Agreement to correct Company's name. NOW, THEREFORE, City and Company acting herein by the through their duly - authorized representatives, enter into the following agreement to amend and renew the Agreement: 1. AMENDMENTS TO AGREEMENT Exhibit A, Rate Schedule and License Fees, is hereby amended and replaced in its entirety with the attached Exhibit A showing current Library locations. Company is now named Swank Motion Pictures, Inc., dba Swank Movie Licensing USA in all documents under this Agreement. 2. OFFICIAL RECORD RENEWAL OF AGREEMENT CITY SECRETARY FT. WORTH, TX CSC-59145 Amendment 1 -Renewal 1 Page 3 of 4 The term of the Agreement is hereby renewed from January 1, 2024 to December 31, 2024, unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Renewal and Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original. The annual license fee is set at five hundred fifty-five dollars ($555.00) per Library location. The total license fees due to Company will be ten thousand four hundred fifty dollars ($10,450.00) for the Renewed Term of the Agreement. Licensee is responsible for providing Company with an accurate list of Library locations.
