PUBLIC PROPERTY RIGHT-OF-WAY ENCROACHMENT LICENSE
AGREEMENT

THIS AGREEMENT is made and entered into by and between THE CITY OF
FORT WORTH, a home rule municipal corporation of Tarrant County, Texas ("City"),
acting by and through its duly authorized City Manager, Assistant City Manager, or
Director of the Development Services Department, and Murrin Brothers 1885, Ltd, a(n)
Texas limited company ("Licensee"), acting by and through its duly authorized president.
RECITALS
WHEREAS, Licensee is the owner of the real property located at 101 W. Exchange
Avenue, Fort Worth, Texas 76164 ("Property"), being more particular described as, Lot
A and C, Joseph B. Googins Subdivision of a part of Block 20, M.G. Ellis addition to the
City ofFortWorth, Tarrant County, Texas, bylnstrumentNumberD212320076, in Tarrant
County, Texas, and;
WHEREAS, the City owns a right-of-way (the "Public Property") adjacent to the
Property, recorded in the plat records of Tarrant County as plat number Volume 204, Page
33;and
WHEREAS, Licensee desires to construct, place, and maintain certain
improvements which will encroach in, on, above, or below the Public Property; and
WHEREAS, to accommodate the needs of the Licensee, the City will allow the
encroachment under the terms and conditions as set forth in this Agreement.
NOW, THEREFORE, the City and Licensee agree as follows:
AGREEMENT
1.
The City, in consideration of the payment by Licensee of the fee set out below and
covenants and agreements hereinafter contained to be kept and performed by Licensee,
hereby grants permission to Licensee to encroach in, on, above, or below and occupy a
portion of the City's Public Property as described in and at the location shown on Exhibit
"A," but only to the extent shown thereon, for the purpose of constructing, installing, and
maintaining a blade sign (the "Encroachment"). Upon completion of the Encroachment,
Licensee agrees to be responsible for maintaining the Encroachment within the Public

Praperty. Licensee shail not expand or otherwise cause the Encroachnr�ent to further
infringe in or an the Public Property beyond what is specifically described in Exhibit ��A."
2.
All canstruction, installation, maintenance, and operation of the Encraachment and
the use or accupancy af the Pubiic Property shall comply r�ith and be performed i� strict
compliance with this Agreement and with the charter, ordinances, codes, and palicies af
the City. Priar to the construction or instaIlation o� the Encroachment, Licensee shall
submit all plans and specifications to the Director of the Developzxaent Services Department
or duly authorized representative. Licensee shall not comrnence construction or
installation of the Encroachment nor make any use of the �ublic Property un�il after the
execution of this Agreenaent.
3.
Licensee, at no expense to the City, shall make proper provisions for the relocation
and installation of any existing or futUre utilities affected by such Encroachment and the
use and occupancy of ihe Public Prop�rty, including the securing the approval and consent
of the appropriate utility campanies and agencies of' the State of Texas and its palitical
subdivisions. � the event that any installation, reinstalIation, reiocation, ar repair of any
existing or future utility or improvements owned by or constructed by or on behaif of the
public or at public expense is made more costly }�y viriue of th�e canstruction, maintenance,
or existence af ihe Encroachment and use of Public �'roperty, Licensee shali pay to City an
additional arr�ount equal to such additional cost as dete�ined by the Direcior of
Transportation and �ublic Warks, the Director of' the Water Department, the Director of
the Developm�nt Services Department, or their duIy authorized representative.
4.
Lice�nsee agrees that City may enter and utilize the Public Property at any tim� for
any public purpose, including installing, repairing, replacing, or maintainir�g improvements
to its public faciliti�s or utilities necessary for the health, safety, and vvelfare of the pu}��ic.
The City shaIl ha�e no respon.sibility or liability %r an� damages related to the
Encroachn�.ent xesulting frorn the City's use of the Public Property, however, the City shall
make reasonable efforts to nainimize such darnage.
5.
Upon tez�ination of this Agreement, Licensee shall, at the o�iian of and at no
expense to the City, remave the Encroachment and restore th.e �ublic Property to a
condition acceptable ta the Director of Transportation and Public Works, the Director o�'
the Water Department, the Directar of �he Development Ser�ices Department or their duly
authorized representati�e. Any such removal of the Encroachment shalt be in accardance
with then-existing City regula�ions and policies. �t is unders�ood and agreed to by Licensee
that if this Agreement terminates and Licensee fails to remove the Encroachment and

restore the Public Property, Licensee hereby gi�es City pernnission ta remove the
Encraachment and any supporti�g structures from the Public Property, to restore the Public
Property, and to assess a lien o� the Property far the costs expended by the City in taking
such actions.
6.
In orderto defray a11 costs of inspection and supez-vision which th� City has incurred
or will incur as a result of the canstruction, maintenance, inspec�ion or management af the
Encroachrrtent and use of Public �roperty as pra�+ided for by this Agreexnent, Licensee
agrees to pay to City at the time t�.is Agreement is requested an application fee in the sum
of Nine Hundred DalIars ($900.00).
7.
The te� af this Agreement shall be for thirty (30) years, corr�mencing on the date
this Agreement is executed by City. Howe�er, tk�e Ci�y may terminate this Agreement
upon Lic�nsee's noncompIiance with any ofthe ter�ns of this Agreement. City shall noiify
Licensee in writing of any such noncompliance and if Licensee does not cure the
nonco�a�apliance within thirty (30) days af notice frort� City, the Ci�y rnay terininate this
Agreement. However, the City rnay, at its soie option, allow the Agreexnent to remain in
effect so long as Licensee has taken reasonable measures to cure the noncompliance or is
continuing ta diligently att�mpt to remedy the noncompiiance.

It is further understood and agreed between the pa�ties hereto that th� Public
�roperty to be used and encroached upon is held by City as trustee for tlae public; that City
exercises such powers over the Public �'roperty as have been delegated to it by the
Constitution of the State of Texas or by the Texas Legislature; and that City cannot contract
away its duty and its legislative power to controI the Public Property for tlae use and benefit
ofthe public. It is accordingly agreed that if the govez7ning body of City may at any time
during the terrn hereof deterrnine in its sole discretion to use or ca�se or permit the Public
Proparty to be used for any other public purpose, including but not being limited io
underground, surface, or overnead communication, drainage, sanitary sewerage,
transmission of natural gas or electriciiy, or any other public purpose, whethez presently
canternplated or not, that the parties agree to negotiate in good faith in order to
accommodate bath the Encroachment and the public purpose.
9.
LYCENSEE COVENANTS AND AGREES TO INDEMNIFY, AND DOES HEREBY
INDENINXFY, HOLD HARM.[aESS, AND DEFEND CITY, ITS OFF�CERS,
AGENTS, SERVANTS, EMPLOYEES, AND ELECTED OFF�CYALS FROM A,ND
AGAINST ANY AND ALL CLAIMS OR SLT�TS FOR PROPERTY DAMAGE OR
LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL
PERSONS, OF WHATSOEVER HIND OR CHARACTER, WHETHER REAL OR

OR OM�SS�ONS OF L�CENSEE, ITS OFFICERS, AGENTS, SERVANTS,
EMPLOYEES, CONTRACTORS, SUBCONTRA.CTORS, LICENSEES, OR
INVITEES.
10.
While this Agreement is in effect, Licensee agrees to fumish City with a Certi�cate
of Insurance naming City as certifcate holder as proof that is has secured and paid for a
palicy of public liability insurance covering all public risks related to the propased use and
occupancy of public property as located and described in Exhibit `�A." The amounts of
such insurance shall be not less than

with the understan.ding and agree�ent by Licensee that such insurance amounts may be
revised upward at City's option and that Licensee shaIl so revise such amounts immediateIy
following notice to Licensee af such requirement. Such insurance policy shaIl nat be
canceled or amended without at least thirty {34} days prior written natice to the Building
4££icial of the City. A copy oi such Certificate of Insurance is attached as Exhibit �B"
and incorporated herein for all purposes. Licensee agrees, binds, and obligates itself and
its successors and assigns to maintain and keep in force such public liability insurance at
alI times during the term of this Agreeznent an:d u�ntil the re�noval of the Encroachment and
restoration oi the Public Property. All insurance coverage rec�uired herein shal! incIude
coverage o� all Licensee's contractors and subcontractors.
ll.
Licensee agrees to deposit with the City when this Agreement is executed a
sufficient sutn of money to be used to pay necessary fees to record this Agreeznent in the
real property records of the county in wlaic� the Encroachment is located. After bein.g
recorded, the original shall be returned to the City Secretary of tk�e City of Fort Worth.

12.
Licensee agrees to comply fully with all applicable federai, state, and Iocal laws,
statutes, ordinances, cades, and regulations in connection with the constructian, operation,
and maint�nance of the Encroachment and �se o£the P�blic Property.
13.
Licer►see agrees to �ay pronnptly when due all fees, taxes, or rentals provided for
by this Agreemern or by any federaI, state, or local statute, law, or regulation.
14.
Licensee covenants and agrees tI�at it shall operate her�under as an independent
contractor as ta all rights and privileges granted hereunder and not as an officer, agent,
servant, or employee of City, and Licensee shall have exclusive control of and the exciusive
right to contral the details of its aperations, and alI persons per�'arming same, and shall be
salely respansible for the acts and ornissions of its o�cers, agents, ser�ants, employees,
contractors, subcon�ractors, licensees, and invitees. The doctrine of respondent superior
shail not appty as between City and Licensee, its officers, agents, servants, employees,
contractors, and subcontractors, and nothing herein s�alI he construed as creating a
partnership or joint enterprise between City and Licensee.
15.
Licensee agrees and acknowledges that this Agreement is solely for the purpose of
permitting Licensee to construct, �naintain, and locate the Encroachment aver nr within the
PubIic Property and is not a conveyance of any right, title, or interest in or to the Public
Property, nor is it meant to convey any right to use or occupy property in which a third-
party may have an interest. Licensee agrees tl�a� it vvill obtain all necessary permissions
before occupying such property.

In any action brougl�� by the City for the en�arcernent of tI�e obligations of the
Licensee, City shall be enti�Ied to recover interest a�d reasonable attorneys' fees.
17.
The parties agree that the duties and obtigations contained in Sectian 5 shall survive
the terminaiion of this Agreement.

18.
Licensee covenants and agrees that it will not assign a11 or any of its rights,
privileges, or duties under this Agreement without the written appraval of the City, and
any attempted assignment vvithout such vvritten appro�al shall be void. In the event
Licensee conveys the Property, Licensee may assigr� ai� o� its rights and ohligations under
this Agreement to the new ovvner of the Property, and Licensee shall be dee�ned released
fro� its duties a�d obligatians hereunder upon City's approval in writing of such
assignment, which approval shall not be unreasanably conditioned or wit�k�eld.
�areclosure by a secured lender of Licensee or assignment to a secured Iender by Licensee
in the event of default or otherwise shall not require City appzo�al provided that said lender
notifies City in writing within sixty (60) days of such foreciosure or assignment and
assumes all of Licensee's rights and obIigations hereunder. Havvever, no change of
ownership due to foreclasure or assignrnent to any secured lender of Licensee shall be
effective as to City unless and until written notice of such foreclosure or assignment is
provided to City.
19.
Any cause a� action for breach of this Agreement shaiI be brought i� Tazrant
County, Texas. This Agreement shall be governed by the laws ofthe State af Texas.

Tk�is Agreeznent shall be binding upon the parties hereto and their successors and
assigns.
21.
This Agreement may be executed in multiple countetpar�s, each of which shall be
considered an original, but all of which shall constitute one instrument
