HomeMy WebLinkAboutContract 61821CSCO No . lo~ d. \ TRANSPORTATION IMPACT FEE CREDIT AGREEMENT THIS TRANSPORTATION IMPACT FEE CREDIT AGREEMENT (the "Agreement") is made and entered into effective as of the Effective Date (as defined below), by and among THE CITY OF FORT WORTH, TEXAS (the "City"), a Texas home rule municipal corporation, and TCRG Opportunity XV , LLC, a Texas limited liability company authorized to do business in Texas (the "Owner") (the City and the Owner a "Party", and collectively , the "Parties"). RECITALS WHEREAS, the Owner is the owner of approximately 100 .157 acres in Tarrant County, Texas, as described by metes and bounds in Exhi bit "A" (the "Property") located within the corporate boundaries of the City. A map of the Property showing its location is attached hereto as Exhibit "B"; and WHEREAS, the Owner desires to proceed with development of the Property as described or ill ustrated on the Deve lopment Plan, attached hereto as Exh ibit "C", which identifies the on-site and /or off-site transportation facilities necessary for serving full development of the Property; and WHEREAS, the City has adopted a Transportation Impact Fee program pursuant to Texas Local Government Code Chapter 395 , codified in City Code Chapter 30, Article Vlll, et seq., as amended, under which impact fees are imposed on new development for impacts to the City 's transportation faci lities as a result of said deve lopment; and WHEREAS, transportation impact fees are collected and must be spent by the City on impact fee eligible transportation facilit ies identified within the City 's adopted Transportation Improvements Plan ("TIP"), as amended , within the service area(s) in which the new development is located; and WHEREAS, the Impact Fee Program provides for credits against impact fees for dedication of right-of-way and/or construction of transportation improvements identified as impact fee eligible on the adopted TIP; and WHEREAS, the Property is located within service area Z; and WHEREAS, certain transportation facilities depicted on Exhibit "D" are identified as impact fee eligible within the City's adopted TIP and therefore eligible for impact fee credit; and WHEREAS, Owner has agreed to dedicate the right-of-way and construct the transportation improvements shown on Exh ibit "D" for which credits against transportation impact fees shall be granted ; and WHEREAS, the Owner has received approval for the Risinger Industrial Park preliminary plat (PP-20-001 ), March 11 , 2020 ; and Transportation Impact Fee Credit Ag reement -CA-2 1-016 Risinger Ind ustria l Park Page 1 of 17 Upd at ed 07/05/24 WHEREAS, the Owner has dedicated 223,625 square feet of right-of-way for Risinger Road, an e li gib le arterial by the Risinger Industrial Park Final Plat (FP-20 -0 42), recorded by Instrument 0220346237, December 31, 2020 ; and WHEREAS, the Owner has received approval for construction plans (IPRC20-0016), on 09 /09/2020, and exec ut e d Communi ty Faci liti es Agreement (CF A20-0027, CSCO 54339), on 09 /09/2020, and obtai ned fina l acceptance by the City for Risin ger Road , City Project Number 102560 11/7/2 023 . NOW, TH EREFORE, for a nd in considerat ion of the m utua l agreements , covenants , and cond iti ons contained he rein , and other good a nd valu ab le consideration, the C ity and the Owner hereby coven ant and agree as fo ll ows: 1. Recital s. The recitals co nt ained in this Agreement are true and correct as of the Effective Date and fo rm t he basis upon w hi c h the Parties negot iated and entered into this Agreeme nt. 2. Transportation Improvements. Owner has dedicated the r ights -of-way and is constructing the syste m imp rovements id entifi ed in Exhibit "D ". 3. Cred its. The Parties agree that the est im ated valu e of the credits for each transportation improvement, expressed in c urrent dollars , shall be as set forth in Exhibit "E". T he value of credits assoc iated with the impro vements first shall be reduced by the Sched ul e 2 impact fee associated w ith any lot for which a building permit has previously been issued , and th e net valu e of credits shown on Exhibit "E" s ha ll be considered as exact. 4 . Phasing. T he Parties acknow ledge that, w here it is anticipated that the project wi ll be developed in phases , the anticipated construction of imp roveme nts by phase s hall be as depicted in Exhibit "D", w hi ch is attach ed hereto and in corporated herein by reference . 5. A llo cation of Credits by Phase. The general a ll ocat ion of cred its to eac h phase of the development s hall be as shown on Exhibit "F", w hi ch is attached hereto and incorporated herein by reference. T he P arties agree that the credits identified in this Agreement s ha ll not be deemed to have been created until the system facil ity for whi c h cred it is to be granted has been dedicated, constructed through an exec ut ed Community Faci liti es Agree me nt , and acceptance by the C ity has been obtained. The Parties further agree that, prior to the app li catio n of a credit against transportation imp act fees ot herwise due for any unit of development ; the fo ll owing events shall take place: (a) The num ber of credits resulting from such improvement has been va lu ed ; and (b ) Concurr ent with fi na l plat approval, a credit a llo cation shall be provided by the developer for the phase of development to which the cred it is to be app li ed, w hi ch a ll ocation may e ith er ass ign the cred it , expressed in dollars, to each finally platted lot or may create a cred it-p oo l to be utilized by that phase of development. (c) Provide final acceptance by the City for the constru ction in process and amend the transportation impact fee cred it agreement to allocate the add itional construction cred it. The term of this Agreement shall be ten (10) years from its Effective Date. 7. Ass ignment. Owner shal I have the right to assign this Agreement to any person or entity ("Owner's Assignee") with the written consent of the City, provided: (a) the assignment is in writing executed by the Owner and its assignee; and (b) the assignment incorporates this Agreement by reference and binds the Owner's Assignee to perform (to the extent of the obligations assigned) in accordance with this Agreement. Each Owner's Assignee shal l become a Party to this Agreement upon the execution of such assignment. In no event may this Agreement be construed to authorize assignment of any credits attributable to a system facility to be dedicated or constructed hereunder for use outside the boundaries of the Property. 8. Amendment. This Agreement shall not be modified or amended except as follows: (a) Any amendment or modification to this Agreement or any Exhibit or schedu le hereto shall be in writing and signed by the Part ies. (b) Any revision, amendment, or modificat ion to this Agreement, the Development Plan, or any Exhibit or schedule thereto, shall become effective on the date executed by the Parties or, as app licable, upon the date of approval by the City Counci l or designated city official. 9 . Exhibits. The exhibits attached to th is Agreement are incorporated as part of this Agreement for all purposes as if set forth in full in the body of this Agreement.
